2 Dear Unitholder, RE: PROPOSED AMENDMENTS OF THE INVESTMENT POLICY OF THE SUB-FUND We, PineBridge Investments Ireland Limited (the Manager ), are writing to you as manager of the Fund to inform you of the proposed amendments to the investment policy of the Sub-Fund. This change will enable the Sub-Fund to become an Asian dynamic asset allocation fund. The dynamic asset allocation approach recognizes that the outlook for fundamentals and risk/return opportunity set is always evolving, and it is proposed that this Sub-Fund should evolve and adjust dynamically in line with this investment approach. This flexible and opportunistic investment approach is aimed at investors seeking to balance risk and return (the Proposed Amendments ), details of which are as set out in the notice of Extraordinary General Meeting appended hereto in Appendix 1 (the Notice ). Extraordinary General Meeting In order to seek your approval of the Proposed Amendments, an extraordinary general meeting (the EGM ) of the Unitholders of the Sub-Fund will be convened at PineBridge Investments Ireland Limited, 78 Sir John Rogerson s Quay, Dublin 2, Ireland on 21 May 2018 at 11 a.m. (the Meeting ). In the event that the Meeting is inquorate, it will be adjourned to 14 June 2018 at 11 a.m. Action Required If you are the registered holder of units in the Sub-Fund and are unable to attend the Meeting but wish to exercise your vote, please complete and return the enclosed form of proxy attached in Appendix 2 (the Form of Proxy ). Please read the notes printed on the Form of Proxy, which will assist you in completing the Form of Proxy. To be valid, your appointment of proxy must be completed and returned by post or by fax (with original to follow by post) to PineBridge Investments Ireland Limited, 78 Sir John Rogerson s Quay, Dublin 2, Ireland, at least 48 hours prior to the commencement of the Meeting or, in the case of an adjourned meeting, the time appointed for such adjourned meeting, at the latest. You may attend and vote at the Meeting or adjourned meeting (if any) even if you have appointed a proxy, however the proxy vote will be discounted. The approval and the adoption of the Proposed Amendments requires an extraordinary resolution to be passed in favour of that resolution (as set out in the Notice) by a majority of 75% or more of the total number of votes cast by the Unitholders of the Sub-Fund at the Meeting. You should note that if the aforesaid resolution is duly passed at the Meeting (or any adjournment thereof), all Unitholders will be bound by the outcome of such Meeting. Therefore, you are encouraged to exercise your right to vote in respect of the same. Unitholders present in person or by proxy registered as holding not less than 25% of the units in issue will form a quorum at EGM. Based on past experience the Directors expect that a quorum will not be present at the EGM. If a quorum is not present within half an hour after the time appointed for the commencement of the EGM, the EGM shall be adjourned until 14 June 2018 at the same time and place and any Unitholder present in person or by proxy will form a quorum at the adjourned EGM. Procedure Unitholders will be notified of the outcome of the Meeting once available and Unitholders who no longer wish to invest in the Sub-Fund will have a further 90 days from the date of the letter notifying Unitholders of the outcome of the Meeting to redeem or switch their unitholding in the Sub-Fund in accordance with the procedure set out in the Offering Document free of charge. 4 Appendix 1 NOTICE OF EXTRAORDINARY GENERAL MEETING PINEBRIDGE GLOBAL FUNDS (THE "FUND") PINEBRIDGE ASIA BALANCED FUND (THE "SUB-FUND") NOTICE is hereby given that an extraordinary general meeting of the Unitholders of the above Sub- Fund will be held at PineBridge Investments Ireland Limited, 78 Sir John Rogerson s Quay, Dublin 2, Ireland on 21 May 2018 at 11 a.m. for the purpose of considering and, if thought fit, passing the following resolution, as an extraordinary resolution of the Sub-Fund: 1. Extraordinary Resolution The investment objective and policy of the Sub-Fund will be changed from an equity traditional and fixed income Sub-Fund to a dynamic asset allocation Sub-Fund. The investment objective of the Sub- Fund will be revised from: The Sub-Fund will be managed to provide investors with income and seeks long-term capital appreciation through investment in equities, equity-related securities and debt securities of Asian issuers in the Asian Region. to: The Sub-Fund seeks long-term capital appreciation by identifying new and changing economic and investment trends and investing primarily in the Asia Pacific Region by taking a forward view of fundamental economic and market conditions across the region. The asset allocation for asset classes and markets will change in line with these forward views. The Sub-Fund adopts a fully managed investment policy, varying from time to time the combination of the markets in the Asia Pacific Region equity securities, debt and money market securities, Collective Investment Schemes and the other types of investments detailed below, both with respect to types of investments and markets, in response to changing market conditions and economic trends. The Sub-Fund has no restrictions as to the proportion of assets allocated to individual countries or geographical regions, companies of any particular market capitalisation in the Asia Pacific Region and may invest across a range of economic sectors. Following the above change to the investment objective of the Sub-Fund, the definition of Asia Region in the section entitled Definition in the Supplement of the Sub-Fund will be replaced by Asia Pacific Region which will include Vietnam, Japan, Australia and New Zealand in addition to the countries included under the definition of Asia Region (i.e. Bangladesh, Hong Kong, India, Indonesia, South Korea, Malaysia, Pakistan, The People s Republic of China, The Philippines, Singapore, Sri Lanka, Taiwan and Thailand) in order to enlarge the scope of countries where the Sub- Fund is allowed to invest. In allocating the Sub-Fund s investments, the Investment Managers of the Sub-Fund will continually assess major economic and business conditions while trying to identify underlying trends. These trends will have a fundamental impact on how stock and bond markets behave, and the Investment Managers will allocate accordingly. Trends on themes could include a global shift toward higher inflation, a strengthening US dollar or central bank balance sheet tapering. 4

7 Notes to Form of Proxy 1. A Unitholder may appoint a proxy of his own choice. If the appointment is made delete the words "the chairperson of the Meeting" and insert the name of the person appointed as proxy in the space provided. 2. If the appointer is a corporation, this Form of Proxy must be under the common seal or under the hand of some officer or attorney duly authorised on its behalf. 3. In the case of joint holders, the signature of any one holder will be sufficient, but the names of all the joint holders should be stated. 4. If this Form of Proxy is returned without any indication as to how the person appointed proxy shall vote he will exercise his discretion as to how he votes or whether he abstains from voting. 5.
