5 3 INTRODUCTION 3.1 Index Overview The BPI Philippine Consumer Equity Index (the Index) is sponsored by the Bank of the Philippine Islands (the Sponsor). The Sponsor is responsible for the design of the Index and the issuance of these Rules. The Index intends to reflect the performance of listed common equity securities denominated in Philippine Peso of Philippine companies in the consumer industry (See Section 4.2). It is intended to be a template for passive, diversified equity investment portfolios where securities are held in proportion to the market value of the issued securities. It aims to provide accurate and objective benchmarks by which to assess the performance of the Philippine stock market. The Index is priced based on multiple data inputs as described in Section 3.8. This document covers the Index structure, rules and calculation methodology. The Index rules and their application will be governed by the BPI Index Committee. 3.2 Weighting by Free Float Market Capitalization Every security in the Index is held in proportion to its Free Float Market Capitalization to reflect returns matching that of the average investment strategy. 3.3 Construction Overview The Index Universe consists of Philippine shares listed and traded in the Philippine Stock Exchange meeting the requirements for inclusion (See Section 4). After the Index Universe has been identified, a weight is computed for each Constituent. This weight will be proportional to the Philippine Peso Free Float Market Value of the security relative to the Free Float Market Capitalization of the Index (See Section 4.6). 3.4 Rebalancing of Index The Index Universe is reviewed at the last Business Day of September (the Annual Review). It involves adding securities, which were not members formerly, to the Index Universe where their size and other characteristics meet requirements; and, removing securities which were members, which now no longer meet the requirements for inclusion. A new Index Universe is constructed and new weights are computed. Constituents of the Index are rebalanced immediately after the Annual Review, as well as at the end of the last Business Day of March, June, and December, all at Quarterly Rebalance Dates. During rebalancing, the Index is realigned to match the applicable Index Universe and its new weights, and is implemented as soon as is reasonably practicable. 3.5 Initial Values The Index shall have a value of One Hundred (100.00) as of the Base Date. 6 3.6 Daily Index Values Index Values are computed at the end of every Business Day and released at approximately 11:00 AM on the following Business Day (Philippine time). Index data is published in the Bank of the Philippine Islands website ( and possibly through other electronic platforms (See Section 7). 3.7 Calculation Agent The Sponsor has engaged a Calculation Agent to provide independent calculation of the periodic value of the Index and to make various determinations and adjustments, in each case in accordance with the Index Rules. The Calculation Agent is responsible for obtaining information for inclusion or use in the calculation of the Index. The Calculation Agent will not independently verify such information and does not guarantee the accuracy or completeness of the Index or any data included therein. The Sponsor has agreed with the Calculation Agent the terms by which the Index shall be maintained, calculated and distributed. The Calculation Agent is BPI Investment Management Inc. (BIMI). 3.8 Data Sources The Calculation Agent obtains closing prices, dividend payments and other corporate actions used for both calculation and maintenance of Index Values each day from the Philippine Stock Exchange (PSE). Data from the PSE may be supplemented with other sources at the Calculation Agent s absolute discretion. Whilst the Calculation Agent publishes the Index Values in good faith, it does not independently verify such data. The Calculation Agent does not guarantee, represent or warrant the accuracy or completeness of the Index or of the data compiled therein nor can it be held responsible for any delays in publishing the Index. 3.9 Data Disruption and Market Disruption In the event of a Data Disruption, the Calculation Agent shall use reasonable endeavors to source data from alternative sources with the aim of publishing Index Values by 11:00 AM (Philippine time) on the following Business day from calculation. The unavailability of data shall not be considered sufficient reason to delay the calculation of Index Values and until such time data is once again available the Calculation Agent shall continue using the last data available for the maintenance of the Index. In the event of a Market Disruption, the Calculation Agent shall use the last data available for calculating the Index Values until such time as the Market Disruption is over and it believes it can once again accurately calculate the Index Value Termination of Index The publication and maintenance of the Index is discretionary. The Sponsor may suspend or terminate the publication and maintenance of the Index at any time. In the event that the Index is suspended or Page 6 of 14
7 terminated, neither the Sponsor nor the Calculation Agent accepts any responsibility for any losses incurred by any party whether incidental or consequential arising out of any reliance on the continued existence and publication of the Index. Any announcements, including the termination of publication and maintenance of the Index shall be made on the Sponsor's website ( Governance The BPI Index Committee is comprised of select senior management members from the Sponsor. Its principal purpose is to maintain oversight and management of all BPI indices. In particular it is responsible for deciding changes to the Index Rules governing the Index. It is also responsible for deciding how unforeseen events which are not covered by this document, and which in the opinion of the Calculation Agent or the Sponsor require attention, should be dealt with. In fulfilling its responsibilities, the Index Committee has full and complete discretion to (i) amend, apply, or exempt the application of index rules as circumstances may require and (ii) add, remove, or by-pass any security in determining the composition of the Index. 4 INDEX CONSTITUENTS 4.1 Eligible Securities The broad investment universe includes shares of Philippine Corporations listed in the PSE. The full features of eligible securities are found in the table below: Issuer Currency Share Type Exclusions Philippine Corporations listed in the Philippine Stock Exchange Philippine Peso Common Exchange Traded Funds (ETF), Preferred Shares, Foreign Companies listed in the Philippine Stock Exchange 4.2 Industry Criteria To become a Constituent of the BPI Philippine Consumer Equity Index, a company must be a part of the Consumer Industry having at least 50% of its revenues being derived from consumer products or services, or at least 50% of the fair value of its net assets being utilized for consumer related business activities. The Consumer Industry shall be defined as having the following sectors and sub-sectors, and any other sectors and sub-sectors deemed appropriate by the BPI Index Committee: Page 7 of 14

Food and Staples Retailing b. Food, Beverage and Tobacco c. Household and Personal Products 4.3 Selection Criteria A company must meet the size and free float requirements: Minimum Free Float % Minimum Full Market Capitalization BPI Philippine Consumer Equity Index 12% PHP 10 billion 4.4 Liquidity Criteria A stock should also meet the liquidity requirement which is computed as the Average Daily Value Turnover of the stock for the past 12 months. The stock s liquidity must fall above the eightieth (80 th ) percentile of the liquidity of securities in the Philippines Stock Exchange All Share Index. 4.5 Index Constituents Eligible securities meeting the criteria for inclusion comprise the Index Universe. 4.6 Constituent Weighting Every security in the Index is held in proportion to its Free Float Market Capitalization, which is the Market Value of publicly available shares of the company. The Free Float Market Capitalization of each security is computed as the number of shares outstanding multiplied by the Free Float % multiplied by the share price. The calculation method is provided in Appendix A. Page 8 of 14
9 5 ANNUAL REVIEW 5.1 Timing The Annual Review of the Index Universe takes place at the end of the last Business Day of September at the Annual Review Date. Changes to the Index Universe resulting from the Annual Review are effective immediately after reasonable allowance for checking of Index computations and rebalancing of tracking portfolios. 5.2 Review Process The Annual Review process resets the Index portfolio to reflect a new Index Universe. The new Index Universe comprises of all eligible securities meeting the requirements for inclusion (See Section 4.2) as of the Annual Review Date. Securities meeting eligibility requirements which were not members are added, while securities which were members, which no longer meet the requirements for inclusion, are removed. 5.3 Quarterly Rebalance Constituents of the Index are rebalanced at the Quarterly Rebalance Dates, which occur immediately after every Annual Review, as well as at the end of the last Business Day of March, June, and December. During Annual Review rebalancing, the Index is rebalanced to match the new Index Universe and its new weights. During Quarterly Rebalance in March, June, and December, the Index Universe from the last Annual Review is retained. The Index is rebalanced using new weights reflecting any applicable changes in Free Float Market Capitalization of each Constituent that is not applied in between Quarterly Rebalances. 6 DAILY REVIEWS 6.1 Daily Index Weighting In between Annual Reviews and Quarterly Rebalances, the index weights change so as to mimic a passive portfolio. That is a portfolio where trading is minimized. This means that the index weights drift with the prices of the corresponding shares with periodic adjustments for capital gains and dividends received. 6.2 Receipt of Dividends No cash dividends are recorded for the purpose of calculating the Index. 6.3 IPO Newly issues shares shall only be made eligible for inclusion after meeting the selection criteria and twelve-month liquidity requirement (See Section 4.4) Page 9 of 14
10 6.4 Delisting of Share If a Constituent is delisted from the exchange, it shall remain in the Index at its Free Float Market Capitalization on the close of the last Business Day prior to the delisting date until the next Quarterly Rebalance Date when applicable changes in Free Float Market Capitalization of each Constituent are applied. 6.5 Mergers and Acquisitions If a Constituent is removed due to a merger and/or acquisition, it shall remain in the Index based on its Free Float Market Capitalization on the close of the last Business Day prior to the date of removal until the next Quarterly Rebalance Date when applicable changes in Free Float Market Capitalization of each Constituent are applied. 6.6 Changes in Shares Any corporate action that results in a change of outstanding shares that affect the price of a Constituent are processed at the close of the Business Day before the action takes effect. Such actions include subdivisions, bonus issues, consolidations, and rights issues. 6.7 Suspension If an Index Constituent is suspended due to compliance with regulatory requirements (e.g. takeover discussions, regulatory arrangements, corporate restructuring, etc.), it shall not be removed from the Index. However, if a share is suspended due to insolvency, breach of laws or regulations, or to be suspended for an indefinite period of time, it shall be considered delisted and removed after the tenth (10 th ) Business Day at zero value. The time period can be longer if the reasons for the suspension are unclear. 7 DAILY CALCULATIONS Closing values of the Index are calculated and distributed once daily on each following Business Day. The approximate publication time is 11:00 AM (Philippine time). Index data is published in the Bank of the Philippine Islands website ( and may be distributed to various electronic platforms. 7.1 Index Return Index Return is calculated after the end of each Business Day (See Appendix A.3 for calculation formula). 7.2 Index Values Index Values are calculated after the end of each Business Day (See Appendix A.4 for calculation formula). 11 7.3 Calculation Errors If an error in calculation is discovered, the Calculation Agent may revise the Index Value provided that the error occurred within ten Business Days from the date of discovery. If an error is discovered beyond ten Business Days, the Index Value will no longer be corrected unless it is deemed significant by the BPI Index Committee. 8 ANNOUNCEMENTS 8.1 Annual Reviews The Calculation Agent typically announces Annual Review constituent changes at the first Business Day immediately succeeding the Annual Review Date. However, this is not a binding commitment on the part of the Calculation Agent, and there may be delays before such announcements are made. 8.2 Amendments If an announcement needs to be amended, then the Calculation Agent issues a replacement announcement as soon as is reasonably practicable. The Calculation Agent makes every attempt to be as accurate as possible, and it cannot be held responsible for any actions subscribers take relating to announcements which are subsequently amended. 8.3 Dissemination Announcements are available on the Sponsor s website ( 9 DISTRIBUTION 9.1 Index Values Final Index Values are normally sent to electronic data systems by 11:00 AM (Philippine time) of the following Business Day. Any actual delay of the publication of such data by electronic platform providers will depend on the internal procedures of each provider. The Calculation Agent cannot be held responsible for any errors, intentional or unintentional, on the part of the data provider. 9.2 Constituent Data Constituent data is only available from the Sponsor and at the absolute discretion of the Sponsor. 9.3 Index Data Index data, other than Index data available through authorized electronic platforms, is only available directly from, and at the absolute discretion of the Sponsor.
