It is intended to be a 6-year investment with potential to end early. You might seek growth from an accumulation fund, however, unlike most funds this plan offers some protection against falls in the stock market as well as offering contractual returns that are dependent on market performance, rather than individual managers. The maximum amount of growth you can receive is 70% of your starting investment. Your potential growth is capped at 70%. When will I receive growth? You will receive growth at maturity if the index is above its starting level. We expect to receive a bulk payment from the bank and transfer this payment straight into your Reyker account within 5 business days of the repayment date. What happens at maturity? There are three main possible outcomes at maturity: The index is above its starting level; you will receive your capital in full as well as a growth payment. The index is at the starting level or hasn't fallen by more than 40% from its starting level; you will receive back your invested capital but no growth payment. The index has fallen by more than 40% from its starting level; if this happens you will lose capital equal to the percentage fall in the index. How can I hold this? Direct, Stocks & Shares NISA (new & transfers), SIPPs/SSAS, Corporate, Charities and Trusts How is this taxed? Capital gains tax may be applicable. Tax treatment depends on individual circumstances and is subject to change; you will need to seek independent tax advice for further information. FSCS protection This may apply to money we hold for you as custodian, up to 85,000 per investor per eligible banking group, but will not be available for invested client assets. 6 Your Market View This plan is designed for people who have a particular view about how the index is likely to perform in the future. The plan is aimed at investors who have a bullish view on the index over the next six years and desire some protection if the index performs negatively. Bullish The index rises over the term of the investment. % change in index Neutral The index is close to its starting level over the term of the investment. Volatile The index may rise and fall throughout the life of the plan. Bearish The index falls over the term of the investment. 8 Underlying Index FTSE 100 The FTSE 100 is the UK s most recognised stock market index and it consists of the 100 largest UK-listed blue chip companies, including well-known brands such as Marks & Spencer, Land Securities, BP, Vodafone, Royal Dutch Shell and Prudential. 8

9 Investor Profile Are you seeking growth? You should be looking to increase the value of your capital rather than receive income payments. Do you understand the features of the investment? You should make sure you understand how the product growth and return of capital is determined. At maturity, are you confident that the index will not be at or below its starting level? If the index is at or below its starting level at maturity you will receive no growth. Are you comfortable with the capital protection barrier? You should have the view that the index will not have fallen by more than 40% at maturity. If it does fall more than 40%, you will lose some or all of your capital. The index is only measured at the start date and at maturity, which means that volatility in between this period has no bearing on the maturity outcome. If you were to sell the plan before the maturity date however, you must be aware that the level of the index at that time will have a bearing on the redemption price. Are you willing to put capital at risk in order to achieve a higher rate of interest? By investing this plan, you are putting your capital at risk. You will lose some or all of your capital if the index has fallen by more than 40% at maturity and/or the counterparty bank, RBC, defaults. Here, Dr Chu explains our choice of counterparty and how our added value plan monitoring service can help you manage your investments: T h e c o u n t e r pa r t y bank "For this plan we have chosen Canada's largest bank, Royal Bank of Canada, which enjoys an excellent S&P AA- rating and a reputation for prudence and regulatory compliance. The bank is a respected international business, one of the top 15 largest globally by market capitalisation (source: Bloomberg 01/05/2015) with a strong presence in the UK. Well diversified earnings suggest stability. The high credit rating means RBC stands out from the crowd in the structured product market.* It's important to choose a strong bank with a good outlook, as one of the risks of investing in a structured product is the bank needs to stay in business until maturity. This is called counterparty risk. Although we can't predict the future, Reyker only works with banks that we feel will be here for the long term and this is our view of RBC." P l a n monit o r i n g "Although structured products are a long term investment, designed to last for several years, that doesn't mean we should not monitor it, as market conditions can change and so can the risks. Our approach is unique in the industry: we monitor our plans regularly and provide advisers with an optional service; including guidance or forewarning if we feel that it might be wise to consider selling an investment early. Although this is not the same as 'active management', as you might find with a fund, it's certainly active consideration of what is happening to your investment. Armed with this information it's still up to your expert financial adviser to discuss with you the best thing to do and instruct us accordingly, and we're always here to help. 11 F l e x i b i l i t y Your circumstances as well as market conditions may change and we take this into consideration from the very beginning; working with the counterparty bank to give you the opportunity to sell your investment via the secondary market. This means you have a weekly opportunity to sell the investment before the maturity date. The amount you may receive is affected by different factors and can be less than the original capital you invested. Typically the amount you get back will be higher if the underlying index has gone up and vice versa. A rise in interest rates generally reduces the amount that you may get back. These factors may offset each other as well. In order to help you keep track of the market value of your investment, we publish monthly indicative prices on our website. If you decide to sell your investment early after consulting with your adviser, you can use the form that is available on our website or inform us in writing. The written instructions must be received by us at least 2 business days before our dealing date, which is Wednesday every week (or the next business day if that is a public holiday). Early redemptions will be charged at 0.5%, subject to a minimum charge of 150 per plan. Charges may change during the life of the plan and will be reflected in the latest published Terms and Conditions of Business. These will always be available on our website. 11

12 Risk Factors All investments carry risk. Prior to investing you need to make sure you fully understand the risks you are taking and accept the level of risk offered by this plan. C o u n t e r pa r t y risk Your money is being used as a form of loan, via Reyker as promoter and custodian, to the counterparty bank in exchange for the returns offered by this structured product. The bank is legally committed to honour the terms of the plan. It is possible that the counterparty may go bankrupt or default on their payment. If this does occur you may lose some or all of your investment. You may not be able to claim back this investment through the Financial Services Compensation Scheme. M a r k e t risk The performance of this plan is linked to the level of the underlying index on the maturity date. Stock market index performance may be volatile and subject to unpredictable changes over the investment term. The value of your investment is affected by movements in the stock market price and may result in you not receiving any growth payments, and/or the loss of some or all of your capital. Your investment does not directly invest in the underlying index. You are not eligible for dividends or any voting rights. L i q u i d i t y risk You should be prepared to hold this plan until maturity. The counterparty will, however, use its reasonable endeavours to provide a secondary market but is not obliged to do so and may stop providing such a market at any time without notice. Reyker has no control over this market: we act as your settlement agent. M a r k e t Disruption Events It is possible that a market disruption event might occur, such as trading disruption, changes to the index, changes to index providers or changes in tax legislation. In these circumstances, the counterparty has the right to determine whether any adjustments to the terms of the plan are required. These adjustments may include, but are not limited to: adjustments to the opening or final levels of the assets, postponing measurement dates and substitution of assets. The counterparty is required to act in good faith when making these adjustments. 12

13 R e i n v e s t m e n t risk The risk that future growth or capital receipts from a plan cannot be reinvested at the interest rate prevailing when you originally invested. Reinvestment risk is more likely when interest rates are declining. I n f l at i o n risk The value of your initial capital and any returns you may receive are not linked to inflation. If inflation is high over the term of the product, your purchasing power may decrease and so the real return could be low or negative. T a x at i o n risk It is our understanding that any growth received from this plan may be subject to capital gains tax. 15 How to Invest When you re ready to invest into a Reyker structured product, all you need to do is complete our online application. Our online application facility offers: Security and peace of mind Secure online payment facility Application tracking No paperwork Following your application you will be able to access our online portal to view your account documents, including statements and make future applications. Alternatively, if you would like to complete a paper application, a standard application can be found enclosed, additional forms such as NISA transfer forms, if not requested in print by your financial adviser in advance, can be downloaded from our website. You do not need to send us any form of identification unless we specifically request it, however, you must be made aware that we do complete electronic identity checks and other checks which may include anti money laundering procedures on all clients wishing to open an account. These checks may leave an electronic footprint but will not affect your credit score. 15

16 Our Service With more than 30 years of experience looking after investments, you can be certain you will experience personal service from the moment you make your application and throughout the lifetime of your investment. It is important for you to understand what happens when you invest and what you can expect from us. Application Submitted Once an application for investment has been accepted and funds received, we will send out an acknowledgement within 2 working days. Before Investing Account Information You will receive an notification with details of how to access our online portal. By logging in you will see a correspondence archive. If you have an adviser, they will also be able to view this information. Investment Information Within 10 working days of the start date, you will receive a contract note via our online portal. This document details the investment you have purchased. After Investing Additional Information You will receive a 6 monthly statement from us in April and October showing the value of your investment. In addition to this, we will keep your adviser informed of any major market changes which may affect your investment, such as changes to the underlying index or changes involving the counterparty. We will also keep your adviser informed of any additional investment opportunities that may be available. Maturity Information When your plan matures, we will inform you of this and confirm the capital to be returned. We will also let you and your adviser know about potential re-investment opportunities that you may consider rolling your investment into. Withdrawal payments are made within 3 working days of receiving cleared funds following the repayment date and your instructions. 16

Reyker will not charge you anything to invest in this plan - our return and the cost of us providing safe custody, management, monitoring and general administration for 6 years is covered by the discounted price we pay for bulk buying the underlying note from the bank, this can be up to 2.5%. Biannual valuations are also free as long as you get them online via your secure internet account with us. We charge for paper statements and extra work such as probate valuations. 22 The Reyker Artist Programme A glimpse into an international artist's journey After initially studying Art at A Level, Caia Matheson knew she loved the subject. However, considering her long term aspirations, at a young age Caia didn t consider it as a career as she assumed it wouldn t be able to provide a living. She went on to work for a fashion label creating clothes, shoes and bags from scratch giving her a great foundation in a creative industry before going travelling in her early 20s. Then came an epiphany! What s the worst thing that could happen? It was the thought of being old and miserable. So really it was the fear of being old and miserable that made me think sod it, and so I though I d at least give it a try. This is when her real journey into the Art world began. Doing a BTEC at 23 and experimenting in everything from sculpture to drawing, she decided that painting was her favoured medium as it challenged her the most. For her, trying to make something stand out on a flat surface with paint was really difficult and the challenge was enjoyable. She found her own version of a studio in the form of an old warehouse building with four floors and moved in with two friends who were photographers. By working all weekend she was able to afford using weekdays to work on her painting skills. Caia continued for the next 3 years and commented, I felt a lot more comfortable with what I was doing and where I was going. When I asked about her technique and inspiration she states she that she uses traditional techniques of duck cotton canvases and rabbit skin glue to prime them with. From then on she starts with colour, working on her knees with a sponge, layering the colour and making movements. In terms of inspiration Caia gets hers from narratives, usually listening to audio books, stories or radio plays whilst she works. Sometimes a sentence jumps out at me and creates an image which is then what drives her work. When working for 8-9 hours a day music can be quite invasive whereas words aren t. John Wyndham s, The Day of the Triffids, was one particular from which she was inspired to create two large, 1 ½ metre squared, dark and abstract pieces. Continuing with the theme of novels and narrative, one of the achievements Caia is most proud of is that the author, Neil Gaiman, chose her painting Forest Fire for his August story in the set of short stories called The Calendar of Tales. As well as this, she is always happy to donate her pieces to charity and has previously donated to the Japan Tsunami Relief Fund. Most recently Caia has donated a piece of work to the Bright Open Air Theatre for an auction to raise money for the publically funded cause. Plans for 2015? Creating more and more work! I like to have at least 20 finished pieces ready to exhibit so I need to work to build this up as I m always a little anxious I am running out!
