Dear Board Members: RECOMMENDATIONS: 1. Approve a standard agreement amendment between Alameda County Health Care Services Agency and Health Equity Partnership (Principal: Nancy Halloran, Location: Oakland, Procurement Contract No. 3660) increasing the amount from $100, to $110,613 ($10,413 increase) for February 1, 2009 through June 30, 2011 (extending the contract term five months) in order to assess and provide training to enhance the Chronic Care Model implementation for the County Medically Indigent services Program/ Alameda County Excellence (CMSP/ACE) program and transition to the Health Program of Alameda County HealthPAC. 2. Approve the attached financial recommendation. DISCUSSION [SUM MARY: On May 22, 2007, your Board accepted the approval for Federal Coverage Initiative allocation, part of California's five year section 1115 Medi-Cal Hospital/Uninsured care Demonstration (No, ll-w-00193/9) in which was enacted to provide the statutory framework for the development and implementation of the Health Care Coverage Initiative, from the California Department of Health Services (CDHS) to Alameda County for the development of the Alameda County Excellence (ACE) Program. The ACE program promotes the chronic care model, the development of integrated medical home and improved access to specialty care. The goal of this project is to support improved outcomes of care for Alameda County safety net patients by linking, supporting, strengthening and standardizing the sites' quality improvement efforts. On March 3, 2009 your Board approved a standard agreement to assess and provide training to enhance the Chronic care Model implementation for the county Medically Indigent Services Program/ Alameda County Excellence (CMSP/ACE) program. On March 30 th, 2010 your Board approved an amended contract that allowed the Contractor to continue this work for another year providing additional training and technical assistance and continue to develop the system-wide quality improvement network. This amendment would allow the quality improvement work to continue through June 30, 2011 while the

2 indigent program transitions to meet the guidelines required under the renewed 1115 waiver that creates the Low Income Health Program that will allow the County to get additional federal reimbursement for funding spend on indigent care. Selection Criteria: Kathleen Clanon, MD, FACP and Nancy Halloran, MPH ofhealth Equity Partnership (HEP) have worked for more than twenty years in healthcare for Alameda County's low income and marginalized populations. HEP is a SLEB vendor, An informal bid process was used to solicit services. A request for quotes was sent out to three SLEB providers, other than HEP. HEP was selected for this contract because none ofthe other providers responded. There are no other local providers with HEP's level ofexpertise in chronic care quality improvement combined with as close a familiarity with ourprovider network. Dr. Clanon is intimately familiar with the safety net providers that make up our system ofcare, is well known and universally respected by clinical leadership in this county after more than 20 years ofdirect service to the residents ofalameda County in both private practice and her work at the Alameda County Medical Center, and has been a leader in the development ofintegrated medical homes for individuals with chronic disease. Their extensive work in the areas ofhivcare andprevention makes them uniquely qualified to lead the ACE Quality Improvement Project. At the start of the new fiscal year, Health Care Services Agency whl go through another bidprocess to identify a vendor to continue the quality improvement work for the Low Income Health Program in Alameda County. FINANCING: Approval of the attached financial recommendation will have no impact on County General Fund revenue. Funding for this contract will come from Tobacco Master Settlement funds residing in Trust # This office will prepare the journal to transfer the funds from trust to revenue. 4 Purchase Order No. HCSVC5310, Procurement Contract No SECOND AMENDMENT TO AGREEMENT This Second Amendment to Agreement ("Second Amendment") is made by the County of Alameda ("County") and Health Equity Partnership, ("Contractor'') with respect to that certain agreement entered by them on December 16, 2008 and that certain First Amendment to Contract dated March 30, 2010 (collectively referred to herein as the "Contract") pursuant to which Contractor provides CMSP/ACE services to County. COunly and Contractor agree as follows: 1) For valuable consideration, the receipt and sufficiency of which are hereby acknowledged, County and Contractor agree to amend the Agreement in the following respects: a) Increase the amount by $10,413, bringing the total to $110,613. b) Extend the end date of the contract to June 30, c) Exhibit A, Scope of Work, is revised to include the attached Additional Scope of Work d) Exhibit B, Payment Tenns, is replaced in its entirety by the attached Amended Exhibit B. 2) Except as otherwise stated in this Second Amendment, the tenns and provisions of this Amendment will be considered to be effective as ofthe date this Second Amendment is executed by the County ("Effective Date"). 3) The tenn of the Agreement is currently scheduled to expire on January 3 L As of the Effective Date, the term of the Agreement is extended through June 30, In consideration for Contractor's additional services, the County shall pay

9 Health Equity Parlnmhip ACE Scope Amendment to Exhibit A ADDITIONAL SCOPE OF WORK For the period from February 1 through] une 30, 2011, Health Equity Partnership will perfonn the following additional senrices: A. ACE / Quality Improvement 1. Contractor shall continue to develop and help deliver technical assistance and training to support implementation of standardized services as part of the ACE program. (Original Contracr Objective: #3) Contractor shall plan and deliver 1-2 hal f-day sessions for primary care providers, aimed at using data and panel management to improve chronic disease care, Contractor shall support Quality Improvement Coordinator in developing and delivering training and technical assistance for participating clinics based on individual sites' needs and stage of panel management development. 2. Contractor shall continue to provide support and guidance to QI staff. ( Original Contract Objective #5) Contractor shall conduct monthly check-in meetings to trouble-shoot, analyze issues and create action steps for progress toward objectives. Contracrot shall conduct miscellaneous other meetings and calls. B Waiver: 1. Contractor shall lead and facilitate transition of clinical implementation leadership from ACE to Health Plan of Alameda County. Contractor shall facilitate process of selection of clinical implementatlon goals anu approach for , and development of a project work plan tha t includes roles and contribution of key players Contractor shall plan and facilitate committee meetings and identify key decisions and questions that need to be answered by the committee, and deliver the infonnation needed for decisions Contractor shall track and fouow up work plan activities. 10 AMENDED EXHIBIT B PAYMENT TERMS Tenns and Conditions of Payment: A. Payment: 1. The total amount to be paid to Health Equity Partnership under this Agreement shall not exceed $110, Funds shall be used solely in support of Health Equity Partnership's operational budget. Funds may not be used for any purpose other than those specified in Exhibit A of this Agreement, as revised by the First Amendment to Agreement and Second Amendment to Agreement without prior review from the Finance Manager and written approval from the HCSA Director or designee. 2. County shall pay Contractor monthly based on actual expenses incurred and upon submission by Contractor of an invoice accompanied by a statement/report verifying that services have been performed, pursuant to Agreement, as amended. Payment is contingent upon review and approval of the invoices, statements and reports. The final invoice shall reflect actual expenses incurred but not to exceed the remaining balance of the contract. Invoices will be reviewed for approval by the HCSA Finance Manager. Payment under the terms of this Agreement shall not exceed the total amount of Sll0, for the period of the contract. 3. The term of this Agreement is February 1,2009 through June 30,2011. B. Invoicing Procedure: Contractor shall submit invoices monthly, together with the required accompanying report/statement of activities performed.
