5 DEFINITIONS A. Adults, as used in this Request for Proposal (RFP), are people who are 26 to 59 years old. B. Applicant, as used in this RFP, means a person or organization who/that submits a proposal in response to this RFP. C. Contract, as used in this RFP, means the written agreement between the County of Siskiyou, through Siskiyou County Behavioral Health Services (SCBHS), whereby the Contractor will provide a Wellness and Recovery Program. D. Contractor, as used in this RFP, means the successful Applicant selected by SCBHS to provide the Wellness and Recovery Program under contract to the County. E. County, as used in this RFP is the County of Siskiyou. F. Cultural Competence, as used in this RFP, is a set of congruent behaviors, attitudes, and policies that come together in a system, agency, or among client providers, family member providers, and professionals that enable that system, agency, or those client providers, family member providers, and professionals to work effectively in crosscultural situations. Cultural competence includes language competence and views cultural and language competent programs and services as methods for the elimination of racial, ethnic, age, and sexual orientation biases in the delivery of mental health services. G. Health and Human Services Agency, as used in this RFP, is the County s Health and Human Services Agency. H. Department of Mental Health (DMH), as used in this RFP, is the California State Department of Mental Health I. Full Service Partner(s) (FSP), as used in this RFP and under the County s CSS component of the 3 year plan, is defined as the relationship under which the County, in collaboration with the client plans for and provides the full spectrum of community services so that adults and older adults can achieve the identified goals. J. Siskiyou County Behavioral Health Services (SCBHS), as used in this RFP, is the Behavioral Health Division of the County s Health and Human Services Agency. K. Older Adults, as used in this RFP, are people who are age 60 and older. L. Outreach and Engagement, as used in this RFP, is defined as those services directed to non-served and underserved populations and includes agencies/communities representing the non-served/underserved populations. The goal of outreach and engagement is to engage and enroll persons with severe mental illness in mental health services. M. Proposal, as used in this RFP, means a formal, written response to this RFP submitted by an Applicant

6 N. Recovery Vision, as used in this RFP, is defined as the process by which people who are diagnosed with a mental illness are able to live, work, learn, and participate fully in their communities. For some people, recovery means recovering certain aspects of their lives and the ability to live a fulfilling and productive life despite a disability. For others, recovery implies the reduction or elimination of symptoms. O. Resilience, as used in this RFP, is defined as personal qualities of optimism and hope, and the personal traits of good problem solving skills that lead people to live, work, and learn with a sense of mastery and competence. P. Transitional Age Youth (TAY), as used in this RFP, are people 16 to 25 years old. Q. Wellness, as used in this RFP, is defined as an active, lifelong process of becoming aware of and making choices toward a more healthy and fulfilling life. R. Wellness Recovery Action Plan (WRAP), as used in this RFP, is an individualized system for monitoring and responding to symptoms to achieve the highest possible levels of wellness, and includes looking at each mental health client s needs and wants for home, job, friendship, and family with the focus on life improvement. S. Whatever It Takes, as used in this RFP, is providing the services which promote recovery, which build upon each individual s assets, strengths, and areas of health and competence to support achieving a sense of mastery over his or her condition while regaining a meaningful and constructive sense of membership in the broader community. BACKGROUND In November 2004, the voters of California approved Proposition 63, now known as the Mental Health Services Act (MHSA), which became effective January 1, The MHSA is intended to expand mental health services available to people with severe mental illness/severe mental disorders and whose service needs are not being met through other funding sources. Another goal of the MHSA is the transformation of the current delivery system of mental health services in the community. The State of California has directed counties to develop and implement programs that are consistent with the philosophy, principles, and practices of the Recovery Vision for mental health clients, as well as the five fundamental concepts inherent in the MHSA. These concepts are as follows: Community collaboration Cultural competence Client/family-driven mental health system for older adults, adults, transition age youth, and a family-driven system of care for children and youth - 6 -

7 Wellness focus, including the concepts of recovery and resilience Integrated service experiences for clients and their families throughout their interactions with the mental health system. The MHSA is made up of six components. They include: County Planning Community Services and Supports Capital Facilities and Technology Workforce Education and Training Prevention and Early Intervention Innovative Programs After an extensive planning process involving a significant amount of community involvement and input, including client and family member focus groups, SCBHS submitted a Mental Health Services Act 3 Year Plan (the Plan) to the State Department of Mental Health in August 2014 (Available for review at look under Behavioral Health Department. Applicants are encouraged to review the Plan.). The Plan utilized the guidelines provided by the Department of Mental Health. The Plan identifies needs and goals of people requiring mental health services in Siskiyou County. As a result of the extensive MHSA planning process and community involvement, client and family member operated/supported services, including programs such as a Wellness Program, specifically designed to serve the needs and goals of mentally ill persons were identified as a significant need in Siskiyou County. PROGRAM PURPOSE Through this RFP, SCBHS, is seeking an individual or organization who/that will establish and operate a Wellness and Recovery Center/Drop-in Center/Wellness Program (hereafter referred to as the Wellness Program ) to serve all areas of Siskiyou County. The purpose of the Wellness Program is to promote mental health wellness and recovery of participants in the Wellness Program (Participants); increase each Participant s ability to spend time in meaningful activities; increase each Participant s satisfaction with their level of involvement in the community; and reduce the adverse consequences of untreated or undertreated serious mental illness to Adults and Older Adults or the adverse consequences of untreated or under-treated serious emotional disturbance to Transitional Age Youth and their families by providing a wellness and recovery-oriented neighborhood multi-service program offering ethnically and culturally appropriate mental health services in a healthy and inclusive fashion

8 ELIGIBILITY TO APPLY For the purposes of this RFP, a Responsible Applicant is defined as an individual or organization who/that: A. Possesses adequate financial resources or the ability to obtain resources as required during the performance of the Contract to provide a Wellness Program; B. Has the ability to comply with the proposed delivery or performance schedule, taking into consideration available expertise and any existing business commitments; C. Has no record of unsatisfactory performance, lack of integrity, or poor business ethics/practices; D. Is otherwise qualified and eligible to contract to provide a Wellness Program under applicable statutes and regulations; and E. Complies with all requirements of this RFP. CONTRACTOR REQUIREMENTS When a successful Responsible Applicant is selected to be the Contractor for the Wellness Program, the Applicant is expected to sign and comply with all terms and conditions of a Contract. CONTRACTOR RESPONSIBILITIES Pursuant to the Contract, the successful Applicant/Contractor shall be responsible for, but not limited to, the following: A. Legal Requirements 1. Contractor shall comply with all applicable federal, state and local laws now or hereafter in force, and with any applicable regulations, in performing the work and providing the services specified in this Contract. This obligation includes, without limitations, the acquisition and maintenance of any permits, licenses, or other entitlements necessary to perform the duties imposed expressly or impliedly under this Contract. B. Program Regulations Contractor must comply with all policies and procedures adopted by County s Health and Human Services Agency and SCBHS to implement federal/state laws and regulations. C. Insurance and Indemnification Requirements - 8 -

9 Contractor shall maintain and provide proof of insurance according to county requirements and shall be required to indemnify the County. (See insurance and indemnification information on page 19.) D. Reporting Requirements Contractor must comply with the following reporting requirements, which will be included in the Contract: 1. Program reports must be submitted in the format provided by SCBHS on a timely basis no later than the 15 th day following the end of the reporting period. 2. Invoices must be submitted no later than the 15 th day of the month following the claim period to SCBHS. 3. Contractor is required, without additional compensation, to make further fiscal, program evaluation, and progress reports as required by SCBHS concerning the Contractor s activities as they affect the contract duties and purposes. SCBHS shall explain procedures for reporting any such additional information. SISKIYOU COUNTY BEHAVIORAL HEALTH (SCBHS) RESPONSIBILITIES A. SCBHS shall designate a staff member to have primary responsibility for liaison and coordination with the Contractor. B. SCBHS shall develop, with participation of the Contractor, working policies and procedures for conducting the Wellness Program, problem solving, fiscal reporting, and controls. C. SCBHS shall provide the Contractor with periodic feedback for the evaluation of services provided under the Contract. CONTRACT TERM The initial Contract term resulting from this RFP will be to June 30, 2017, and may contain a provision that the Contract can be extended by the County for up to two additional twelve-month periods. Additional 12-month Contract renewals will be based on the progress of the Contractor in developing the programs specified in the Contract, and the County s subjective satisfaction with the Contractor s performance. NUMBER OF AWARDS One or more awards may result from this RFP

10 TOTAL AVAILABLE FUNDS A total of $150,000 is available on an annual basis for the Wellness Program(s) envisioned in this RFP. MATCHING FUNDS No matching funds are required. PRIORITY SERVICE AREAS/SPECIFICATIONS FOR SERVICES Services are to be provided in culturally and linguistically competent setting(s) that the Applicant has the capacity (i.e., bilingual staff, training, organizational climate) to deliver. Services shall also be provided in a manner that is culturally competent and linguistically appropriate for Siskiyou County; and in an environment, physical and emotional, that makes people of all cultures, ages, and sexual orientation feel welcome and supported. Client and family members who experience mental illness and/or who have experience with mental health programs should be integrated into the Wellness Program design and operation. A Wellness Program that is the most geographically inclusive is encouraged. The Wellness Program site location will be secured by Siskiyou County Behavioral Health in Yreka as it is geographically most proximate to the majority of the existing consumers. The Agency envisions adding Wellness Centers in other communities in the future. The Wellness Program design should include recovery services, which includes self-direction (individualized and person centered); address issues of empowerment; are holistic; are nonlinear; are strengths-based; and which utilize peer support, respect, responsibility, and hope

11 PROGRAM PLAN/SCOPE OF WORK A. Program Overview The Wellness Program shall be a multi-service program that provides ethnically and culturally diverse opportunities in a healthy, inclusive manner with a wide spectrum of activities. The Wellness Program shall be client/family member directed and operated and shall engage a minimum of 100 unduplicated participants each year in outpatient programs that will foster recovery and resilience. Participant and family member s participation is the key to the planning, service delivery, and program evaluation. It is an expectation that the Wellness Program will form relationships with agencies and service providers in order for Participants to link to additional community services and supports, such as the Family Resource Centers. The Wellness Program staff shall be actively involved in providing support and linkage as needed. Anyone experiencing mental health challenges shall be welcome to participate in Wellness Program activities. B. Vision and Philosophy The vision and philosophy of the Wellness Program is deeply rooted in wellness, recovery, and resiliency. Wellness Program Participants will regain, gain, or maintain their ability to live, work, learn, and participate fully in the community. Education and training shall focus on employment or community life skills, peer and family support, or self-help groups and advocacy training. The ultimate goal of the Wellness Program is to support each Participant in achieving recovery as defined by the Participant in collaboration with community services and supports. The role of the Wellness Program is not to provide mental health treatment, but to provide support and assistance in obtaining or accessing mental health treatment and other community resources. C. Evidence Based/Promising Practices Where feasible and appropriate, the incorporation of specific evidence-based and/or promising practices (or components thereof), should be implemented in the Wellness Program. Evidence-based practices are supported by clinically relevant research indicating those practices which are effective for promoting recovery for persons who have a mental health challenge. Client-operated recovery programs have been recognized as best practices and promising practices as the evidence base for efficacy continues to grow

12 A Wellness Recovery Action Plan (WRAP) is considered to be a promising practice. Other evidence-based practices could also be considered. D. Outreach and Engagement Efforts Outreach and engagement efforts shall focus on individuals, who are experiencing serious mental illness, from diverse cultures that have been traditionally un-served or underserved. It is recognized that isolation and disenfranchisement are realities for individuals with mental illness; therefore, extensive outreach activities shall be deployed to engage this population and encourage participation. E. Program Components 1. Recovery and resiliency shall be the premise upon which the Wellness Program is based. The anticipated outcome is that the relationships that emerge within the Wellness Program culture will mitigate the effects of stigma associated with mental illness and will allow individuals with serious mental illness to be accepted as persons with strengths and contributions. 2. Service delivery systems shall be broad-based and inclusive. These may include engagement information, peer support, socialization activities, and wellness and recovery activities for Participants and families. Examples would be classes or activities that develop independent living skills and community resources, educational opportunities, employment opportunities and training, job or educational coaching, psycho educational classes and materials (such as a library with books, books on tape, and videos), alternative health classes and activities, professional services, health/medication management education, substance abuse educational materials, classes and groups, and peer support groups. 3. Additional programs, which expand the services of the Wellness Program, may include, but are not limited to: Assistance in enrolling participants in Medi-cal and connecting them with mental and medical health services as well as other community resources. Pre-crisis services, which would provide referral to mental health services, emergency services, and community resources. Transportation services, which would provide increased access to the Wellness Program, mental health services, emergency services, and Respite care services for families with children and youth with serious mental illness with expanded hours during the week and the weekend

13 Coaches to assist Participants in positive adaptation to school, housing, community, work, and other environments where new behaviors can lead to successful integration. 4. The Wellness Program shall guide Participants and families to engage in activities to promote wellness and recovery. 5. The Wellness Program shall provide activities designed to engage Participants in a variety of interactions with the community (e.g. volunteering). 6. The Wellness Program shall facilitate broad-based partnerships with other community groups to provide maximum services to Participants. 7. The Wellness Program shall provide engagement activities to allow Participants to stay connected as they move through the recovery process. 8. All staff members shall be familiar with the values, goals, and practices of recovery and wellness. Staff training shall also include competence in serving persons of every culture, language, group, and ethnicity. 9. The Wellness Program shall develop a cultural competence plan and policies and procedures that reflect steps to institutionalize the recognition and value of recovery and cultural diversity. A culturally competent system includes the recognition that recovery and rehabilitation are more likely to occur where services and providers have, and use, knowledge and skills of the populations that they serve. 10. The Wellness Program shall assist in the development of an individualized system for monitoring and responding to symptoms to achieve the highest possible levels of wellness through utilization of a WRAP. F. Collaborations The Wellness Program shall collaborate and establish partnerships with local community leaders, faith-based organizations, educational institutions, the business community, and Family Resource Centers to provide opportunities that promote recovery and personal resiliency through culturally appropriate activities that educate and reduce stigma. In your proposal, please describe how collaborations will be accomplished. G. Target Population The Wellness Program target population includes transitional age youth, adults, and older adults with serious mental illness drawn from engaged SCBHS clients, enrolled Full Service Partners, and people with mental illness not engaged in services. Participants shall reflect the ethnic and cultural diversity of Siskiyou County. Please describe in your proposal how the diverse/unique needs of each population will be addressed

14 H. Outcomes to be Achieved Please describe in your proposal how the success of the Wellness Program will measured, including measurable objectives and time frames for accomplishing those objectives ADDITIONAL PROVISIONS A. The successful Applicant shall ensure quality of services by providing staff with appropriate training and supervision. B. The successful Applicant shall designate staff who shall participate in training sessions and SCBHS meetings, as determined and required by SCBHS. C. The successful Applicant shall ensure interagency coordination, communication, and/or collaboration of services with other mental health agencies, including Siskiyou County adult and children s mental health programs, with which a Participant is involved. D. The successful Applicant shall ensure services are provided to Full Service Partners referred from SCBHS. E. The successful Applicant shall comply with state and County performance outcome data collection and reporting requirements, including at a minimum the following: ethnicity, gender, age, and whether Participants previously received or are currently receiving treatment for mental health challenges. Data collected will be evaluated in accordance with the program expectations defined in the Program Purpose section of this RFP. F. The successful Applicant shall track and document services provided and other pertinent information as specified by SCBHS. PROPOSAL CONDITIONS, FORMAT, AND CONTENT All Proposals submitted in response to this RFP become the property of the County of Siskiyou. Proposals should be single-spaced, typed with a 12-point font, and contain one-inch margins on all sides. All pages should be numbered, except for the table of contents, cover page and budget. Proposals will not be accepted that are handwritten, faxed, or electronically submitted. Proposals that are incomplete and do not follow the specified format will not be considered. Each Proposal must include the following, in order: 1. Cover Page (Attachment B) 2. A statement of experience, including any prior similar work, public entity references, any information about any related litigation, and proof of any required licensure. 3. A description of the proposed Wellness Program, including but not limited to:

15 a. A description of the scope of work/services to be provided, including target population(s), addressing each of the issues detailed in the Program Plan/Scope of Work section of this RFP; b. A description of the community collaborations/partnerships planned to ensure the optimum delivery of services; c. A description of the proposed staffing to deliver each of the proposed services to be provided; d. A description of how program effectiveness will be evaluated for all proposed services; e. An outline of the research conducted in drafting the Proposal and explanation of how the Applicant determined the amount of funding needed for each service or proposed client or family member operated/supported program; 4. An itemized budget per each fiscal year for each proposed service or program, including staff hourly rates, covering the period July 1, 2015 through June 30, A budget narrative describing in detail each expense item; 6. A schedule/timeline of the implementation of each element identified in the Proposal; 7. Copies of insurance policies, binders or certificates evidencing the following insurance coverage: a. Comprehensive general liability (including auto and non-owned auto, bodily injury and property damage): $1 million combined single limit; b. Workers Compensation: as required by California Labor Code Section A certification that all statements in the Proposal are true and an acknowledgment that if the Proposal contains any false statements, the County may declare any Contract made as a result of the Proposal to be void. Cover Page: Use Attachment B as your cover page and have it signed and dated by the person(s) in your organization who is/are legally authorized to sign contracts on behalf of the organization. Each signature certifies that the information and statements made in the Proposal are correct and supported within the organization. Budget: Please attach a spreadsheet outlining details of your proposed budget for each fiscal year

16 PROPOSAL SUBMITTAL An Applicant may submit more than one Proposal. An original and two copies of each Proposal must be submitted in a separate, sealed envelope, plainly marked Proposal for Wellness and Recovery Program and must be delivered in person, or by mail, to: Siskiyou County Health and Human Services Agency Behavioral Health Division Mental Health Services Act Program Attn: Camy Rightmier 2060 Campus Drive Yreka, CA All Proposals must be received on or before 5:00 p.m., March 31, Late Proposals will not be accepted. It is the sole responsibility of the Applicant to see that the Proposal is received by the deadline. The date of the postmark on mailed Proposals WILL NOT be deemed the date of receipt. Facsimiles and submissions WILL NOT be accepted. Delivery to any other office or address of the Siskiyou County Mental Health Department WILL NOT be accepted. Proposals received after the deadline will be rejected and returned unopened. Siskiyou County reserves the right to reject any and all Proposals, to postpone the scheduled Proposal deadline date(s), to make an award in its own best interest, and to waive any informalities or technicalities that do not significantly affect or alter the substance of an otherwise responsible Proposal and that would not affect an Applicant s ability to perform the work adequately as specified. If only one Applicant submits a Proposal, the County may, at its sole discretion, enter into negotiations with that Applicant or reject the Proposal. BASIS OF SELECTION/SELECTION PROCESS All of the conditions set forth in this RFP must be met. All Proposals will be evaluated based on cost, the quality of the program, scope of the program, whether the program meets the criteria described in this RFP, involvement of client and families, and the qualifications and experience of the agency/individual submitting the Proposal. The County may interview some or all of the Applicants. If the County determines that a Proposal should be accepted, it will recommend that the Board of Supervisors enter into a written contract with the selected Applicant(s)

17 EVALUATION CRITERIA AND PROCEDURE Contracts will be awarded to the individual(s)/agency/agencies whose proposal(s) is/are determined to be the most advantageous to the County. See Attachment A for Proposal Evaluation Criteria. After receiving the Proposals the County may schedule interviews with the most qualified Applicants, review the proposed Program Plan/Scope of Work, evaluate the Applicant s qualifications, and establish a rating list of the Applicants interviewed. The Applicant(s) receiving the highest ranking will be asked to enter the Contract negotiation stage. If an agreement cannot be reached, negotiations will be terminated. Negotiations may be opened with the next choice and the process repeated. Once negotiations with a particular Applicant are terminated, the County will not reopen negotiations with that Applicant. INTERPRETATIONS AND REJECTION OF PROPOSALS Siskiyou County reserves the right to retain all Proposals that are submitted and to use any ideas in a Proposal regardless of whether that Proposal is selected. All Proposals will become the sole property of the County of Siskiyou. At such time as an Applicant agrees to enter into a Contract with the County, or the County decides to terminate this RFP process without entering into a Contact, all Proposals and related documents become a matter of public record, with the exception of those parts of a Proposal which are trade secrets, as that term is defined by statute. If any part of a Proposal contains any trade secrets that the Applicant does not want disclosed to the public, the Applicant shall mark that part of the Proposal as a trade secret. The County, however, shall not in any way be liable or responsible for the disclosure of any such Proposal or any part thereof if disclosure is required under the Public Records Act (Government Code, Section 6250 et seq.) or pursuant to law or legal process. In addition, by submitting a Proposal, an Applicant agrees to save, defend, keep, bear harmless, and fully indemnify the County of Siskiyou, its elected officials, officers, employees, agents, and volunteers from all damages, claims for damages, costs, or expenses, whether in law or in equity, that may at any time arise or be set up for not disclosing a trade secret pursuant to the Public Records Act. This RFP does not commit the County to finalize any Contract nor to pay any costs associated with the preparation of any Proposal, not to enter into a Contract with the Applicant submitting the least costly Proposal. The County reserves the right to accept or reject any or all Proposals received, to negotiate with Responsible Applicants, or to cancel in part or in its entirety this RFP. The County will consider any protest or objection regarding the award of a Contract under this RFP, whether submitted before or after the award, provided that it is filed in writing and within 10 days of the award notice. Notice of the award of the Contract shall be mailed to each Applicant at the address specified in the Applicant s Proposal, and shall be deemed received three days after mailing

18 Protests or objections regarding the award of Contracts under this RFP shall be reviewed by the Chair of the Siskiyou County Mental Health Board, Siskiyou County Director of Mental Health Services, and the Director of the Siskiyou County Health and Human Services Agency. Their decision regarding the awarding of a contract shall be final. Unless all information requested is provided by the Applicant, the Proposal may be discarded and given no consideration. Any Applicant submitting a Proposal understands and agrees that submission of his/her/its Proposal shall constitute acknowledgment and acceptance of, and intent to comply with, all the terms and conditions contained in this RFP. The determination of the compliance with the terms and conditions of this RFP shall be in the County s sole judgment and its judgment shall be final and conclusive. The County shall not be liable for any costs of work performed in the preparation and production of a Proposal, or for any work performed prior to the formal execution of a Contract. By submitting a Proposal, the Applicant agrees not to make any claims for, or have any right to, damages because of any misunderstanding or misrepresentation of the terms and conditions of this RFP, or because of any misinformation or lack of information. CONTRACT INFORMATION If the County chooses to fund the proposed program, it will enter into a written Contract with the selected Applicant. Please note, the County Board of Supervisors has the final authority for approving and signing all county contracts. The Contract may contain the following components: A reporting provision requiring inclusion of a description of individual client characteristics, demographic information, services description, and outcome information. A provision that the County will require the Contractor to submit a detailed budget and budget narrative in which line items are identified as Contract period costs and, where applicable, hourly or limit of service costs are also specified. The budget must also indicate direct and indirect costs and profit, if applicable. In addition, the budget must follow cost principles and accounting standards, dependent on the type of agency or individual submitting the budget. A provision stating that the Contractor shall be construed to be an independent contractor and nothing in the Contract is intended nor shall be construed to create an employeremployee relationship, a joint venture relationship, or to allow the County to exercise discretion or control over the professional manner in which the Contractor performs the services which are the subject matter of the Contract, provided however, that the services to be provided must be provided in a manner consistent with the professional standards applicable to such services. In addition, the Contract may provide that the Contractor shall be fully responsible for payment of all taxes due which would be withheld from

19 compensation if the Contractor were a County employee, and that the County shall not be liable for deductions for any amount for any purpose from the Contractor's compensation. Furthermore, the Contract may provide that the Contractor shall not be eligible for coverage under the County workers compensation insurance plan nor shall the Contractor be eligible for any other County Benefit. A provision that the Contractor comply with all applicable federal and state laws A provision that the Contractor not discriminate in employment practices or in the delivery of services on the basis of race, color, creed, national origin, ancestry, disability, sex or religion of such person. A provision that the Contractor not subcontract any services without the prior written consent of the County. INSURANCE AND INDEMNIFICATION REQUIREMENTS Upon acceptance of a Proposal, the Contract will include the following indemnification and insurance requirements: Indemnification A. Contractor shall indemnify and hold County harmless against any and all liability imposed or claimed, including attorney s fees and other legal expenses, arising directly or indirectly from any act or failure of Contractor or Contractor s assistants, employees, or agents, including all claims relating to the injury or death of any person or damage to any property. Contractor agrees to maintain a policy of liability insurance in the minimum amount of ($1,000,000) One Million Dollars, to cover such claims or in an amount determined appropriate by the County Risk Manager. If the amount of insurance is reduced by the County Risk Manager such reduction must be in writing. Contractor shall furnish a certificate of insurance evidencing such insurance and naming the County as an additional insured for the above-cited liability coverage prior to commencing work. It is understood that the duty of Contractor to indemnify and hold harmless includes the duty to defend as set forth in Section 2778 of the California Civil Code. Acceptance by County of insurance certificates and endorsements required under this Contract does not relieve Contractor from liability or limit Contractor s liability under this indemnification and hold harmless clause. This indemnification and hold harmless clause shall apply to any damages or claims for damages whether or not such insurance policies shall have been determined to apply. By execution of this Contract, Contractor acknowledges and agrees to the provisions of this Section and that it is a material element of consideration

20 Insurance A. Contractor and any subcontractor shall obtain, from an insurance carrier authorized to transact business in the State of California, and maintain continuously during the term of this agreement Commercial General Liability Insurance, including coverage for owned and non-owned automobiles, and other insurance necessary to protect the County and the public with limits of liability of not less than $1 million combined single limit bodily injury and property damage; such insurance shall be primary as to any other insurance maintained by County. B. Contractor shall maintain a workers compensation plan covering all its employees as required by California Labor Code Section 3700, either through workers compensation insurance issued by an insurance company or through a plan of self-insurance certified by the State Director of Industrial Relations. If Contractor elects to be self-insured, the certificate of insurance otherwise required by this Contract shall be replaced with a consent to self-insure issued by the State Director of Industrial Relations. Proof of such insurance shall be provided before any work is commenced under this contract. No payment shall be made unless such proof of insurance is provided. Should Contractor create a Federal or State audit exception during the course of the provision of services under this agreement, due to an error or errors of omission or commission, Contractor shall be responsible for the audit exception and any associated recoupment. Should a Contractor-caused audit exception result in financial recoupment, County shall invoice Contractor for the associated amount and Contractor shall reimburse County the full amount within 30 days. D. Contractor shall require subcontractors to furnish satisfactory proof to County that liability and workers' compensation and other required types of insurance have been obtained and are maintained similar to that required of Contractor pursuant to this agreement. E. With regard to all insurance coverage required by this agreement: (1) All insurance (except workers' compensation and professional liability) shall include an endorsement or an amendment to the policy of insurance that names Siskiyou County as additional insured and provides that coverage shall not be reduced or canceled without 30 days written prior notice certain to the County. The additional insureds coverage shall be equal to using ISO form CG or the same form with an edition date no later than 1990, or in other form satisfactory to County. (2) Contractor shall provide the County with an endorsement or amendment to Contractor s policy of insurance as evidence of insurance protection before the effective date of this agreement

21 (3) If the endorsement or amendment does not reflect the limits of liability provided by the policy of insurance, Contractor shall provide County a certificate of insurance reflecting those limits
