3 Attachment I Amendment No. 1 to RFP RFP shall be amended in the following particulars: 1. Subsection 7.2.1, Changes in Reimbursement Rates, is amended to read as follows: Each year, on April 1, a new reimbursement rate to take effect July 1 of that year will be determined by multiplying percentage change in the Consumer Price Index (CPI; all goods) for All Urban Consumers, as determined by the United States Department of Labor to the reimbursement rate in effect. First CPI adjustment will take effect July 1, 2018, and be based on the period that covers April 1, 2017, to March 31, The CPI percentage change for that period will be applied to the current reimbursement rate to create a new rate, which will become effective as of July 1, Any CPI adjustment will be annually calculated thereafter on each April 1 to take effect July 1. The index used shall be the index for the most recent full twelve-month period for which the index is available. Any CPI adjustment can be a decrease as well as an increase based on the above-mentioned index used, but in all cases may not exceed +/- 5% per year. SF Paratransit reserves the right to not implement a rate decrease in any given year. Contractor shall adjust the driver wages the same or greater percentage amount as the CPI rate that was applied to the reimbursement rate each time the reimbursement rate is adjusted by the CPI and on the same effective date (provided, however, that driver wages shall not be adjusted downward nor shall any wage be less than that provided for under the Minimum Compensation Ordinance). 2. All other provisions of RFP shall remain in full force and effect. SF Paratransit 2

4 Attachment II Questions and Responses Question #1 You mentioned the packets of work and that they align with the current alignments [service packets]. Could you provide information on who is currently servicing each service packet? {First Transit} Response: No, the names of the incumbent service providers will not be provided. Question #2 Is Transdev eligible to submit a proposal to perform work in this RFP, and if so, is Transdev intending to submit a proposal? {First Transit} Response: Transdev does not intend to submit a proposal to perform work sought in this RFP. Question #3 There were some comments about dedicated personnel. However, it is estimated that Packet C will contain less than 1,000 revenue hours. Are you really looking for all that dedicated management for such a small amount of work? {First Transit} Response: We are interested in whatever level of dedicated management the Proposer wishes to introduce for this level of service, but dedicated or not, Transdev is interested in understanding the management structure for any level of work proposed. Question #4 Can you clarify that, for pricing purposes, there will or will not be a provision of vehicles? {First Transit} Response: Bidders should submit proposals to supply their own vehicles. SF Paratransit does not intend to supply any vehicles for services within this RFP. In the unlikely event that situation should change, an agreement may be reached during the negotiation process. Question #5 Will SF Paratransit provide any facilities? {First Transit} Response: SF Paratransit will not provide facilities for services within this RFP. Question #6 Will parking spaces be provided? {Self Help for the Elderly} Response: SF Paratransit will not provide parking spaces for services within this RFP. Question #7 Is it required that parking be in a secured location? {First Transit} SF Paratransit 3

5 Response: Please see Subsection 5.10, Facilities Requirements, pp of the RFP. SF Paratransit does not require secured parking for non-sfmta owned vehicles. Proposers should fully describe their proposed operating facility, including their proposed parking location(s). In the event that vehicles were provided to service provider by SFMTA, it would be required that those vehicles be secured when parked. Question #8 If we put a bid in for a specific service packet, would we be awarded the entire service packet or would any portion of that service packet be awarded to other service providers? {Secure Transportation} Response: Bidders should submit their proposals for the award of entire service packet(s). SF Paratransit does not intend to award an individual service packet to multiple providers. It is our intent that the successful proposer of a service packet shall be awarded that entire service packet. Proposers should be aware that a service packet represents an estimated annual volume of unlinked passenger trips and an estimated annual volume of revenue hours, based on observed levels of the current service provider in Fiscal Year No guarantees or minimums in trip volume will be made by SF Paratransit as part of any contract for services sought in this RFP. Question #9 Do the drivers who operate service for the current service providers belong to any collective bargaining agreements? {Secure Transportation} Response: Drivers of the current service providers are employees of the current service providers. These drivers do not belong to any collective bargaining agreements. Question #10 Are the drivers who operate service for the current service providers outsourced or employees of the current service providers? {Secure Transportation} Response: Drivers of the current service providers are employees of the current service providers. Question #11 Must the awardee hire or retain the employees of the current provider? {Secure Transportation} Response: Please see Subsection , Drivers, pp. 34 and Subsection , Staffing Plan, pp. 54 of the RFP. If a successful proposer should receive award to replace the service of an incumbent service provider, the successful proposer should be aware that the rules and requirements set forth in Sections of California Labor Code may apply. 6 Question #12 Will SF Paratransit provide seniority lists, pay rates, etc. of current employees so that bidders have an idea of potential jobs that are available and an understanding of the costs involved with their compliance with California Labor Codes ? {First Transit} Response: A response to this question is expected to be provided in Addendum #2 to the RFP, anticipated to be released on or before November 2, Question #13 Is it correct that the bidder shall only submit price proposals for year 1 and that the rates for each subsequent year will be based on CPI? {First Transit} Response: Yes. Please see Subsection 7.2, Cost Proposal, pp of the RFP. Question #14 Would you be open to an operation where the service provider subcontracted a portion of service to subcontractor(s)? If so, would the bidder be required to submit data about their subcontractor(s) within their proposal? {Secure Transportation} Response: Please see Section 5.9, Subcontracting, pp. 24 of the RFP. Subcontracting shall not be permitted for the actual provision (pick-up, delivery, and drop-off) of paratransit services sought within this RFP, except with prior written approval of the SF Paratransit Broker. For services not involving the actual provision of paratransit services, the proposer may elect to utilize the services of subcontractors. If the proposer shall use subcontractors, the proposal must clearly indicate who the prime contractor is and all subcontractors. Proposers should pay particular attention to the documentation required in Exhibit 15 and Form 13 attached to the RFP. Question #15 Should price proposal submissions be based on a per-trip rate, a per-hour rate, or by number of passengers? {Self Help for the Elderly} Response: Please see Section 5.2, Rates to be Proposed, pp. 18, Section 7.2, Cost Proposal, pp , and Form# 2, Pricing Form of the RFP. Cost proposals for any service packet which contains SFMTA-funded Group Van service or DAAS-funded Group Van service must contain a per-trip rate and also a per-revenue hour rate for each of those services. Cost proposals for any service packet which contains DAAS-funded Shopping Shuttle service must contain only a per-trip rate for that service. Question #16 Given that proposers must submit both a per-trip rate and a per-revenue hour rate for SFMTA & DAAS Group Van services, will one proposer s per-trip rate be evaluated against another proposer s per-revenue hour rate? {First Transit} SF Paratransit 5

7 Response: For a given service packet, each proposer s per-trip rate shall be evaluated against other proposers per-trip rates. Each proposer s per-revenue hour rate shall be evaluated against other proposers per-revenue hour rates. Question #17 Is Transdev operating some of the Group Van service? {Secure Transportation} Response: Transdev provides SF Paratransit services, including both SFMTA & DAASfunded Group Van services which are not sought for bid in this RFP. Transdev is not the incumbent service provider of any service packets represented in this RFP. Question #18 Will all attendees of the RFP pre-proposal conference receive the written responses to questions? {Self Help for the Elderly} Response: All questions submitted in writing by to kevin.mcdonald@transdev.com or by fax to (415) on or before Friday, October 21, 2016 at 4pm PT, and all questions asked during the Pre-Proposal Meeting that took place Friday, October 14, 2016 shall be responded to in writing within Addendum #1 to the RFP. Addendum #1 shall be posted to the SF Paratransit website at on or before Friday, October 28, Your attention to that website is required to access this information. Question #19 Are the services sought in this RFP new services, or are they currently being provided? {Whistlestop Wheels} Response: All services sought in this RFP are existing services which are currently operated by incumbent service providers. Question #20 If there are current provider(s), how many vehicles do they use? {Whistlestop Wheels} Response: The current count of vehicles utilized for SF Paratransit services by the incumbent providers of the service packets is provided below. Observed monthly and annual trip volume is provided therein for the incumbent service provider of each service packet for fiscal years 2014 through Proposers should use their best professional judgement in predicting any future service level when developing price proposals. Please note that in Form #2, Pricing Form of the RFP, the trip levels and revenue hour levels have already been input with values observed in fiscal year These trip and revenue hour levels are estimated volume based on reported data from fiscal year The proposer must be prepared to provide the entirety of service volume estimated in the service packet being proposed. These values are not intended to guarantee any specific level of service. Question #24 Who enrolls the clients? {Whistlestop Wheels} Response: Please see Subsection , SFMTA Group Van Eligibility pp. 12, Subsection , Eligibility for DAAS Group Van Service pp. 14, and Subsection , Eligibility for DAAS Shopping Shuttle Service pp. 16 of the RFP. For SFMTA Group Van service, the SF Paratransit office will establish the file of eligible riders and advise SFMTA Group Van operators of all eligible riders. For DAAS Group Van service, DAAS encourages that program participants first be ADA paratransit certified through the SF Paratransit program, but this is not a requirement. DAAS service agencies are responsible for certifying patron eligibility. The SF Paratransit office will advise DAAS Group Van operators of all eligible riders. For DAAS Shopping Shuttle service, each rider of this service must be an active participant of a DAAS Group Van service agency. DAAS service agencies are responsible for client enrollment. SF Paratransit 8

10 Question #25 Who schedules the rides? {Whistlestop Wheels} Response: Please see Section 5.1, Description of Services Being Sought, pp of the RFP. Rides are usually scheduled directly with the Provider by the rider, the rider s family or caregiver, or service agency. Question #26 How is rider information and trip information communicated to the provider? {Whistlestop Wheels} Response: Please see Exhibit #5, Representative Group Van Memorandum of Understanding, of the RFP. All rider information is accessed through the Trapeze PASS software system to which the successful service provider(s) will be given access to. Typically ride requests are made directly to the service provider by the family or a social service agency (served by service provider) and the service provider will evaluate the trip request and schedule said request. Generally, all use of SFMTA and DAAS funded Group Van services is through advance reservations made by the agency directly with the service provider. Generally, SFMTA and DAAS funded Group Van services are scheduled subscription or as standing rides, for riders regularly attending an agency or program. The service provider shall coordinate with their assigned service agencies to schedule standing rides for eligible riders who regularly attend a particular agency. Question #27 Does the bidder need to provide vehicles? {Whistlestop Wheels} Response: Please see response to Question #4. Question #28 Does the bidder need to provide a yard or facility to park vehicles? {Whistlestop Wheels} Response: Please see response to Question #7 Question #29 Does the rider pay a fare? If so, how are fares collected and processed? {Whistlestop Wheels} Response: Please see Subsection , SFMTA Group Van Fares pp. 11, Subsection , DAAS Group Van Fares pp. 14, and Subsection DAAS Shopping Shuttle Fares pp. 16 in the RFP. For SFMTA Group Van service, there is no onboard fare collection from riders. SFMTA Group Van fares are billed by the Broker to the social service agency at $2.25 per passenger trip. For DAAS Group Van service, there is currently no onboard fare collection from riders. Should DAAS implement a rider-paid fare for Group Van service, guidance will be provided by the Broker. SF Paratransit 9

11 For DAAS Shopping Shuttle service, the current fare is $2.00 per trip or $1.00 per trip for riders with an eligible Senior Clipper Card or RTC Clipper Card. Riders may pay this fare in cash or with a DAAS-provided fare coupon. These fares are collected and recorded by the service provider. During the trip check-in process, the service provider shall ensure that all required fares have been collected, accounted for, and properly coded for each completed DAAS Shopping Shuttle trip. Invoices for service provided by the service provider submitted to Transdev shall indicate a deduction of all cash fares collected and retained by the service provider. The service provider shall submit all authorized fare tickets collected from passenger for payment of required fares to avoid a cash deduction. The service provider will not be reimbursed or credited in any way for fares it was required to collect but failed to collect. Question #30 Does the term specialized, ADA group van services mean that services typically involve picking up groups of clients at group homes and transporting them to group facilities, or does it involve one-on-one trips to individual appointments around the service area in a similar fashion to ADA SF Access paratransit service? {Whistlestop Wheels} Response: Generally, transportation is provided for groups of passengers, each being transported from many unique origins to a singular destination such as a group facility or adult day health care program. Generally, return trips are provided for groups of passengers, each being transported from a singular origin to many unique destinations. Question #31 Are there peak demand times or is service throughout the day? If there are peaks, what is the estimated vehicle pull-out at peak? {Whistlestop Wheels} Response: Generally, incumbent service providers do experience peak demand times. Please see the table below for vehicle pull-levels at peak, observed in fiscal year SF Paratransit 10

Question #33 Does [SF Paratransit] anticipate paying the vendor per ride, per mile, per revenue hour, per total hour, or some combination? {Whistlestop Wheels} Response: See response to Question #15. Incumbent on negotiations, cost reimbursement may occur on a per-certified rider trip basis or revenue hour basis. Either way, award of a contract under this solicitation will be made on a best value basis to one or more contractors. Question #34 Is any special software, hardware, or related technology required or provided? {Whistlestop Wheels} Response: See Section 5.10, Facilities Requirements pp , Section 5.11, IT Requirements pp , Section 5.17, Radio System Requirements pp. 28, and Section 5.19, Mobile Data Computers pp of the RFP. Question #35 Can you supply the current contract(s) and amendments for the transportation contracts for each service? {Secure Transportation} Response: No, the contracts and amendments entered into between the Broker and the incumbent service providers will not be supplied. A sample SFMTA Group Van Contract is provided in Exhibit #16 to the RFP. A sample DAAS Group Van and Shopping Shuttle Contract is provided in Exhibit #17 to the RFP. SF Paratransit 11

13 Question #36 Can you supply a copy of last year s transportation invoices? {Secure Transportation} Response: No, the transportation invoices for the previous year will not be provided. Sample invoices for SFMTA Group Van, DAAS Group Van, and DAAS Shopping Shuttle services are provided in Exhibit #13, Sample Reports, of the RFP. Question #37 Can you supply the current incumbent s RFP Bid Response, bid price, and any attachments? {Secure Transportation} Response: No, the incumbent service providers RFP Bid Responses, bid prices, and attachments will not be provided. Question #38 Please list the current provider(s) and [all] current rates for all services sought in the RFP. {Secure Transportation} Response: No, the incumbent service providers names and rates will not be provided. Question #39 Please supply a copy of the signed contract for each provider of each service. {Secure Transportation} Response: No, the contracts entered into between the Broker and the incumbent service providers will not be supplied Question #40 Please supply a copy of last year s invoices for each provider of each service. {Secure Transportation} Response: No, the invoices for each of the incumbent service providers will not be supplied. Question #41 What was the total annual revenue for each service packet last year? {Secure Transportation} Response: SF Paratransit will not provide the total annual revenue in the previous year for any service packet in this RFP. Question #42 What is the average annual one-way runs per hour ratio for each service packet? {Secure Transportation} Response: Assuming that the questioner means to ask for the average annual one-way trips per hour ratio, please see the response to Question #23. Exhibit #6 of the RFP provides observed trip levels and revenue hour levels for the incumbent service providers of each the service packets in fiscal year The answer to this SF Paratransit 12

14 question may be obtained from this data. The Broker does not possess data regarding average annual one-way runs per hour. Question #43 Given that this RFP requires door-to-door service, will Transdev provide attendants for all transports that require the driver to leave the vehicle to escort passengers with door-through door service so other passengers still on the bus are attended to? If not, will you allow negotiation for a contractor-provided attendant fee? {Secure Transportation} Response: The services sought in this RFP require door-to-door service. At no time may driver leave their bus unattended with engine engaged or lose sight of their vehicle while passengers are onboard. There is no requirement within this RFP to provide door-through-door service. Drivers who assist clients who are deemed Attendant-Required (ATR) shall not be required to enter the residence at the rider s destination. Riders deemed by service provider as requiring assistance beyond that which the driver can provide shall be called to the attention of the agency being served and the SF Paratransit Broker. If needed, an attendant supplied by the agency or family may be assigned to rider and allowed to ride with rider in accordance with ADA requirements. Question #44 Please submit the NTD reporting/data for each service packet for [reporting years] 2015 and {Secure Transportation} Response: Proposers should note that NTD reporting data is not broken out by service packet nor service provider. Furthermore, NTD reporting data includes services which are not sought in this RFP. NTD data may be obtained at Question #45 In regard to Subsection on page 16 of the RFP, who collects the DAAS fares? How are [these fares] reconciled with the broker? {Secure Transportation} Response: Please see the response to Question #29. Question #46 In regard to Subsection on page 17 of the RFP, is there any licensing cost to providers for Transdev s computer modules? Response: Access to the Trapeze-PASS software and (Transdev) Vision shall be provided by Broker to service providers with no cost to service provider for licensing. Question #47 In regard to Exhibit 15 of the RFP, please send providers all forms required on page 18 [page SBE-14] of Exhibit 15. {Secure Transportation} SF Paratransit 13

15 Response: The forms required on page 18 of Exhibit 15 are supplied within Form 13 of the RFP. Missing from Form 13 is the Joint Venture Participation Form. Joint Ventures formed at either the prime consultant level or subconsultant level must submit a Joint Venture Participation Form plus a joint venture agreement. If applicable to your proposal, proposer may request a Joint Venture Participation Form from Preston Tom, SFMTA Senior Contract Compliance Officer at (415) or preston.tom@sfmta.com. Question #48 Do financials statements need to be audited financials, or will reviewed financials suffice? {Secure Transportation} Response: Please see Subsection , Financials, pp. 52 of the RFP. Under financial qualifications, the proposer must supply its most recent audited financial statement, including income statement and balance sheet, for the most recent and complete fiscal year. Question #49 [Who is] the current contracted transportation operator for this contract for SFMTA and DAAS? {Secure Transportation} Response: The names of the incumbent contracted transportation operators for SFMTA and DAAS will not be provided. Question #50 Is there a pricing form or bid sheet you wish bidders to use for services? {Secure Transportation} Response: Please see Section 7.2, Cost Proposal, pp of the RFP. The requisite Pricing Forms are supplied in Form #2 of the RFP. Question #51 Do you want us to bid this contract on a revenue hour basis? If so, can you define the term revenue hour (i.e. beginning and end of fixed route shifts but not travel time will be calculated into the revenue hour)? {Secure Transportation} Response: Please see the response to Question #15. Generally revenue hours are those hours spent by the service provider transporting scheduled certified riders, including, passenger boarding and alighting, dwell time, layover time, and recovery time. Revenue hours do not include time spent in deadhead, driver lunch breaks, driver training, vehicle breakdowns, maintenance, maintenance training. or accidents. Question #52 What is the hourly rate the current contractor is charging for services? {Secure Transportation} SF Paratransit 14

16 Response: Incumbent service providers are not reimbursed an hourly rate. All incumbent service providers are reimbursed a per-trip rate. Please see the table below for a weighted average of per-trip rates paid to incumbent service providers of each service type in fiscal year Average per-trip rates are weighted based on the number of trips provided. Question #54 Is there a mandatory DBE requirement on this bid response? If so, what is the participation percentage necessary to be a responsive bid? {Secure Transportation} Response: No. Please see Subsection , Small Business Enterprise Participation, pp. 51 of the RFP. Question #55 Can you send the NTD data for 2014 and 2015? {Secure Transportation} Response: Please see the response to Question #44. Question #56 How are the current contractor(s) handling fare collection for each service packet? {Secure Transportation} Response: Fare collection requirements for each service packet will depend on the service types that exist within that particular packet. See the response to Question #29 for a description of the fare collection policy applicable to each service type. SF Paratransit 15

17 Question #57 Do any of the current contractors have Employee Protective Agreements? {Secure Transportation} Response: If the questioner intends to refer to Collective Bargaining Agreements, please see the response to Question #9. If the questioner is referring to those protective arrangements commonly known as 13(c) arrangements, the Contractor is unaware of any and makes no representations regarding the applicability of 13(c). Question #58 What are the top 5 complaints from passengers about the current service? {Secure Transportation} Response: Generally, complaints regarding the service pertain to on-time performance, excessive ride times, driver behavior or new driver interactions, vehicle cleanliness, and passenger boarding. Question #59 Are there any recommended or suggested changes to the current operation by the current ridership or City? {Secure Transportation} Response: SF Paratransit endeavors to address the causes of service issues related to complaints such as those described in the response to Question #58. Question #60 In regard to insurance requirements, the RFP requires $2M coverage. If the insurance broker only allows proposer to purchase $1M coverage and $2M umbrella, totaling $3M for each occurrence and in the aggregate, will this be sufficient? {Self Help for the Elderly} Response: Please see Section 5.36, Insurance Requirements, pp Liability policies may be arranged under individual policies for the full limits required, or by a combination of underlying policies with the balance provided by an umbrella liability policy. All liability insurance shall be written on an occurrence basis. Claims-made basis policies are not acceptable. Proposers are encouraged to consult with their insurance provider or insurance broker if the proposer should need advice regarding their own compliance with the insurance requirements stated in the RFP. Question #61 Are the estimated annual number of trips listed for the service packets on the Pricing Form [RFP Form #2] the minimum required trips that bidders must bid on, or are bidders allowed to bid for less than the number of estimated trips? {Self Help for the Elderly} Response: Please see the responses to Question #8 and Question #23. Proposers shall be bidding for the services being provided by the current service provider of that SF Paratransit 16

18 specific service packet. The number of trips listed in the service packets in Form #2 represent estimated annual trip levels for that service packet based on recent observed data. The successful proposer must be capable of performing all service volume that exists within the awarded service packet. Question #62 Please clarify if Subsection , Implementation Plan and Subsection , Implementation Plan of the RFP are asking for the same information or different information. {Self Help for the Elderly} Response: The content in the aforementioned subsections do not conflict with each other. Proposers are expected to comply with all requirements of the RFP. Note: All historical data provided in responses provided herein are actual observed data as reported to Transdev by service providers unless otherwise stated. SF Paratransit 17

22 Attachment IV Acknowledgement of Receipt of Addendum #1 The undersigned acknowledges receipt of Addendum #1 to RFP This receipt must be included with firm s technical proposal.
