A destination for the innovative minds of the next generation. Launched in 2012, the Industry & Innovation Precinct was established to showcase and build Victorian industry profile and investment, while inspiring the next generation. Free to students on the Thursday and Friday of the Formula One event, over 78,000 students have registered to attend the Driving Learning activities within the Precinct over the last 5 years. Consisting of one large exhibition space, a business networking area, student seminar facility, student workshop facility and education exhibition. The area is a hive of activity empowering the youth of today to follow their passion. 1

With growing career prospects in the fields of science, technology, engineering and mathematics (STEM) The Driving Learning education program at the 2017 Formula 1 Australian Grand Prix strives to get the next generation excited about the different professional opportunities waiting at their fingertips. Driving Learning increases the attractiveness of the skilled STEM subjects by highlighting the career pathways available for students who have a focus in these fields. The program profiles career professionals within the STEM aligned fields, hosts an array of student focused career seminars, runs hands-on workshops and embraces the power of peer-to-peer learning. 9 2017 FORMULA 1 AUSTRALIAN GRAND PRIX INDUSTRY & INNOVATION PRECINCT EXHIBITOR CONDITIONS 1. Definitions Act means the Australian Grands Prix Act 1994 (Vic). Agreement means these Exhibitor Conditions and the Application Form. AGPC means the Australian Grand Prix Corporation. Albert Park means the declared area and the designated access area as defined in the Act. Applicant means a person or organisation that applies to exhibit at or participate in the Expo. Application Form means the application form provided by AGPC and attached to these Conditions. Event means the 2017 Formula 1 Australian Grand Prix. Exhibitor means an Applicant that has been granted a right to participate in the Expo in accordance with condition 2(b). A reference to Exhibitor includes Exhibitor s Personnel. Expo means the Industry & Innovation Precinct to be conducted at Albert Park during the Event. Personnel means that party s employees, agents, contractors, subcontractors, consultants (including employees of those contractors, subcontractors and consultants), directors, officers and sub-licensees (and anyone acting on behalf of or at the direction of that party). Site means the area at the Expo allocated by AGPC to Exhibitor in accordance with Condition 6. Site Fee means the fee payable by the Exhibitor in return for the benefits provided by AGPC under this Agreement. The Site Fee expressed on the Application Form is exclusive of GST. 2. Application Form and Agreement (a) The Applicant must ensure that its Application Form is submitted with: (i) any Site requirements that are not specified as standard in the Application Form; (ii) a description of any goods, services or advertising material for which approval is sought under clause 7(c); and (iii) payment of a deposit for the Site Fee in accordance with condition 4(d) (i). (b) AGPC may accept or reject any Application Form in its complete discretion. AGPC may impose such conditions on acceptance as it sees fit, including without limitation, alteration or removal of any aspect of the activities proposed for the Site. (c) This Agreement binds AGPC and the Applicant from the date AGPC issues written notice to Applicant of acceptance of the Application Form. (d) The Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings between the parties in connection with its subject matter. 3. Benefits (a) In return for payment of the Site Fee, AGPC will provide to Exhibitor: (i) use of the Site during the Event; (ii) the benefit of conducting an educational exhibit from the Site during the Event; (iii) the basic fit-out benefits set out in the Application Form; and (iv) any other benefits agreed in writing; and (v) subject to the terms of this Agreement. (b) AGPC will allot a specific Site location in the Expo to the Exhibitor. AGPC may, in its complete discretion, alter the shape or location of the Site allotted to the Exhibitor. AGPC will notify the Exhibitor in writing prior to the Event of any such changes. (c) Exhibitor must not sublet the Site or assign rights or obligations in connection with the Site without the prior written permission of AGPC. (d) Where multiple parties combine to operate a Group Site, the named Applicant must ensure that all Exhibitors are informed of these Conditions and comply with this Agreement. 4. Site Fee (a) Exhibitor must pay the Site Fee to AGPC in accordance with this condition 4. (b) Exhibitor must nominate bank cheque/direct deposit or credit card as the preferred payment method in the Application Form. AGPC will not process the Applicant s bank cheque, direct deposit or credit card details submitted with the Application Form until the Applicant has been accepted by AGPC as a Exhibitor in accordance with condition 2(b). (c) If Exhibitor elects to pay by credit card: (i) exhibitor must use only Visa, MasterCard, Diners Club or American Express. (ii) exhibitor accepts liability for the following credit card fees (inclusive of GST). (A) 2.4% of the total Site Fee for Diners Club and American Express; and (B) 1.5% of the total Site Fee for Visa and MasterCard. (iii) exhibitor authorises AGPC to unilaterally process payments from Exhibitor s credit card in order to satisfy Client s obligations in the timetable in condition 4(d). (d) Unless otherwise agreed, Exhibitor will provide the Site Fee in the following instalments: (i) 50% with the Application Form (subject to condition 4(b)); and (ii) 50% on or before 16 February (e) Exhibitor will pay to AGPC the cost of any additional goods and services in accordance with the terms of the relevant invoice. 5. Installation, operation and dismantling at the Site (a) Exhibitor will be solely responsible for the installation, operation and dismantling of any fit-out of the Site and all associated costs. AGPC will not be responsible for supplying any Personnel, services or equipment in order to support such installation, operation or dismantling. (b) Exhibitor may access Albert Park from Tuesday 21 March 2017 to prepare the Site. (c) Exhibitor must ensure the Site and all displays, products, and other equipment and aspects of its exhibit are fully constructed and in complete readiness to be opened to the public by 7.00am on Thursday 23 March (d) Exhibitor must not conduct construction or dismantling works at Albert Park between Thursday 23 March and Sunday 26 March 2017 inclusive, without prior approval of AGPC. (e) Exhibitor must dismantle the Site and remove all products, equipment and other property from Albert Park by 11.00am on Monday 27 March Operation of Site (a) The operating hours of the Expo will be 10.30am to 5.30pm between 23 to 26 March 2017 inclusive. At all times during the operating hours of the Expo, Exhibitor must, at its sole cost: (i) keep the Site, and all displays and exhibits, open to view and properly staffed by competent representatives; (ii) maintain the Site in a clean and tidy condition; (iii) conduct any business and other activities only from the allotted Site and keep passageways in front or at the side of the Site free of obstructions; (iv) ensure all fire equipment is fully visible and accessible; (v) ensure that none of its Personnel engage in any promotional or publicity activities in or outside the Site, other than as approved by AGPC; (vi) ensure that activities carried on at the Site are for educational purposes, rather than to promote or market particular non-educational goods or services; and (vii) not cause a nuisance to other Exhibitors or damage the reputation of the Expo or the Event. (b) Use of public address systems in the Expo is prohibited, unless written consent is provided by AGPC. Exhibitors creating excessive noise which disturbs other Exhibitors, must, if asked to by AGPC, cease such activities. (c) Exhibitors must not provide catering services (including without limitation the sale to patrons of food or beverages) at Albert Park during the Event. (d) A shared storage area will be located close to the Expo and will be available to all Exhibitors, subject to space availability. AGPC accepts no responsibility for any item(s) stored by Exhibitors in the storage area. Exhibitor is responsible for the security of its own property stored in the storage area. (e) Exhibitors must place all refuse in the rubbish bins provided by AGPC. 7. Design and layout of the Site (a) Exhibitor must submit complete details of its proposed layout and design for the Site to AGPC by 23 January (b) The layout and design of all elements in the Site (including any signage, products, machinery, merchandise, advertising material or other equipment) is at all times subject to the approval of AGPC, in its absolute discretion. (c) No goods, services, merchandise or advertising material may be displayed, given away, distributed, sold or offered for sale from the Site, the Expo or within Albert Park, without the prior written approval of AGPC (in its absolute discretion). (d) AGPC may direct Exhibitor to conceal or remove any goods or signage at the Site for any reason. 8. Anti-ambush Nothing in this Agreement connotes a sponsorship arrangement between AGPC and Exhibitor. As such, Exhibitor must not: (a) Use any Grand Prix Insignia under the Act or trade mark or other intellectual property owned by AGPC; (b) Conduct any advertising or promotion of the Expo or the Event; (c) Use the name of AGPC or of any event promoted by AGPC in any way that connects it with Exhibitor such that it implies or gives the impression that Exhibitor or Exhibitor s activities are endorsed by AGPC or that Exhibitor is a sponsor or in some other way connected to AGPC or such event; Without the prior written approval of AGPC acting its complete discretion. 9. Compliance with laws and regulations The Exhibitor will comply, and will procure that its Personnel (such as subcontractors) comply, with: (a) All reasonable directions given by AGPC; (b) The Attendance Conditions of the event (displayed at the entrances to the Event, and published at and any conditions attaching to credentials issued under condition 10; (c) All requirements of any authorities having jurisdiction over the activities of AGPC or the use and occupancy of Albert Park; (d) All relevant occupational health and safety legislative requirements (OHS Law); (e) General site safety rules and provide any pre-event safety information and complete the contractor supplier notification form (if required); (f) Notification to AGPC of any incident occurring during the Event as required in accordance with OHS Law; (g) The Act and all applicable laws and regulations, including, without limitation, the Tobacco Advertising Prohibition Act 1992 (Cth), the Tobacco Act 1987 (Vic) and any laws and regulations applicable to safety requirements for plant, machinery and other equipment; (h) Parks Victoria s Code of Conduct, a copy of which is available on request from AGPC; and (i) The terms of any site agreement between AGPC and any union bodies. 10. Credentials (a) Exhibitor will receive the number of credentials determined by AGPC in its absolute discretion. (b) These credentials are issued under certain conditions and Exhibitor undertakes to ensure compliance with those conditions by all its Personnel. (c) Exhibitor will further ensure all its Personnel carry and display their credentials at all times while in or around Albert Park. 11. Damage to property (a) Exhibitor is solely liable for any loss or damage caused by or during the construction, operation, dismantling and removal of its property from Albert Park. Exhibitor will immediately notify AGPC of any such loss or damage and will, unless otherwise notified by AGPC, repair, rectify or reinstate any such loss or damage immediately upon its occurrence so that the damaged property is repaired, rectified or reinstated to its pre-existing condition. (b) AGPC is not responsible for any loss, damage or theft of Exhibitor s property at Albert Park. Security of the Site is wholly the responsibility of Exhibitor. 12. Television, film and moving picture rights (a) Without limiting any action available to AGPC pursuant to the Act, Exhibitor must not make, create, store, record, transmit, reproduce or use any kind of sound recording, visual footage or audio-visual footage (Recording), and any image, including photographic images and any still pictures derived or capable of being derived from a Recording (Image) of the Event, or store, record, transmit, reproduce or use any information or other data, including official timing, results, performance, telemetry, weather or race control data (Data) of, at, or in relation to the Event for any form of public advertisement, transmission, display or for profit or commercial gain or for any other purpose (except for the private enjoyment of the person making the Recording, Data or Image), without the prior written consent of AGPC. (b) If Exhibitor makes, creates, records, transmits, reproduces or uses any Recording or Image of, at or in relation to the Event or any part of it with or without the consent of AGPC, Exhibitor must: (i) on request by AGPC assign, in writing, all copyright and all other intellectual property in any such Image or Recording to AGPC or its assignees or nominees as directed; and (ii) consent to use by AGPC and any third parties authorised by them from time to time for the purposes of or in connection with any publication, exhibition or broadcast (including any advertising or promotional material) in any media worldwide of any such Recording or Image taken at the Event which includes any images of Exhibitor s Personnel whom waive any and all of their personality and privacy rights to the extent necessary to permit such use. 13. Release and Indemnity (a) Exhibitor acknowledges and accepts that motor racing, the Event and certain activities associated therewith (including, without limitation, support events) are dangerous and accidents can happen, and that entry to and remaining at the Event has a degree of danger. To the extent permitted by law, Exhibitor excludes, releases and forever discharges each of AGPC, the Crown in the right of the State of Victoria, the Minister administering the Australian Grands Prix Act 1994 (Vic), the Minister administering the Crown Land (Reserves) Act 1978 (Vic), Federation Internationale de l Automobile, Formula One Marketing Limited, Formula One Management Limited, Formula One World Championship Limited, Formula One Asset Management Limited, Formula One Hospitality and Event Services Limited (UK), Formula One Licensing B.V., Confederation of Australian Motor Sport Ltd, Parks Victoria, the State Sport Centres Trust, APP Corporation Pty Limited and all other persons involved in the conduct, promotion and organisation of the Event including officials, marshalls, rescue, medical staff, the competitors and drivers (such parties to include where relevant all directors, officers, employees, agents, contractors and affiliated companies and their respective Personnel) (Indemnitees) from all liability for claims, loss, damage, costs or expenses (whether arising under statute from negligence, personal injury, death, property damage, infringement of third party rights or otherwise) arising from or connected with the Event. (b) The Indemnitees or any of them will not be responsible for any acts, omissions or defaults of Exhibitor or its Personnel and will not be liable for any claim, loss, damage, cost or expense (whether arising under statute, from negligence, personal injury, death, property damage, infringement of third party rights or otherwise) arising from any act, matter or thing done, permitted or omitted to be done by Exhibitor or its Personnel pursuant to, in default of or in connection with this Agreement. (c) Exhibitor will indemnify and keep indemnified each of the Indemnitees against all claims, loss, liability, damage, cost or expense which may be incurred or sustained by any of the Indemnitees as a result of any act, matter or thing done, permitted or omitted to be done by the Exhibitor or its Personnel pursuant to, in default of, or in connection with this Agreement. MELBOURNE MARCH Insurance (a) Exhibitor must take out and maintain for no less than the period from 21 March and 27 March 2017 inclusive: (i) a public and products liability insurance policy against liability to any third party (including the Purchaser) for death or bodily injury to, and loss and destruction of, and damage to, property of, any person as a result of any act, matter or thing done, permitted or omitted to be done by Exhibitor or its Personnel pursuant to, in default of or in connection with this Agreement. This policy must be for an amount not less than $20 million per occurrence and, in the case of product liability, in the aggregate for each 12 month period of insurance; (ii) an insurance policy covering liability, whether at common law or under any statute relating to worker s compensation or employer s liability, arising from death or personal injury to the Exhibitor s Personnel in connection with the performance of this Agreement for an amount not less than the minimum statutory requirements; (iii) an insurance policy to cover plant and equipment owned by or in the possession custody or control of Exhibitor (other than plant and equipment entrusted to Exhibitor by AGPC) which is used or intended to be used for the purpose of performing this Agreement. The insurance cover must be for an amount not less than the replacement value at the time of loss or damage of such plant and equipment; and (iv) an insurance policy to cover any motor vehicles used by Exhibitor or its Personnel at Albert Park pursuant to this Agreement in respect of damage to property or death or bodily injury arising from their use, for an amount not less than $20 million for any one occurrence and any compulsory third party insurance cover must be for an amount not less than the amount required by law. (b) The insurance policies to be taken out and maintained under this condition 14 must, where permitted by law: (i) insure Exhibitor and each of the Indemnitees for their respective rights and interests arising from the performance of this Agreement by Exhibitor; (ii) provide that the insurer waives its rights of subrogation against the Indemnitees; (iii) provide that each insured is insured in its own right and the insurance applies, except in respect of limits of liability and deductible, as if a separate policy has been issued to each party; and (iv) provide that any non-disclosure, act, omission, breach or default by any insured will not in any way adversely affect the cover provided to another insured. (c) Exhibitor must pay all premiums and other costs incurred in connection with, and is responsible for any excess or deductible in respect of any claim made under, any insurance policy required under this condition 14. (d) No later than 30 days prior to commencement of the Event (and otherwise on request by the AGPC) Exhibitor will provide to AGPC the completed insurance declaration form, as provided. (e) If Exhibitor fails to take out or keep in force or materially alters the insurance required by this condition 14, AGPC may: (i) take out those policies, pay any premiums and recover as a debt due from Exhibitor those amounts and any excess borne by AGPC; or (ii) terminate this Agreement following Exhibitor s failure to remedy this default within 7 days after written notice from AGPC requiring the remedy of the default. (f) exhibitor must notify AGPC within 14 days of any potential claim under any of the above policies and ensure that AGPC is kept fully informed of any subsequent actions and developments concerning the relevant claim. 15. Termination AGPC may immediately terminate this Agreement by notice in writing if Exhibitor: (a) fails to make any payment in accordance with the timetable in condition 4(d); or (b) is in breach of any other term of this Agreement and; (i) the breach cannot be remedied; (ii) Exhibitor fails to remedy such breach within 7 days of receipt of a written notice from AGPC requiring it to do so if that notice is received more than 14 days before the Event; (iii) Exhibitor fails to remedy such breach within 2 days of receipt of a written notice from AGPC requiring it to do so if that notice is received less than 14 days before the Event; or (iv) Exhibitor fails to remedy such breach within 2 hours of receipt of a written notice from AGPC requiring it to do so if that notice is received during the Event; or (c) Enters into or is placed under any form of insolvency administration, is insolvent, or is otherwise unable pay its debts as and when they fall due. 16. Effect of termination by AGPC Unless otherwise agreed in writing by AGPC, immediately upon termination by AGPC under condition 15: (a) exhibitor will forfeit all monies paid to AGPC prior to termination; (b) AGPC will be free to enter into an agreement with any third party covering any or all of the rights, benefits and entitlements under the Agreement; (c) exhibitor unconditionally and irrevocably constitutes and appoints AGPC as its attorney to do, perform and execute all things and documents as may be necessary or desirable to transfer or assign the rights, benefits and entitlements under the Agreement; and (d) the forfeit of any monies pursuant to condition 15 and the termination of the Agreement will not preclude any other rights which AGPC may have against Exhibitor as a result of Exhibitor s default including, in particular, the right to claim damages for breach of the Agreement. 17. Unable to supply benefits Subject to the rights of AGPC to alter aspects of the Site pursuant to condition 3(b), if through no fault of Exhibitor, AGPC is unable to supply to the Exhibitor a substantial part of the Site and benefits contemplated by the Agreement, AGPC will, in relation to that portion of the Site or entitlements not supplied, refund a reasonable part of the Site Fee paid by Exhibitor. Upon receipt of those monies, AGPC will thereby be released and discharged by Exhibitor from all claims and damages of any kind. 18. Representative of AGPC AGPC may in its absolute discretion, appoint a third party or parties to exercise any of its rights and/or perform any of its obligations under this Agreement, and will notify Exhibitor of such appointment. 19. Acknowledgements (a) The Exhibitor acknowledges and accepts that AGPC reserves the right to refuse any person admission to the Expo in its absolute discretion. (b) Under the Act, AGPC controls Albert Park during the Event. At all times AGPC may with reasonable cause refuse entry or direct any person to leave the Event. AGPC reserves the right to refuse any person admission to the Expo in its absolute discretion. 20. Personal Information AGPC collects personal information about Exhibitors to coordinate the Expo. All personal information collected by AGPC will be dealt with by AGPC in accordance with the Privacy and Data Protection Act 2014 (Vic) and AGPC s privacy policy. 21. Waiver No failure to exercise nor any delay in exercising any right, power or remedy by a party operates as a waiver. A single or partial exercise of any right, power or remedy does not preclude any other or further exercise of that or any other right, power or remedy. A waiver is not valid or binding on the party granting that waiver unless made in writing. 22. Amendment No amendment or variation of the Agreement is valid or binding on a party unless made in writing and signed by all parties. 23. Governing law and jurisdiction This Agreement will be governed by and construed in accordance with the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of that State. 8
