4 Payment Solutions Limited Terms & Conditions For The Provision of Training and Related Services The Customer s particular attention is drawn to clause Interpretation 1.1 Definitions. In these Conditions, the following definitions apply: Acceptance means the Supplier s written acceptance of the Customer s order for the Services; Charges means the Fees and Expenses payable by the Customer for the supply of the Services as noted in clause 3; Conditions means these terms and conditions; Contract means the contract between the Supplier and the Customer for the supply of Services in accordance with these Conditions and the Acceptance; Course Date means the date specified in the Acceptance for the provision of the Services; Customer means the person or firm who the Supplier provides the Services to; Expense(s) means any third party expenses payable by the Supplier and to be re-charged to the Customer as noted in clause 3.1; Fee(s) means the fee(s) payable to the Supplier for the provision of the Services as noted in clause 3.1; Force Majeure Event means any failure or delay on the part of the Customer, illness, accident or other incapacity, strikes, lock-outs or other industrial disputes (whether involving the workforce of the Supplier or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors or any event beyond the reasonable control of the Supplier; Intellectual Property Rights means patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world; Services means the training course or courses and any related materials agreed to be supplied by the Supplier to the Customer as set out in the Acceptance; Supplier means Payment Solutions Limited registered in England and Wales with company number Supply of Services 2.1 The Supplier shall supply the Services to the Customer upon and subject to the Contract. 2.2 The Supplier shall have the right to make any changes to the Services which are necessary to comply with any applicable law or regulation, or which do not materially affect the nature or quality of the Services to be provided. 2.3 The Customer shall provide the Supplier with such information and equipment as the Supplier has specified in the Acceptance or which it is reasonable to expect the Customer to provide in connection with the Services. 2.4 The Supplier reserves the right to cancel or postpone the Services at any time up to 14 days prior to the date for performance of the Services. Any postponement shall be to a mutually convenient alternative date (each party acting reasonably). The Customer shall be entitled to a full refund for any Services cancelled by the Supplier under this clause. 3. Charges and Payment 3.1 The Charges shall be the Fees and Expenses stated in the Acceptance and otherwise the Supplier s then standard fee rates for the relevant Services plus applicable Expenses. 3.2 Unless stated otherwise in the Acceptance, the Supplier shall invoice the Customer at the time of issuing the Acceptance. 3.3 The Customer shall pay each invoice submitted by the Supplier within 30 days of the date of the invoice or no later than 7 days prior to the Course Date. 3.4 Time for payment shall be of the essence of the Contract. 3.5 The Charges are exclusive of VAT which if applicable shall be charged to the Customer at the prevailing rate. If the Customer fails to make any payment due to the Supplier under the Contract by the due date for payment, then the Customer shall pay interest. 4. Course Bookings and Cancellation 4.1 If the Customer wishes to change the Course Date, the following administrative charges will apply. If the Supplier is notified: More than 14 days prior to the Course Date, there will be no charge; Less than 14 days prior to the first day of training, there will be a charge of 50% of the Charges. 4.2 If any delegates are unable to participate in the training, and notice is not given in accordance with clause 4.1, no credit or refund will be given in respect of the delegate. 4.3 The Customer may cancel its booking in writing to the Supplier. Subject to clause 4.4, if the Customer notifies the Supplier: More than 30 days before the Course Date, a full rebate or refund of the Charges will be given; Within 15 to 30 days before the Course Date, a 50% rebate or refund of the Charges will be given; Less than 15 days before the Course Date, no rebate or refund will be given. 4.4 To the extent any part of the Charges relate to an Expense, the Customer will not be entitled to a rebate or refund of these Expenses except to the extent the Supplier obtains a rebate or refund of those Expenses. 5. Intellectual Property Rights 5.1 All Intellectual Property Rights in or arising out of or in connection with the Services and any materials provided by the Supplier in connection with the Services shall be solely owned by the Supplier. 5.2 The Customer shall have a non-exclusive license of such Intellectual Property Rights and shall be entitled to use such materials only for the purposes of the Services and for no other or wider purpose; in particular the Customer shall not share copies of the materials with or use them to train others including other employees or business contacts of the Customer. 6. Limitation of liability: the Customer s attention is particularly drawn to this 6.1 Nothing in these Conditions shall limit or exclude the Supplier s liability for: Death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors; Fraud or fraudulent misrepresentation; or Breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession). 6.2 Subject to clause 6.1: the Supplier shall under no circumstances whatever be liable to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit or saving, or any indirect or consequential loss arising under or in connection with the Contract; and the Supplier s total liability to the Customer in respect of all other losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed an amount equal to the Fees. 6.3 The terms implied by sections 3 to 5 of the Supply of Goods and Services Act 1982 are, to the fullest extent permitted by law, excluded from the Contract. 6.4 This clause 6 shall survive termination of the Contract. 7. Termination 7.1 Either party may (without limiting any other remedy) at any time terminate the Contract by giving written notice to the other if the other commits any breach of these terms and (if capable of remedy) fails to remedy the breach within 7 days after being required by written notice to do so, or if the other goes into liquidation, becomes bankrupt, has a receiver appointed, makes a composition or voluntary arrangement with its creditors or enters administration, or a moratorium comes into force in respect of the other (within the meaning of the Insolvency Act 1986). 7.2 If the Supplier terminates the Contract under clause 7.1 the Customer shall remain liable to pay the Fees and any Expenses for which the Supplier is unable to obtain a refund or rebate. 7.3 If the Customer terminates the Contract under clause 7.1 the Supplier shall refund the Customer all of the Charges paid by the Customer to date in respect of any Services not received by the Customer as at the date of termination. 8. Force Majeure 8.1 The Supplier shall not be liable to the Customer as a result of any delay or failure to perform its obligations under this Contract as a result of a Force Majeure Event. 8.2 If there is a Force Majeure Event the Supplier may postpone performance of the Services to another date or dates convenient to it and the Customer (each acting reasonably). 8.3 If the Supplier and the Customer cannot agree on an alternative date for the provision of the Services, the Supplier shall have the right to terminate the Contract on written notice to the Customer and shall refund any Charges paid by the Customer unless the Force Majeure Event is the result of any failure or delay on the part of the Customer in which case it shall be entitled to retain or be paid up to 50% of the Charges to cover the Supplier s administrative costs. 9. Notices 9.1 Any notice or other communication given to a party under or in connection with the Contract shall be in writing (which shall include ), addressed to that party at its registered office (if it is a company) or such other address as that party may have specified to the other party in writing in accordance with this clause, and shall be delivered by hand or reputable courier or sent by pre-paid first class post or to the recipient s last used address. 9.2 Subject to clause 9.3, a notice or other communication shall be deemed to have been received if delivered by hand or a reputable courier, when left at the address referred to in clause 9.1 or if sent by prepaid first class post two Business Days after posting or if sent by one Business Day after transmission. A Business Day is any day other than a Saturday, Sunday or a public holiday in England. 9.3 If a notice or other communication from the Customer is to cancel a booking or terminate or propose a material variation to the terms of the Contract then without prejudice to any other provisions of this agreement it shall not be deemed served unless the Supplier has acknowledged safe receipt of the notice or other communication or the Customer can show it was actually received by the Supplier. 9.4 The provisions of this clause shall not apply to the service of any proceedings or other documents in any legal action. 10. General 10.1 Assignment. Without the prior written consent of the Supplier the Customer may not assign or transfer or deal in any manner with any or all of its rights or obligations under the Contract Severance. If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Contract Waiver. A waiver of any right under the Contract or law is only effective if it is in writing (which shall include ) and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy provided under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict its further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy Third parties. A person who is not a party to the Contract shall not have any rights to enforce its terms Variation. Except as set out in these Conditions, no variation of the Contract, including the introduction of any additional terms and conditions, shall be effective unless it is agreed in writing and signed by the Supplier and the Customer Governing law and Jurisdiction. This Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim. On return of this completed form we will issue an invoice containing all payment details. Payment is required within 30 days of the date of the invoice or no later than 7 days prior to the course date. (BLOCK CAPITALS) The duly authorised representative.
