5 SECTION 2 INTRODUCTION 2.1 Background on South Texas ISD South Texas Independent School District (STISD) serves junior high and high school students who live along the southernmost tip of Texas, the region known as the Rio Grande Valley. The district stretches over three counties, Cameron, Hidalgo and Willacy, and overlaps 28 other school districts, an area of 3,643 miles. The district is comprised of six magnet schools: South Texas Business Education & Technology Academy (BETA) in Edinburg; South Texas High School for Health Professions (Med High) in Mercedes; Rising Scholars Academy of South Texas (Rising Scholars) in San Benito; South Texas Academy for Medical Professions (Med Academy) in Rancho Viejo; The Science Academy of South Texas (Sci Tech) in Mercedes; and South Texas Preparatory Academy (STPA) in Edinburg. 2.2 Purpose of RFP South Texas ISD is soliciting proposals from qualified entities to provide security services for its various campuses. The selected firm will be required to enforce South Texas I.S.D. rules and regulations concerning order, safety, and lawful conduct on campus. 2.3 TERM OF CONTRACT The initial term of the contract shall be for one year, with an option to renew for two additional one-year terms at the discretion of South Texas ISD. 6 SECTION 3 INSTRUCTIONS AND RESPONSE REQUIREMENTS 3.1 Submittal and Acceptance of Proposals A. South Texas ISD reserves the right to accept or reject any or all proposals, to waive informalities and minor technicalities, or to cancel this RFP in part or in its entirety, according to what is in the best interest of South Texas ISD. B. Only sealed proposals will be accepted. Faxed proposals will NOT be accepted. C. Proposals received after the stated deadline for submittal will not be accepted under any circumstances and will be returned to the respondent unopened. D. Unsigned proposals will NOT be considered. E. Proposals qualified with conditional clauses, or alterations or irregularities of any kind are subject to disqualification by South Texas ISD, at its option. F. All accepted proposals will become the property of South Texas ISD upon submission, whether or not a contract is awarded. 3.2 Proposal Preparation Instructions A. Each proposal should be prepared simply and economically, providing a straightforward and concise description of Respondent s ability to meet the requirements of this RFP. Emphasis will be on completeness, clarity of content and responsiveness to the proposal requirements. B. Proposals must be typed or printed on letter size (8-1/2 x 11 ) white paper suitable for copies. C. All pages of the proposal should be numbered sequentially. D. All sections of this RFP requiring information and/or a signature must be filled out and returned as part of the proposal. E. Respondents must submit one original and two (2) copies, of the complete proposal. 3.3 Alteration of Proposals Proposals cannot be altered or amended after the submission deadline. However, a proposal may be withdrawn and re-submitted at any time prior to the deadline for submittals. The signer of the proposal, guaranteeing authenticity, must initial any interlineations, alterations, or erasures made on the proposal document. RFP P a g e

7 3.4 Felony Conviction Notification All respondents must submit a Felony Conviction Notification (Section 10) as required by Senate Bill No. 1, Section , Notification of Criminal History, Subsection (a) with your bid. 3.5 Submittal Documents The following documents, at a minimum, must be filled out, signed by an authorized representative, and returned as part of your proposal submittal: A. 8 3.8 Inquiries and Interpretations Responses to inquiries which directly affect an interpretation or change to this RFP will be issued in writing by addendum (amendment) and mailed and/or faxed to all parties recorded by South Texas ISD as having received a copy of the RFP. All such addenda issued by South Texas ISD prior to the time that proposals are received will be considered part of the RFP, and the Respondent must acknowledge receipt of such in their response. Only those South Texas ISD replies to inquiries made by formal written addenda will be binding. Oral and other interpretations or clarifications will be without legal effect. 3.9 Addenda Acknowledgement Addenda must be acknowledged with bid submittal. An addenda acknowledgement form is included as part of this RFP (Section 9) and must be returned with the response Open Records South Texas ISD considers all information, documentation and other materials requested to be submitted in response to this solicitation to be of a non-confidential and/or non-proprietary nature and therefore will be subject to public disclosure under the Texas Public Information Act (Texas Government code, Chapter 552). Notwithstanding the foregoing, disclosure of information related to this solicitation will be made only after a contract is awarded Award of Contract South Texas ISD reserves the right to award a contract for all or any of the requirements in this Request for Proposals, to award multiple contracts, or to not award any contract, according to what is in the best interest of South Texas ISD The General Terms and Conditions (Section 6) in this Request for Proposal will become a part of and govern any contract and/or purchase order issued as a result of this RFP Validity Period Proposals are to be valid for a minimum of 60 days from the submittal deadline date to allow time for evaluation, selection, and any unforeseen delays Response Irregularities Proposals that are qualified with conditional clauses, alterations, and items not requested in the RFP documents, or irregularities of any kind are subject to disqualification by South Texas ISD at its option. 9 SECTION 4 EVALUATION CRITERIA FOR AWARD 4.1 Evaluation of Proposals South Texas ISD will utilize an evaluation team for the evaluation of responses to this RFP. The evaluation will take into account the overall response to the RFP, including the financial proposal and the responsiveness to the requirements defined in the RFP. South Texas I.S.D. will evaluate and make the award on the proposal that is determined to be the best value to South Texas ISD based on the criteria listed below. All proposals must be complete and convey all of the information requested to be considered responsive. If the proposal fails to conform to the essential requirements of the RFP, South Texas ISD alone will determine whether the proposal is a candidate for further consideration. Proposal responses from prospective vendors that do not demonstrate adequate financial stability may be rejected at the evaluation stage. 4.2 Evaluation Criteria and Weights The respondent s financial proposal 55 points The respondent s demonstrated ability and experience in providing the services requested. 10 SECTION 5 SCOPE OF SERVICES/SPECIFICATIONS This procurement is for security services for the various South Texas ISD campuses in accordance with the requirements in this RFP. The successful respondent will provide all financial resources, management, equipment, supervision, transportation and other necessary resources. The successful respondent must perform all work as an independent contractor. Although South Texas ISD reserves the right to determine the schedule for the work to be performed and to evaluate the quality of the completed performance, South Texas ISD cannot and will not control the means or manner of work performance. The successful respondent is responsible for the appropriate means and manner of performing the work and for providing all necessary equipment. The term Contractor in this section will refer to the successful respondent to this RFP. 5.1 General Requirements A. The Contractor must be duly licensed by the Texas Board of Private Investigators and Private Security Agencies. License must be maintained for the duration of the contract. B. The Contractor must have the administrative and fiscal capability to provide and manage the services requested. C. The Contractor must furnish all equipment required to outfit the security officer staff. D. The Contractor should have a minimum of three (3) continuous years of experience providing services for governmental agencies or private companies. E. The Contractor must work closely with Campus Principals to ensure that security services are provided as required. F. The Contractor must comply with all applicable federal, state, and local laws, ordinances, rules, regulations, and orders of all authorities having jurisdiction over the contract. G. The Contractor must make and keep accurate and complete written reports and supporting documents of all unusual and/or important incidents as soon as possible after they occur. H. The Contractor and his staff must be adequately insured and bonded. 5.2 Services A. Primary Security Requirements: Foot patrols of campuses. Duties to include security of assets and safety of students and staff. RFP P a g e

11 B. Additional Services: 5.3 Contractor Personnel Special Events: From time to time, South Texas ISD hosts special events, which require additional security. A. The Contractor must employ qualified personnel with adequate training and experience and in adequate numbers. B. All Contractor staff must, at a minimum, be high school graduates (or equivalent) and be able to read and write English satisfactorily and must have at least 1 year of security experience or military law enforcement experience with honorable discharge. C. Contractor staff must conduct themselves in such a manner as to promote and maintain good public relations at all times. D. The Contractor must ensure that all its employees adhere to all campus regulations and policies, including policies regarding personal behavior, parking regulations, smoking and drug-free workplace. E. All Contractor staff acting in the capacity of security officers must be properly clothed in approved uniforms. Shoes are to be properly shined. Tennis shoes are not acceptable as footwear unless otherwise authorized. F. All Contractor staff must, except for due politeness and courtesy, abstain from engaging in any personal familiarities with South Texas ISD students and staff while on official duty. G. Contractor staff members are not police officers and have no more power of arrest than any other citizen. Each Security officer must be aware of the limitations of his/her powers in order to avoid false arrest or illegal search. H. All Contractor staff working as security officers must undergo, and pass, (or have already passed a background investigations acceptable to South Texas ISD) a thorough background investigation before they are permitted to work under this contract. I. Contractor must remove from further service on South Texas ISD premises any staff member that South Texas ISD finds objectionable. J. The Contractor will be responsible for the direct supervision of all security guards. Such supervision must be adequate to insure that each guard conforms to the work requirements as contained herein and to insure that they are alert and on duty during their assignments. 5.4 Detailed Services The Contractor must provide security guards to perform the following services A. Security Guards must at all times protect all persons from injury and harm. RFP P a g e

12 B. Security Guards should be highly visible and should do as much as possible to prevent a crime. If a Security Guard is unable to prevent a crime, it is his/her responsibility to observe and report. C. Security Guards must guard, protect, and save all South Texas ISD property from theft, injury, arson, hazardous conditions, sabotage, vandalism, malicious mischief, defacement and other similar acts. D. Security Guards should assist with performing first aid when needed. E. Security Guards should courteously direct and assist the public, as may be requested, with public information and guidance. F. Security Guards will investigate, pursue, and diligently endeavor to establish definite identification of persons on South Texas ISD premises who commit personal injury, theft, arson, sabotage, vandalism, malicious mischief, defacement, or any other illegal act. G. Security Guards must report to South Texas ISD any disclosure of information concerning an incident, act or threat which is made known to a Contractor staff member. H. Contractor Staff should thoroughly investigate criminal acts coming to its attention and immediately report them to the proper authority. I. While on patrol, Security Guards will be alert to any disturbances, vehicle burglaries, and vandalism to South Texas ISD and students property. Security officers will be alert for any unusual activity. The security officers will be alert for any indication of smoke or fire in any buildings on the campus grounds. The security officers will be alert for any medical emergencies so that the appropriate personnel can be notified. J. Security Guards will be alert for any unusual noises coming from machinery in buildings or around buildings. The security officers will notify the Custodian Supervisor of water leaks in buildings or grounds, broken equipment, which present a safety hazard to staff and students and of any equipment, or material that, may be a fire or safety hazard. 13 SECTION 6 GENERAL TERMS AND CONDITIONS These General Terms and Conditions will be made a part of and govern any Purchase Order and/or contract resulting from this Request for Proposals. 6.1 Time of Performance Time is of the essence in the rendering of services and delivery of products hereunder. Contractor agrees to perform all obligations and render services set forth in the requirements in this Contract. 6.2 Acceptance of Products and Services All products furnished and all services performed under this Contract must be to the satisfaction of South Texas ISD and in accordance with the specifications, terms, and conditions of the Contract. South Texas ISD reserves the right to inspect the products furnished and/or the services performed, and to determine the quality, acceptability, and fitness of such products and/or services. If South Texas ISD is unable to inspect all goods immediately upon receipt, it must not be deemed to have accepted any defective goods that do not conform to specifications of the contract, or to have waived any of its rights arising by virtue of such defect or non-conformance. 6.3 Right to Audit South Texas ISD reserves the right to audit or cause to be audited the Contractor s books and accounts relating to the contract with South Texas ISD at any time during the term of the contract at for five (5) years thereafter. The Contractor must make available to South Texas ISD all books and records relating to the performance of this contract as may be requested. 6.4 Default and Termination A. In the event that Contractor fails to carry out or comply with any of the terms and conditions of the Contract with South Texas ISD, South Texas ISD may notify Contractor of such failure or default in writing and demand that the failure or default be remedied within twenty (20) days. In the event that Contractor fails to remedy such failure or default within the twenty (20) day period, South Texas ISD will have the right to terminate the Contract. B. South Texas ISD may terminate this Contract for convenience by giving thirty (30) days written notice to Contractor. In no event will termination under this section give rise to any liability on the part of South Texas ISD. South Texas ISD sole obligation hereunder is to pay Contractor for services/products provided under this Contract prior to the date of termination. RFP P a g e

14 C. The cancellation of the Contract, under any circumstances whatsoever, will not affect or relieve the Contractor from any obligation or liability that may have been incurred or will be incurred pursuant to the Contract and such cancellation by South Texas ISD will not limit any other right or remedy available to South Texas ISD at law or in equity. 6.5 Indemnification To the fullest extent permitted by law, the Contractor agrees to indemnify and hold harmless South Texas ISD, its officers, employees, and agents harmless from and against all claims of any nature or kind arising out of or caused from the performance of services, or provision of goods, by the Contractor pursuant to this contract, which are caused, in whole or in part, by any negligent act or omission of the Contractor. 6.6 Compliance with Law Contractor is aware of and in full compliance with its obligations under existing applicable law and regulations, including the Immigration Reform and Control Act of 1986, Title VI of the Civil Rights Act of 1964 (as amended), the Age Discrimination Act of 1975, the Fair Labor Standards Act (as amended), the Americans with Disabilities Act of 1990, and all other applicable laws and regulations. 6.7 Contract Amendments The Contract may be amended within the Contract period by mutual consent of the parties. No modification or amendment to the Contract will become valid unless in writing and signed by both parties. All correspondence regarding modifications or amendments to the Contract must be forwarded to the South Texas ISD, Business Department for prior review and approval. 6.8 Independent Contractor Status Contractor agrees that it is engaged as an independent contractor and acknowledges that South Texas ISD will have no responsibility to provide benefits normally associated with an employer-employee relationship. Contractor agrees that it will neither hold itself out as nor claim to be an officer, partner, employee or agent of South Texas ISD 6.9 Non-Disclosure Contractor and South Texas ISD acknowledge that they or their employees may, in the performance of this contract, come into the possession of proprietary or confidential information owned by or in the possession of the other. Neither party will use any such information for its own benefit or make such information available to any person, firm, corporation, or other organizations, whether directly or indirectly affiliated with Contractor or South Texas ISD, unless required by law. The provisions of this section will continue beyond the term of this contract and will be binding and enforceable even after the termination of this agreement Publicity RFP P a g e

15 Contractor agrees that it will not publicize this Contract or disclose, confirm or deny any details thereof to third parties or use any photographs or video recordings of South Texas ISD name in connection with any sales promotion or publicity event without the prior express written approval of South Texas ISD Severability If any provision of this Contract, or the application of any provision to any party or circumstance is held invalid, unenforceable, or illegal in any respect, the remainder of the Contract and the application of the provision to other parties or circumstances will remain valid and in full force and effect Non-Waiver of Defaults Any failure of South Texas ISD at any time, to enforce or require the strict keeping and performance of any of the terms and conditions of this Contract will not constitute a waiver of such terms, conditions, or rights, and will not affect or impair same, or the right of South Texas ISD at any time to avail itself of same Force Majeure If either South Texas ISD or Contractor is delayed at any time in the performance of its obligations under this contract by economic industry-wide strikes, fire, floods, acts of government, unavoidable casualties, or other causes reasonably beyond the control of either party and which could not have been reasonably anticipated, then the party affected by such an event must give notice to the other party of the probable extent to which the affected party will be unable to perform or be delayed in performing its obligations hereunder. If the performance of either party is delayed or prevented by such an event, both parties will be excused from performing their obligations hereunder while and to the extent the conditions arising from the event exist, after which the parties performance will be resumed. A delay or failure in performance by either party under this paragraph will not constitute default hereunder, or give rise to any claim for damages Insurance and Bonding Contractor must obtain and keep in effect during the term of this contract, insurance coverage in the below listed types and minimum amounts. As evidence of insurance coverage, Contractor must furnish to South Texas ISD certificate(s) of insurance before commencement of any work under this contract. TYPE OF COVERAGE LIMITS A. Employee Dishonesty Bond $1,000,000 per claim 6.15 Assignment The contractor must not sell, assign, transfer or convey this contract, in whole or in part, without the prior written consent of South Texas ISD Payment Terms Contractor must submit invoices for payment. Each invoice must contain separate and distinct numbers and must include location(s), dates, hours worked, rate(s) and total charges. Payment to Contractor for services must be in accordance with the State of Texas Prompt Payment Act, Chapter 2251, Government Code Governing Law This contract will be governed and construed according to the laws of the State of Texas. Both parties agree that venue for any litigation arising from this contract will lie in Hidalgo County, Texas. RFP P a g e

21 SECTION 10 EXECUTION OF OFFER In compliance with this RFP, and subject to all the conditions herein, the undersigned offers and agrees to furnish any or all commodities or services at the prices quoted. By signature hereon, the Respondent hereby certifies that he/she is not currently delinquent in the payment of any franchise taxes owed the State of Texas under Chapter 171, Tax Code.
