1 TERMS & CONDITIONS: Sparkling Diwali DEFINITIONS: Following words shall for the purpose of these terms and conditions, be defined to mean as below: BFL refers to Bajaj Finance Limited. Customer means an Indian citizen who avails a loan from BFL during the Offer Period. Offer Period shall mean the period commencing from 12:00 am on September 21, 2017 to 11:59 pm on October 20, Participating Store(s) shall mean such dealer stores, retail outlets and medical service providers which are empaneled with BFL in connection with purchase of Products by the Customer and are participating in this Promotion. Product shall mean select products as categorized below, which are approved by BFL and provided to the Customer by the Participating Stores: Category A: LED TVs, Air Conditioners, Refrigerators, Washing machine, Microwave Oven, Music Systems, Inverter/Generator, Air Cooler, Kitchen Appliances, Mixer Grinder, Water Purifiers, Air Purifier, Dishwasher, Dryer, Hand blender Category B: Smartphones, Laptops, Camera, Printer, Camcorder, Smartwatches, Desktops, Tablet Category C: Furniture, Furnishing, Mattresses, Modular Kitchen, Bathroom fittings, Home Décor Category D: Clothing, Footwear, Eyewear, Watches, Handbags, Grocery, Travel Bookings, Luggage, Gym Membership, Salon, Sports Equipment & Spa Promotion shall mean the Sparkling Diwali-2017 promotional program offered by BFL for its Customers during the Offer Period. Reward refers to reward offered to the Winner(s) under the applicable Scheme. Scheme shall mean the various promotional schemes as stated in clause 3 of these terms and conditions Website means BFL s website at the following URL Winner means a Customer who has been declared as a winner by BFL under this Promotion. 2. To participate in this Promotion and to avail the benefits/rewards under any of the Schemes, the Customer should have mandatorily availed a loan from BFL for purchasing select Product(s) from the Participating Store(s), during the Offer Period. 3. As part of the Promotion, the Winners may be selected from the eligible and participating Customers who have successfully met all the criteria specified by BFL, under any of the following Schemes as stated below: (a) Scheme 1: Under this Scheme, BFL will select Winners who will be eligible for a Maruti Suzuki Vitara Brezza or a car of similar category. Winners will be selected in accordance with the following criteria: i. one Winner each from Ahmedabad, Bangalore, Kolkata, Hyderabad, Delhi & National Capital Region, Mumbai & Pune (hereinafter Tier I locations), who has availed the highest loan during the Offer Period for purchasing a Category A product in that location;

2 ii. one Winner from across Nagpur, Baroda, Surat, Mysore, Nasik, Cochin, Indore, Bhubaneswar, Vaizag, Lucknow, Bhopal, Pondicherry, Vijayawada, Mangalore, Aurangabad, Patna, Jamshedpur, Cuttack, Goa, Trichur, Ranchi, Trivandrum, Udipi, Ranaghat, Mapusa, Margao, Ujjain, Vizianagaram, Dewas, Puri, Gudivada, Jajpur Road, Bagnan, Rewari, Bongaon, Muzaffarpur, Srikakulam, Nagda, Basirhat, Gaya, Nabadwip, Sangareddy, Chaibasa, Pithampur, Bhiwadi, Motihari, Sitamarhi, Samastipur, Darbhanga, Arrah, Mandideep, Bhagalpur, Mhow, Chakradharpur, Purnia, Begusarai, Raebareli, Katihar (hereinafter Tier II locations), who has availed the highest loan during the Offer Period for purchasing a Category A product; iii. one Winner from across the locations which do not form part of the list of locations in Tier I and Tier II (hereinafter Tier III locations), who has availed the highest loan during the Offer Period for purchasing a Category A product; iv. one Winner who has availed the highest loan during the Offer Period for purchasing a Category B product; v. one Winner who has availed the highest loan during the Offer Period for purchasing a Category C product; and vi. one Winner who has availed the highest loan during the Offer Period for purchasing a Category D product. (b) Scheme 2: Under this Scheme, BFL will, after the selection of Winners under Scheme 1, select Winners who will be eligible for a Bajaj Avenger bike or a bike of a similar category. Winners will be selected in accordance with the following criteria: i. one Winner on a daily basis during the Offer Period, who has availed the highest loan value on the given day across Tier II locations for purchasing a Category A product; ii. one Winner on a daily basis during the period from September 21, 2017 to September 30, 2017 and from October 16, 2017 to October 20, 2017 who has availed the highest loan value on the given day during the specified period across Tier III locations for purchasing a Category A product; iii. one Winner on a daily basis during the period from September 21, 2017 to September 30, 2017 and from October 16, 2017 to October 20, 2017, who has availed the highest loan value on the given day during the specified period for purchasing a Category B product; iv. one Winner on a weekly basis during the Offer Period, who has availed the highest loan value in the given week for purchasing a Category C product; and v. one Winner on a weekly basis during the Offer Period, who has availed the highest loan value in the given week for purchasing a Category D product. (c) Scheme 3: Under this Scheme, BFL will, after the selection of Winners under Schemes 1 and 2, select Winners who will be eligible for a jewelry voucher worth Rs. 5,000/- or Rs. 10,000/-, as the case may be. Winners will be selected in accordance with the following criteria: i. one Winner on a daily basis during the Offer Period, who has availed the highest loan value on the given day from each Tier I location for purchasing a Category A product; ii. five Winners on a daily basis during the Offer Period, who have availed the highest loan value on the given day across Tier II locations for purchasing a Category A product; iii. three Winners on a daily basis during the Offer Period, who have availed the highest loan value on the given day across Tier III locations for purchasing a Category A product; iv. three Winners on a daily basis during the Offer Period, who have availed the highest loan value on the given day for purchasing a Category B product; v. one Winner on a daily basis during the period from September 21, 2017 to September 30, 2017 and from October 16, 2017 to October 20, 2017, who has availed the highest loan value on the given day during the specified period for purchasing a Category D product; and,

3 vi. two Winners on a daily basis during the Offer Period, who have availed the highest loan value on the given day for purchasing a Category C product. (d) Scheme 4: Under this Scheme, BFL will after the selection of Winners under Schemes 1,2 and 3, select Winners who will be eligible for a 5% cashback on the transaction value, subject to a maximum of Rs. 2,500/- or Rs. 1,500/-, as the case may be. Winners will be selected in accordance with the following: i. 200 Winners across Tier I locations who have, for purchasing a Category A product, availed the highest loan value during the Offer Period and have made the down payment using his/her credit card. The Customer should not be an existing Customer of BFL. ii. 50 Winners across Tier II locations who have availed the highest loan value during the Offer Period for purchasing a Category A product 4. In the event a Customer purchases two or more products under the Promotion, the aggregate loan amount availed by such Customer from BFL in a single loan transaction, shall be considered while selecting the Winner and/or calculating the loan value availed. 5. In the event two or more Customer(s)have availed the highest loan value, the Customer who has completed the qualifying loan transaction first and have also met all the criteria specified by BFL, shall be eligible for the Reward. 6. All the Rewards are not assured rewards for all eligible and participating Customers. A Customer can qualify only once for the Schemes listed under the Promotion during such Offer Period. For the avoidance of doubt, it is hereby clarified that a Winner will be eligible for only one Reward during the Offer Period and if the Customer is declared as a Winner under more than one Scheme, he/she shall receive only one Reward, whichever Reward is higher in value. The Reward of the lesser value, if declared in the Winner s name, will be forfeited and given to another Winner as per the sole decision of BFL 7. This Promotion is available only in select cities of India and is valid only for Indian citizens. This Promotion is not applicable in places wherever prohibited and / or on gifts / services for which such offers cannot be made available for any reason whatsoever. For the avoidance of doubt, it is hereby clarified that this Promotion is not applicable to the Customers in the state of Tamil Nadu. 8. The Schemes and the Rewards are available at the sole discretion of BFL and subject to changes/discontinuance as deemed fit by BFL, without any prior notice. 9. Participating in this Promotion is voluntary and the Customer is not bound to participate in this Promotion. There is no compensation for non-participation in the Promotion under any circumstances whatsoever. 10. For more information about the Participating Stores, kindly visit This Promotion cannot be combined with any other offer/discount/promotion of BFL, including but not limited to the EMI Card offers available at the merchant and/or dealer outlets. 12. Images of the products or Reward shown on , BFL s website or any other advertisement material whatsoever, are for representational purpose only. Notwithstanding anything contained in the Promotion or these terms and conditions, any images, representations etc. and all intellectual property rights pertaining thereto which belong to any third party, shall continue to vest with such

4 party and by using such images, representations etc., BFL in no way claims any right whatsoever relating to such intellectual property. 13. The decision of BFL selection committee in selecting the Winners eligible for a Reward will be final and binding on the participating Customers. Such Winners will be contacted by BFL after the expiry of the Offer Period either through , telephonic call or SMS on the Customer s registered address/contact number and will be communicated the details for the collection of the Reward. In the event such a Winner cannot be contacted despite repeated efforts for 3 (three) continuous days, BFL reserves the right to cancel the Winner s nomination for the Reward. 14. The Winners shall receive their Reward only upon payment of the first three equated monthly instalment (EMI) payable to BFL for the loan availed under the Promotion. 15. In case of default in the payment of first three EMIs or cancellation/refund of the qualifying loan transaction, the Winner shall no longer be eligible for the Reward under the Promotion. 16. Where the Winner has provided any incorrect information at the time of registration for the Promotion and/or at the time of collecting his/her Reward, then his/her selection is subject to cancellation without notice, at the sole discretion of BFL. 17. All applicable taxes, fees and levies (excluding gift tax or tax deducted at source, where applicable) will need to be solely paid by the Winner(s) and proof of other documents, as required, will need to be necessarily produced before taking possession of the Reward (s). 18. The tax deducted at source in respect of the Reward, where applicable, shall be paid by BFL. 19. This Promotion is a special offer for BFL Customers only and nothing contained herein shall prejudice or affect the terms and conditions of the EMI Card and/or Customer loan agreements. These terms and conditions shall be in addition to and not in derogation to the terms and conditions prescribed by BFL for the loan and/or EMI Card. 20. The usage of Rewards shall be governed by the applicable terms and conditions governing the Reward which will be in addition to these terms and condition. BFL shall have no responsibility whatsoever in connection with the usage of the Reward. 21. Nothing herein amounts as a commitment by BFL to provide further or similar schemes or offers. 22. BFL is not a supplier/manufacturer/issuer of the products purchased by Customer or the Rewards provided to the Winners under this Promotion and will not accept any liability in relation thereto. Accordingly, BFL shall not be responsible for the quality, merchantability or the fitness for any purpose or any other aspect of the products or Rewards provided by third parties. 23. Notwithstanding anything herein, BFL shall not at any time be responsible or held liable for any loss, injury, damage or harm suffered by or in connection with the products or Rewards provided by third parties. 24. Disputes, if any, regarding the products/services under the Promotion must be addressed in writing, by the Customers directly to the Participating Store and BFL shall not entertain any communication in this regard. 25. BFL's decision on all matters relating to the Promotion/Scheme will be at its absolute discretion and will be final and binding on all participants. 26. BFL reserves the right to revise these terms, modify or withdraw this Promotion at any time without prior notice or reason. BFL, its group entities/ affiliates or their respective directors, officers, employees, agents, vendors, etc., shall not be liable for any loss or damage whatsoever that may be suffered, or for any personal injury that may be suffered by a Customer, directly or indirectly, including for reasons arising out of use or non-use of products/ services/rewards or participation under this Promotion. 28. BFL shall not be liable for termination or delay of the Promotion or the Rewards forming part of the Promotion due to any force majeure event and will not be liable for any consequences. 29. The Promotion is not transferable, non-negotiable and cannot be encashed under any circumstances. 30. These terms and conditions shall be governed by the laws of India. All disputes if any arising out of or in conjunction with or as a result of this Promotion or otherwise relating hereto shall be subject to the exclusive jurisdiction of the competent courts in Pune only. The existence of a dispute, if any, shall not constitute a claim against BFL. 31. This Promotion is subject to laws, rules and regulations as may be applicable in any jurisdiction in India, from time to time, and accordingly in places where not permissible shall be deemed as not applicable. 32. The Customers agree to be bound by the terms and conditions contained herein. Without a Customer being required to do any further act, the Customers shall be deemed to have read, understood and unconditionally accepted the terms and conditions herein.
