1 REQUEST FOR PROPOSALS TO: FR: ALL QUALIFIED LANDSCAPE MAINTENANCE CONTRACTORS BLOOMINGDALE PARK DISTRICT (BPD), DIRECTOR OF PARKS AND PLANNING, JOE POTTS ASSISTANT DIRECTOR OF PARKS AND PLANNING, BRIAN ROCHE DT: FEBRUARY 22, 2017 RE: BPD CONTRACTED MOWING SERVICES Interested contractors are invited to submit proposals for contracted mowing services of BPD properties. The attached specifications lay out the properties and specific areas for which we are requesting your proposals. Proposals should include specific information on the products to be used. Bid opening on March 7, 2017 at 10:30am. All insurance requirements and the requirements of BPD s Independent Contractor s Agreement shall be met by all contractors. 2 Instruction to Bidders 1. Property to be Maintained (aerial map with property boundary included at end of this packet) Properties to be maintained under this contract are as follows: 1 1. Approximate mowable acreage Period of Coverage The initial term of this agreement will begin on or about April 15, 2017 through October 31, 2017 with the Park District option of a renewal for an additional two years in one-year increments: Second year: On or about April 15, 2018 through October 31, 2018 Third year: On or about April 15, 2019 through October 31, 2019 Actual start and stop dates are subject to change based on the weather and as determined by the Park District. 3. Maintenance Management The qualified acceptable bidder is responsible for the management of the total grounds maintenance effort. This is to include the planning and

3 programming of all services described herein, performance of those services and compliance with all record and reporting requirements. 4. Specific Requirements The qualified acceptable bidder is responsible for maintaining each parcel of land with a clean, crisp appearance in accordance with the terms of this contract. 5. Standards All materials and workmanship must be in accordance with generally accepted methods and standards of the industry and be consistent of the highest quality and the standards of the Bloomingdale Park District. The Contractor shall perform all duties in a timely and workmanlike manner. 6. Frequency of Mowing Mowing will begin on or about April 1, depending on approval by the Park District of Alternate 1, followed by mowing that will be completed once (1) a week continuing through or about October 31, depending on approval by Park District of Alternate 5. Cuttings may be reduced or adjusted based on weather conditions, growth rate, etc., but must be coordinated with the District. 7. Mowing Schedule The Contractor will provide to the Park District a weekly mowing schedule that allocates adequate personnel and equipment to complete the entire weekly mowing. The Contractor must maintain this schedule with the ability to catch up on time lost due to unsuitable weather or turf conditions. The qualified acceptable bidder shall provide a mowing schedule for each property to be maintained at least one week prior to the start of the mowing season. The schedule will show the day of the week and time for each property. Any changes to the schedule must be approved by the Director of Parks and Planning or Assistant Director of Parks and Planning. The Contractor will notify the Owner of any changes to the schedule. The Owner will provide the next week schedule by the end of the previous week. Cancellation of a scheduled weekly mowing, or any portion of the mowing, is permitted by the District if any part of the scheduled mowing is determined to be unnecessary or undesirable by the District. Incompletion of any portion of the scheduled weekly work by the end of the week deemed necessary will not be paid in full for that location. The Owner 2

4 agrees to provide notice of cancelation by noon of the day proceeding scheduled work to be canceled. Due to the noise ordinance, mowing will not be able to start before 7:00 am. Due to District ordinance, all mowing must stop at dusk Inclement Weather Rescheduling: 3 a) Contractor may cancel all or part of a scheduled mowing due to inclement weather. It is the responsibility of the Contractor to contact the District on or before 9:00 a.m. of the day to be canceled, when such cancellation is desired. b) Inclement weather shall be defined as weather that both the Contractor and District agree makes the accomplishment of quality work unfeasible, unusually time consuming, or potentially dangerous, or harmful. In the event mutual agreement cannot be reached for a particular mowing, the inclement weather determination shall be made by the Contractor. However in the event the District feels then Contractor abuses this provision, the District reserves the right to cancel this Contract. c) Any part of a scheduled mowing that is canceled due to inclement weather shall be rescheduled by the Contractor to a date within three calendar days (including weekends) of the cancellation. d) Any portion of a mowing that is canceled and not rescheduled shall not result in a mowing charge. e) In the event of on-going wet weather, the Contractor and the District will negotiate a strategy to accomplish the necessary work. f) Contractor will return calls and respond within two (2) hours. In areas of poor drainage which adversely affect the work of the Contractor, the Contractor shall be responsible for informing the District of the affected area. The District will have discretionary authority to waive work quality standards in areas which both the District and the Contractor agree are problematic. 8. Equipment Contractor will provide the District with a list of owned or leased equipment. A deck size of 60 inches or larger can be used for open areas. Walk behind mowers will be used around buildings and obstacles and for steep slopes. Walk behind mowers with baggers will used for the pool area for the collection of grass clippings. Mowing equipment shall be kept in good, safe operating condition with sharp blades so that grass is cut

5 properly and in such condition that oil and gasoline are not leaked onto turf areas. Mowers shall have the grass shoots closed off to eliminate objects thrown from mowers. All mowers shall be equipped with anti-scalping decks. All tools shall be clean/sterile, sharp, in proper working order and shall be checked for safety by the landscape contractor before starting work on Bloomingdale Park District properties. All pruning tools shall be hook and blade (by-pass) type. No anvil type pruning tools shall be used. 9. Fueling and Oiling Spilled gasoline and oil kills grass. Mowers will not be fueled or oiled in grass areas or hard court surfaces; they shall be moved to paved areas for this function. The contractor will immediately clean up hazardous material spills. It is the contractor s responsibility to repair turf areas damaged by improper fueling or oiling of equipment. Any quantity of gas or oil spilled, within the District, should be reported immediately to the designated Park District representative(s). 10. Personnel The Contractor s Contract Administrator must be available by phone and . Contractor shall have in its employ, or under its control, sufficient qualified and competent personnel to perform work promptly and in accordance with a schedule or work program. Contractor shall employ only such workers as are skilled in the tasks to which they are assigned. Workers shall act appropriately and professionally at all times, and refrain from offensive language, gestures or actions while on District maintained sites. The District may require the Contactor not to assign any employee the District deems incompetent, careless, insubordinate, or otherwise objectionable to work on District projects. All persons working on Bloomingdale Park District property must be well mannered, a minimum of 18 years of age, maintain proper hygiene and be uniformed so that they may be recognized by Bloomingdale Park District personnel and patrons. 4

6 11. Interactions with the Public The Contractor and his representatives may be contacted in some manner by residents/users of the park. The employee(s) shall be instructed to politely inform the citizens to direct their comments and/or questions to the Bloomingdale Park District at 172 S. Circle Ave, Bloomingdale IL or by calling Mowing All turf grass areas shall be mowed as needed during the growing period to maintain a neat appearance as follows: a) Turf shall be maintained to a height range of two and one half (2 1/2) inches to four (4) inches depending on current weather and turf conditions or unless specified otherwise in this agreement. Mower blades shall be sharpened and remain sharpened throughout the contract period. Either rotary or reel type mowing equipment is acceptable provided an even cut over all mown areas is maintained. Riding mowers shall be equipped with suitable flotation tires and mowing decks adjusted to ensure that lawn areas are not scalped or cut too low. Mowing at each site shall be completed within one day. b) Grass mowing shall be accomplished in a manner that is free of scalping, rutting, bruising, and uneven and rough cutting. Grass clippings shall be removed immediately off adjacent sidewalks and pavement. c) Prior to mowing the contractor shall remove all rubbish, debris and trash, which includes rocks, paper, and other portable objects within maintenance area, lodged in shrubs, hedges, fences and along foundation walls. The contractor shall remove the rubbish and debris and dispose of it off the Bloomingdale Park District property in a manner acceptable to all County, State and Local Ordinances. Litter and debris shall be collected and removed weekly even if a decision is made not to mow turf areas. d) Grass clippings shall be removed where grass clippings are not spread evenly over the area. e) All grass shall be neatly trimmed around all fixed structures, footpaths, beds and paved areas at a height consistent with the mowed lawn areas. f) Safety shielding and other manufacturer amenities on all equipment shall remain operational at all times and it shall be the contractor's sole responsibility to ensure the safety of his/her operations. g) Excess grass on sidewalks, paved areas, beds or tree rings shall be cleaned off upon completion of mowing operations. h) Mowing shall be conducted in such a manner and at such times that will not interfere with the public use of said areas and/or adjoining 5

7 13. Trimming 6 areas. A mowing schedule shall be coordinated with the Director of Parks and Planning or Assistant Director of Parks and Planning. i) Final Appearance, Bagging of cut grass and raking of leaves is required at the pool location. Mowing patterns shall be such that the clippings are evenly distributed, not windrowed into noticeable deposits. Any noticeable deposits will need to be distributed by additional mowing or by using a blower. At the Districts discretion, unevenly distributed grass clippings may have to be picked up. Grass clippings will not be allowed to accumulate on hard surface areas. Mowing patterns will be established and equipment operated so that the height of cut is uniform and no scalping occurs. Mowing pattern will be consistent throughout the lawn area and satisfactory to the District. The direction of the mowing pattern will be altered, approximately ninety degrees weekly to prevent the creation of mower wheel patterns and uneven compaction of soils. Trees, shrubs and other plants should not be barked by running into them with the mowing equipment. The first two (2) pass cuts along property boundaries, around buildings, tennis courts, parking lots and play pits should be made in a reversed direction to prevent blowing of clippings onto adjacent property or into the play pit, tennis courts, parking lots or landscape beds. j) The Contractor will not mow, walk or use any equipment on turf areas when frost is present, where standing water is present, or in areas saturated with water. Turf areas are considered saturated when water puddles in footsteps. If mowing cannot be delayed and Contractor has obtained the Districts permission, the Contractor may use a smaller piece of equipment that will not cause visible damage to the turf. If a site cannot be cut due to wet conditions, Contractor shall use string trimmers to knock down tall grass until mowing can be completed. k) The Bloomingdale Park District reserves the right to suspend mowing at any location at any time for any reason. Should this occur, the District will not be charged the mowing fee stated in the contract for said facility. All areas will be trimmed at the time of each mowing to give grounds a professional appearance. Trimming around trees, shrubs, cultivated areas, beds, fences, poles, walls, valves and other similar objects shall match the height and appearance of surrounding vegetation. Adjoining sidewalks and other pavement shall be cleaned of debris. Debris shall be removed from sites and disposed of off the Bloomingdale Park District property by the contractor. Trimming around woody plants shall be done in such a manner so no bark damage occurs from mowers, string-trimmers or other tools.

8 Contractor shall be responsible for repair or replacement (at the Bloomingdale Park District s option) of planting material or other property damaged as a result of contractor s operations under this agreement. 14. Weeds Weeds growing from sidewalk cracks along curb lines, along shrub beds or roadway edges so as to detract from the appearance of the site should be mechanically removed weekly during each mowing cycle, and are the responsibility of the contractor. For the purposes of this contract, the tree rings and shrub bed mulched areas will be considered turf areas. If Contractor has questions whether vegetation is a weed or suitable plant material, Contractor must contact District before maintaining areas. Weeds actively growing in mulched areas of tree rings and shrub beds should be mechanically removed weekly during each mowing cycle and are the responsibility of the Contractor. 15. General Clean-Up The Contractor shall keep the project site and surrounding area free from accumulation of waste materials or rubbish caused by operations under the Agreement. All debris will be kept clear from all areas being maintained. All walkways, driveways, plant beds and landscaped areas shall be kept clean of all clippings, litter and other debris before leaving the job site. 16. Safety of Persons and Property The Contractor shall exercise precautions at all times for persons and property. Safety provisions of all applicable laws and ordinances shall be strictly observed. The Contractor shall keep all roads open for traffic and provide warning signs and barricades as required by law, IDOT or other regulatory agency (MUTCD Code Millennium Edition Contractor shall be solely responsible for the health and safety of its workers. Roadways in each direction shall be kept open to traffic at all times. As traffic on many of the roadways in the areas included in this agreement operates at high speeds, the actual work of loading and unloading materials and/or equipment shall be done in a protected area completely off the traveled roadway. If it becomes necessary to move a slow moving piece of equipment for a short distance along the roadway, this piece of equipment shall be accompanied by a properly equipped 7

9 escort vehicle during the entire time it occupies nay portion of the traveled roadway. This escort vehicle shall be equipped with an amber colored, rotating-type warning light mounted to the rear of the escort vehicle at a minimum height of six (6) feet. Additionally, no contractor equipment or materials shall be stored on the pavement or roadway shoulder at any time. The Contractor shall promptly remedy damage and loss to Park District property caused in whole or in part by the Contractor, a subcontractor, a sub-subcontractor, or anyone directly or indirectly employed by any of them, or by anyone for whose acts they may be liable and for which the Contractor is responsible, except damage or loss attributable to acts or omissions of the Park District or anyone directly or indirectly employed by Park District, or by anyone for whose acts Park District may be liable, and not attributable to the fault or negligence of the Contractor. 17. General Reporting of Damages and Communication Any vandalism, storm damage or Contractor damage to the park areas or to any of the trees, bushes, play equipment, buildings, vehicles in parking lots, or objects located in the park area will be reported to the Park district as soon as possible by the Contractor by calling (630) The Contractor will respond to calls from the District with a response time not exceeding 2 hours. Property Damage a) Wherever any existing material, equipment or facility is damaged by the Contractor, the cost of repair or replacement shall be charged to the Contractor. Items covered by this provision include, but are not limited to curbs, sidewalks, lawns (to include scalped areas ruts or depressions), plantings, limbing or gouging of trees or shrubs, signs, light poles, vehicles etc. b) Injuries to any person and damage to any mowing site, the property of any employee at that site, customer or any property not belonging to the Contractor shall be reported immediately to the District. Any costs for this damage or injury will be reimbursed by the Contractor. c) Repair work due to damages caused by the Contractor shall be coordinated through, and subject to the approval of the District. Repairs shall be made with like materials in a manner acceptable to the District. d) Contractor shall acquaint themselves with the location of utilities, which may be encountered or be affected by their work, and shall be responsible for damage caused by neglect to provide proper precautions or protection. 8

10 9 e) The Contractor shall repair, to its original state, any landscape damaged by failure to provide proper and adequate protection, to the satisfaction of the District, or remove and replace with new materials or plantings at the Contractor s expense. 18. Accident Notification In the event of accidents of any kind which involve the general public and/or private or public property, the Contractor shall immediately notify the Owner and shall provide a full accounting of all details of the accident. The Contractor shall furnish the Owner copies of all reports of such accidents at the same time that the reports are forwarded to any other interested parties. 19. Contact Person The Contractor shall provide the name and mobile number of the supervisor of the crew assigned to the Bloomingdale Park District. This information shall be given to the Director of Parks and Planning and the Assistant Director of Parks and Planning. Contractor shall attend on-site maintenance meetings scheduled by the Park District to review and address concerns as needed or requested by the Park District. 20. Special Events Locations where the Park District has Special Events will need to be mowed prior to event set up. The Park District will contact the Contractor and coordinate mowing of the property before that week s scheduled mowing. Alternates 1. Spring Clean Up at Old Town Park and Museum Properties The contractor shall, at Old Town Park and Museum properties, perform a spring clean-up of lawn areas by removal of all accumulated papers, sticks, stones, trash, and other debris from lawn areas, flower beds, walks, fence lines and stairways. The contractor shall remove all leaves, debris and the dead remnants of the previous year s vegetation from the Bloomingdale Park District properties and dispose of properly. The timing of this work will be dependent on the weather, but shall be completed no later than April 15. Spring Cleanup with Pre-emergent Weed Control on tree rings to include but not limited to:

11 1. Detailed cleanup of grounds to include, but not limited to, removal of all tree fallen branches; hand rake all turf; cut down & remove all grasses and perennials; trim & shape any deciduous and/or evergreen shrubs; remove all waste off-site. 2. Spade edge & cultivate all plant beds and tree rings. 3. One mowing & string trimming 4. One pre-emergent weed control application in all tree rings. 2. Mulch at Old Town Park and Museum Properties Bid price shall only include the labor rate to apply mulch to Old Town Park and Museum properties, mulch will be on site and provided by the Bloomingdale Park District. 3. Edging Please provide a price for edging per site as follows; All walkways, beds and driveways will be edged once per year with a power edger. Edging of sidewalks, curbs, and around other cultivated areas shall be performed so that no vegetation is closer than ½ inch to the pavement area. No scalping, rutting, bruising or uneven and rough cutting will be accepted. String trimmer edging shall be used for paver walk and parking lot edge. Planting beds and tree rings shall be edged with a power edger so that the outer edge is 1-2 below grade of surrounding soil. Edging around planting beds shall follow the shape of the existing bed contour. Tree rings shall be edged to a diameter of four to eight feet (4-8 ). The contractor shall properly dispose of all excess soil and sod. 4. Pruning Please provide a price for pruning per site as follows; All shrubs pruned once per year to maintain an aesthetically pleasing and natural shape. Dead wood shall be removed at the proper time of the year to minimize disease and insect infestation and so as not to interfere with any flowering or fruiting characteristics of the shrub. All pruning equipment shall be properly cleaned with an appropriate disinfectant (alcohol or bleach) after each cut to minimize the spread of disease. 5. Fall Clean-Up Please provide a price for Fall Clean-Up per site as follows; 10

12 The contractor shall perform a fall cleanup of all areas by the removal of all accumulated papers, sticks, leaves, spent herbaceous plants, stones, trash, and other debris from lawn areas, flower beds, walks, fence lines, parking areas and stairways. This work shall be performed at some time during the first three weeks of November depending on the weather. The contractor shall remove all leaves and debris from the Bloomingdale Park District properties and dispose of properly. Ornamental grasses and other perennials such as sedum and hardy chrysanthemums shall be left uncut to maintain their appearance through winter until spring cleanup to prevent root-rot. 6. Additional Sites and Mowing Frequencies When requested, the contractor will provide additional mowing to sites with sizes listed below. Costs should be broken down for each size. Sizes are as follows: SMALL FIELD 90 X 60 MEDIUM FIELD 120 X105 to 210 X150 LARGE FIELD 300 X 180 The Park District will notify contractor in advance when the additional mowing will be needed. 7. Flower Planting at Old Town Park Install annual flowers in spring at Old Town Park as follows: Install approximately 25 flats of annual flowers throughout the park. Price to include plant bed preparation, soil additives & fertilizer and one initial watering. Flowers to be a mixture of Petunia s, Marigolds, Begonia, and Coleus. The flats of annuals will be provided by the Bloomingdale Park District, installation to occur after May 16 th. 8. Flower Planting at Springfield Park Please provide a price to install annual flowers in spring, summer and fall at Springfield Park as follows: Install annual flowers in Three (3) park sign beds along Springfield Drive. Price to include; plant bed preparation, soil additives & fertilizer and one initial watering. Flowers to be planted in spring are mixed colored Pansies spaced at 4-6 apart, flowers to be planted in summer are mixed colored Begonia s (or alike) spaced at 6 apart, flowers to be planted in fall are mixed colored Pansies spaced at 4-6 apart. The flats of annuals will be provided by the contractor, installation to occur as follows; Spring no later than April 15 or as soon as weather permits, Summer in early June as 11

13 weather permits and/or as determined needed by BPD and Contractor, Fall in early October as weather permits and/or as determined needed by BPD and Contractor. 15 INDEPENDENT CONTRACTORS AGREEMENT THIS AGREEMENT entered into by and between (hereafter the Contractor ) and the BLOOMNGDALE PARK DISTRICT (hereafter Park District ). WHEREAS, Contractor will be performing services and work for the Park District as set forth in the following documents: List project manual, bid forms, proposals, etc. (collectively the Project Documents ) and which is attached hereto and incorporated herein as Exhibit A; and WHEREAS, Contractor may have subcontractors, material suppliers and one or more employees engaged in the performance of said work; and WHEREAS, the Project Documents, and this Agreement comprise the terms of the engagement of the Contractor by the Park District and are hereby incorporated into this Agreement. NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, and other good and valuable consideration received and to be received, the Contractor hereby agrees: 1. To comply with all applicable laws, regulations, and rules promulgated by any Federal, State, County, Municipal and or other governmental unit or regulatory body now in effect during the performance of the work. By way of example, the following are included within the scope of the laws, regulations and rules referred to in this paragraph, but in no way to operate as a limitation on the laws, regulations and rules with which Contractor must comply, are all forms of Workers Compensation Laws, all terms of the Equal Employment Opportunity Clause of the Illinois Fair Employment Practices Commission, the Illinois Preference Act, the Social Security Act, Statutes relating to contracts let by units of government, all applicable Civil Rights and Anti-Discrimination Laws and Regulations, and traffic and public utility regulations. 2. To the fullest extent permitted by law, to waive any and all rights of contribution against the Park District and to indemnify and hold harmless the Park District and its officers, officials, employees, volunteers and agents from and against all claims, damages, losses and expenses, including, but not limited to, legal fees (attorney s and paralegal s fees, expert fees and court costs) arising out of or resulting from the performance of the Contractor s work, provided that any such claim, damage, loss or expense is attributable to bodily injury, sickness, disease or death, or injury to or destruction of property, other than the work itself, including the loss of use resulting therefrom, or is attributable to misuse or improper use of trademark or copyright protected material or otherwise protected intellectual property, to the extent it is

16 caused in whole or in part by any wrongful or negligent act or omission of the Contractor, any Subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. Such obligation shall not be construed to negate, abridge or otherwise reduce any other right to indemnity which the Park District would otherwise have. The Contractor shall similarly, protect, indemnify and hold and save harmless, the Park District, its officers, officials, employee, volunteers and agents against and from any and all claims, costs, causes, actions and expenses, including, but not limited to, legal fees, incurred by reason of Contractor s breach of any of its obligations under, or Contractor s default of any provisions of the Contract. The indemnification obligations under this paragraph shall not be limited in any way by any limitation on the amount or type of damages, compensation, or benefits payable by or for the Contractor or any subcontractor under Workers Compensation or Disability Benefit Acts or Employee Benefit Acts. 3. To keep in force, to the satisfaction of the Park District, at all times during the performance of any work referred to above, Workers Compensation and Employer s Liability Insurance, Commercial General Liability Insurance, and Automobile Insurance in at least the type and amounts as follows: 1. Business Automobile Liability (including owned, non-owned and hired vehicles): a. Bodily Injury: $1,000, Per Person $1,000, Per Accident b. Property Damage: $1,000, Per Occurrence 4. Umbrella Excess Liability: $2,000, over Primary Insurance

To have all policies of insurance purchased or maintained in fulfillment hereof name the Park District as an additional insured thereunder and the Contractor shall provide Certificates of Insurance and Policy Endorsements evidencing the coverages and the addition of the Park District as an insured. No such policy of insurance shall have a deductible or self-insurance retention amount in excess of $5, per occurrence. All insurance shall be written on an occurrence basis rather than a claims-made basis. Failure of Park District to demand any certificate, endorsement or other evidence of full compliance with these insurance requirements or failure of Park District to identify a deficiency from evidence that is provided shall not be construed as a waiver of Contractor s obligation to maintain such insurance. The Contractor agrees that the obligation to provide the insurance required by these documents is solely its responsibility and that this is a requirement which cannot be waived by any conduct, action, inaction or omission by the Park District. Upon request, the Contractor will provide copies of any or all policies of insurance maintained in fulfillment hereof. 5. To agree that nothing contained in the insurance requirements of the Contract Documents is to be construed as limiting the liability of the Contractor, the liability of any Subcontractor or any tier or either of their respective insurance carriers. All the insurance required of the Contractor shall state that the coverage afforded to the additional insureds shall be primary insurance of the additional insureds with respect to claims arising out of operations performed by or on their behalf. If the additional insureds have other insurance or self-insured coverage which is applicable to the loss, it shall be on an excess or contingent basis. 6. To furnish any affidavit or Certificate in connection with the work covered by this agreement as required by law. 7. To the extent that the Prevailing Wage Act applies, to pay and require every Subcontractor to pay prevailing wages as established by the Illinois Department of Labor for each craft or type of work needed to execute the contract in accordance with 820 ILCS 130/.01 et seq. Contractor shall prominently post the current schedule of prevailing wages at the Contract site and shall notify immediately in writing all of its Subcontractors, of all changes in the schedule of prevailing wages. Any increases in costs to Contractor due to changes in the prevailing rate of wage during the terms of any contract shall be at the expense of Contractor and not at the expense of the Park District. The change order shall be computed using the prevailing wage rates applicable at the time the change order work is scheduled to be performed. Contractor shall be solely responsible to maintain accurate records as required by the prevailing wage statute and to obtain and furnish all such certified records to Park District as required by Statute. Contractor shall be solely liable for paying the difference between prevailing wages and any wages actually received by laborers, workmen and/or mechanics engaged in the Work and in every way defend and indemnify Park District against any claims arising under or related to the payment of wages in

18 accordance with the Prevailing Wage Act. The Illinois Department of Labor publishes the prevailing wage rates on its website at: The Department revises the prevailing wage rates and the Contractor/ subcontractor has an obligation to check the Department s web site for revisions. 8. Where the Contract Sum is equal to or exceeds $50,000.00, the Contractor, before commencing the Work, shall furnish a Performance Bond and a Labor and Material Payment Bond. The Performance Bond shall be in an amount equal to 100% of the full amount of the Contract Sum as security for the faithful performance of the obligation of the Contract Documents, and the Labor and Material Payment Bond shall be in an amount equal to 100% of the full amount of the Contract Sum as security for the payment of all persons performing labor and furnishing materials in connection with the Contract Documents. Such bonds shall be on standard AIA Documents, shall be issued by a surety satisfactory to the Owner, and shall name the Owner as a primary co-obligee. The cost of the bonds is to be included in the Bid Proposal. The Performance Bond and Labor and Material Payment Bond will become a part of the Contract. The failure of the successful Bidder to enter into a Contract and supply the required Bonds within ten (10) days after the Notice of Award or within such extended period as the Owner may grant if the forms do not meet its approval shall constitute a default, and the Owner may either award the Contract to the next responsible, responsive Bidder or re-advertise for bids. A charge against the defaulting Bidder may be made for the difference between the amount of the bid and the amount for which a contract for the work is subsequently executed, irrespective of whether the amount thus due exceeds the amount of the bid guarantee. 9. Contractor agrees to maintain, without charge to the Owner, all records and documents for projects of the Owner in compliance with the Freedom of Information Act, 5 ILCS 140/1 et seq. In addition, Contractor shall produce records which are responsive to a request received by the Owner under the Freedom of Information Act so that the Owner may provide records to those requesting them within the time frames required. If additional time is necessary to compile records in response to a request, then Contractor shall so notify the Owner and if possible, the Owner shall request an extension so as to comply with the Act. In the event that the Owner is found to have not complied with the Freedom of Information Act due to Contractor s failure to produce documents or otherwise appropriately respond to a request under the Act, then Contractor shall indemnify and hold the Owner harmless, and pay all amounts determined to be due including but not limited to fines, costs, attorneys fees and penalties. /SIGNATURE PAGE TO FOLLOW/

19 IT IS MUTUALLY UNDERSTOOD AND AGREED that the Contractor shall have the full control of the ways and means of performing the work referred to above and that the Contractor or its employees, representatives or subcontractors are in no sense employees of the Park District, it being specifically agreed that the Contractor bears the relationship of an independent Contractor to the Park District.
