1 January 26, 2015 Dear Agency Principal, Attached is the Contingent Bonus Incentive for the 2015 calendar year. The changes to this year s plan, listed below, reflect our continued objective of sharing our success by rewarding the agents who produce profitable business for ICC. The Incentives have increased for a loss ratio below 30% for the Diamond Level Profit Sharing Bonus, Platinum Level Profit Sharing Bonus, and Commitment Bonus. Growth Bonus has been tied to the Platinum Level Profit Sharing Bonus. A growth bonus will not be earned unless a Platinum Level Profit Sharing Bonus is earned. Capped losses have increased from $275,000 to $350,000. The increase in Capped Losses reflects our higher internal retention of losses in our reinsurance structure. The Diamond Level Profit Sharing Plan requires a starting premium at the beginning of the year below $350,000. An Agency cannot start the year eligible for the Platinum level plan and then become eligible for the Diamond Level plan through premium reduction. The Commitment Bonus requires a minimum four year written premium of $6,000,000 which includes the current year.. 2 2015 CONTINGENT BONUS INCENTIVE In addition to the commissions paid by Illinois Casualty Company (ICC) to Agencies under the Agency-Company Agreement, ICC allows Agencies to earn an additional Contingent Bonus Incentive, hereinafter called Incentive, in accordance with the terms and conditions contained herein. I. BUSINESS SUBJECT TO THIS INCENTIVE A. All business placed with ICC by an Agency is subject to Incentive. II. INCENTIVE DETERMINATION PROVISIONS A. All calculations used in the determination of this Incentive are based upon information using the year or years ending on December 31, B. Incurred Losses include losses paid during the calculation period plus losses outstanding on open claims at the end of the calculation period, less losses outstanding on open claims at the beginning of the calculation period, without reduction for reinsurance or adjustment for claims incurred but not reported, including paid and outstanding allocated loss adjustment expenses, less recoveries received for salvage and subrogation. C. Capped Incurred Losses are defined as incurred losses limited to a maximum of $350,000 on any single claim. For claims that impact multiple policies, the maximum loss will apply per policy. D. The Incentive consists of three separate calculations, as follows: i. Profit Sharing Bonus: a. Based upon written premium for the year, an Agency may qualify for either the Diamond Level Profit Sharing Bonus or the Platinum Level Profit Sharing Bonus, but not both. 1. To qualify for the Diamond Level Profit Sharing Bonus, an Agency must have: I. Written premium for the year of at least $200,000; II. Begin the year with written premium below $350,000; III. A Four-Year Capped Loss Ratio of less than 58%; and IV. A valid Agency-Company Agreement in effect for at - 1 of 7 -

3 ii. iii. E. Growth Bonus least four full and continuous years. 2. To qualify for the Platinum Level Profit Sharing Bonus, an Agency must have: I. Written premium for the year of at least $350,000; II. A One-Year Capped Loss Ratio of less than 58%; and III. A valid Agency-Company Agreement in effect for the full calendar year. Diamond Level Profit Sharing Bonus is calculated as follows: a. Determine the Four-Year Capped Loss Ratio, which is the Four- Year Capped Incurred Losses divided by the four-year earned premium, rounded upward to the next whole percent. b. Based upon the Four-Year Capped Loss Ratio and the written premium for the year, select the corresponding Profit Sharing Bonus percentage in Exhibit A. c. Multiply the Profit Sharing Bonus percentage by the earned premium for the year. Platinum Level Profit Sharing Bonus is calculated as follows: a. Determine the One-Year Capped Loss Ratio, which is the Capped Incurred Losses for the year divided by the earned premium for the year, rounded upward to the next whole percent. b. Based upon the One-Year Capped Loss Ratio and the written premium for the year, select the corresponding Profit Sharing Bonus percentage in Exhibit B. c. Multiply the Profit Sharing Bonus percentage by the earned premium for the year. i. To qualify for a Growth Bonus, an Agency must have: ii. a. Written premium for the year of at least $350,000; b. Qualified for a Platinum Level Profit Sharing Bonus; and c. A valid Agency-Company Agreement in effect for at least two full and continuous years. Growth Bonus is calculated as follows: a. Determine the increase in written premium, which is the difference in written premium between the current year and the previous year, divided by the written premium for the previous year. - 2 of 7 -

4 III. F. Commitment Bonus b. Based upon the increase in written premium and the written premium for the year, select the corresponding Growth Bonus percentage from the appropriate table in Exhibit C. c. Multiply the Growth Bonus by the earned premium for the year. i. To qualify for a Commitment Bonus, an Agency must have: ii. a. Written premium for the year of fat least $2,000,000; b. A valid Agency-Company Agreement in effect for at least four full and continuous years; and c. At least $6,000,000 in four-year written premium including the current year. Commitment Bonus is calculated as follows: a. Determine the Four-Year Capped Loss Ratio, which is the fouryear incurred losses divided by the four-year earned premium, rounded upward to the next whole percent. b. Based upon the Four-Year Capped Loss Ratio, select the corresponding Commitment Bonus percentage from Exhibit D. c. Multiply the Commitment Bonus percentage by the earned premium for the year. G. The total Incentive is calculated by adding the Profit Sharing Bonus, Growth Bonus, and Commitment Bonus together, each as determined above. GENERAL PROVISIONS A. ICC s records shall be used to determine the calculation of this Incentive and all components thereof. B. The Incentive shall be paid no later than February 28, C. At its discretion, ICC may offer an early lock-in option. D. In addition to meeting the Incentive Determination Provisions stated above, an Agency s eligibility to participate in this Incentive is dependent upon Agency having a valid Agency-Company Agreement in effect on December 31, E. This agreement automatically terminates on January 1, F. Failure of ICC to enforce or apply the provisions of this incentive shall not be considered a waiver of these provisions. - 3 of 7 -
