2 1 Overview 1.1 About AWWA The American Water Works Association (AWWA) is an international, nonprofit, scientific and educational society dedicated to the improvement of water quality and supply. Founded in 1881, AWWA is the largest organization of water supply professionals in the world. Its nearly 50,000 members represent the full spectrum of the water community: treatment plant operators and managers, scientists, environmentalists, manufacturers, consultants, academicians, regulators, and others who hold genuine interest in water supply and public health. Membership includes more than 4,700 utilities that supply water to roughly 180 million people in North America. You may obtain further information about AWWA on our Web site at Overview and background information: AWWA is issuing this Request for Proposal (RFP) to identify interested contractors and to determine which contractor has the right combination of pricing, qualifications, governance and ability to service AWWA. There is no expressed or implied obligation for AWWA to reimburse responding companies or individuals hereafter referred to as the contractor for any expenses incurred in preparing or presenting information in response to this request. During the evaluation process, AWWA reserves the right to request additional information or clarifications from contractors where it may serve in AWWA s best interest. Top candidates may be asked to make verbal presentations to the AWWA Project Team. AWWA reserves the right to retain all proposals and to use any ideas in a proposal regardless of whether the proposal is selected. Submission of a proposal indicates acceptance by the contractor of the conditions contained in this request for professional service, unless clearly stated and specifically noted in the submitted proposal and confirmed in the agreement between AWWA and the selected contractor. 2 Scope of Work 2.1 Project Objective AWWA will design, develop, and deliver face-to-face training workshops to equip water sector managers and operators with the skills needed to effectively apply AWWA s cybersecurity resources. Workshop participant outcomes include identifying gaps in cybersecurity coverage as well as creating detailed, actionable steps to address those gaps to ultimately increase water systems security and preparedness. 2.2 Tasks For this project, contractor will organize existing materials (Guidance and Use Case Tool) for use in workshops. Each workshop will feature interactive discussions and activities that demonstrate how to specifically apply the content to address the needs of the participants attending the workshop. The

3 workshops will include tailored content for operators and managers at small to medium-sized water utilities (serving < 10,000 population) with limited internal capacity. In addition, the contractor will create one webinar that will introduce the Guidance and Use Case Tool, as well as one elearning course for participants who cannot attend live workshops. The scope of work identifies four development tasks. There are three distinct delivery modes: workshop, webinar, and an elearning course. These three delivery methods allow for content overlap while leveraging efficiencies gained through multiple learning opportunities. The tasks listed below are discussed in greater detail in the following sections. Task 1: Workshop development and delivery Task 2: Webinar development and delivery Task 3: elearning development and delivery Task 4: Modifications based on feedback from pilot workshops Task 1: Workshop Development & Delivery Task 1 includes development of cybersecurity workshop content. Activities in this task include the research, design, and development of a four-hour, face-to-face training workshop that introduces the AWWA Cybersecurity Guidance Document with the accompanying application of the AWWA Cybersecurity Use-Case Tool. The following subtasks are included in this effort: A. PowerPoint lesson development, including: PowerPoint slides Speaker notes for each slide Activities Quizzes B. Train-the-Trainer slides and notes that equip instructors to deliver the training workshops; this approach will ensure consistency in content delivery and set expectations for a highly interactive learning experience. Task 2: Webinar Development & Delivery Task 2 includes development of a cybersecurity webinar. Activities in this task include the design, creation and delivery of a 90-minute webinar. The webinar provides a quick introduction to, and serves as a prerequisite for the cybersecurity workshop. It covers the Cybersecurity Guidance Document and introduces the Cybersecurity Use-Case Tool. The following subtasks are included in this effort: A. PowerPoint lesson development, including: PowerPoint slides Speaker script Rehearsal and live delivery (recording)

4 Task 3: elearning Development & Delivery Task 3 includes the development of cybersecurity elearning content. The elearning content will be available to utility staff who are unable to attend local training workshops. The following subtasks are included in this effort: A. 5 3.3 Proposal Requirements All correspondence and responses concerning this RFP should be addressed to: Stacy Naus, Education Development Specialist II AWWA 6666 W. Quincy Ave Denver, CO To be considered, one (1) PDF format of the proposal shall be provided by 5:00 p.m. MT no later than January 6, The proposal should not exceed 10 pages in length. All proposals are required to include the following: 1. Transmittal letter on official business letterhead including: Name of the contractor submitting the proposal Name, title, address, telephone number, address of the individual to contact for further information Name, title, address, telephone number, address of the individual authorized by the organization to contractually obligate the contractor Signature of the individual authorized to contractually obligate the contractor 2. Project Manager and Staff: Describe the experience of the individuals who will be assigned to the project. 3. Organization: Provide a brief description of the contractor and indicate how many years the contractor has been providing services. Also identify the location of the primary office that will provide services to AWWA. 4. Scope of Services: Provide a description of the contractor s understanding of and a willingness to comply with the scope of services/statement of services to be provided. 5. Project budget: Target budget of $50, Timeliness: Provide a statement of assurance that the time deadlines for deliverables will be met. 7. Fees: Proposal fees for the services must be made on a not to exceed basis. AWWA has no expressed or implied obligation to reimburse contractors for their expenses incurred in preparing or presenting information in response to this request. 9. References: Contractor shall provide three (3) customer references of size and scope similar to AWWA. Please include the company name, company address, contact person, contact information, length of business relationship and any other relevant information. 3.4 Evaluation Criteria The responder will be evaluated using the following criteria: Service delivery and service assurance Organizational structure for service delivery and service assurance Proven services offerings which match the services/needs of AWWA Proposal costs & fees Feedback from existing customers Financial stability of bidding company Qualifications of professional staff & management team 3.5 Decision and Contracting Process The acceptance of a proposal does not obligate AWWA to purchase from any participating contractors. AWWA reserves the right to reject any or all proposals, wholly or in part. Receipt of this proposal constitutes acceptance of the AWWA non-disclosure agreement. All content within this document and discussed during the RFP process is subject to non-disclosure. AWWA reserves the right to change the RFP and issue an addendum. AWWA reserves the right to cancel or re-issue this RFP at any time without obligation of liability. AWWA reserves the right to request clarification, modifications, or additional information. After receipt of the proposal and prior to signing the contract, AWWA reserves the right to modify the system requirements by adding or deleting specific equipment or features. Proposals submitted may be reviewed and evaluated by any person(s) considered necessary to the decision making process for AWWA.

7 The proposal must contain a signature of an authorized officer or employee of the contractor submitting the proposal. Proposals & pricing must be valid for a minimum of 60 days following the closing date of this RFP. The prices quoted should be inclusive of all costs for providing the services requested. The selected contractor shall furnish certificates of insurance covering Workman s Compensation and Liability insurance and hold harmless against all claims. The selected contractor shall comply with all laws, codes, rules and regulations of the state of Colorado. If applicable, any permits lawfully required shall be obtained and paid for by the contractor. By submitting a proposal, the contractor affirms acceptance of the conditions specified above. AWWA will negotiate contract terms upon selection. All contracts are subject to review by AWWA legal counsel. 3.6 Indemnification/Insurance Contractor shall indemnify, defend, and hold AWWA harmless from any loss, cost, expense, or damage claimed by third parties for property damage and/or bodily injury, to the proportionate extent such loss, cost, expense, or damage arises from the negligence or willful misconduct of contractor in connection with the contract or project. AWWA shall indemnify, defend, and hold contractor harmless from any loss, cost, expense, or damage claimed by third parties for property damage and/or bodily injury, to the proportionate extent such loss, cost, expense, or damage arises from the negligence or willful misconduct of AWWA in connection with the contract or project. 3.7 Intellectual Property The products of the services and a contract shall be the sole and exclusive property of AWWA, free from any claim or retention of rights thereto on the part of contractor, its employees, or other parties. Contractor hereby represents and warrants that any work product delivered to AWWA hereunder shall constitute an original work of authorship and shall be free from any claims of infringement or other rights thereto. The parties agree that all such work product shall be works made for hire within the meaning of the U.S. Copyright Act and for all such products AWWA shall be deemed to be the author and shall have sole ownership, right, title and interest in all intellectual property rights embodied therein, including all copyrights, invention rights, patent rights, and trade secret rights. In the event that such work product is not considered works made for hire, contractor, on behalf of itself and its employees, hereby assigns to AWWA all rights, title and interest in and to all copyrights, invention rights, patent rights, trade secret rights, and any other intellectual property rights contained or embodied in any work product developed in whole or in part by contractor hereunder to AWWA.

8 Contractor further agrees to give AWWA, and any other person designated by AWWA, all assistance reasonably necessary to perfect its rights pursuant to this paragraph, and contractor agrees not to use, sell, transfer, assign, or plagiarize any work product that is developed hereunder.
