3 INSTRUCTIONS TO PROSPECTIVE FIRMS Genesis School is accepting Requests for Proposal (RFP) from facilities service firms for the purpose of selecting a facilities service firm that is capable of providing custodial services to the Genesis School. Please submit one (1) original and two (2) copies of your RFP response. Any questions regarding this RFP should be directed to Business Accounting Director, Bennie Jackson (bjackson@genesisschool.org). Responses and/or clarifications will be compiled and addressed in the form of an addendum to this RFP. Enclosed are the requirements and the response evaluation process. Responses will be at no cost or obligation to Genesis School. OBJECTVE OF RFP OVERVIEW The objective of this RFP is for firms with experience providing custodial services to school districts to present to the Genesis School District a RFP response that thoroughly details their ability and qualifications to provide the Genesis School District with custodial services. Genesis School District will select the Firm that it deems to be in its best interest. District will not consider dividing custodial services between different firms. EMPLOYEES The selected firm must provide all custodial employees required to perform those services to the district. PURPOSE Genesis School will select one (1) experienced and qualified facility services company from among those submitting responses to this RFP to proceed with a facilities services proposal. If approved by the Administration, the selected firm will then work with Genesis administration in the implementation of the transfer of responsibility for providing custodial services to the new firm. FIRM S RESPONSIBILITY pg. 3
4 Qualified facility services firms are requested to submit a response to the RFP based on the firm s experience and capability. Genesis School administration will select the firm deemed to be in the best interest of the school to proceed to the operational, staff development and cost assessment phase of the proposal. The final determination of the firm s response will be made by the school Administration upon final proposal negotiations between firm and administration. SITE VISITS AND DISTRICT INFORMATION This RFP is specifically to identify qualifications and cost of professional facilities management firms with current experience in K-12 public school districts. Therefore, for the purpose of this RFP, Firms that are requesting any additional information from school personnel other than clarification of information given may Bennie Jackson at bjackson@genesisschool.org with requests. SUBMISSION INSTRUCTIONS During the RFP process, the Firm shall direct all communications, comments, and questions in writing to the contact person; no other employee, agent, or attorney-in-fact of the Genesis School will be contacted. Failure to comply with this requirement may be cause for disqualification. If the Genesis School deems a response to a question is necessary, the query and response will be delivered to all Firms who have previously acknowledged their intent to propose. 5 SPECIFIC REQUIREMENTS: Qualifications should be clearly stated so that the Administration may properly evaluate the Firm's capabilities to provide the required services. Firms are required to submit the following items: 1. A complete RFP, fully responsive and addressing the areas identified within this RFP. 2. Must have current experience providing the type of and custodial services depicted within this solicitation. a. Firm must have the resources to support a project of this scope including the necessary technical and support personnel. Firm must be able to administrate the program of operation locally and to assign the necessary support staff on site. b. The firm must provide any equipment and supplies, including cleaning chemicals and floor wax, requirements at their own cost. 3. Provide resumes of the firm s management staff that will be directly responsible for the management of the school district s custodial operations. Resumes should address: a. Education and operational experience in the field of custodial services. b. Identify school district experience in the area of custodial services. c. Leadership and management experience. 4. All firms must provide a Certificate of Liability Insurance as proof they meet the following insurance requirements: a. Worker s Compensation and Employer s Liability Insurance-Coverage as required by the Worker s Compensation Laws of the state including both statutory lines and coverage. b. Automobile Liability: Firm must have insurance coverage for Hired and Non- Owned Automobiles. c. Commercial General Liability Insurance-The Firm shall provide proof of the following minimum liability limits: Coverage Limits of Insurance General Aggregate Limit $2,000, Products-Completed Operations Aggregate Limit $2,000, Personal and Advertising Injury Limit $1,000, Each Occurrence Limit $1,000, Medical Expense Limit (any one person) $5, Describe firm s employee hiring model including a description of employee benefits and an explanation of firm s position on full time versus part time employee staffing practices. 6. Provide a Certificate of Organization from the State of Missouri or other legally recognized documentation allowing the firm to provide services in the state of Missouri. pg. 5
6 7. Any other pertinent information which demonstrates the firm s capability to successfully perform custodial services. 8. Provide confirmation that the firm will staff the district with the firm s employees and will not sub-contract these services. GENESIS SCHOOL DISTRICT RESERVATIONS AND RESPONSIVENESS OF REQUEST FOR PROPOSAL The Genesis School District reserves the right to accept or reject any or all responses received, and reserves the right to make an award without further discussion of the RFP submitted. All submissions to this RFP must be in writing. A responsive proposal is an offer to perform, without condition or exception, the scope of services called for in this Request for Proposal. Non- responsive submissions shall not be considered. Responses may be rejected if found to be irregular or not in conformance with the requirements and instructions contained herein. A response may be found to be irregular or non-responsive by reasons including, but not limited to, failure to complete or utilize prescribed format, conditional proposals, incomplete responses, indefinite or ambiguous responses, and improper or undated signatures. Responses may be rejected if more than one proposal is received from an individual, firm, partnership, or corporation, or combination thereof, under the same or different names. Such duplicate interest may cause the rejection of all responses in which such Firm has participated. Other conditions that may cause rejection of responses include evidence of collusion among Firms, obvious lack of experience or expertise to perform the required work, or failure to perform or meet financial obligations on previous contracts, or, in the event an individual, firm, partnership, or corporation is on the United States Comptroller General s List of Ineligible Firms for Federally Financed or Assisted Projects. Proposals will be rejected if not delivered or received on or before the date and time specified as the due date for submission. The Genesis School District will assess the proposals in accordance with the information provided by firm, the proposal format found on page 6, the requirements for Firms provided on page 7, and will notify all Firms of the results within ten (10) days of the selection date. The objective is to execute an agreement with the selected Firm as soon as possible after the selection is made. If in the sole discretion of the Genesis School District the negotiations are unsuccessful, then the Genesis School District may discontinue them and begin negotiating with the next selected Firm, and so on, until a satisfactory plan and agreement are reached. Notwithstanding any other statements in this RFP, The Genesis School District is under no obligation to enter an agreement with any of the Firms. COMPLIANCE WITH LAWS pg. 6
7 The parties to the resultant agreement shall comply with the provisions of all applicable federal, state, county, and local laws, ordinances, regulations, and codes (including procurement of any required permits or certificates) in their respective performance thereunder including, but not limited to, the standards promulgated by the Occupational Safety and Health Act, Executive Order 11246, as amended, relative to Equal Employment Opportunity, Section 503, or the Rehabilitation Act of 1973, and Section 402 of the Vietnam Era Veterans Readjustment Assistance Act of 1974, and all applicable laws, orders, and regulations concerning immigrants and nondiscrimination in the employment of minorities, females, veterans, and the handicapped. Irrespective of whether a specification is furnished, if products, services, or containers furnished are required to be constructed, packaged, labeled, or registered in a prescribed manner, the service provider shall comply with the federal law and with applicable state or local law. The service provider agrees to indemnify the Genesis School District and defend the Genesis School District against any claims, loss, or damage sustained because of its noncompliance hereunder. Firm shall agree to comply with all applicable policies and procedures of the District s Board of Education. PROPOSAL FORMAT Firms will present their experience and qualifications response in the following format. Firms are urged to keep their responses clear and concise. Responses must include the following information in the following order: Tab 1: An introduction letter and/or brief overview of the firm, giving official name and location, and the name, address, and phone number of the contact for this RFP response. Tab 2: Certificate of Organization from the State of Missouri or other legally recognized documentation allowing the firm to provide services in the state of Missouri. Tab 3: Certificate of Liability Insurance which complies with paragraph 3 above. Tab 4: Resumes of the firm s management staff that will be directly responsible for the management of the school district s custodial operations. Tab 5: Provide no less than two school district references which the firm provided contracted full time custodial services. Provide name, title, phone number and address. Tab 6: Provide a description of the firm s employee hiring model including a complete employee benefits description and an explanation of firm s position on full time versus part time employee staffing practices pg. 7
8 Tab 7: Provide a detailed description of how the firm would staff the district. Include at a minimum: i. Numbers of day porters and night porters assigned to the district. ii. Pay rates of all assigned personnel. v. Overtime rates that would be charged to the district. iii. Number of supervisors assigned to the district including pay rates. iv. Identify the number of full-time and part-time positions. Tab 8: Provide a description of firm s employee training program and quality control program. Tab 9: Pricing sheet. See Attachment A ORAL INTERVIEW The Genesis School District may require qualified firms to participate in an oral interview to discuss their proposal and to answer any questions the District may have regarding the proposal. If required, the Genesis School District will contact the official contact name as listed in the proposal. DISTRICT INFORMATION The Genesis School District is comprised of the following: Genesis Schools: 260 students One (1) K-8 school building One (1) (two classroom) trailer One (1) administrative offices. REQUIREMENTS FOR FIRMS 1. Firms must successfully demonstrate school district experience in providing custodial services. Provide no less than two school district references which the firm is currently providing contracted full time custodial. 2. Firms must demonstrate a firm understanding of custodial work order management. 3. Firms must staff the district with their own full time employees and agree not to subcontract services. 4. Firm must have a training program in place to ensure all employees are properly trained to perform their duties. 5. Firms must have general liability insurance in the amounts prescribed in this RFP. pg. 8
9 6. Firms must show evidence of a quality control program. 7. Firms must be legally certified to operate as a legal business entity in the State of Missouri. 8. Firms must have the management and staff necessary to provide quality services to the Genesis School District. 9. Firms must meet all laws, codes, and requirements of local, state and federal law. 10. The firm must provide equipment and supplies, including cleaning chemicals and floor wax, requirements at their own cost. 11. Firm must ensure that all of firm s employees pass a background check in accordance with state and Genesis School Districts requirements. No employee of the firm will be allowed to work on district property until the results of the background check have been received and approved by the Genesis School District. Background checks for the firm s employees will be at no additional cost to the district. 12. Firm shall not utilize an employee on District property who is a registered sex offender. 13. Firm shall provide to District a sworn affidavit and other sufficient documentation to affirm its enrollment and participation in a federal work authorization program with respect to the employees working in connection with this Agreement. Firm shall also provide District a sworn affidavit affirming that it does not knowingly employee any person who is an unauthorized alien in connection with the Work. PROOF OF REQUIREMENT The Genesis School District will ensure compliance with the above requirements by checking references listed in the proposals, as well as checking other data and sources. EVALUATION OF PROPOSALS It must be understood by each firm submitting a proposal that the nature of the Genesis School District s facilities custodial operation is complex and that detailed specifications of services to be performed are not itemized in this RFP. Rather, it is for the Firm to show their expertise, experience, and capability in the proposal document. Contract award is not limited to the lowest bid. The Genesis School District will evaluate the proposals, based on their merit, and select the firm that the District feels is in the best interest of the District. THE FOLLOWING SPECIFICATIONS ARE LISTED ONLY AS GUIDE FOR WHICH DUTIES THE SUCCESSFUL FIRM WILL BE RESPONSIBLE. THE FINAL SPECIFICATIONS WILL RESULT FROM NEGOTIATIONS BETWEEN THE CHOSEN FIRM AND THE GENESIS SCHOOL DISTRICT. COST FOR COMPLETING pg. 9
10 THESE SPECIFICATIONS SHOULD NOT BE INCLUDED IN THE RESPONSE TO THE RFP. MANAGEMENT SPECIFICATIONS SERVICES A. CUSTODIAL SERVICE: The Firm s custodial service for the District will provide service to all buildings currently being cleaned and operated by the District. Details of the buildings and areas to receive custodial services, as well as details of the present custodial duties and responsibilities, will be made available to the selected Firm. As a part of this program, the Firm shall provide all custodial cleaning chemicals and cleaning supplies however, the selected Firm will be allowed to use the District s equipment, but will be responsible for the expense of maintaining that equipment. The District will also provide all toilet tissue, paper towels, plastic receptacle liners, and hand soap and other disposable supplies B. Quality of Work and Standards of Cleanliness The firm is expected to use first quality workmanship and quality equipment, materials, and supplies in carrying out its duties. Best management practices of the building cleaning industry are required regarding sanitation, housekeeping, safety, and public relations. Genesis requires compliance with Genesis cleaning standard level 2 at a minimum. The Genesis cleaning standards level 1 and Level 2 are defined as follows: Level 1: a. Floors and base moldings shine and/or are bright and clean, colors are fresh b. There is no buildup in corners or along walls c. All floors are swept daily d. All vertical and horizontal surfaces have a freshly cleaned or polished appearance and have no accumulation of dust, dirt, marks, streaks, smudges or fingerprints e. Lights and fixtures are clean (no bugs or dirt observed) f. Washroom and shower fixtures and tile shine and are odor free. Supplies are adequate g. Trash containers and pencil sharpeners hold only daily waste and are clean and odor free. Level 2: a. Floors and base moldings shine and/or are bright and clean, colors are fresh b. There is no buildup in corners or along walls c. All floors are swept daily d. All vertical and horizontal surfaces are clean, but marks, dust, smudges and fingerprints are noticeable upon close observation. e. Lights and fixtures are clean (no bugs or dirt observed) pg. 10
11 f. Washroom and shower fixtures and tile shine and are odor free. Supplies are adequate g. Trash containers and pencil sharpeners hold only daily waste and are clean and odor free. All special circumstances requiring additional/revised hours must be pre-approved by the Business Accounting Director or his designee. The sites may include, but are not limited to: elementary, middle, and/or high School, portable classrooms, and administrative locations or a combination thereof. C. Trash Disposal Genesis will provide containers for the firm s use, for the disposal of waste paper, trash, and debris. The firm shall ensure that all trash and debris, collected each day is placed in these containers on a daily basis and the lids kept closed. If there is a recycling container on the site, the firm is required to support the recycling program by placing the approved materials in the recycling bin and not in the trash container. This is to be done on a daily basis. D. Work Hours and Methods The firm night crew shall clean the facilities five (5) times per week, Monday-Friday, in accordance with the schedules issued by Genesis. The exception will be for days declared as official Genesis holidays. In the event schools are not opened, or in the event schools are closed early, due to inclement weather or emergency conditions, the owner s Representative or her designee will notify the firm of any needed adjustments. The firm will typically be required to work in the event of such circumstances as to ensure the readiness of the facility the following day. It is expected that the firm shall resume their regular schedule on the next available workday. Any work that was left uncompleted due to an unexpected closure must be completed along with regularly scheduled duties, on the next available workday. In most cases, the firm s employees will be reporting sometime after 5:00 p.m. each day (available work hours, 5:00 p.m. to 9:00 a.m.), to begin cleaning duties. Actual hours will be confirmed for each individual facility. Employees are required to complete all required items as outlined in frequency chart. Firm must notify Genesis if they are not able to remove all trash from building due to circumstances beyond their control. The notification of disruption in service will ensure the day porters are aware of the problem and immediately be dispatched to the areas not completed. All housekeeping and cleaning duties must always be done with a minimum of disruption to normal instruction and other functions. If the firm feels that the listed available hours for cleaning are not adequate for maintaining clean facilities, they may submit a proposed alternative schedule. Please explain the nature of the change(s) and why the change is an improvement. The firm should not use the proposed schedule before and unless receiving pg. 11
12 written approval from Genesis. Firm must notify Genesis if they are not able to complete any duties as outlined on the frequency chart due to circumstances beyond their control. In the event of special evening meetings or activities occurring at the facility, as a general rule, the firm s cleaning crews should not stay beyond 1:30 a.m. If the firm s crews must stay later than 1:30 a.m., the supervisor shall notify the Business Director no later than 11:30 p.m. of the same evening. If the firm plans or is scheduled to do weekend or holiday cleaning, the Owner s Representative or designee must approve in writing. Firm may not work weekend or extended evening hours without written consent from the Business Accounting Director. The firm must ensure that the Business Accounting Director and the appropriate Genesis Facilities personnel are properly notified. The supervisor and firm s staff must have this approval available on-site. E. Notification of Influenza/ H1N1 Outbreaks a School Following the notification of a known case of H1N1 with in Genesis facility the firm will be notified and will be required to conduct the following: a. Clean and disinfect all areas of the known case at the school/facility. b. Be prepared to show verification of disinfectant measures to custodial inspector. c. Disinfectant measures will continue until notification from the Genesis Custodial Services Specialist to resume normal cleaning. F. Supplies and Equipment The firm shall provide: a. All labor, supervision, equipment, materials, supplies, tools, etc. as are required for undertaking custodial services for the schools/facilities under contract. b. All cleaning materials and equipment to be used by the firm are to be supplied and maintained by the firm at its sole cost and expense. c. Adequate storage space for supplies and equipment will be provided for the firm. These areas shall be kept clean and organized by the firm. d. Genesis reserves the right to provide all supplies and equipment. Genesis may provide supplies and equipment and the firm will provide the labor. e. Firm shall use environmentally safe cleaning products certified by a qualifying green seal agency. f. Firm must have updated equipment and said equipment must be available for inspection when requested by Genesis personnel. All floors must be dust mopped before wet mopping using 18 or 24 dust mops for class rooms and 36 or 48 for large rooms, gyms and hallways. If upon inspection improper equipment is being pg. 12
13 used to complete a cleaning task the Genesis staff member identifying the misuse will notify the Custodial Services Specialist. g. All sanitary chemicals shall have UL approved label. Abrasive cleaners and polishes shall not be used routinely. When these are essential they shall be used with great care and caution. h. The restrooms are to be stocked by the day cleaning personnel. G. Restrooms a. All restroom surfaces, including toilet seats, face bowls, mirrors, vent fans, floors, walls and partitions, etc. shall be cleaned thoroughly each night with a disinfectant cleaner. They shall be maintained in a condition free of noxious odors and residues. b. All restroom floors shall be cleaned in accordance with the schedule shown on Frequency Chart, or as often as is necessary to maintain a sanitary condition, free of noxious odors or residues. c. All restrooms are to be deep cleaned and scrubbed weekly. Deep clean shall be done with a low speed and scrub brush or a pressure washer. d. All trash shall be emptied on a nightly basis. H. Summer, fall and spring break Cleaning It is the expectation of Genesis that the buildings will be deep cleaned and fresh wax put down during the summer. The firm will be given a specified time in which this is to happen. This time will typically range from 3-4 weeks if possible, based on the schedule for school usage. Any changes to the schedule after that point will be recorded and reported to Genesis facilities representative with reason noted. Genesis expects this cleaning to be done in a certain specified sequence. This sequence is as follows: I. Classrooms a. Area rugs removed to an area to for cleaning. No dirty rugs are to be stacked on the clean furniture that is in the hallways. b. All trash shall be removed from the school. c. All furniture cleaned inside the classrooms. The cleaning of the furniture includes the removal of marks, graffiti, and gum. Once cleaned, the furniture may be moved out into the hallways. No dirty furniture is to be placed in the hallways. d. Do not remove computer tables or unplug any equipment. e. Hi-low dusting shall be performed. This is to include all light lenses and fixtures. f. Walls shall be wiped down and scrubbed where necessary. This is to include all spills and marks, and graffiti removed. No tape residue or staples should be remaining. g. Windows shall be washed. Windows shall be cleaned with no tape residue or marks remaining. h. All horizontal surfaces wiped down. This includes sinks and chalk trays. i. Once all other areas are complete in the classroom, the floors may be stripped. There should be pg. 13
14 j. No old wax, tape, or other residue or foreign objects visible on the floors once the stripping has been completed. k. Once the wax has dried, the furniture is to be moved back into the room. II. Hallways a. Hi-low dusting shall be performed. This is to include all light lenses and fixtures. b. Walls shall be wiped down and scrubbed where necessary. This is to include all spills and marks, and graffiti removed. No tape residue or staples should be remaining. c. Windows washed. Windows shall be cleaned with no tape residue or marks remaining. d. All horizontal surfaces wiped down. e. Once all other areas are complete in the hallways, the floors may be stripped. There should be no old wax, tape, or other residue or foreign objects visible on the floors once the stripping has been completed. III. Restrooms a. Hi-low dusting shall be performed. This is to include all light lenses and fixtures. b. Walls wiped down and scrubbed where necessary. This is to include all spills and marks, and graffiti removed. c. All partitions shall be wiped down and scrubbed. d. All fixtures shall be wiped and scrubbed down. e. Windows shall be washed. Windows shall be cleaned with no tape residue or marks remaining. f. All horizontal surfaces shall be wiped down. g. Floors shall be deep cleaned and scrubbed. This deep cleaning shall be done with a low speed and grout brush or a pressure washer. h. Floor drains shall be cleaned. CONTRACTUAL AGREEMENT STANDARD TERMS AND CONDITIONS This RFP shall be included and incorporated in the final award. The order of contractual precedence will be the purchase order/rfp document and response. Any and all legal action necessary to enforce the award will be held in Jackson County, Missouri and the contractual obligations will be interpreted according to the laws of Missouri. LEGAL REQUIREMENTS Federal, state, county, and local laws, ordinances, rules, and regulations that in any manner affect the items covered herein apply. Lack of knowledge by the Firm will in no way be a cause for relief from responsibility. Firms doing business with the District are prohibited from discriminating against any employee, applicant for employment, or client because of race, creed, color, ancestry, religion, national origin, sex, or age with regard to, but not limited to, the following: employment practices, rates of pay or other compensation methods, and training selection. pg. 14
15 UNIFORM COMMERCIAL CODE The Uniform Commercial Code shall prevail as the basis for contractual obligations between the awarded Firm and The Genesis School District for any terms and conditions not specifically stated in this RFP. FIRM S RESPONSIBILITY Each Firm is required, before submitting their proposal, to carefully examine the RFP specifications and to completely familiarize themselves with all of the terms and conditions that are contained within this RFP. Ignorance on the part of the firm will in no way relieve them of any of the obligations and responsibilities that are part of this RFP. CONFLICT OF INTEREST The award hereunder is subject to provisions of state statutes. All Firms must disclose with their RFP the name of any officer, direction, or agent who is also an employee of The Genesis School District or on its Board. Further, all Firms must disclose the name of any District employee who owns, directly or indirectly, interest of 10 percent or more in the Firm s firm or any of its branches. NON-COLLUSION The Firm certifies that this RFP is made without prior understanding, agreement, or connection with any corporation, firm or person submitting a response for the same materials, services, or equipment and is in all respects fair and without collusion or fraud. AVAILABILITY OF FUNDS The obligations of The Genesis School District under this award are subject to the availability of funds lawfully appropriated for its purpose by the state and The Genesis School District Board of Education. All purchases are contingent upon available District funding. BANKRUPTCY OR INSOLVENCY At the time of submittal of proposal, the firm and its owners shall not be in the process or engaged in any type of proceedings of insolvency or bankruptcy, either voluntary or involuntary, or receivership proceedings. If the firm is awarded a contract for six (6) months or longer and files for bankruptcy, insolvency, or receivership, the District may, at its option, terminate and cancel said contract, in which event all rights hereunder shall immediately cease and terminate. RIGHT TO TERMINATE pg. 15
16 In the event that any of the provisions of the RFP are violated by the successful Firm, The Genesis School District may serve written notice upon such Firm of its intention to terminate the contract. However, the liability of such Firm and it s surety for any and all such violation(s) shall not be affected by any such termination. DIRECTOR OF FACILITIES MANAGEMENT The Business Accounting Director is hereby designated as the direct representative of The Genesis School District and shall settle all disputes, questions, or doubts that may arise as to the meaning of any clause in these specifications, or methods of prosecution of the contract, and decisions shall be final and conclusive. COMPENSATION INSURANCE The Firm shall maintain, during the life of the contract, Workers Compensation Insurance in accordance with Missouri law. Firms shall require all sub-firms to maintain such insurance during the life of this contract. FIRM S PROTECTIVE LIABILITY The above policies for public liability and property damage insurance must be so written as to include contingent liability and contingent property damage insurance to protect the contract against claims arising from the operation of sub-firms. PROOF OF INSURANCE In addition to the Certificate of Insurance required at the time of RFP submittal a final Certificate of Insurance, as outlined herein, shall be furnished to the Genesis School District within ten (10) business days of the notification of the intent to award the contract. Certificates of Insurance shall provide a minimum of a thirty (30)-day notice of cancellation to the Genesis School District. These Certificates of Insurance shall be sent to: 100 Smith Street, Gower, MO HOLD HARMLESS AND INDEMNIFICATION AGREEMENT The Firm shall assume full responsibility for and shall indemnify the Genesis School District for any and all loss or damage of whatsoever kind and nature to all The Genesis School District property in his custody for service under this agreement, resulting in part from the negligent act or omission of the sub-firm, or employee, agent, or representative of the Firm. PROTECTION OF PROPERTY The successful Firm shall at all times guard from damage or loss the property of the Genesis School District or others, and Firms shall replace or repair any loss or damage unless caused by Genesis School District employee or others. The Genesis School District may withhold pg. 16
17 payment or make such deductions as it might deem necessary to ensure reimbursement for loss or damage to property through negligence of the successful Firm or his agents. AWARD Please be advised that it is the policy of the Genesis that contracts are awarded without regard to the race, color, sex, religion, national origin, marital status, sexual orientation, age, or disability of the firm. a. This contract shall be for one (1) base term (of one year or less) with four (4) oneyear options to renew at the sole discretion of the Superintendent of Genesis. The contract will be conditional upon the firm s ability to comply with requirements set forth in the solicitation documents. b. Genesis has selected as its owner s representative, the Business Accounting Director c. Supervision of the contract will be performed by the owner s representative or his/her designee. d. Pricing must remain firm for one (1) year from date of award. e. At the end of each contract term, the awarded firm may request a price redetermination. f. Price redetermination requests must be submitted to the Business Accounting Director ninety (90) days prior to the contract term expiration date accompanied by justification of price re-determination. A. Genesis may, at its discretion: a. Accept the proposed price re-determination. b. Reject the proposed price re-determination. c. Suggest an alternative price re-determination. B. Genesis rejects a proposed price re-determination the awarded firm may: a. Continue with the existing pricing. b. Suggest an alternative price re-determination. c. End the contract. C. Firm shall not provide goods or services until a purchase order has been issued by Genesis. D. Invoices a.
