Who are we We are a private Equity firm established in the Dubai International Financial Center (DIFC), and licensed (license pending) by the Dubai Financial Services Authority (DFSA) as a Category 3C Asset Management firm. 06 Our shareholders and management team have extensive experience in investing, building, and divesting from companies at varying levels of maturity. 5 Corporate Governance We at DUX Capital believe that good corporate governance makes good sense. We aspire to the highest standards of transparency in all that we do, and we seek to demonstrate this in all our activities. we have obtained a provisional license from the Dubai Financial Services Authority (DFSA) as a Category 3C Organization to carry out Private Equity and Asset Management activities from the Dubai International Financial Centre (DIFC). We have adopted a holistic and comprehensive approach to Compliance, Governance and Risk Management in order to ensure that our investors and shareholders know with certainty that our Accordingly, we are subject to quarterly and annual reporting and inspection visits and reviews in support of our ongoing obligations to meet and exceed the regulatory requirements. entire business activity and employees are subject to the rigors of world standard regulatory scrutiny. Our governance standards and risk management practices thereby underpin our regulatory responsibilities. Committees DUX Capital has established a number of committees to deal with every aspect and to ensure transparency and collective decision making Investment Committee Investment Committee is responsible for investment and divestment and is consulted at all critical stages of a transaction. The committee is also responsible for post investment monitoring. It is chaired by Chief Executive Hazim Madany. Compliance & Risk Management Committee The committee is responsible to ensure the effective management of compliance and operational, reputational and liquidity risk throughout the Company in support of the strategy, in line with the risk appetite and the Governance, Risk and Control Framework. Audit Committee Audit Committee is responsible for overseeing financial reporting and disclosure, including the oversight of financial reporting, the monitoring of accounting policies, the oversight of any external auditors, regulatory compliance, and the discussion of risk management policies with management. It is chaired by independent Director Moatasim Nouri. Remuneration Committee The remuneration committee ensures that remuneration arrangements support the strategic aims of the company and enables the recruitment, motivation and retention of senior executives while also complying with the requirements of the DFSA
6 Management We believe that intellectual capital is critical to providing innovative solutions and, ultimately, having a positive economic impact. Our Management Team have extensive experience in building and managing companies in diverse industries and geographies. Hazim Madany Chief Executive Ahmed Badawi Chief Financial Officer Mr. Madany extensive Financial Services and transformational experience. Before joining Dux Capital he was the CEO and MD of dopay International, an international banking company with operations in a number of countries. Previously he was CEO of Tanmeyah Micro Enterprise Services as well as serving as the COO of Bank of Alexandria Intesa Sanpaolo. Mr. Madany received his B.Sc. in Computer Science and Engineering from the University of Wisconsin, Madison (USA) in He also received his Diploma of Graduate Studies in Business Administration, from the University of Warwick (United Kingdom) in Mr. Badawi is a Certified Professional Accountant (CPA) from the State of California and the State of Colorado. He has over 25 years working as an auditor and finance professional in international reputable firms. Recently, Mr. Badawi was the CFO of Arabian Capital Investment & Finance Company (Dubai) limited, a Private Equity firm in the DIFC. Prior to that he was a Partner with Grant Thornton UAE in leading the Assurance line of service in Abu Dhabi, this included both core Assurance Services and, Risk Assurance Services. Maysan F. Almaskati Chief Investment Officer Bilal Subhani Fund Director Infra-structure Fund Mr. Maysan Almaskati Brings with him more than 19 years of investment banking experience mainly focused on Private Equity and Real Estate investments. Previously he was the Managing Director of MASEcap Advisors. Prior to that, he ran the Asset Management Group of the Bahrainbased Ithmaar Bank with US$1.3+ billion AUM. Earlier Mr. Almaskati was a core member of Emerging Markets Partnership the US$730 million IDB Infrastructure Fund. Maysan holds a B.Sc. degree in Industrial and Manufacturing Systems Engineering from Kansas State University, USA. Mr. Subhani has more than 15 years of experience across Europe, GCC, Far East and South Asia including originating, sourcing and structuring private equity mandates and managing PE/VC mandates across key economic sectors. Mr. Subhani holds a specialized MBA from Warwick Business School, UK, in addition to advanced professional diploma and certificates from MIT, Wharton, Yale and Bocconi

Accordingly, we adopt a very structured approach to Risk Management building Risk identification involves the investment Committee, appropriate stakeholders, and includes an evaluation of environmental factors, organizational culture and the investment business plan. Identified risks are assessed to identify the range of possible outcomes. Qualification will be used to prioritize the risks. The probability and impact of occurrence for each identified risk are assessed by the Investment Committee using qualitative risk analysis processes upon the extensive experience and expertise of our team: Risk Management Analysis of risk events that have been prioritized using the qualitative risk analysis processes and their effect on business activities are quantified For each risk, one of the following approaches are selected to address it: Avoid eliminate the threat by eliminating the cause Mitigate Identify ways to reduce the probability or the impact of the risk Accept Nothing will be done Transfer Make another party responsible for the risk (buy insurance, outsourcing, etc.) 18 19
