Brie f Projec t Descriptio n The Passamaquodd y Tribe, a federall y recognize d American Indian Tribe, i s proposing t o bu y a controlling interes t i n Strong Grou p Inc. (th e "Company") a manufacturer an d markete r of specialt y leathe r an d relate d products, an d t o immediatel y open a ne w manufacturin g facilit y fo r leather product s o n th e Passamaquoddy India n Reservation at India n Township, Maine. Strong Grou p wa s founde d i n an d purchase d i n b y th e present management. The compan y is located i n Gloucester, Massachusetts an d employ s approximatel y 12 0 people. Stron g Group currentl y ha s annua l sale s o f approximatel y $5,000,00 0 and a n annualize d cash flo w of $350,000. Stron g Grou p manufactures, throug h it s Holster Division, leathe r holsters, belts an d accessorie s for the sportin g goods, la w enforcemen t and militar y markets. Through its flat leathe r division, Strong Grou p manufactures an d custo m print s o r embosse s hig h quality fla t leathe r good s rangin g fro m ke y chain s an d credi t card holder s t o portfolios an d briefcases. Throug h its ad specialty division, Stron g Grou p markets promotiona l item s ranging fro m not e pad s t o te e shirt s t o embossed leathe r good s (including thos e o f its own manufacture ) to gold pe n an d pencil set s for businesses t o use fo r gifts an d advertisin g purposes. Th e Compan y ha s a well establishe d reputatio n an d marketing presenc e i n its business sections. Furthe r information o n th e Stron g Group' s management an d historica l performance i s in Exhibit A. Buyin g int o a n establishe d entity suc h a s thi s wit h experience d management, th e Passamaquoddy Tribe wil l avoi d the inheren t risk s i n startin g up a ne w business. Strong Grou p ha s bee n unable t o meet th e increase d demand in eac h o f its product line s i n recent years becaus e o f a lac k of capita l an d th e inabilit y t o hire additiona l worker s a t its present facilit y i n northeastern Massachusetts, wher e unemployment i s among the lowes t i n the nation. Th e Passamaquoddy Tribe wil l eas e th e liquidit y pressure s with its equity infusio n int o th e Stron g Group. T o overcom e th e employment problems, th e majority of th e operation s of th e holster divisio n wil l b e transferre d t o th e ne w facilit y a t Indian Township. This change will no t resul t i n an y displacement o f workers a t th e existin g facilit y i n Gloucester. Th e employee s o f th e holste r divisio n wil l b e transferred t o th e fla t leathe r division, wher e th e Company is in nee d o f additiona l labor. A s a resul t o f th e labo r shortage i n Gloucester, it is anticipated tha t mos t o f th e future growt h will tak e plac e throug h furthe r expansio n o f th e new India n Township facility. 12
6 In eac h o f Stron g Group' s major markets, ther e i s potential benefi t t o bein g a minority owne d an d manage d enterprise. Fo r example, th e Federa l Government, throug h various agencie s an d th e arme d services, i s th e larges t consumer o f holster s an d accessorie s i n th e U. S. Th e Federa l Government ha s purchasin g program s aime d specificall y a t minority owne d companies i n th e a d specialt y industry, larg e corporations ar e amon g th e larges t customers fo r promotiona l items, an d man y of thes e corporation s hav e affirmativ e action-related purchasin g goals. In orde r t o benefi t fro m th e minority-owne d status, th e Passamaquoddy Tribe wil l purchas e a majority ownershi p position i n Strong Grou p i n a simultaneou s tw o ste p transaction. Frist, th e Trib e wil l purchas e 13.3 % o f th e existing stoc k fro m th e curren t owner s fo r $200,00 0 then th e Company will issu e an d th e Trib e wil l bu y fo r $1,150,00 0 sufficient stoc k t o rais e th e Passamaquodd y Tribe's tota l ownership stat e t o 51%. Mos t likely, th e survivin g entit y will b e converte d t o a partnership. Under th e abov e scenario, th e Passamaquoddy' s investmen t in Stron g Grou p would b e $1,350,000. I t i s anticipated tha t this investmen t wil l b e funde d b y a Bureau o f India n Affair s grant t o th e Trib e fo r $250,00 0 an d $1,100,00 0 fro m Triba l funds. O f th e tota l $1,350,000, $200,000 will hav e been pai d to stockholders, an d th e balanc e will b e retaine d a s fres h equity i n Strong Group, a portio n o f whic h would b e use d t o pay dow n debt, an d a portio n whic h would eventuall y suppor t the workin g capita l need s ($500,000 ) of th e propose d ne w facility a t India n Township. Th e ne w plan t a t India n Township will b e operate d a s a division o f Stron g Grou p o f which th e Passamaquodd y Tribe wil l b e th e majorit y owner. I n addition t o th e capita l infusio n int o th e Stron g Group, th e Tribe wil l contribut e $138,08 1 towards th e cos t o f constructing a ne w facilit y a t India n Township. Therefore, the Tribe' s tota l investmen t wil l b e $1,288,081. Initial estimate s o f th e cost s o f th e constructio n an d starting u p o f th e ne w operatio n a t India n Townshi p ar e a s follows: Construction o f ne w buildin g with 15,00 0 sq. ft. of manufacturin g and 3,00 0 sq. ft. of offic e spac e $620,203 Site preparatio n $100,000 Manufacturing equipmen t $250,000 Computer-Interlink equipmen t $ 50,00 0 Working capita l $500,000 $1,520,203
