Roll Call, Proof of Notice & Review of the 2013 PWCA Annual Meeting Minutes. a) Matt made a summary motion to waive the roll call, proof of notice, and review of the 2013 Annual Meeting minutes, which were all included in the Annual Meeting mailing (see Appendix). Lance seconded the motion & no one opposed. The motion passed. b) Kevin made a motion to approve 2013 minutes. Matt seconded the motion. There was no discussion. All approved the minutes & no one opposed. The October 10, 2013 Minutes have been approved. 3. Reports of Officers a) The secretary Sue Williams reported some of the accomplishments of the Board & Property Management for 2014: i) The Insurance Amendment has been approved by 2/3s of the unit owners and so passed. Now PWCA will not be responsible for the deductible for damage originating from a unit. ii) Major roof & lobby leaks eliminated due to masonry work, re-caulking the sidewalk borders & thresholds in the area between the upper & lower parking lots & making sure roof drains are functioning properly. iii) Lobby beam inspected & found to be sound. Fascia removed. iv) Increased Energy Usage Efficiency: (1) Common area lights replaced with energy efficient LEDs (2) Energy efficient heaters installed in West Wing (3) Alternative Energy Plan in progress v) Drains soil & gravel installed on the path on the southwest of the west wing. vi) Visitor parking signs installed vii) Ornamental grass & Old Gold Juniper planted in the center island in the lower parking lot. 4. Election of members to the Board of Directors i) Matt & Jen s terms have expired. They have indicated they would be willing to serve on the Board again if elected. ii) Jane nominated Krista. Gwen seconded the nomination. iii) Jennifer & Matt were nominated & seconded for election to the Board. iv) The slate was approved. 5. Presentation and Ratification of the Adopted 2015 Operating Budget a) Krista: What specific items increased? Josh: Electric, Alarm, Snow contract, trash, exterminator, insurance and management fee. b) Guy Fucci: are all these increases included in the 2015 budget? Yes these increases come to 5%, which is the budget increase the Board adopted for the 2015 budget. c) Elona is there a plan for carpet cleaning? There is no formal plan yet. 2 d) There was some discussion on finding the balance between the value of using a contractor we know & who knows the property & using the lowest bidder to save cost. We used the low bidder for Snow Removal last winter and the service was unsatisfactory. The only contract that has not gone out to bid lately is Trash Removal. 6. Presentation and Ratification of the Adopted $36,000 Special Assessment a) Discussion: i) The proposed Special Assessment is for $36,000 - $30,000 for full carpet replacement in the common areas, $6,000 for resealing & restriping the parking lots. These improvements would increase property value & curb appeal & are improvements that would be noticeable to all. ii) Crack sealing will help present new damage. Anita can parking lot be redone in sections? iii) Rhonda was in carpet business and does not think we need to replace the carpet. iv) Krista questions that the Board used the proper process for notifying the owners of the proposed assessment. If the Board does not have current bids how do they have a realistic idea of the cost? Krista does not think we should ask for more money than we need. Josh Thanked Krista for her questions. The Board & Josh believe we adopted the Assessment Proposal properly & so does the Association lawyer. Any extra money from the Assessment would go to reserve. v) Suzanne Grella the assessment seems proactive. This Board is dealing with old issues. vi) Anita there has been no preventive maintenance. vii) Guy how is the assessment broken down: $30,000 for carpet - $6000 for parking lot. viii) Jane & Krista are concerned about timing. A common fee increase and assessment in winter & the holiday season would be difficult. Kevin & Josh replied the timing for the assessment has not been set. Josh this is not about timing, it is about the about money. Do the owners want to spend the money on the improvements or not. The Board decided not to have a payment plan. Owners could have until April to pay the assessment before a late fee would be incurred. ix) Lance asked Krista if she approves the work. Krista replied she does not like the rush about the assessment. x) Jane would rather have assessment for critical items like the fire pump. Josh replied that it is one bucket of money. xi) Linda would like to live in a building, her home that looks good. She considers this a return on her investment. Linda expressed confidence in Josh & the Board. xii) Michelle it hard for everyone to come up with money. The Board has always delayed carpet because other items take precedence. We need the assessment to get it done. xiii) End of discussion. b) Kevin O Brien and Jane Stevens were appointed to be the officers of the election. c) Ballots collected and counted. i) Jen & Krista elected to board. There were 38 votes for Jen, 20 for Krista and 18 for Matt. ii) Budget & assessment failed to pass. There were 46 votes to reject the operating budget and 48 votes to reject the assessment. So the 2014 PWCA budget will stand. 7. Any new business as may come before the Board of Directors 8.
