TERMS & CONDITIONS 1. The Visa Debit Vodafone Promotion (the Promotion ) is open to all holders of Visa Debit cards (excluding Visa Business Debit cards and Visa Commercial Debit cards) issued by banks in India that offer the Verified by Visa service to their Visa Debit cardholders ( Cardholders ). Visa Debit cardholders should contact their card issuing banks to confirm if the Promotion is open to them and/or for any further details relating to the Promotion.

2 2. The Promotion will be held during the period from 2014 (both inclusive) (the Promotion Period ). The Promotion Period is divided into 4 qualifying periods of 1 month each ( Qualifying Periods ), the details of which are as follows: First Qualifying Period Second Qualifying Period Third Qualifying Period Fourth Qualifying Period 3. During each of the Qualifying Periods, based on the eligibility conditions mentioned in the table on Vodafone s website and the information as reported by Vodafone, eligible cardholders will be identified by Vodafone from Visa Debit cards (excluding Visa Business Debit cards and Visa Commercial Debit cards) (each a Card ) which meet the eligibility criteria described below: a. the Card is issued by a bank in India which has enabled its cards for Verified by Visa as at the beginning of the relevant Qualifying Period; b. The card has been used for 3 or more successful transactions on for either of the following: (i) 3 or more successful recharges during a Qualifying Period (ii) 3 or more successful postpaid bill payments during the Promotion Period

The Card has not been identified or selected for the Promotion in any preceding Qualifying Period. b. During each Qualifying Period, Vodafone will select, from the Cards that have met the eligibility criteria, 60,000 Cards who have been the first to complete the eligibility criteria c. In the event of there being more than 60,000Cards during a Qualifying Period, the Card(s) who have completed the eligibility condition earlier will be selected and in case of a tie, the Card(s) with the highest cumulative transaction amount will be selected. d. All selections will be made based on the information available on Vodafone s website For each Qualifying Period the first 60,000 Cardholders whose Cards have been selected (based on the criteria set out in paragraph 4 above) will each receive a recharge worth INR 50 (Indian Rupees Fifty) or bill credit worth INR 50 to the first mobile number which was paid(recharge or bill payment) The eligible cardholder will get a SMS from Vodafone confirming the award.

The award will be credited to the eligible Cardholder s Vodafone mobile account, no later than 10 days from the end of the Qualification Period, and no later than 30 days from the end of the Promotion Period. Visa will not be responsible for any delay in the posting of award credits. 5. The selected Cardholders will only be entitled to the award mentioned and will not be entitled to compensation or benefits in any other form. 6. Visa makes no warranties or representations as to the fitness for purpose or any other implied terms or conditions with respect to the products given pursuant to this Promotion and the awards. 7. All selections and/or decisions made by Vodafone in relation to the Promotion (including without limitation, the selection of Cards for the caward) will be final and conclusive. No enquiries or complaints will be accepted or entertained. Visa will not be obliged to publish the details of selected Cards or the selection process. Cardholders should contact their card issuing banks if they have any queries or complaints regarding the Promotion. 8. In no event will Visa be liable for any losses or damages howsoever arising whether in contract, tort, negligence or otherwise, in connection with this Promotion, even if Visa has been advised of the possibility of such damages in advance, and all such damages are expressly excluded. 9. The Cardholders under the Promotion will be personally responsible for all taxes, rates, government fees or any other charges that may be levied against them under applicable laws, if any, in relation to the Promotion. 10. The Promotion is purely promotional in nature and Visa may, at its sole discretion, discontinue the Promotion at any time, whether prior to or during the Promotion Period, without prior notice. 11. Visa reserves the absolute right to, at its sole discretion, amend, vary and/or withdraw any of the terms and conditions of the Promotion without prior notice.

In the event of any conflict between these terms and conditions of the Promotion and any promotional and marketing materials regarding the Promotion, these terms and conditions shall prevail. 13. Nothing contained herein will, or will be construed to, constitute a contract under the laws of India (including without limitation, the Indian Contract Act, 1872) between Visa, any Cardholder and/or the card issuing banks. 14. No claim or participation in the Promotion is valid in combination with any other offer or promotion. 15. The Promotion and these terms and conditions will be governed by the laws of India. 16.
