On Monday, April 16, 2018, the Fishkill branch will open as Riverside Bank, a Division of Salisbury Bank and Trust Company. Salisbury Bank and Trust Company (Salisbury Bank) is a commercial bank offering a broad range of personal and business services including an extensive array of deposit services, multiple mortgage products, and various types of loans designed to meet the financial needs of its customers. Salisbury Bank is a full-service bank serving the tri-state area of Connecticut, Massachusetts and New York. Salisbury Bank was formed in 1925 by the merger of the Salisbury Savings Society, founded in 1848, and the Robbins Burrall Trust, founded in In December 2014, Salisbury Bank acquired Riverside Bank which now operates as a Division of Salisbury Bank and Trust Company. The Riverside Division is headquartered in Poughkeepsie, NY and has been doing business in the Hudson Valley for 30 years. Salisbury Bank has a full-service Trust Wealth Advisory Services Division which offers financial planning, trust and estate administration, and investment management services. The transfer will take place during the weekend of April 14, The Fishkill branch of Orange Bank & Trust Company will close at 3 p.m. on Friday, April 13, 2018, in order for us to transfer your account(s) over the weekend. Where should I conduct my banking right now? Up until 3 p.m. on Friday, April 13, 2018, please continue to bank as usual with Orange Bank & Trust Company. What will happen to the current Fishkill branch of Orange Bank & Trust Company after the purchase? The current Fishkill branch of Orange Bank & Trust Company will become the Fishkill branch of Riverside Bank, a Division of Salisbury Bank and Trust Company. Will I have to open new account(s) at Salisbury Bank? No. Your account(s) will be transferred for you. Can I continue to use my Orange Bank & Trust Company Visa Debit Card? Up until 5 p.m. on April 13, 2018, please continue to use your current Orange Bank & Trust Company Visa Debit Card. Your new Riverside Division Debit MasterCard will be sent to you in a separate mailing. You may begin using your new card on Monday, April 16, After 5 p.m. on Friday, April 13, 2018, through Sunday, April 15, 2018, card access will be impacted. Please plan accordingly to ensure you have sufficient cash for any transactions you may need to conduct over the weekend. A letter with more detailed information will be sent to you. Will my account number(s) change? No, your account number(s) will remain the same. The Bank s routing transit number will change after the branch purchase. Salisbury Bank s routing transit number is: Can I continue to use my current checks after the purchase? No. We will send you a supply of new checks with your account number and the Bank s routing transit number in a separate mailing prior to the transfer. You can begin to use your new checks on Saturday, April 14, Will my direct deposit and automatic payments continue uninterrupted? Yes. Your payments will continue uninterrupted. However, by May 15, 2018, you will need to provide Salisbury Bank s routing transit number to your employer, Social Security Administration, and any other entities that directly deposit to your account. If you have payments deducted automatically from your account(s), they too, will need to be updated with Salisbury Bank s routing transit number. In a separate mailing we will be sending you convenient forms to provide to the companies who directly deposit to your account(s), or automatically debit your account(s). In addition, our staff will be ready to personally assist you with contacting the Social Security Administration and other entities to make the transition easy and convenient. Will there be any change to my certificate(s) of deposit or loan account(s)? The rates and terms on existing Certificate(s) of Deposit (CDs) will remain the same through your maturity date. You will be notified if your loan account(s) are being acquired by Salisbury Bank, and if there will be any change to the loan terms. 4 Salisbury Bank enriching

7 questions and answers Will the transfer of my account(s) to Salisbury Bank affect incoming wire transfers to my account? Yes. Effective April 16, 2018, you must begin to use Salisbury Bank s routing transit number for all incoming wire transfers directed to your account(s). How will my FDIC insurance be affected if I have accounts at both banks? You do not need to make any changes to your accounts at this time. The FDIC will continue to insure accounts from each bank separately for six months following the date of the purchase, even when combined deposits exceed the $250,000 limit. Certificates of Deposit will continue to be separately insured until the earliest maturity date after the end of the six-month period. Riverside Bank, a Division of Salisbury Bank and Trust Company, is the same institution as Salisbury Bank and Trust Company and is not insured separately by FDIC. When will I receive my first Salisbury Bank account statement? Your first Salisbury Bank deposit account statement will cover the period from April 14, 2018 to April 30, 2018, and will be sent within the first three business days of May. Your loan statement will generate on your current billing day. If your new account is a Statement Savings account, you will receive statements quarterly, unless you receive electronic transactions or receive combined statements, however service charge cycles and interest payment cycles will occur monthly. Will I continue to receive combined statement(s)? All accounts with the same owners will be converted to combined statements. When will I be able to access my account(s) via Salisbury Bank s online banking service? You will be able to access your account(s) using Salisbury Bank s online banking service, called e-banking, beginning Monday, April 16, If you are already enrolled in Orange Bank & Trust Company s online banking service, your login ID will remain the same if it meets our criteria of eight or more characters. If it does not, we will notify you under separate cover and will provide you with your new login ID. Once you log in for the first time you will have the ability to change your login ID if you wish. We will send you complete details about our e-banking service, along with password information in a separate mailing. You will continue to have view only access to your online banking with Orange Bank & Trust Company until Tuesday, May 15, enroll. Prior to April 13, 2018, you may want to download and save your existing Orange Bank & Trust Company statements. Your previous Orange Bank & Trust Company statements will be available electronically until May 15, Will my payees transfer from my Orange Bank & Trust Company online bill pay service to Salisbury Bank s e-pay service? No. Your payee information will not automatically transfer to your Salisbury Bank e-banking account. You will need to accept the terms and conditions and set up your payees the first time you make a payment to each of them. In addition, our staff will be ready to personally assist you with setting up your payees to make the transition easy and convenient. Will I have the ability to download my account activity to Quicken or QuickBooks? Yes. You will need to establish a new connection to Salisbury Bank. Customer Support will be able to assist you after April 16, Prior to April 13, 2018, you may want to download your Orange Bank & Trust Company transactions. You will not be able to access these transactions to download after April 13, Will my transactions be affected in any way once the transfer to Salisbury Bank takes place? Effective Monday, April 16, 2018, transactions will occur in real time. This means that transactions will post to your account as the Bank receives them. Fees associated with insufficient funds will also be debited as they occur. Electronic direct deposits and cash will be available on the day we receive the deposit. More information on real time processing will be available within the Fishkill branch once the transfer takes place. You will need to sign up for Salisbury Bank s e-statement service. On Monday, April 16, 2018, you can log in to e-banking at salisburybank.com and simply click on e-documents and Salisbury Bank enriching

8 convenience services Debit MasterCard If you have an Orange Bank & Trust Company VISA Debit Card, shortly before the date of the transfer you will receive your new Riverside Division Debit MasterCard. Your card should arrive during the week before the transfer with instructions on how to activate. You can begin to use your new card on Monday, April 16, You will no longer be able to use your current Orange Bank & Trust Company VISA Debit Card after 5 p.m. on Friday, April 13, If you DO NOT receive your replacement card by Friday, April 13, 2018, please call our Customer Support Department at If you currently have multiple deposit accounts linked to your debit card, these accounts will automatically be linked after the transition. ATM transactions. You may use your new Debit MasterCard at thousands of ATMs worldwide. Just look for the MasterCard, PLUS or NYCE logos. You can make withdrawals, transfer funds between deposit accounts and check your account balance at most ATMs. Salisbury Bank is not responsible for fees charged by other financial institutions. Purchases. You can use your Debit MasterCard to pay for purchases at supermarkets, gas stations and other retailers, wherever MasterCard is accepted. Your purchase amount will be deducted from your checking account. Cash Back. You can use your Debit MasterCard to get cash back at many retailers who provide this service. Salisbury Bank does not charge for cash back transactions. If you currently do not have a card, and wish to have a Debit MasterCard, beginning Monday, April 16, 2018, please visit any of our 14 offices and speak with a Customer Associate. One simple call lets you: Verify your account balance, the date and amount of your recent deposits and withdrawals, or the most recent checks that have cleared your checking account. Obtain the current interest rate information on your Savings or Money Market accounts. Verify the rate, maturity date, and interest on your Certificate(s) of Deposit. Transfer funds in real time from one Salisbury Bank account to another. Initiate stop payments (fee applies). Make Salisbury Bank loan payments and verify payments and due dates. Bank-by-Phone 24 hours a day 7 days a week Spanish is available The first time you call Bank-by-Phone you will be asked to enter the last four digits of your Social Security Number (SSN) and the system will prompt you through the enrollment process. The system will prompt you to choose a four-digit PIN. For Business accounts, you will be asked to enter the last five digits of the authorized signer's SSN. You will be prompted to choose a fourdigit PIN. It is essential that you protect your PIN and do not reveal it to anyone. If you are currently enrolled in Orange Bank & Trust Company s online banking service your login ID will transfer over to Salisbury Bank. The first time you log in to online banking you will use your existing login ID for the e-banking ID and create a new password. If you do not have at least eight characters in your login ID, a letter will be sent with your new login ID. The service will prompt you to set up your security questions, address, and phone number. Salisbury Bank s e-banking, Mobile Banking and e-pay service offers you around-the-clock convenience. Access your accounts 24 hours a day, 7 days a week, online. At any time of day or night you can: View account balances and history in real time. Transfer funds between your Salisbury Bank deposit accounts. Utilize Unlinked Accounts Transfer Service to immediately transfer or schedule a transfer of funds to others with deposit accounts at Salisbury Bank. Only available with consumer e-banking.
