5 ANNEXURE-B TERMS AND CONDITIONS (Refer Tender No. IIST/STS/012/15 dated ) 1. Tender documents are not transferable. 2. The Tender should accompany a tender fee of Rs.525/- (Non refundable) in the form of CROSSED DEMAND DRAFT if the Tenderer has downloaded the tender form from the website. Other mode of payment is not acceptable. The Demand Draft should be drawn in favour of The Accounts Officer, IIST payable at State Bank of India, Valiamala, Thiruvananthapuram. 3. Tenders in the attached form duly filled-in and signed by the Tenderer should be submitted in a sealed cover, super scribed thereof with tender Number, Due Date and TENDER FOR THE PURCHASE OF CONDEMNED VEHICLES DUE ON upto hrs and to be sent to the following address: The Senior Purchase & Stores Officer, Purchase & Stores Department, IIST, Valiamala, Thiruvananthapuram Ph : / The tender should be sent preferably by Registered post/speed post so as to reach us on or before the due date and time. IIST will not be responsible for postal delay if any and submission of Tender in any other form will not be accepted. No tenders will be accepted after the specified time and date of Tender closing. In other words late/post tenders will not be accepted under any circumstances. 5. INSPECTION OF VEHICLE: For inspection of the Vehicle, you are requested to contact Shri. K.R. Mohanan Nair, Chief Consultant (Transport Operation & Maintenance), IIST (Ph: / ) during the period from to (Monday to Friday only-except holidays) during working hours. It should be noted that proper ID proof should be possessed for obtaining entry pass for inspection. 6. IIST reserves the right to either accept or reject the offer or postpone or cancel the tender/sale or to reject the highest offer and prefer any other mode of sale at our discretion without assigning any reason/(s) whatsoever, which shall be final in the matter and binding on all parties 7. Conditional offers will not be accepted. 8. EMD: An amount of Rs.5000/- (Rupees five thousand only) per vehicle quoted as Earnest Money Deposit (Refundable-interest free) in the form of Demand Draft drawn in favour of the Accounts Officer, IIST payable at State Bank of India, Valiamala, Thiruvananthapuram shall accompany the tender. Tenders without EMD or insufficient EMD or else having different form of remittance will be rejected. 9. The tender fee (Rs.525/-) and EMD (Rs.5000/- (Rupees five thousand only) per vehicle) should be taken in separate DD and under no circumstances should be clubbed together. 10. SALE ORDER: A sale Order will be issued to the successful Tenderer (s) with terms & conditions of the sale. 11. The EMD of unsuccessful Tenderers will be returned immediately after finalization of the tender and that of successful Tenderers will be converted as Security Deposit and will be returned only after transferring the ownership and taking the delivery of the vehicle. 12. PAYMENT: The successful tenderer will have to deposit the full amount within 15 days from the date of sale order in the form of Demand Draft drawn from any Nationalised Bank in favour of The Accounts Officer, IIST payable at State Bank of India, Valiamala, Thiruvananthapuram

6 13. Non-Refundable Compensation: If the Tenderer fails to make payment within 15 days then the time limit would be extended by further 15 days subject to payment of a non refundable 0.1% of sale order value per day. The time limit will be extended for another 15 days for genuine reasons and no further extension under any circumstances would be allowed. If the Tenderer fails to make payment of vehicle, within the allowed period of time, the sale order will be cancelled and EMD will be forfeited. 14. TRANSFER OF OWNERSHIP: Once the payment is received, the original RC Book along with other related documents of the vehicle will be handed over to the Purchaser by Transport Operation and Maintenance Division (TOMD), IIST against proper acknowledgement. The purchaser should take necessary steps to get the ownership of the vehicle transferred in his favour after remitting the requisite fee with the RTO. It should be ensured that the above formalities are completed immediately but not later than 30 days from the date of handing over of RC book by IIST. 15. Wherever Form G, regarding non-use of any vehicle has been submitted by the Department to the RTO Authority, a clearance certificate shall be obtained from the authorities, as aforesaid, and it will be the liability of the purchaser to pay necessary Road Tax and other charges/fees if the Purchaser desires to use the vehicle after making it road worthy. In case of delay in getting the clearance certificate/rc book concerned RTO no interest or compensation will be payable by IIST. Once the clearance certificate is obtained from the concerned RTO, the same may be produced to The Chief Consultant, TOMD and the Release Order will be issued by Purchase & Stores, IIST. 16. RELEASE ORDER: A Release Order will be issued after the ownership of the vehicle is transferred in the name of the purchaser and production of original RC book for our verification. 17. DELIVERY OF VEHICLE/GROUND RENT CHARGES: The Purchaser is required to take delivery of the vehicle from our premises within 15 days from the date of Release order. If the buyer fails to take delivery of vehicle, within the allowed period of time, the release of the vehicle will be subject to payment of ground rent 0.1% of the sale order value per day for the delayed period. The maximum delay allowed for clearance of the vehicle by paying ground rent charges is 30 days. If the buyer fails to take delivery of the vehicle even after the extended period of 30 days, the vehicle(s) will be treated as abandoned and IIST will have the right to dispose off the same in the manner as deemed fit. The buyer will have no right whatsoever on abandoned vehicle or money deposited. 18. The delivery of the vehicle will be Ex-our Transport Operation and Maintenance Division, IIST on AS IS WHERE IS CONDITION AND NO COMPLAINTS BASIS. 19. Arbitration:- Disputes, if any, will be settled mutually, failing which it will be referred to a oneman Arbitrator to be appointed by Director, IIST in accordance with the Arbitration and Conciliation Act, 1996, whose decisions shall be final and binding on both the parties. 20. Only courts situated in Thiruvananthapuram shall have jurisdiction over any dispute arising out of this transaction 21. Sr. Purchase & Stores Officer, IIST, Thiruvananthapuram reserves the right to accept or reject any/or all the tenders in part or full without assigning any reasons thereof. 22.
