Opšte Odredbe i Conditions Uslovi General Terms and Conditions Opšte Odredbe i Uslovi General Terms and Conditions Opšte Odredbe i Uslovi General Terms and Conditions Opšte Odredbe i Uslovi 1. Purpose: The purpose of this document is to set out the terms, conditions, limitation, risks and costs of the processing, testing, cryopreservation and storage in an authorized cellular processing and storage unit (a "Unit") and release of the Product obtained from the Specimen collected at the time of birth of the Child(ren) of the Client. In this agreement, the following definitions shall have the following meaning: Service Specimen : umbilical cord blood Product : cryopreserved stem cells extracted from the cord blood By signing this Service Agreement the Client agrees to be legally bound to CRYO-SAVE for the processing, testing, cryopreservation and storage of the Specimen/Product in any CRYO-SAVE Unit. The Client also acknowledges that he/she/they has/have been fully informed, and accept(s) and agree(s) to the conditions, risks, limitations and associated costs of such activities, in accordance with these terms and conditions. 2. Services of CRYO-SAVE: CRYO-SAVE's obligations and liabilities are expressly limited to the services described in this agreement; no other services will be provided by CRYO-SAVE to the Client and CRYO-SAVE expressly disclaims any responsibility to provide any other services, including but not limited to the collection and the transportation of the Specimen. Upon receipt of the Specimen, CRYO-SAVE will endeavour to process and cryopreserve stem cells from the Specimen for the purpose of direct application to humans, provided a sufficient number of viable stem cells can be identified. CRYO-SAVE will store the Product for the Initial Storage Period (as defined in Section 6 below) or longer as agreed in accordance with Section 6. In the event that there are insufficient stem cells in the Product or CRYO-SAVE is unable to collect stem cells from the Specimen or if CRYO-SAVE determines that storage is for other reasons not possible, no storage will take place and the Client will not be obliged to pay CRYO-SAVE the Service Fee related to this Product. 3. Responsibilities of Client: Client agrees to complete all necessary forms accurately and in a timely manner, as indicated by Cryo-Save. Client is responsible for arranging the collection of the Specimen by the physician, obstetrician or other medical staff at the birth of the child. Following the instructions received, Client will either contact the CRYO-SAVE office or the courier company immediately after the Specimen has been collected. CRYO-SAVE will arrange for transport of the Specimen to the CRYO-SAVE designated Unit, on the Client s behalf, immediately after having received notification of the collection of the Specimen. CRYO-SAVE expressly excludes all liability for the collection and transportation of the Specimen. CRYO-SAVE undertakes the responsibility to select and collaborate for the transportation of the specimen with an accredited courier company by the local and international regulatory authorities. The Fee includes the cost of the shipment. Client agrees to act at all times in accordance with all applicable legislation and regulations, and will be responsible for obtaining all necessary documents and permits if so required for the collection and export of the Specimen to the Unit. 4. Fees and payment: The fee for the Service (the Fee ) and the payment conditions applicable to the Service are laid down in the attached Fee Schedule (C). The Fee consists of a Service Fee, as further described in the Fee Schedule. Client acknowledges and agrees that all administration related to this agreement is assigned to Cryo-Save AG, including more specifically the invoicing and collection of the payments of all fees. 1.Svrha: Svrha ovog dokumenta je da se detaljno izlože uslovi, ograničenja, rizici i troškovi obrade, testiranja, krioprezervacije i skladištenja u autorizovanoj jedinici za obradu i skladištenje ćelija ("Jedinica") i izdavanja Proizvoda dobijenog iz Uzorka prikupljenog u vreme rođenja Deteta(Dece) Klijenta. U ovom Ugovoru će sledeće definicije imati sledeće značenje: Usluga Uzorak : krv iz pupčane vrpce Proizvod : krioprezervirane matične ćelije izdvojene iz krvi pupčane vrpce Potpisivanjem ovog Ugovora o pružanju usluga Klijent daje svoju saglasnost da bude zakonski obavezan prema CRYO-SAVE-u za obradu, testiranje, krioprezervaciju i skladištenje Uzorka/Proizvoda u bilo kojoj Jedinici CRYO-SAVE-a. Klijent takođe izjavljuje da je(su) u potpunosti informisan(i) i prihvata(ju) i saglasan(ni) je(su) sa uslovima, rizicima, ograničenjima i pripadajucim troškovima navedenih aktivnosti, u skladu sa ovim odredbama i uslovima. 2. Usluge CRYO-SAVE-a: Obaveze i odgovornosti CRYO-SAVE-a su izričito ograničene na usluge opisane u ovom Ugovoru; nikakve druge usluge CRYO-SAVE neće pružati Klijentu i CRYO-SAVE odbacuje odgovornost da pruži bilo kakve druge usluge, uključujući i prikupljanje i transport Uzorka. Po prijemu Uzorka, CRYO-SAVE će pristupiti obradi i krioprezervaciji matičnih ćelija iz Uzorka u svrhu direktne primene na ljudima, pod uslovom da se može identifikovati dovoljan broj vitalnih matičnih ćelija. CRYO-SAVE će skladištiti Proizvod tokom Početnog Perioda Skladištenja (kao što je definisano u Odeljku 6 ovog Ugovora), ili duže, po dogovoru, u skladu sa Odeljkom 6. U slučaju nedovoljnog broja matičnih ćelija u Proizvodu, ili ukoliko CRYO-SAVE ne može da prikupi matične ćelije iz Uzorka, ili ukoliko CRYO-SAVE utvrdi da skladištenje nije moguće iz drugih razloga, skladištenje neće uslediti, a Klijent neće imati obavezu da CRYO-SAVE-u plati Naknadu za uslugu koja se odnosi na ovaj Proizvod. 3.Odgovornosti Klijenta: Klijent je saglasan da će popuniti sve potrebne formulare tačno i blagovremeno, a na način na koji to CRYO-SAVE predviđa. Klijent je odgovoran za organizovanje prikupljanja Uzorka od strane lekara, akušera ili drugog medicinskog osoblja pri rođenju deteta. Sledeći primljena uputstva, Klijent će ili stupiti u vezu sa kancelarijom CRYO-SAVE-a ili kurirskom službom, odmah pošto je Uzorak prikupljen. CRYO-SAVE će organizovati transport Uzorka do označene Jedinice CRYO-SAVE-a, za račun Klijenta, odmah nakon prijema obaveštenja da je Uzorak prikupljen. CRYO-SAVE izričito isključuje svaku odgovornost za prikupljanje i transport Uzorka. CRYO-SAVE preuzima odgovornost da za transport Uzorka izabere i sarađuje sa kurirskom službom koja je ovlašćena od strane domaćih i međunarodnih nadležnih organa. Troškovi transporta su uključeni u Naknadu. Klijent je saglasan da će u svakom trenutku postupati u skladu sa primenljivim zakonodavstvom i propisima i biće odgovoran za dobijanje svih potrebnih dokumenata i dozvola, ukoliko su potrebne, za prikupljanje i izvoz Uzorka do Jedinice. 4.Naknade i plaćanje: Naknada za Uslugu ( Naknada ) i uslovi plaćanja koji se odnose na Uslugu su izloženi u priključenom Rasporedu naknada (C). Naknada podrazumeva Naknadu za uslugu, kao što je dalje opisano u Rasporedu naknada. Klijent priznaje i saglasan je da se sva administracija koja se odnosi na ovaj Ugovor prenese na Cryo-Save AG, uključujuci konkretno fakturisanje i prikupljanje isplata svih naknada. 4 Client agrees to pay the Fee on time and in accordance with the Fee Schedule. Parent(s) and/or Legal Guardian(s) (as applicable) are jointly and severally liable for the payment of the invoiced fees. Klijent je saglasan da plati Naknadu na vreme i u skladu sa Rasporedom naknada. Storage: The Specimen and Product will be processed, tested, cryopreserved and stored in accordance with the following terms: a) CRYO-SAVE stores the Product in any CRYO-SAVE Unit. The Product will be split and stored separately. The processing and storage Unit are located in 19 Galileilaan, 2845 Niel, Belgium, b) CRYO-SAVE may assign and transfer any or all of its rights and obligations under this Agreement to any third party, for which the Client hereby gives consent. c) CRYO-SAVE does not give, nor does it purport to give, any medical advice, or otherwise perform any other function for the Client other than the services expressly described in these terms and conditions. d) Client hereby consents to the collection, transport and testing of the Specimen and to the processing, cryopreservation and storage of the Specimen in and to a Unit as stated by these terms and conditions. e) The Client s right to storage and release of the Product is subject to the timely and full payment of all Fees by the Client in accordance with these terms and conditions. 6. Term and termination: These terms and conditions come into force on the date of receipt by CRYO- SAVE of the Service Agreement signed by the Client, and will continue for a period of 20 years from the date of the birth of the Child (the Initial Storage Period ). Six months prior to the end of the Initial Storage Period an agreement can be made in the event that Client (or C hild) wishes CRYO-SAVE to continue to store the Product on its behalf for a further period (the Extended Storage Period ), and such extended storage shall be at the market prices valid at that time. If 30 days before the expiry of this Agreement Parties have not agreed the terms of an Extended Storage Period of the Product, or upon termination of this Agreement by CRYO-SAVE in accordance with this Clause 6, Client relinquishes all rights in and waives all rights to the Product and CRYO-SAVE shall have the right to dispose of the Product, in accordance with, and subject to, the restrictions and conditions imposed by applicable legislation at the relevant time. This Agreement may be terminated by written notice with immediate effect: a) By Client at any time prior to the collection of the Specimen at birth. In this case a minimal Fee will be charged as indicated in the Schedule Fee. b) By CRYO-SAVE if the Specimen and/or Product are not suitable for storage, whether for medical, safety, practical or any other reason (e.g. ; the Specimen is damaged or contaminated; the collected Specimen volume is too small). In these situations CRYO-SAVE will not store the Specimen and/or Product. CRYO- SAVE retains the sole right to make this decision. c) By CRYO-SAVE if CRYO-SAVE does not receive the Service Fee within the specified time, provided that the Client is given 30 days from the date o invoicing to make such payments. Termination of this agreement will not affect Client s responsibility for payment in full of all amounts invoiced and of all additional administrative and legal costs related to collecting the outstanding amounts. 7. Rights to Product: Unless otherwise defined by applicable law, the Product remains the property of the Child throughout. Until the Child reaches legal age, the Parent(s)/Legal Guardian(s) has/have the right and responsibility to consent to the collection, storage, use and disposal of the Product. 8. Release request: 5. Skladištenje: Uzorak i Proizvod će biti obrađeni, testirani, krioprezervirani i skladišteni u skladu sa sledećim odredbama: a) CRYO-SAVE skladišti Proizvod u bilo kojoj Jedinici CRYO-SAVE-a. Proizvod će biti podeljen i skladišten zasebno. Jedinica za obradu i skladištenje se nalazi u 19 Galileilaan, 2845 Niel, Belgija. b) CRYO-SAVE može da prepusti i prenese bilo koje ili sva prava i obaveze po ovom Ugovoru na bilo koje treće lice, za šta Klijent daje svoju saglasnost. c) CRYO-SAVE ne daje, niti tvrdi da daje bilo kakav medicinski savet, niti na drugi način vrši bilo kakvu drugu funkciju za Klijenta osim usluga izričito opisanih ovim odredbama i uslovima. d) Klijent ovim pristaje na prikupljanje, transport i testiranje Uzorka i na obradu, krioprezervaciju i skladištenje Uzorka u Jedinici, kao što je navedeno u ovim odredbama i uslovima. e) Klijentovo pravo na skladištenje i izdavanje Proizvoda uslovljeno je blagovremenim i potpunim plaćanjem svih Naknada od strane Klijenta, u skladu sa ovim odredbama i uslovima. 6. Rok i prestanak važnosti: Ove odredbe i uslovi stupaju na snagu dana kad CRYO-SAVE primi Ugovor o pružanju usluga koji je Klijent potpisao i nastaviće se tokom perioda od 20 godina od datuma rođenja deteta ( Početni Period Skladištenja ). Šest meseci pre kraja Početnog Perioda Skladištenja može se sačiniti ugovor, u slučaju da Klijent ( ili dete) želi da CRYO-SAVE nastavi da skladišti Proizvod u njegovo ime tokom daljeg perioda ( Produženi Period Skladištenja ), a takvo produženo skladištenje će biti po tržišnim cenama važećim u to vreme. Ukoliko 30 dana pre isteka ovog Ugovora, Ugovorne strane ne dogovore uslove Produženog Perioda Skladištenja, ili po otkazu ovog Ugovora od strane CRYO-SAVE-a u skladu sa Odredbom 6, Klijent ustupa sva prava i odriče se svih prava na Proizvod, a CRYO-SAVE će imati pravo da raspolaže Proizvodom, u skladu sa ograničenjima i uslovima koje propisuje važeće zakonodavstvo u dato vreme. Ovaj Ugovor može da bude raskinut putem pisanog obaveštenja, sa momentalnim dejstvom: a) od strane Klijenta u bilo koje vreme pre prikupljanja Uzorka pri rođenju. U tom slučaju će biti naplaćena minimalna naknada, kao što je naznačeno u Rasporedu naknada; b) Od strane CRYO-SAVE-a, ukoliko Uzorak i/ili Proizvod nisu pogodni za skladištenje, bilo iz medicinskih, bezbednosnih, praktičnih ili bilo kojih drugih razloga (na primer, ako je Uzorak oštećen ili kontaminiran, ukoliko je prikupljena količina Uzorka previše mala). U ovim situacijama CRYO-SAVE neće skladištiti Uzorak i/ili Proizvod. CRYO-SAVE zadržava isključivo pravo na donošenje ove odluke. c) Od strane CRYO-SAVE-a, ukoliko CRYO-SAVE ne primi Naknadu za usluge u okviru naznačenog vremena, pod uslovom da je Klijentu dato 30 dana od datuma ispostavljanja fakture da izvrši plaćanje. Otkazivanje ovog Ugovora neće uticati na odgovornost Klijenta za plaćanje u celosti svih iznosa koji su fakturisani i svih dodatnih administrativnih i pravniih troškova povezanih sa naplatom neplaćenih iznosa. 7. Prava na Proizvod: Ukoliko nije drugačije definisano važećim zakonom, Proizvod ostaje vlasništvo Deteta sve vreme. Dok Dete ne postane punoletno, Roditelj(i)/Zakonski staratelj(i) ima(ju) pravo i odgovornost da daju saglasnost na prikupljanje, skladištenje, korišćenje i raspolaganje Proizvodom. 8. Zahtev za izdavanje: In the event that the Product is required for treatment or manufacturing of a medicinal product, the Client shall provide written notification of the same to CRYO-SAVE. U slučaju da je Proizvod potreban za lečenje ili proizvodnju nekog medicinskog proizvoda, Klijent će dostaviti pisano obaveštenje u pogledu istog CRYO-SAVE-u. FORM SERBIA_EN_CORDBLOOD_v page 4/7

Box 207, 8808 Pfäffikon SZ, Switzerland, to the attention of the Qualified Person. The notice shall include the name and address of the physician and hospital to which the Product must be sent or the appropriately accredited cgmp manufacturer. CRYO-SAVE shall then provide the authorised hospital or manufacturer with a release form (the Release Form ) which must be returned to CRYO-SAVE. CRYO-SAVE will arrange for transport of the Product to the hospital, on the Client s behalf. CRYO-SAVE expressly excludes all liability for the transportation of the Product. CRYO-SAVE will charge reasonable cost involved with the transport of the Product to the destination indicated on the Release Form. 9. Acknowledgement: The Client understands that the actual collection of the Specimen is not part of CRYO-SAVE s service and that the relevant doctor, obstetrician or other medical staff may under certain circumstances refuse, be unable or fail to collect and/or adequately pack the Specimen and that neither CRYO-SAVE nor its officers, shareholders, employees, agents and contractors bear any responsibility for any mistakes or damages caused by such doctor, obstetrician or other medical staff. In addition, the Client hereby releases the hospital, the doctor, obstetrician and other medical staff from any and all liability. The Client also understands and confirms that CRYO-SAVE, its officers, directors, employees, shareholders, agents and consultants have not made any representations and bear no responsibilities and obligations with respect to the possibility to collect stem cells successfully from the Specimen, the suitability of the stem cells for the contemplated treatment, the successful treatment of any diseases through stem cell transplantation or therapies, and the advantages of umbilical cord blood stem cell usage over other therapies using stem cells. CRYO-SAVE s responsibility towards the Client and/or the persons whose Product are being stored is limited to the Service described in this Agreement. Client agrees that should he/she/they make any claim against CRYO-SAVE, CRYO-SAVE s liability shall, to the extent allowed under applicable law, regardless of the basis of such claim, whether in contract, tort or otherwise, be limited in total and in aggregate to the amount of the Fee paid by the Client to CRYO-SAVE under this Agreement. 11. Data protection: Client agrees to the processing and storage of personal data (including personal data of the Child), by CRYO-SAVE or its agent, affiliate or subcontractor, which has come to CRYO-SAVE s knowledge in the course of performing the services and otherwise under this Agreement. CRYO-SAVE will use Client s personal data only to the extent required by its contractual obligations hereunder and in accordance with the applicable laws and regulations. 12. Force majeure: CRYO-SAVE cannot be held liable for, and expressly excludes all liability for, any possible loss or damage due to natural disasters, act of war or terror, riot, strike, vandalism, acts or omission of authorities or any events beyond CRYO-SAVE s control which cause destruction of, or deterioration to the Specimen and/or Product. 13. Notice: The Client shall immediately notify CRYO-SAVE in writing of any changes in the information provided, including relocation and/or change of address. All notifications to CRYO-SAVE shall be sent to:, P.O. Box 207, 8808 Pfäffikon SZ, Switzerland. CRYO-SAVE may completely rely on the data made available in writing by the Client, without any obligation to make further inquiries with respect to the correctness or actuality of such data. 14. Governing law: Svaki zahtev za izdavanje mora da bude adresiran na Cryo-Save AG, P.O. Box 207, 8808 Pfäffikon SZ, Switzerland, na pažnju Kvalifikovanog lica. Obaveštenje će sadržati ime, prezime i adresu lekara i bolnice kojoj Proizvod treba da se pošalje, ili odgovarajućeg akreditovanog proizvođača cgmp. CRYO-SAVE će onda ovlašćenoj bolnici ili proizvođaču dostaviti obrazac za izdavanje ( Obrazac za izdavanje ), koji mora da se vrati CRYO-SAVE-u. CRYO-SAVE će organizovati transport Proizvoda do bolnice, za račun Klijenta. CRYO-SAVE se izričito odriče svake odgovornosti za transport Proizvoda. CRYO-SAVE će naplatiti razuman trošak povezan sa transportom Proizvoda do odredišta naznačenog na Obrascu za izdavanje. 9.Potvrđivanje: 10. Limitation of liability: 10. Ograničenje odgovornosti: Klijent shvata da samo prikupljanje Uzorka nije deo usluge CRYO-SAVE-a i da određeni doktor, akušer ili drugo medicinsko osoblje može u nekim okolnostima da odbije, da ne bude u mogućnosti ili da propusti da prikupi i/ili adekvatno spakuje Uzorak i da ni CRYO-SAVE ni njegovi službenici, akcionari, zaposleni, zastupnici i saugovarači ne snose nikakvu odgovornost za bilo kakve greške ili oštećenja prouzrokovane od strane tog doktora, akušera ili drugog medicinskog osoblja. Uz to, Klijent ovim oslobađa bolnicu, doktora, akušera i drugo medicinsko osoblje bilo kakve i svake odgovornosti. Klijent takođe shvata i potvrđuje, da CRYO-SAVE, njegovi službenici, direktori, zaposleni, akcionari, zastupnici i konsultanti nisu dali nikakvo obećanje i da ne snose odgovornost i obavezu u pogledu mogućnosti uspešnog prikupljanja matičnih ćelija iz Uzorka, pogodnosti matičnih ćelija za planirano lečenje, uspešno lečenje bilo koje bolesti transplantacijom ili terapijama matičnim ćelijama i u pogledu prednosti primene matičnih ćelija iz pupčane vrpce nad drugim terapijama u kojima se koriste matične ćelije. Odgovornost CRYO-SAVE-a u odnosu na Klijenta i/ili lica čiji je Proizvod uskladišten ograničena je na Uslugu opisanu u ovom Ugovoru. Klijent je saglasan da će, u slučaju bilo kakvog terećenja CRYO-SAVE-a od njegove/njene/njihove strane, odgovornost CRYO-SAVE-a u meri propisanoj važećim zakonom, bez obzira na osnov takvog terećenja, bilo zbog ugovora, krivice ili na drugi način, biti ograničena sveukupno i zbirno na iznos Naknade koju je Klijent platio CRYO-SAVE-u po ovom Ugovoru. 11. Zaštita podataka: Klijent se slaže sa obradom i čuvanjem ličnih podataka (uključujući lične podatke deteta) od strane CRYO-SAVE-a ili njegovog agenta, ogranka ili podugovarača, a do kojih je CRYO-SAVE došao tokom pružanja usluge, ili na drugi način, prema ovom Ugovoru. CRYO-SAVE će koristiti lične podatke Klijenta isključivo u meri potrebnoj za realizaciju ugovornih obaveza i u skladu sa važećim zakonima i propisima. 12. Viša sila: CRYO-SAVE ne može biti odgovoran za, i izričito isključuje svaku odgovornost za, bilo kakav gubitak ili štetu usled prirodnih katastrofa, ratnog ili terorističkog dejstva, nereda, štrajka, vandalizma, delovanja ili propusta organa vlasti ili bilo kakvih događaja koji su van kontrole CRYO- SAVE-a, a koji prouzrokuju uništenje ili propadanje Uzorka i/ili Proizvoda. 13. Obaveštavanje: Klijent će odmah obavestiti CRYO-SAVE u pisanom obliku o bilo kakvim izmenama u informacijama koje je dostavio, uključujući promenu mesta boravka i/ili promenu adrese. Sva obaveštenja CRYO-SAVE-u će se slati na:, P.O. Box 207, 8808 Pfäffikon SZ, Switzerland. CRYO-SAVE će se u potpunosti pouzdati u podatke koje mu je Klijent stavio na raspolaganje, bez ikakve obaveze da vrši dalja istraživanja u pogledu tačnosti ili aktuelnosti ovakvih podataka. 14. Merodavno pravo: This Agreement shall be governed by, and construed in accordance with Swiss law. The parties hereby agree to the jurisdiction of the ordinary courts of Switzerland. This does not affect the right CRYO-SAVE may have to take action in any court of competent jurisdiction. Ovaj Ugovor će se rukovoditi i tumačiti u skladu sa švajcarskim pravom. Headings: The headings contained in this Agreement are for reference purposes only and shall not affect the meaning or interpretation of this Agreement. 16. Severability: Should any provision of this Agreement be invalid or unenforceable or should this Agreement contain an omission, the remaining provisions shall remain valid. In the place of an invalid provision or an omission, a new, valid provision - which comes economically closest to the one actually agreed upon provision or, in the event of an omission, the intentions set forth in this Agreement - is presumed to be agreed upon by the Parties. 17. Language: This Agreement has been construed in the English language. For the Client s benefit, this document may contain a translation of this Agreement in Serbian language. However, only the English text will be binding and prevail in the event of any inconsistencies and/or interpretation disputes. 15. Naslovi: Naslovi koje ovaj Ugovor sadrži služe boljoj preglednosti i neće uticati na značenje ili tumačenje ovog Ugovora. 16. Razdvojivost odredbi: Ukoliko je bilo koja odredba ovog Ugovora nevažeća ili se ne može sprovesti, ili ukoliko ovaj Ugovor sadrži neki propust, ostale odredbe će ostati na snazi. Umesto nevažeće odredbe ili propusta, smatraće se da je među Ugovornim stranama dogovorena nova, važeća odredba ona koja je optimalno najbliža onoj koja je stvarno dogovorena ili, u slučaju propusta, ona koja je najbliža nameri izloženoj u ovom Ugovoru. 17. Jezik: Ovaj Ugovor je sastavljen na engleskom jeziku. U korist Klijenta, ovaj dokument može da sadrži prevod ovog Ugovora na srpski jezik. Raspored Naknada Client acknowledges and agrees that all administration related to this agreement is assigned to Cryo-Save AG including more specifically invoicing and collecting of the payment of all fees. SERVICE FEE After the Product has successfully been placed in storage EUR The Fee includes the administration, usage of Collection Kit, transport, processing, testing, cryopreservation and storage during the Initial Storage Period. This Agreement may be terminated by written notice with immediate effect by CRYO-SAVE if CRYO-SAVE does not receive the Service Fee within the specified time, provided that the Client is given 30 days from the date of invoicing to make such payment. Termination of this agreement will not affect Client s responsibility for payment in full of all amounts invoiced and of all additional administrative and legal costs related to collecting the outstanding amounts. NAKNADA ZA USLUGU Nakon što je proizvod uspešno uskladišten EUR Naknada uključuje administraciju, korišćenje Seta za prikupljanje, transport, obradu, testiranje, krioprezervaciju i skladištenje tokom Početnog perioda skladištenja. Ovaj Ugovor CRYO-SAVE može da otkaže pisanim obaveštenjem sa momentalnim dejstvom ukoliko CRYO-SAVE ne primi Naknadu za uslugu u okviru naznačenog vremena, pod uslovom da je Klijentu dato 30 dana od datuma ispostavljanja fakture da izvrši ovo plaćanje. Otkazivanje ovog Ugovora neće uticati na odgovornost Klijenta za plaćanje u celosti svih iznosa koji su fakturisani i svih dodatnih administrativnih i pravnih troškova povezanih sa naplatom neplaćenih iznosa. In the event that there are either insufficient stem cells in the Specimen or CRYO-SAVE is unable to collect stem cells from the Specimen no storage will take place and Client will only have to pay a fixed amount of EUR 100 to cover cost incurred thus far. 2. In the event this agreement is cancelled by the Client prior to the collection of the Specimen at birth, Client will only have to pay a minimum fixed amount of EUR 100 to cover cost incurred thus far, unless Client returns the Collection Kit within 10 days, unopened and undamaged, in which case no fees will be charged. SPECIAL REDUCTIONS 1. A returning Client is eligible for the loyalty reduction of EUR 150 on the Service Fee when saving stem cells of a subsequent newborn child with CRYO-SAVE. 2. In case of twins Client is entitled to receive a 50% reduction on the Service Fee for the second twin. A combination of these two reductions offers is not possible. The payment must be received by no later than 30 days after date of the relevant invoice. In the event of failure to meet this requirement, the Client shall be obliged to pay the entire outstanding balance due in one single payment. Should the Client fail to do so, this Agreement may be terminated by CRYO-SAVE in accordance with Section 6 of this Agreement. U slučaju ili nedovoljnog broja matičnih ćelija u Uzorku, ili da CRYO-SAVE ne može da prikupi matične ćelije iz Uzorka, neće doći do skladištenja i Klijent će imati obavezu da plati samo fiksni iznos od EUR za pokrivanje do tada nastalih troškova. 2. U slučaju da Klijent ovaj Ugovor otkaže pre prikupljanja Uzorka pri rođenju, Klijent će imati obavezu samo da plati minimalni fiksni iznos od EUR za pokrivanje do tada nastalih troškova, osim ukoliko Klijent ne vrati Set za prikupljanje u roku od 10 dana, neotvoren i neoštećen, u kom slučaju neće biti naplaćena nikakva naknada. POSEBNI POPUSTI 1. Povratni Kiljent ima pravo na popust zbog lojalnosti od 150- EUR na Naknadu za uslugu ukoliko hoće da sačuva matične ćelije sledećeg novorođenog deteta kod CRYO-SAVE-a. 2. U slučaju blizanaca, Klijent ima pravo da dobije 50% popusta na Naknadu za uslugu za drugo blizanče. Kombinacija ove dve ponude popusta nije moguća. mora da primi uplatu najkasnije 30 dana od datuma izdavanja odgovarajuće fakture. U slučaju da se ovaj zahtev ne ispuni, Klijent će biti obavezan da plati celokupni neplaćeni ostatak duga jednokratnom isplatom. Ukoliko Klijent to ne učini, CRYO-SAVE može da otkaže ovaj Ugovor, u skladu sa Odeljkom 6 ovog Ugovora. Ja (mi), dolepotpisani roditelj(i) i/ili Zakonsk(i) staratelj(i) ovim prihvatam(o) prethodni Raspored naknada iz ovog Ugovora.
