3 Power Features QoL Guarantee Plus with SelectChoice Agent Guide QoL Guarantee Plus offers a life insurance benefit that is GUARANTEED. Once a coverage amount and a premium payment have been set, all you need to do to make sure that coverage remains in place is pay your premiums on time and even if that cash value drops to zero, your policy remains in place-guaranteed. SelectChoice Accelerated Benefit Rider (ABR)* - allows the owner to receive a portion of the insured s death benefit under the policy upon the occurrence of a Qualifying Event such as Critical, Chronic, or Terminal Illness/Condition can include both a Defined and Flexible benefit amount. QoL CustomerChoice SM Lifestyle Income Solution This optional, premium paying rider provides Guaranteed Withdrawal Benefits (regardless of the value of the cash surrender under the policy) beginning on the initial election date for withdrawal benefits and on each month thereafter as long as the Withdrawal Benefit Balance under the rider is greater than zero and benefit eligibility conditions under the rider are being met. QoL Advantage Qualifying QoL (minimum face amount of $100,000) for QoL Flex Term - Allows for volume discounts and policy fee reductions. Disability Income Rider - Optional premium paying rider that provides a fixed dollar payment for each month that the insured is totally disabled. Both the 2 year and 5 year riders are non-cancelable, and the 2 year and 5 year riders use a 24-month own occupation definition of disability. *Accelerated Benefit Riders may not be available in all states. Names and benefits of ABRs may be different in some states. 2

4 Product Description This product is a flexible premium guaranteed death benefit universal life insurance policy with no-lapse guarantee to age 121 provided by a Continuation Guarantee Account. Death Benefit Options Option A (Level) - The Death Benefit will be the greater of: The Specified Amount on the date of death; or The Accumulation Value on the date of death multiplied by the applicable Death Benefit Factor (corridor factor). Premium Banding Premium Banding is applicable to the following at issue amounts: $50,000 to $99,999 non-preferred rate classes, and $100,000 and greater for preferred rate classes 3

5 Monthly Deductions On each policy Monthly Deduction Date, a deduction is made from the Accumulation Value for the Cost of Insurance, the cost of any riders, the Monthly Administration Fee, and the Monthly Expense Charge. Monthly Administration Fee QoL Guarantee Plus has a monthly administration fee where the current fee may be equal to or less than the guaranteed fee. The fee is charged to the Accumulation Value each month for as long as the policy is in force: Guaranteed Current $20 $7.70 Premium Expense Charge QoL Guarantee Plus has a premium expense charge where the current charge may be equal to or less than the guaranteed charge. The premium expense charge is applied to each premium payment. This expense charge is calculated as the premium paid multiplied by the premium expense charge percentage: Guaranteed Current 10% 7.50% Monthly Expense Charge Monthly expense charges will apply to the initial Specified Amount. This monthly charge is computed by taking the initial Specified Amount, dividing this amount by 1,000, and then multiplying by the applicable Monthly Expense Charge per unit. The monthly Expense Charge per unit varies by issue age, gender, premium class, and Specified Amount. Any decrease in Specified Amount does not change any monthly expense charges in effect at the time of the decrease. Billing Modes The following payment modes are available: ABCW and ABC (bank draft): on a monthly, quarterly, semi-annual or annual basis Premium Notice Ordinary (PNO): on a quarterly, semi-annual or annual basis Other: AGPD (American General Payroll Deduction), Payroll Deduction, and Government Allotment Premium Definitions. QoL Guarantee Plus has the following premium definitions: Benchmark Premium (BMP) Planned Periodic Premium (PPP) 4

6 Benchmark Premium (BMP) The Benchmark Premium (BMP) is the amount of premium on which the first year sales credit rate applies. Planned Periodic Premium (PPP) The Planned Periodic Premium (PPP) is the amount and frequency of premium payments selected by the applicant. The PPP may not guarantee the policy to maturity. Monthly Processing On each monthly Deduction Day after the Date of Issue, we will determine the Accumulation Value as follows: The Accumulation Value as of the last monthly Deduction Day; plus All Net Premiums received since the last monthly Deduction Day; less Any partial surrender made and any charges for partial surrenders since the last monthly Deduction Day; less Any Surrender Charge assessed as a result of a decrease in Specified Amount effective on the monthly Deduction Day; less The Monthly Deduction for the Policy Month following the monthly Deduction Day: plus Interest earned for the month; plus Current Interest, if any. Accumulation Value The Accumulation Value of an QoL Guarantee Plus is the total of funds before Surrender Charges are applied. On each monthly deduction day, the Accumulation Value equals: The Accumulation Value as of the previous monthly deduction date, plus Interest from the previous month (interest will be applied on the previous month s Accumulation Value less any Partial Surrenders during the month), plus Premium paid since the previous month, minus Partial Surrenders and Charges for Partial Surrenders since the previous month, minus Any surrender charge assessed as a result of a decrease in Specified Amount effective on the Monthly Deduction Day, minus The Monthly Deduction for the following month. On any day other than a monthly deduction day, the Accumulation Value equals: The Accumulation Value as of the previous monthly deduction date, plus Premium paid since the previous monthly deduction date, minus Partial Surrenders and Charges for Partial Surrenders since the previous month. Continuation Guarantee Account The Continuation Guarantee Account (CG) is an alternate policy value that is not used in determining the actual values under the policy. The CG account does not provide additional policy value or Death Benefit Proceeds. The CG account is simply a reference value used to determine whether or not the CG benefit is in effect. 5

7 The CG is designed to continue death benefit coverage even when the cash surrender value is not large enough to cover monthly deductions. The CG account value is calculated in the same manner as the actual policy accumulation value, but using different charges and interest rates. Unlike the regular accumulation value, the CG account value will be allowed to go negative and negative interest will be credited. There will be 3 funds in the CG account: CG1, CG2, and CG3. The CG account value is the sum of CG1, CG2, and CG3. The policy will remain in force even when the cash surrender value under the policy is not sufficient to provide for the monthly deduction and any loan interest due as long as the CG account value is greater than or equal to zero. Premium Allocation: The initial net premium is allocated to CG1. All other net premiums in year 1 is allocated to CG1, unless the sum of values in all funds <=0. If so, the net premium is allocated to CG3. In all other years, the following allocation rules apply: (1) if the value of CG account is zero on the last policy anniversary date, all net premiums received until the following anniversary date are allocated to CG3. (2) if the value of the CG Account is less than or equal to zero on the date the premium is received, the net premium is allocated to CG3. (3) otherwise, the net premium is allocated to CG2. Customer Friendly Processing Premiums received within the 28 day period following a Monthly Deduction Day, will be applied to each account as if the premium were received on the Monthly Deduction Day. If the initial Net Premium is received within the 28 day period following the Date of Issue, it will be applied to CG1 as if it were received on the Date of Issue. If the source of any premium applied to the CG Account is Cash Surrender Value applied from a policy issued by another company (External Rollover that qualifies under Section 1035 of the Internal Revenue Code), and it is received on or before the Monthly Deduction Day of the 12th month after the Date of Issue of the policy, it will be applied to CG1 as if it were received on the Date of Issue of the policy. For the regular accumulation value, processing will work as follows: 1. Assess all policy charges due from the Date of Issue. 2. Credit the Accumulation Value with interest beginning on the day the initial premium is received. 3. The Death Benefit is effective beginning with the date the initial premium is credited. Surrender Charges These policies have a scaled Surrender Charge in years 1 through 19. 6

8 Partial Surrenders At any time after the fifth policy year and prior to the Maturity Date, the policyholder may request withdrawal of a portion of the Cash Surrender Value of the Policy. There will be a $25 fee for each partial surrender, which is included in the gross amount when taking the partial surrender. The remaining Cash Surrender Value must be at least $250. A Partial Surrender will result in a reduction of the Cash Value, Accumulation Value, CG Account Value, Specified Amount, and the Death Benefit Amount. The Cash Value will be reduced by the amount of the Partial Surrender. The Accumulation Value, CG Account value and the Specified Amount will be reduced in the same proportion as the reduction in Cash Value. The Specified Amount remaining after this reduction must not be less than the Minimum Specified Amount shown on the Policy Schedule, see the following example of an QoL Guarantee Plus, with a $5,000 Partial Surrender: Example: Result: Specified Amount $500,000 Accumulation Value $20,000 Surrender Charge $10,000 Cash Surrender Value $10,000 Partial Surrender (50% of the CSV) $5,000 ($25.00 surrender fee included) Specified Amount $250,000 (reduced by 50%) Accumulation Value $10,000 (reduced by 50%) Surrender Charge $5,000 (reduced by 50%) Cash Surrender Value $5,000 (reduced by 50%) Policy Loan At any time while this policy is in force, a policy loan may be obtained if there s any amount available for loan. The policy is the only security for the loan and must be assigned to AGL. The amount of the loan cannot be more than the Accumulation Value less any Surrender Charge, less the following amounts: (a) any existing loan balance; and (b) any loan interest to the next policy anniversary or next premium due date, whichever is earlier. AGL can defer a policy loan for up to six months from the date we receive the request. Loan Interest Interest on a policy loan accrues daily at the Annual Policy Loan Interest Rate shown on the Policy Schedule. Interest is due on each policy anniversary and when a policy loan is repaid. If the interest is not paid when due, it will be added to the policy loan and accrue interest at the same rate. Annual Policy Loan Interest Rate: 8.00% Annual Collateral Interest Rate: 2.00% 7

9 Loan Balance Loan balance means the sum of any unpaid policy loans and accrued loan interest. AGL will deduct any loan balance from any amount payable under the policy. Repayment of Loan Balance The policyholder may repay any part of the loan balance at any time while the policy is in force. A loan balance that exists at the end of a Grace Period may not be repaid. (See the Reinstatement provision.) Failure to repay the loan balance will not terminate the policy unless the loan balance exceeds the Continuation Guarantee Account value. Current Interest Rate The current interest rate is a declared interest rate that the Company credits to the Accumulation Value. The current interest rate is not guaranteed and may be changed by the Company at any time. Changes in the Specified Amount Changes in the Specified Amount may be made after the first policy year. Increase in the Specified Amount Increases in the Specified Amount are not available. Decrease in the Specified Amount. A decrease in the policy specified amount will result in a reduction in the CGA Specified Amount by the same amount. A decrease in CG Specified Amount will be subject to any applicable pro-rata surrender charges. A decrease in the CGA Specified Amount will not change the CG Monthly Expense Charge then in effect. Decreases will be processed in the same manner as the base policy (last- in-first-out). Grace Period The Grace Period is the 61 day period that follows a monthly Deduction Day or an annual policy loan interest due date if: (a) The Accumulation Value less the surrender charge and any loan balance is not enough to pay the Monthly Deduction and any loan interest due; and (b) The requirements of the Continuation Guarantee provisions have not been met. There is no Grace Period for the initial Monthly Deduction. If the amount required to keep the policy in force is not paid by end of the Grace Period, the policy will terminate without value. The owner will be given at least 31 days notice prior to termination that the policy is in the Grace Period Reinstatement This policy will be reinstated at any time within five years after the end of the Grace Period and before the Maturity Date. To reinstate this policy, the policyholder must: 1. present evidence of insurability for the Insured satisfactory to AGL; and 8

10 2. pay enough premium to keep the policy in force for two months without entering the Grace Period; and 3. repay or reinstate any loan balance outstanding at the time of termination, including any loan interest. The reinstated policy will be in force from the monthly Deduction Day on or next following the date AGL approves the reinstatement application. The schedules of Surrender Charges and Monthly Expense Charges in effect on the date the policy lapsed will apply to the reinstated policy. The Accumulation Value at the time of reinstatement will be: 1. the Accumulation Value at the lapse date; plus 2. the premiums paid at the time of reinstatement, less any applicable Premium Expense Charges; less 3. an amount which is calculated as the difference in (1) and (2), where: (1) is the Surrender Charge on the lapse date; and (2) is the Surrender Charge on the reinstatement date. If a person other than the Insured is covered by an attached rider, coverage will be reinstated according to the rider. The Continuation Guarantee (no-lapse guarantee) account can be reinstated only during the first 90 days following termination of the policy. Register Lapse Processing Premiums in excess of the Commissionable Premium (CP) will create credits in the Lapse Control Account (LCA). If a premium is missed the system will look to the LCA to determine if the LCA has enough credit. If the LCA has enough credit to support a CP the policy will remain on the agent s register. If the LCA does not have enough credit to support a CP, then register lapse processing will begin. Register Lapse may or may not coincide with Contractual Lapse. The following premiums paid in excess of the CP will create a positive balance in the LCA: External transfer of funds Lump Sum Deposits in excess of accumulated BMP Scheduled Premium Payment in excess of BMP Conversion Credits If converting a 5 Year Renewable Term (5RT), QoL Flex Term, 20 Year Level Term Rider (20 LTR), 20 Year Spouse Level Term Rider (20 SLTR), the Conversion Credit is applied as follows: Eligible Conversion Credits will be applied to at the beginning on the first monthiversary. 1/12 th of the credit will be deemed part of the Cash Value and each subsequent monthiversary, an additional 1/12 th will be applied to the Cash Value of the policy. 9

11 Riders Accelerated Benefit Rider (ABRs) An Accelerated benefit means the payment, during the insured s lifetime, of a portion of the Insured s Base Life Insurance Benefit under the policy. The following adjustments are made upon payment of any accelerated benefit for any insured: a) The Insured s Base Life Insurance Benefit under the policy is reduced by the portion of the Insured s Base Life Benefit the owner elects to accelerate. b) The face amount for the Insured s life insurance coverage under the policy is reduced in the same proportion as the reduction in the Insured s Base Life Insurance Benefit. c) If applicable, the accumulation value, cash surrender value, cash value, and any policy loans are reduced in the same proportion as the reduction in the Insured s Base Life Insurance Benefit. d) The premium and charges for the Insured s life insurance coverage under the policy are set as if such coverage had been originally issued at the reduced coverage amount. The base insured or the additional insured coverage under the policy will terminate on the accelerated benefit payment date if the face amount of coverage is reduced to zero.. QoL SelectChoice ABR. QoL SelectChoice ABR is a rider which allows the owner to accelerate a portion of the insured s death benefit under the policy upon the occurrence of a Qualifying Event. Qualifying Event means a Critical Illness, Chronic Illness, or Terminal Illness as defined in the rider. The rider is designed to provide two types of accelerated benefits: Defined Accelerated Benefit (DAB) and Flexible Accelerated Benefit (FAB). Defined Accelerated Benefit (DAB): The DAB provides for payment of a predetermined portion of the applicable death benefit upon the occurrence of a Qualifying Event. The DAB for the initial Qualifying Event is determined as a fixed percentage of the applicable death benefit that may be accelerated under the rider. The applicant may apply for an initial DAB percentage ranging between 5% - 15%. The DAB for a subsequent Qualifying Event is calculated using a reduced percentage which is set to equal 20% of the initial DAB percentage. There is a premium for the rider if the initial DAB percentage selected is greater than 0%. Flexible Accelerated Benefit (FAB): The FAB provides for acceleration of all or a portion of the remaining death benefit that may be accelerated under the rider after any DAB is paid. Any portion of the death benefit that is elected to be accelerated as a FAB is subject to an actuarial discount. The actual benefit payable as a FAB for any given occurrence of a Qualifying Event will not be known until the time the QOL makes a claim offer. The benefit payable will vary depending on the AGL s assessment of the insured s expected 10

12 future mortality at the time of claim as well as other factors used in calculating the benefit. There is no premium for this benefit. The DAB and the FAB are subject to a $ administration charge. The administration charge will only be charged once for each Qualifying Event. Chronic Illness A Qualifying Chronic Illness is an illness or physical condition that was initially certified by a licensed health care practitioner within the past 12 months and permanently affects the insured person so that he or she: Is unable to perform, without substantial assistance from another person, at least two Activities of Daily Living due to a loss of functional capacity; or Requires substantial supervision by another person to protect the insured person from threats to health and safety due to severe cognitive impairment. Activities of Daily Living (ADLs): Bathing washing in either a tub or shower, including the task of getting into or out of the tub or shower without the assistance of another person Dressing putting on or taking off all items of clothing and any necessary braces, fasteners or artificial limbs without the assistance of another person Toileting getting on and off the toilet and performing associated personal hygiene without the assistance of another person Transferring moving onto or out of a bed, chair or wheelchair without the assistance of another person Continence the ability to maintain control of bowel and bladder functions; or, when unable to maintain control of bowel or bladder functions, the ability to perform the associated personal hygiene (including caring for catheter or colostomy bag) without the assistance of another person Eating feeding oneself by getting food into the body from a receptacle (such as a plate, cup or table) or by feeding tube, or intravenously without the assistance of another person Critical Illness The following critical illness or condition are Qualifying Events under the rider: Major Heart Attack Coronary Artery Bypass Stroke Invasive Cancer Blood Cancers: Leukemia, Lymphoma, and Multiple Myeloma End Stage Renal Failure Major Organ Transplant Paralysis Coma Severe Burn 11

13 Terminal Illness A Qualifying Terminal Illness is defined as an illness or physical condition that is certified by a Physician to be reasonably expected to result in the insured s death within 24 months from the date of certification. Waiting Period. There is a 30-day waiting period and 90-days for Invasive Cancer (may vary by state) that begins on the effective date of the insured s coverage under this rider. Benefits are payable only for any Critical Illness that first manifests after the 30-day waiting period. Subsequent Event Waiting Period. There is a 90 day waiting period between Qualifying Events that ARE NOT medically related. For example: 1 st event-heart Attack, 2 nd event-cancer, and 3 rd event-severe Burn There is a 365 day waiting period between Qualifying Events that ARE medically related. For example: 1 st event-heart Attack, 2 nd event-coronary Artery Bypass, and 3 rd event-stroke The subsequent benefit amount would be 20% of the defined benefit percentage (5% to 15%) applied to the remaining face amount. Elimination Period. This rider contains an elimination period of 90 consecutive days, beginning at any time after the 30-day waiting period, during which the insured person must be continuously chronically ill prior to eligibility for benefits under the rider. No benefits are payable during the elimination period. Eligibility for Accelerated Benefit Rider. The rider with a 0% Defined Accelerated benefit Percentage will be automatically included on AGL Universal Life and Term policies, subject to the maximum lifetime accelerated benefit limit, reinsurance, and underwriting. Defined Accelerated Benefits (DAB) are applied for at the time of initial policy application. The DAB may not be increased but can be removed or reduced at any time. Increases in the DAB may be allowed in the future. The lifetime maximum death benefit that may be accelerated under all Accelerated Benefit Riders covering an insured is $1,500,000. The accelerated benefits provided under the original no-cost ABRs, and the QoL SelectChoice ABR are included in this limit. Determination of the Flexible Accelerated Benefit Amount The owner must file a claim to receive a benefit in the event of a covered illness or condition. Once we have calculated the accelerated benefit amount, the owner may elect to receive the accelerated amount or maintain the current life insurance benefit. Should the owner choose to receive the benefit, it will reduce the base life insurance benefit and policy values. The actual payment the owner receives will be less than the portion of death benefit accelerated because the benefits are paid prior to death. Acceleration of benefits is subject to the following deductions: actuarial discount, administrative charge, payment of any unpaid but due policy premiums and payment of a pro rata amount of policy loans. 12

14 The actual benefit payable under an Accelerated Benefit Rider for any given occurrence of a covered illness will not be known until the time of claim. The benefit amount that may be offered is determined by the company when a claim is submitted and, when accepted, is payable to the owner in a lump sum. The amount of an offered benefit will, in significant part, be dependent upon any change in mortality of the Insured Person between the time the applicable life insurance policy with Accelerated Benefit Riders was underwritten and the time any particular Accelerated Benefit Rider claim is filed and considered. Different changes in health and other factors will have different effects on the mortality of different Insured Persons. Circumstances will vary among individual Insured Persons. Please refer to the ABR associated with the policy for specific information about how accelerated benefits are calculated. Note: The life insurance offered with accelerated benefit riders is not long term care insurance, disability income insurance, or other insurance designed to cover specific costs associated with an illness or condition. Receiving benefits under any one of the Accelerated Benefit Riders will reduce the base life insurance benefit and the amounts available for future acceleration under it and any of the others. It will also reduce the funds available to supplement retirement or other needs. The amount received after acceleration may be less than what is needed to cover all of the cost associated with an illness or condition. Even though accumulated funds may be available to supplement retirement, they should not be relied upon as a significant source of retirement income. 13

QoL Guarantee Plus with SelectChoice Agent Guide Issue Amounts: Specified amounts of $60,241 and up that generate a minimum $500 of monthly benefit. Underwriting: No additional requirements, eligible to Table P. This optional, premium paying rider provides Guaranteed Withdrawal Benefits (regardless of the value of the cash surrender under the policy) beginning on the initial election date for withdrawal benefits and on each month thereafter as long as the Withdrawal Benefit Balance under the rider is greater than zero and benefit eligibility conditions under the rider are being met. Features: The total amount of withdrawal benefits available (Initial Withdrawal Benefit Balance) is calculated on the initial election date and will depend on a number of factors: i) The Withdrawal Benefit Basis is specified by the applicant at the time of application. The amount selected is subject to minimum and maximum limits; ii) An adjustment factor that will depend on the insured s risk class, gender, and the duration since the effective date of rider coverage. The amount of withdrawal benefit that will be available each month (Guaranteed Withdrawal Benefit) will be set to equal the Initial Withdrawal Benefit Balance, multiplied by.83%. Each withdrawal benefit paid will result in a reduction in the Specified Amount, the Cash Surrender Value, Cash Value, and Continuation Guarantee Account Value of the policy. The Rider includes a waiver provision which will waive the amount necessary to prevent the policy from going into grace beginning on the initial election date for withdrawal benefits and while eligibility requirements under the rider continue to be met (i.e. waive the lesser of the amount needed to provide for the monthly deduction or the amount needed so that the Continuation Guarantee provision under the policy is met). Benefit Amount The total amount of withdrawal benefit available is determined at the time of the Initial Election Date (the date the applicant desires to receive a benefit) and is subject to minimum and maximum limits: The Withdrawal Benefit Basis is specified by the applicant at the time of application. An adjustment factor that will depend on the insured s risk class, gender, and the duration since the effective date of rider coverage. 14

16 o Since the effective date of rider coverage means that the factor used to calculate the withdrawal benefit balance varies based on the policy year that the benefit is initially elected. The factors will be a table of factors specific to the insured s gender and risk class on the date of issue. The factors will vary by policy year. The Withdrawal Benefit Basis on the date of issue is calculated as: Withdrawal Benefit Basis on date issue = Initial Specified Amount, multiplied by the Withdrawal Benefit Basis % specified by the applicant at the time of application for the rider. This % will be provided to the agent generating a Passport Solve when quoting this rider. The % must be entered into the Life Application. The Withdrawal Benefit Basis % must be specified in whole %. The % that may be selected must be such that the resulting Withdrawal Benefit Basis satisfies the following constraints: Minimum Withdrawal Basis amount: $60,241 The Withdrawal Benefit Basis may not exceed the policy Specified Amount. If the policy includes SelectChoice ABR with defined benefit, the Withdrawal Benefit Basis may not exceed the policy Specified Amount less the Defined Benefit under Select Choice ABR. The Withdrawal Benefit Basis will also be subject to reinsurance limits. Initial Election Date The Initial Election Date is the Policy anniversary on which the Owner elects to begin receiving Guaranteed Withdrawal Benefits under this Rider. The Initial Election Date must occur on or after the first Policy anniversary following the expiration of the 15 year Minimum Eligibility Period. Withdrawal Benefit Balance The Withdrawal Benefit Balance is used in the calculation of the Guaranteed Withdrawal Benefit Amount. The initial Withdrawal Benefit Balance is determined on the Initial Election Date and is equal to the: Withdrawal Benefit Basis on the Initial Election Date; multiplied by Applicable Withdrawal Benefit Factor shown on the Rider Schedule. The Withdrawal Benefit Basis will be reduced in the same proportion as the reduction in the Withdrawal Benefit Balance. The policy Specified Amount will reduced by the same dollar amount as the reduction in the Withdrawal Benefit Basis. The Accumulation Value, Cash Surrender Value, Cash Value, and CGA account value of the policy will be reduced in the same proportion as the reduction in the Specified Amount of the policy. When the benefit is elected, the owner may request to withdraw a lesser amount, but not below $500, a lesser amount of the withdrawal could extend the period for which monthly benefits can be taken under the rider. For example a.83% payout continues to be paid for not more than 120 months, but if the owner chose ½ of.83% as a payout, the benefit period may extend to 240 months. The owner may also choose to stop the benefit payment (in writing) and re-start at a later date. The owner may not request a withdrawal amount that exceeds the Guaranteed Withdrawal Benefit. Benefit Eligibility Requirements The following conditions must be satisfied for the Benefit Eligibility Requirements to be met and a Benefit paid: The Policy has been in force for at least 15 years or the Minimum Eligibility Period shown on the Rider Schedule; and 16

18 The Policy s Continuation Guarantee Account value immediately prior to the Initial Election Date is sufficient to provide for all the Continuation Guarantee Account Monthly Deductions due beginning on the Initial Election Date until the deduction day immediately prior to the Continuation Guarantee Target Date shown on the Rider Schedule (the Insured s attained age 100); and The Death Benefit Option is Death Benefit Option A There is no loan under the Policy; and Payment of the Guaranteed Withdrawal Benefit Amount beginning on the Initial Election Date and during each Policy Month thereafter, until the Withdrawal Benefit Balance is reduced to zero, does not cause the Policy to fail to meet the definition of life insurance under Internal Revenue Code (IRC) Section 7702; and The Policy is not a Modified Endowment Contract (MEC) under Section 7702 A of the IRC; and The Policy to which this Rider is attached is not within seven years of a material change as defined by Section 7702 A of the IRC (Material changes include, but are not limited to, Death Benefit Option changes, Specified Amount increases or the addition of certain riders); and No claim is pending as to any Accelerated Benefit Rider attached to the Policy. Guaranteed Withdrawal Benefit Reset Due to an acceleration of the Specified Amount. The Guaranteed Withdrawal Benefit will be reset on the next monthiversary following the date that the policy Specified Amount is decreased at the owner s request or a portion of the death benefit is accelerated under any accelerated death benefit rider attached to the policy, except due to terminal illness. The Guaranteed Withdrawal Benefit will be reset as follows: A new Withdrawal Benefit Basis will be calculated by taking the then current Specified Amount under the policy and reducing this by the difference between the Specified Amount and the Withdrawal Benefit Basis immediately prior to the initial election date. The new GWB will be set to equal the old GWB, multiplied by the ratio between the new Withdrawal Benefit Basis and the old Withdrawal Benefit Basis. Waiver Benefit This rider will waive the amount necessary to prevent the policy from entering into a grace period beginning on the initial election date for withdrawal benefits and while eligibility requirements under the rider continue to be met (i.e. waive the amount needed to provide for the monthly deduction against the policy cash surrender value or monthly deduction for the policy CGA. Cost of Insurance The Cost of insurance will vary by issue age, gender and underwriting class. The cost for the rider is payable until the Initial Election date the owner decides to start receiving benefits under the rider (but not later than age 85). 17

All other premiums generated by Passport Solves are considered Planned Periodic Premium (PPP). Disability Income Rider (DIR) Issue Ages: Termination Age: 65 (Termination date is the policy anniversary following the insured s 65 th birthday for base insured and Additional Insured Rider (AIR*)). This rider provides a fixed dollar payment for each month that the insured is totally disabled as defined in the rider. There are two riders available: 2 year (DIR-2): This is a non-cancelable rider with a 90 day Elimination Period and a 2 year maximum benefit period. This rider uses a 24-month own occupation definition of disability. 5 year (DIR-5): This is a non-cancelable rider with a 180 day Elimination Period and a 5 year maximum benefit period. This rider uses an own occupation definition of disability during the first 24 months of the benefit period. For the remaining portion of the benefit period, an any occupation definition of disability is used. Eligibility A Disability Income Rider (DIR) may be attached as a premium-paying rider (subject to underwriting) to an QoL Guarantee Plus. Coverage under the rider is available to the base insured. Actively at work full time employees (must work 30 hours or more per week) required. Proposed insured for less than one year coverage is based on starting salary not to exceed $2,500. Self-employed individuals are required to work 12 months in their chosen occupation to qualify). There are no pre-existing conditions. Standard or Preferred rating, or rated Table B-D, or flat extra rating $5.00 per thousand or less, and flat extra rating that is two years or less. The Disability Income Rider is also not usually suitable for those with a high percentage of unearned /passive income. The key focus should be on individuals who would be motivated to return to work once disabled and are not able to sustain their livelihood thru means other than their earned income. As a guideline, when unearned income is between 25% and 50% of annual earned income, the amount of personal Disability Income otherwise available based on earned income should be reduced by 50% of the monthly unearned income amount. When unearned income exceeds 50% of earned income, the risk is not acceptable for DI coverage. *In NJ, the AIR is not available. 18

20 Please Note: The Disability Income Rider is not available to individuals who are self-employed, work from home and perform the majority of work without leaving the home. The Disability Income Rider is not available to individuals whose general hours of employment are difficult to document (either visually or in writing) such as authors, free-lance workers or private duty nurses. DIR Occupation Classification Coverage is based on occupation classification. There are four occupation classes eligible for coverage under this rider. Some occupations are outside of these classes and, therefore, ineligible for coverage. Agents must identify the proposed insured s occupation class on the application. Class 1: professional, executive, white collar managers, little or no physical demands Example: accountant, pharmacist Class 2: technical workers, skilled clerical Example: plant manager, secretary, computer operator Class 3: skilled manual workers, industry workers in non-hazardous nature Example: shipping clerk, factory foreman, dispatcher Class 4: semi skilled workers, workers who perform moderate to heavy physical labor typically in construction or manufacturing operations Example: welder, painter A list of occupations, and their classification, is at the back of this agent guide. It is also available from the Help screen of the Connections illustration software. The Home Office Underwriting Department will make the final determination of occupation class. Premium With this rider the Minimum Guarantee Premium (MGP) and the Monthly Benchmark Premium (MBP) are the same. The charge for the rider is deducted from the policy s accumulation value on each monthly deduction day (monthiversary processing) while an insured s coverage under the rider is in force. The rider cost of insurance is based on the issue age and occupation class of the insured. It remains level for the duration of the rider coverage. Total Disability/Totally Disabled A Total Disability or being Totally Disabled means a condition that, solely as a result of a covered Accident or Sickness occurring (either on or off the job) as long as the Insured is gainfully employed at their regular job at least 30 hours per week and affects the Insured person: For DIR-2 and DIR-5: During the Elimination Period and the first 24 months following the Elimination Period so that the person is: 1) Continuously and totally (In MD and VA totally and permanently) unable to perform the Material and Substantial duties of the insured person regular job: and 2) Not Gainfully Employed 3) Under the regular and appropriate care of a physician for treatment arising from and related to a covered accident or covered sickness, For DIR-5 only: After the first 24 months following the Elimination Period so that insured person is: 19

21 1) Continuously and totally (In MD and VA totally and permanently) unable to perform the Material and Substantial duties of any job for which the insured person is qualified based on education, training or experience 2) Not Gainfully employed 3) Under the regular and appropriate care of a physician for treatment arising from and related to a covered accident or covered sickness Recurrent Total Disability Recurrent Total Disability-means a Total Disability that: Results from the same or a related condition or cause as a previously covered total disability; and Occurs less than 180 days from the date the previous period of disability ended. If the Insured incurs a Recurrent Total Disability, any monthly disability benefits that may become payable will be calculated with no new Elimination Period, and only that portion of any previously remaining maximum benefit period will be available. Successive Total Disability Successive Total Disability-means a Total Disability that: Results from the same or a related condition or cause as a previously covered total disability; and Occurs 180 days or more from the date the previous period of disability ended. If the Insured incurs a Successive Total Disability, any monthly disability benefits that may become payable will be calculated as if no monthly disability benefit had previously been paid. The Elimination Period must begin again and the maximum benefit period under the rider will apply. Subsequent Total Disability Subsequent Total Disability-means a separate Total Disability that: Results from a condition or cause different from that which caused the previously covered Total Disability; Occurs at least 14 days after the end of the previously covered Total Disability; and Occurs after the Insured has been gainfully employed for at least 14 days, performing the material and Substantial duties of his/her job and is no longer qualified to receive monthly disability benefits. If the Insured incurs a Subsequent Total Disability, any monthly disability benefits that may become payable will be calculated as if no monthly disability benefit had previously been paid. The Elimination Period must begin again and the maximum benefit period under the rider will apply. Concurrent Disability Concurrent Disability-means a disability that: Is caused by more than one condition, whether the conditions are related, or unrelated. If the insured incurs a Concurrent Disability, any monthly benefits payable for a Total Disability will be paid as if the Insured were Totally Disabled due to only one condition. AGL will not extend 20

22 the maximum benefit period or increase the monthly disability benefits for a Concurrent Disability. Coverage Availability DIR-2 year plan and DIR-5 year plan may be added as a premium-paying rider to a policy (subject to underwriting). Coverage under the rider is available to the primary insured and the person insured under an Additional Insured Rider (AIR), subject to an AIR minimum life insurance coverage. Each insured may obtain coverage under one type of rider coverage (i.e. DIR-2 or DIR-5, but not both) DIR is a separate disability monthly income benefit and, unlike Accelerated Benefit Riders (ABRs), is not an acceleration of the Death Benefit Disability Income Benefit The Total disability benefit due to a covered accident or sickness is a monthly benefit and is the amount payable under the rider while Total Disability continues. The amount is calculated by multiplying the number of UNITS for the rider by $10.00, rounded to the nearest $ Available Coverage Amounts Rider coverage is available in units, with each unit providing $10 of monthly benefit. The monthly benefit should be stated on the application - not units. Minimum monthly benefit $500 (50 units) Maximum monthly benefit - Lesser of the following amounts: $20 per 1,000 of life insurance, rounded to an exact multiple of $10 (2 units per 1,000 of life insurance), or 60% of Gross Monthly Income, or $5,000 for the 2-year option, $3,500 for the 5-year option. Monthly Benefits greater than $2000 on 5 year DIR will require a Home Office ordered telephone report (TIS). Evidence of earned income is required for monthly benefits greater than $3,000. This can be in the form of a pay stub, tax return or W2. The coverage amount available for a proposed insured is also subject to underwriting. Existing disability income coverage at the time of application will be considered in setting the maximum available benefit for the proposed insured. Covered Accident or Sickness A Covered Accident is an accident that: Occurs on or after the effective date Is not excluded by specific name or specific description in the rider A Covered Sickness, means a Sickness that: First manifests itself to the Insured person after the Waiting Period; and Occurs while the rider is in force Is not excluded by specific name or specific description in the rider. 21

23 Underwriting may find it necessary to apply specific exclusions from base DIR coverage. These exclusions are usually due to health conditions but can be for other reasons. If exclusions are applied to a policy there can be no more than 3 applied per Insured. Benefit Period The following are the benefit periods for DIR: DIR-2, Two years for any one disability. Benefits will not be paid for more than one disability at a time DIR-5, Five years for any one disability. Benefits will not be paid for more than one disability at a time. Waiting Period after Issue (Not applicable in TX) There is a 30-day waiting period for sickness and no waiting period for accident. The Waiting Period after issue is the period that begins on the effective date of the insured person s coverage under the DIR. No coverage for a sickness that first manifests itself to the insured person during the Waiting Period. Pre-Existing Condition. A Pre-Existing Condition means: An existing condition or symptom that would cause a person exercising reasonable judgment to seek diagnosis or treatment within the two (2) year period before the Effective date, or A condition or symptom for which medical advice, care attention or treatment was recommended by a Physician, or received from a Physician, within the two (2) year period before the effective date. Elimination Period The Elimination Period is the number of consecutive days which the insured must be continuously totally (In MD and VA totally and permanently) disabled prior to being eligible for a monthly disability benefit. No benefits are payable during the Elimination Period. 24 Waiver of Specified Premium Rider (WSPR) This rider pays a monthly benefit equal to the specified premium chosen into the policy each month during the total disability of the insured following a 180-day elimination period. Issues Ages: Termination Age: 60 The rider uses an own occupation definition of disability during the first two years of the benefit period. For the remaining portion of the benefit period, an any occupation definition of disability is used. The monthly benefit is determined on the date the rider is issued as the least of the following amounts: o 1/12 th of the annualized planned periodic premium at issue, but not less than $10, or o the monthly benchmark premium for the policy, or o $2,000 The monthly benefit is adjusted whenever the following changes occur: increase or decrease in the specified amount addition of deletion of a rider change in rate class or rating. Any increase in the monthly benefit is subject to underwriting approval. Coverage is not available if the inured life insurance coverage is rated greater than Table D or when flat extra rating greater than $5.00 per $1,000, unless the flat extra rating applies for 2 years or less. The rider contains certain exclusions that apply to the state in which the policy and rider will be issued. Accidental Death Benefit (ADB) Rider This rider pays an additional death benefit if the insured s death results from an accident. Issue Ages: Termination Age: 70 The minimum amount of ADB is 50% of the Specified Amount, the maximum is up to two times the Specified Amount, not to exceed $250,000 in all companies. The ADB is available on all Underwriting Classes, through table F. The ADB is not available for issue ages Children s Term Life Insurance Rider (CTR) This rider provides term life insurance on the base Insured's dependent children until the earlier of the Insured Child s 25 th birthday or the Insured s age 65. To be eligible for coverage, a child must be the base Insured's child, legally adopted child, or stepchild. Premiums are a level amount per $1,000 regardless of the number of children covered under the rider. Issue ages base insured: Issue ages insured children: 7 days 17years 23

Additional Insurance Option (AIO) This rider provides the option to increase the insured s coverage amount on specified option dates without evidence of insurability. Issue ages: Minimum AIO: base Specified Amount. Maximum Amount: lesser of Specified Amount or $100,000. AIO is not available on a substandard policy, nor can an option be exercised and issued substandard. AIO provides options to purchase level premium, level amount of life insurance on specified option dates without evidence of insurability. The amount of the new coverage may not exceed the AIO coverage option amount. The new coverage will include WMDR if the policy to which the AIO is attached contains WMDR and the deductions for that policy are not being waived. Regular option dates occur within 90 days before any of the following events: Policy anniversary following the insured s 27th, 30th, 33rd, 37th and 40th birthdays. Alternate dates: - Marriage of the insured - Live birth of a child of the insured - Legal adoption of a child by the insured Exercise of an alternate option nullifies the next regular option date, and the total number of options that may be exercised. Maturity Extension Rider (MER) If the insured exercises the MER at age 121, the death benefit on the day prior to maturity can remain with the company at interest till the death of the Insured. This no-cost rider will be included in all QoL policies. The Policyholder may elect to extend the maturity date at any time up to at least 30 days prior to maturity. If the election has been made, 90 days before the maturity date, the company will notify the insured that the election has been made and he has the option to un-elect it at any time. Additionally, if the election is made, the policy will be changed to a new plan code at maturity. If the election has not been made, 90 days before the maturity date, the company will notify the insured that it is available and provide a form for the election to be made. 24

26 The amount of the Maturity Extension Rider will be the death benefit on the day prior to maturity. Under current Company practice, each year after maturity, the Company sends a letter reminding the Insured of the policy, that the funds can be taken at any time, and that upon death, the benefits will be paid to the beneficiary. 25
