7 NOTICE TO WARRANTHOLDERS IN RELATION TO THE EXPIRY OF THE STRUCTURED WARRANTS NOTICE IS HEREBY GIVEN THAT pursuant to the conditions stipulated in the Base Prospectus and the Term Sheet dated 14 November 2016 governing the terms and conditions of the Structured Warrants, the Structured Warrants will expire at 9.00 a.m. on Thursday, 13 July You should note that the Structured Warrants are cash-settled call warrants which entitle you to the Cash Settlement Amount (as defined in Section 3 below) if greater than zero, in accordance with the terms and conditions of the Structured Warrants. Warrantholders will not be required to deliver an exercise notice. The Structured Warrants will be automatically exercised at 9.00 a.m. on the Expiry Date as stated in Section 4 below. 8 3. SETTLEMENT Cash settlement only. Cash Settlement Amount = Exercise Amount x 1 Exercise Ratio x (Closing Price - Exercise Price) x Settlement Exchange Rate (if applicable) - Exercise Expenses On the Expiry Date, the Closing Price will be based on the average daily volume-weighted average price (VWAP) of the Underlying Shares for five (5) Market Days prior to and including the Market Day immediately before the Expiry Date. If the Cash Settlement Amount is equal to or less than zero, we shall not be obliged to make any payment to the relevant Warrantholder, and the Structured Warrants which have not been exercised shall cease to be valid and all our obligations in respect of the Structured Warrants shall terminate absolutely. 4. AUTOMATIC EXERCISE Warrantholders will not be required to serve an exercise notice. Each Exercise Amount of the Structured Warrant which has not been exercised on the Expiry Date and in respect of which the Cash Settlement Amount on the Expiry Date is greater than zero, shall be deemed automatically exercised at 9.00 a.m. on the Expiry Date. For avoidance of doubt, we will not issue any notice of automatic exercise to the Warrantholders. We shall deliver to you by ordinary post the Cash Settlement Amount within 7 Market Days from the Expiry Date. If the Cash Settlement Amount is equal to or less than zero, all outstanding Structured Warrants will cease to be valid and all our obligations in respect of the Structured Warrants shall terminate absolutely. 5. BOOK CLOSURE DATE IN RELATION TO THE STRUCTURED WARRANTS Further notice is hereby given that: (a) (b) Bursa Depository will not be accepting any request for transfer of the Structured Warrants on the Expiry Date. Warrantholder shall be entitled for the Cash Settlement Amount (if the Cash Settlement Amount is greater than zero) in respect of the following: (i) Structured Warrants transferred into the Warrantholder s securities account with Bursa Depository before 4.00 p.m. on the Expiry Date; or (ii) Structured Warrants bought on Bursa Securities on or before Monday, 10 July 2017, being the last date of trading of the Structured Warrants. 6. DIRECTORS RESPONSIBILITY The Directors of KIBB have seen and approved this Notice. The Directors of KIBB collectively and individually accept full responsibility for the accuracy of the information contained in this Notice and confirm, after making all reasonable enquiries,that to the best of their knowledge and belief, there are no false or misleading statements or other facts the omission of which would make any statement in the Notice false or misleading. 2
