2 DIRECTORS REPORT To the Members KOTAK INVESTMENT ADVISORS LIMITED The Directors present their Twenty-Third Annual Report together with the audited accounts of your Company for the financial year ended 31st March, FINANCIAL SUMMARY/ HIGHLIGHTS (` in Lacs) Particulars For the year ended 31st March 2017 For the year ended 31st March 2016 Gross Income 9, , Profit before Tax Profit after Tax Add: Surplus brought forward from the previous year 26, , Amount available for appropriation 27, , Surplus carried to the Balance Sheet 27, , OPERATIONS The Company acts as the investment manager for domestic funds operating in the alternate assets domain, the aggregate assets under management of which as on 31st March 2017 is `3, Crore. During the year ended 31st March 2017, certain funds managed by the Company made distributions to investors aggregating to ` Crore comprising of income and divestment proceeds. The Company also provides non-binding advisory services to offshore funds managed by Group s international subsidiaries. Fee income from the business of investment management/advisory was `51.14 Crore for the financial year ended 31st March 2017 as compared to `45.70 Crore for the previous financial year. The earnings per share of the Company were `12.90 per share for the financial year ended 31st March 2017 as compared to `10.16 per share during the previous financial year. DIVIDEND The Directors do not recommend any dividend for the financial year ended on 31st March RISK MANAGEMENT & INTERNAL FINANCIAL CONTROL The Company has adopted comprehensive risk management policy and procedures for its business of investment management of domestic funds operating in the alternate assets domain. Under these policies and procedures, the risk analysis is done at the time of doing any transactions as well as on periodic intervals. The Board of Directors confirms that your Company has laid down set of standards, processes and structure which enables to implement Internal Financial controls across the organization with reference to Financial Statements and that such controls are adequate and are operating effectively. During the year under review, no material or serious observation has been observed for inefficiency or inadequacy of such controls. DIRECTORS & MEETINGS Director retiring by rotation Mr. Jaimin Bhatt retires by rotation at the ensuing Annual General Meeting and being eligible, offers himself for re-appointment. Change in Directors during the year Pursuant to the recommendation of Nomination Committee, the Board at its Meeting held on January 17, 2017 approved the appointment of Mr. Sriniwasan Subramanian as an additional director and designated him as Managing Director of the Company. 2 Annual Report

3 Further, the shareholders of the company had approved the appointment of Mr. Sriniwasan Subramanian as Managing director of the Company at the Extra-Ordinary general meeting held on April 18, During the year under review, Mr. C. Jayaram resigned as Director of the Company w.e.f. May 1, Change in Company Secretary of the Company During the year under review Mr. Deepak Mukhija resigned w.e.f. December 7, 2016, subsequent to his resignation, Mr. Umang Patel has been appointed as Company Secretary of the Company w.e.f. January 17, Board Meetings During the financial year , nine meetings of Board of Directors were held on the following dates. The Audit Committee consists of Mr. Dipak Gupta, Mr. Jaimin Bhatt and Ms. Shanti Ekambaram, with any two members forming the quorum. Nomination Committee The Company is a subsidiary of Mahindra Bank Limited ( KMBL ) and the Nomination Committee was constituted as per the directive of the Reserve Bank of India for KMBL and its subsidiaries. The Nomination Committee consists of Mr. Dipak Gupta, Mr. Jaimin Bhatt and Ms. Shanti Ekambaram, with any two members forming the quorum. Corporate Social Responsibility Committee During the financial year , the Company constituted a Corporate Social Responsibility Committee ( CSR Committee ). 3

4 The CSR Committee consists of Mr. Dipak Gupta, Mr. Jaimin Bhatt and Ms. Shanti Ekambaram, with any two members forming the quorum. During the year ended 31st March 2017, two meetings of the CSR Committee were held on the following dates. The Tier I level is Risk Management Committee (Operations) consisting four members namely, Mr. S. Sriniwasan (Chief Executive Officer-Real Estate & Special Situation Funds), Mr. Alroy Lobo (Chief Executive Officer-Listed Strategies), Mr. Rajeev Saptarshi and Mr. Hemal Mehta (operating management members). The Tier II level is Risk Management Committee (Board) consisting four members namely, Mr. Dipak Gupta (Director), Mr. Jaimin Bhatt (Director), Mr. S. Sriniwasan (Managing Director) and Mr. Alroy Lobo (Chief Executive Officer-Listed Strategies). PARTICULARS OF LOAN, GUARANTEES OR INVESTMENTS UNDER SECTION 186 OF THE COMPANIES ACT, 2013 The Company has not made any loans or given guarantee covered under Section 186 of the Companies Act, The details of the investments under section 186 of the Companies Act, 2013 are annexed to this report. CORPORATE SOCIAL RESPONSIBILITY ( CSR ) Your Company s CSR Committee drives the CSR programme of its holding company, i. e. Mahindra Bank Limited. Your Company has a Board approved CSR policy, charting out its CSR approach. The CSR expenditure incurred for the financial year under Section 135 of the Companies Act, 2013 amounts to `5.00 Lacs as against `10 Lacs CSR spent in the financial year Your Company is building its CSR capabilities on a sustainable basis and is committed to gradually increase its CSR spend in the coming years. The CSR Committee of the Board confirms that the implementation and monitoring of CSR Policy, is in compliance with CSR objectives and Policy of the Company. Following is the web-link to access the CSR policy and projects or programs: Annual Report on CSR activities in accordance with Rule 8 of the Companies (Corporate Social Responsibility) Rules, 2014, has been annexed to this report. RELATED PARTY TRANSACTIONS All Related Party Transactions that were entered into during the financial year were on arm s length basis and were in the ordinary course of business. Pursuant to Section 134(3)(h) read with Rule 8(2) of the Companies (Accounts) Rules, 2014, there are no transactions to be reported under Section 188(1) of the Companies Act, Annual Report

5 All Related Party Transactions as required under Accounting Standards AS18 are reported in Notes to Accounts. CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION, FOREIGN EXCHANGE EARNINGS AND OUTGO The provisions pertaining to the Conservation of Energy and Technology Absorption are not applicable to your Company. Following are the foreign exchange earnings and outgo for the financial year ended on 31st March, 2017: (i) (ii) Foreign exchange inflow: `19.57 crores Foreign exchange outgo: `38.7 Lacs AUDITORS The members of the Company had, at the Twentieth Annual General Meeting, appointed Messers Price Waterhouse, Chartered Accountants, Mumbai (Regn. No E) as Auditors of the Company for five years, subject to ratification every year by the members. Accordingly, the matter shall be placed before the members in the ensuing Annual General Meeting. EMPLOYEES The Company recognizes that human capital is the key to success and growth in the Company s business. As on 31st March 2017, the Company has 45 employees. The employees are highly qualified with approx. 23 graduates from premier business schools and approx. 17 being professionals like CAs, CSs and Lawyers. A statement giving the particulars of employees as required under Rule 5 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, is annexed. DIRECTORS RESPONSIBILITY STATEMENT The Directors, based on representations received from the operational management team, confirm in pursuance of Section 134(5) of the Companies Act, 2013, that: (i) (ii) (iii) (iv) (v) in the preparation of the annual accounts, the applicable accounting standards have been followed along with proper explanations relating to material departures, if any; the directors have selected such accounting policies and applied them consistently and made judgments and estimates that are reasonable and prudent so as to give a true and fair view of the state of affairs of your Company as at the end of the financial year and of the profits of your Company for the financial year ended 31st March, 2017; they have taken proper and sufficient care to the best of their knowledge and ability, for the maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding the assets of your Company and for preventing and detecting fraud and other irregularities; the annual accounts have been prepared on a going concern basis; they have devised proper systems to ensure compliance with the provisions of all applicable laws and that such systems are adequate and operating effectively. Auditors Responsibility 3. Our responsibility is to express an opinion on these financial statements based on our audit. 4. We have taken into account the provisions of the Act and the Rules made thereunder including the accounting standards and matters which are required to be included in the audit report. 5. We conducted our audit in accordance with the Standards on Auditing specified under Section 143(10) of the Act and other applicable authoritative pronouncements issued by the Institute of Chartered Accountants of India. Those Standards and pronouncements require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. 6. An audit involves performing procedures to obtain audit evidence about the amounts and the disclosures in the financial statements. The procedures selected depend on the auditors judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal financial control relevant to the Company s preparation of the financial statements that give a true and fair view, in order to design audit procedures that are appropriate in the circumstances. An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness of the accounting estimates made by the Company s Directors, as well as evaluating the overall presentation of the financial statements. 7. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion on the financial statements. Opinion 8. In our opinion and to the best of our information and according to the explanations given to us, the aforesaid financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India, of the state of affairs of the Company as at March 31, 2017, and its profit and its cash flows for the year ended on that date. Report on Other Legal and Regulatory Requirements 9. As required by the Companies (Auditor s Report) Order, 2016, issued by the Central Government of India in terms of sub-section (11) of section 143 of the Act (hereinafter referred to as the Order ), and on the basis of such checks of the books and records of the Company as we considered appropriate and according to the information and explanations given to us, we give in the Annexure B a statement on the matters specified in paragraphs 3 and 4 of the Order. 15

In our opinion, proper books of account as required by law have been kept by the Company so far as it appears from our examination of those books. The Balance Sheet, the Statement of Profit and Loss, and the Cash Flow Statement dealt with by this Report are in agreement with the books of account. In our opinion, the aforesaid financial statements comply with the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, On the basis of the written representations received from the directors as on March 31, 2017 taken on record by the Board of Directors, none of the directors is disqualified as on March 31, 2017 from being appointed as a director in terms of Section 164 (2) of the Act. 18 ANNEXURE B TO THE INDEPENDENT AUDITOR S REPORT Referred to in paragraph 9 of the Independent Auditors Report of even date to the members of Investment Advisors Limited on the financial statements as of and for the year ended March 31, 2017 i. (a) The Company is maintaining proper records showing full particulars, including quantitative details and situation, of fixed assets. (b) (c) The fixed assets of the Company have been physically verified by the Management during the year and no material discrepancies have been noticed on such verification. In our opinion, the frequency of verification is reasonable. The Company does not own any immovable properties. Therefore, the provisions of Clause 3(i)(c) of the said Order are not applicable to the Company. ii. iii. iv. The Company is in the business of rendering services, and consequently, does not hold any inventory. Therefore, the provisions of Clause 3(ii) of the said Order are not applicable to the Company. The Company has not granted any loans, secured or unsecured, to companies, firms, Limited Liability Partnerships or other parties covered in the register maintained under Section 189 of the Act. Therefore, the provisions of Clause 3(iii), (iii)(a), (iii)(b) and (iii)(c) of the said Order are not applicable to the Company. The Company has not entered in to transactions with the parties covered by Section 185 of the Companies Act, 2013 and thus the provisions of this section are not applicable to the Company. In our opinion, and according to the information and explanations given to us, the Company has complied with the provisions of Section 186 of the Companies Act, 2013 in respect of the loans and investments made, and guarantees and security provided by it. v. The Company has not accepted any deposits from the public within the meaning of Sections 73, 74, 75 and 76 of the Act and the Rules framed there under to the extent notified. vi. The Central Government of India has not specified the maintenance of cost records under sub-section (1) of Section 148 of the Act for any of the products of the Company. vii. (a) According to the information and explanations given to us and the records of the Company examined by us, in our opinion, the Company is regular in depositing the undisputed statutory dues, including provident fund, income tax, service tax, and other material statutory dues, as applicable, with the appropriate authorities. (b) According to the information and explanations given to us and the records of the Company examined by us, there are no dues of provident fund, income tax, service tax and other material statutory dues, as applicable, which have not been deposited on account of any dispute. viii. ix. As the Company does not have any loans or borrowings from any financial institution or bank or Government, nor has it issued any debentures as at the balance sheet date, the provisions of Clause 3(viii) of the Order are not applicable to the Company. The Company has not raised any moneys by way of initial public offer, further public offer (including debt instruments) and term loans. Accordingly, the provisions of Clause 3(ix) of the Order are not applicable to the Company. x. During the course of our examination of the books and records of the Company, carried out in accordance with the generally accepted auditing practices in India, and according to the information and explanations given to us, we have neither come across any instance of material fraud by the Company or on the Company by its officers or employees, noticed or reported during the year, nor have we been informed of any such case by the Management. xi. The Company has paid / provided for managerial remuneration in accordance with the requisite approvals mandated by the provisions of Section 197 read with Schedule V to the Act. 18 Annual Report

19 xii. As the Company is not a Nidhi Company and the Nidhi Rules, 2014 are not applicable to it, the provisions of Clause 3(xii) of the Order are not applicable to the Company. xiii. The Company has entered into transactions with related parties in compliance with the provisions of Section 188 of the Act. The details of such related party transactions have been disclosed in the financial statements as required under Accounting Standard (AS) 18, Related Party Disclosures specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, Further, the Company is not required to constitute an Audit Committee under Section 177 of the Act, and accordingly, to this extent, the provisions of Clause 3(xiii) of the Order are not applicable to the Company. xiv. xv. xvi. The Company has not made any preferential allotment or private placement of shares or fully or partly convertible debentures during the year under review. Accordingly, the provisions of Clause 3(xiv) of the Order are not applicable to the Company.
