4 February 2018 What type of company? Introduction to the main features of the most common Luxembourg commercial companies 14 February 2018 Speaker Luxembourg offers an attractive legislative environment for different types of investment structures. The financial participation company, or SOPARFI, is the most commonly used vehicle in Luxembourg. It is not subject to any specific tax or regulatory regime, is open to any type of investor and allows investments in any type of asset class. Depending on the investors needs, SOPARFIs may adopt any of the following legal forms governed by the Luxembourg commercial companies law dated 10 August 1915, as amended, such as the public limited liability company (SA), the private limited liability company (SARL), the partnership limited by shares (SCA), the common limited partnership (SCS) or the special limited partnership (SCSp). This workshop will provide an overview of the main differences between these companies legal forms. 4
5 February 2018 Back to basics The salient features of Luxembourg investment vehicles 28 February 2018 Speakers This workshop is intended to give a general overview of the different Luxembourg investment vehicles. It aims at enabling the audience to make informed choices when structuring new investment products. Following a general overview of the various Luxembourg investment vehicles, this workshop will focus on Undertakings for Collective Investments and Transferable Securities (UCITS), Reserved Alternative Investment Funds (RAIFs) and investment funds established as non-regulated Luxembourg limited partnerships, as the most commonly used investment vehicles. 5
6 March 2018 Introduction to private equity and alternative investment funds 14 March 2018 Speakers While Luxembourg has remained for 20 years the most popular domicile for Undertakings For Collective Investments In Transferable Securities (UCITS), over the past years Luxembourg has also become increasingly popular as the domicile for alternative investment funds. In the wake of the implementation of the alternative investment fund managers directive, Luxembourg has further developed its tool-box so as to modernise the so-called Luxembourg partnership and position itself as a jurisdiction offering investment structures familiar to alltypes of investors in alternative classes of assets. Luxembourg has also developed the Reserved Alternative Investment Fund (RAIF) which complements the available forms an alternative investment fund may adopt in Luxembourg. With a number of other factors, Luxembourg has therefore attracted a number of private equity houses who have set up alternative investment funds for their private equity transactions. The purpose of this workshop is, through typical private equity structures, describe some of the most important features of a Luxembourg alternative investment fund and give a broad overview of how such vehicles are structured and operated. 6
7 March 2018 Data protection/gdpr 28 March 2018 Speaker On 25 May 2018, the EU General Data Protection Regulation (GDPR) will enter into force. The GDPR aims primarily at strengthening data protection in respect of all individuals as well as simplifying and reshaping the regulatory environment for international business by unifying data privacy laws within the EU. The GDPR also addresses the export of personal data outside the EU. The coming into force of the GDPR will lead to a strict data protection compliance regime subject to severe penalties. This workshop intends to provide a clear understanding of the main principles of the new data protection regulation and its impact on the (daily) business of a legal person. 7
8 April 2018 Tax essentials, an introduction to direct taxes 11 April 2018 Speakers Given its situation at the heart of Europe, its stable political environment and the ease of access to its regulators, Luxembourg has generally been an attractive jurisdiction for holding and investment vehicles, not least because of its investor-friendly tax regime. Whereas you may have heard about the participation exemption (parent-subsidiary directive) or the tax deductibility of interest expenses, we want you to be sufficiently familiar with Luxembourg income tax regime of so-called SOPARFIs to ensure you are well-equipped for the upcoming session about tax structures for the future. This workshop aims at providing a basic understanding of Luxembourg corporate income tax, withholding tax and net wealth tax to the extent relevant for commonly used Luxembourg holding structures. 8
9 April 2018 Tax structures for the future 25 April 2018 Speakers In an ever-evolving tax environment, Luxembourg tax structuring is becoming increasingly challenging. Understanding the impact of new tax regulations on transactions is therefore essential and can create new opportunities. Following the first introductive tax workshop, we would like to guide you a step further and provide you with some basic Luxembourg tax structuring tools, with a focus on private equity and real estate investment structures. The purpose of this workshop is to understand the basics of tax structuring and ensure that new investment structures are tax efficient. 9
10 May 2018 Introduction to capital markets 9 May 2018 Speakers Usual ways for companies to borrow money are either by obtaining a loan from a third party, or by issuing debt securities (among other bonds) to investor(s) in the capital markets. This workshop focuses on the second of these possible sources of borrowing, the debt capital markets. This session will provide an introduction on (i) the key players and their roles and (ii) the two markets operated by the Luxembourg Stock Exchange, the EU-regulated Bourse de Luxembourg market and the exchange-regulated Euro MTF market. Each market has characteristic features and is governed by a distinct legal framework, involving various requirements with which issuers must comply. In addition, this workshop aims at providing an overview of the different steps of a debt securities issuance, illustrated with a description of a listing process in Luxembourg. 10
11 May 2018 Who decides what and how? Corporate bodies and their functioning 23 May 2018 Speaker Are you wondering how to ensure that the managers, the management board, the board of directors, the supervisory board or the shareholders meeting make valid decisions? This workshop will provide an overview of the various corporate bodies of Luxembourg commercial companies, laying out their role and functioning, and providing guidance on the decision making and recording processes. This workshop will further help you understand the duties, responsibility, powers and liability of managers and directors of a Luxembourg commercial companies. 11
12 June 2018 Introduction to employment law 6 June 2018 Speakers This workshop aims at providing a general overview on the respective obligations arising in the context of an employment relationship. This session will consider points of attention covering obligations from the signature of the employment contract up to its termination be it voluntary, forced, negotiated or by law as well as the rights and obligations provided for by law and their potential consequences in case of breach. After this workshop, you should have a general knowledge of what employment law means and which operations in the day-to-day business may require particular attention in the framework of a relationship between an employee and its employer. 12
13 June 2018 Financial collateral arrangements 20 June 2018 Speakers Luxembourg as a leading financial centre, places itself at the heart of the financial market. To attract investments to or through Luxembourg, the Luxembourg law on financial collateral arrangements has implemented in Luxembourg a strong and creditor friendly regime for the provision of collateral over financial instruments and claims. As a result, many transactions currently include Luxembourg vehicles as collateral providers and/or Luxembourg located secured assets, to facilitate financial transactions. The Luxembourg law on financial collateral arrangements also improves the legal certainty of financial collateral arrangements by ensuring that certain provisions of insolvency law do not affect the benefits and protections created by such arrangements. This workshop aims at providing a clear understanding of the main features and relevance of the Luxembourg law on financial collateral arrangements, illustrated with the financial collateral arrangements most commonly used in finance transactions. 13
