3 Why invest in Singapore If there is any place in the world that is the very definition of a hub for regional investment, it is Singapore. Singapore is repetitively ranked by the World Bank as the easiest place to do business in the world and more and more international businesses are concentrating key management functions for their Asia-Pacific operations in Singapore. 4 Our presence in Singapore We opened our Singapore office in 1998 and have ever since been assisting companies to set up and optimize their businesses in Singapore by offering holistic solutions. Our high quality of service is ensured by a motivated interdisciplinary team, consisting of local and European professionals. We offer services ranging from international tax planning and optimization of regional holding structures, to legal services, to accounting and audit services for Singapore subsidiaries and holdings. Legal advisory services We advise clients wishing to set up their business in Singapore on which business structure to choose from (e.g private limited company, limited liability partnership, branch office, representative office) and on business licenses and permits, if necessary (e.g. retail outlets, food and beverage businesses and trading activities). Further, we provide legal advisory services relating to immigration, employment, tenancy, intellectual property, mergers and acquisitions and other commercial matters. Corporate secretarial services To facilitate the needs of our clients carrying on business in Singapore we offer corporate secretarial services. Some of our services include, company incorporation, the provision of nominee director, company secretary, and registered office / correspondence address. Tax advisory services We provide a broad range of tax advisory services to both businesses and individuals at a national and international level. We advise our clients on issues relating to tax structuring, permanent establishment, secondment of staff, import and export, etc.

Our services consist of monthly payroll administration to annual year-end reporting as well as accounting services, namely monthly bookkeeping, preparation of monthly reporting, profit and loss account and balance sheet, year-end financial statement, notes to account and reporting of annual accounts. Further we offer audit services and ensure proper tax compliance regarding matters such as GST registration and tax filing, annual corporate income tax return and personal income tax declaration. Some of our recent engagements include advising: a listed company on the German stock exchange in its Group restructuring, namely the restructuring of eight companies under one holding company in Singapore; a manufacturer of gas springs on all aspect of the management buyout of one of its subsidiary in Singapore; a major German commercial and investment bank on the acquisition of a biotechnology company in Singapore; one of Europe s leading logistics services companies in its Group restructuring in relation to the acquisition of the business of a joint venture partner; an international market leader in measurement technology on the acquisition of a local manufacturer; and a client in the timber related industry on the acquisition of a production company in Malaysia and on its Group restructuring.
