AHMEDABAD ' MUMBA ' BANGALORE...-, NDEPENDENT AUDTOR'S REPORT To the Members of SCON CLUB PRVATE LMTED Reort on the Financial Statements We have audited the accomanying financial statements of SCON CLUB PRVATE LMTED ('the Comany"), which comrise the Balance Sheet as at March 31, 2013, and the Statement of Profit and Loss for the year then ended, and a summary of significant accounting olicies and other exlanatory information. Management's Resonsibility for the Financial Statements Management is resonsible for the rearation of these financial statements that give a true and fair view of the financial osition & financial erformance of the Comany in accordance with the Accounting Standards referred to in sub-section (3C) of section 211 of the Comanies Act, 1956 ('the Act"). This resonsibility includes the design, imlementation and maintenance of internal control relevant to the rearation and resentation of the financial statements that give a true and fair view and are free from material misstatement, whether due to fraud or error. Auditor's Resonsibility Our resonsibility is to exress an oinion on these financial statements based on our audit. We conducted our audit in accordance with the Standards on Auditing issued by the nstitute of Chartered Accountants of ndia. Those Standards require that we comly with ethical requirements and lan and erform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves erforming rocedures to obtain audit evidence about the amounts and disclosures in the financial statements. The rocedures selected deend on the auditor's judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. n making those risk assessments, the auditor considers internal control relevant to the Comany's rearation and fair resentation of the financial statements in order to design audit rocedures that are aroriate in the circumstances. An audit also includes evaluating the aroriateness of accounting olicies used and the reasonableness of the accounting estimates made by management, as well as evaluating the overall resentation of the financial statements. We believe that the audit evidence we have obtained is sufficient and aroriate to rovide a basis for our audit oinion. Oinion n our oinion and to the best of our information and according to the exlanations given to us, the financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting rinciles generally acceted in ndia: (a) in the case of the Balance Sheet, of the state of affairs of the Comany as at March 31, 2013; (b) in the case of the Statement of Profit and Loss, of the loss for the year ended on that date;

As the aid-u caital and reserves of the comany are not more than ruees fifty lakhs, and there are no bank borrowings as well as there are no ublic deosits acceted by the Comany and it does not have a turnover exceeding ruees five crores, the Comanies (Auditor's Reort) Order, 2003 as amended by Comanies (Auditor's Reort) (Amendment) Order, 2004 issued by the Central Government in terms of rovisions of Sec. 227 of the Comanies Act, 1956 is not alicable. 2. As required by section 227(3) of the Act, we reort that: a. we have obtained all the information and exlanations which to the best of our knowledge and belief were necessary for the urose of our audit; b. in our oinion roer books of account as required by law have been ket by the Comany so far as aears from our examination of those books; c. the Balance Sheet and Statement of Profit and Loss dealt with by this Reort are n agreement w~th the books of account; d. in our oinion, the Balance Sheet and Statement of Profit and Loss comly with the Accounting Standards referred to in subsection (3C) of section 211 of the Comanies Act, 1956; e. 5 SCON CLUB PRVATE LMTED NOTES TO THE FNANCAL STATEMENT 1 BASS OF PREPARATON OF FNANCAL STATEMENTS These financial statements have been reared as er "historical cost c0nvention"on the basis of "Accrual Concet" in accordance with the accounting rinciles generally acceted in ndia and comly with Accounting Standards rescribed in the comanies (Accounting standered) Rules, 2006 issued by the Central Government to the extent alicable and with the alicable rovisions of the Comanies Act, SMALL AND MEDUM SZED COMPANY [SMC] The Comany is a Small and Medium Sized Comany [ SMC ] asdefined in the General nstructions in resect of Accounting Standards notified under the Comanies Act, Accordingly, the Comany has comlied with the Accounting Standards as alicable to a Small and Medium Sized Comany. 3 USE OF ESTMATES The rearation of financial statements in conformity with the generally acceted accounting rinciles (GAAP) requires management to make estimates and assumtions that affect the reorted amount of assets and liabilities and the disclosure of contingent liabilities on the date of financial statements. Actual results could differ from those estimates. Any revision to accounting estimates is recognized rosectively n current and future eriods. 4 Fixed Assets and Dereciation : A Fixed Assets are stated at historical cost of acquisition / construction less dereciation. B Dereciation is rovided on "straight line method as er Section 205 (2) (b) of the Comanies Act,l956 at the rates rescribed in Schedule XV thereto. C Dereciation on additions / disosals of the fixed assets during the year is rovided on ro-rata basis according to the eriod during which asseb are ut to use. 5 Taxes on ncome : A Tax exenses comrises current tax and deferred tax. B Current tax is measured at the amount exected to be aid in accordance with the rovisions of the ncome Tax Act, C Deferred tax reflects the imact of current year timing differences between book and tax rofits and reversal of timing differences of earlier years. Deferred tax is measured based on the tax rates and laws that have been enacted or substantively enacted as of the balance sheet date. Deferred tax asseb are recognised only to the extent there is reasonable certainty that sufficient future taxable income will be available against which such deferred tax asseh can be
