The Committee is authorised to seek any information it requires from any employee and all employees are directed to co-operate with any requests made by the Committee. The Committee is authorised by the Board to obtain outside legal or other independent professional advice and to secure the attendance of outsiders with relevant experience and expertise if it considers this necessary DUTIES The duties of the Committee shall be:- a) to consider the appointment of the external auditors, the audit fee, and any question of resignation or dismissal. b) to discuss with the external auditors before the audit commences the nature and scope of the audit. c) to review the quarterly financial statement before submission to the Board. d) to discuss problems and reservations arising from the interim and final audit and any matters the external auditors may discuss(in the absence of management where necessary). e) to keep under review the effectiveness of internal control system and in particular review the external auditor s management letter and management s response. f) to review audit report. g) to redirect and where appropriate supervise any special projects or investigation considered necessary h) to carry out such other duties as may be agreed by the Committee and the Board. MEETINGS Meetings shall be held not less than four (4) times a year. One meeting shall be held prior to the annual financial statement being presented to the Board for approval. Additional meetings may be held at the direction of the Committee or at the request of the external auditors. MINUTES Minutes of each meetings shall be kept and distributed to each member of the Audit Committee and the Board. The chairman of the Committee shall report on each meeting to the Board. The secretary to the Audit Committee shall be the company secretary. 4

Jawatankuasa diberi kuasa untuk mendapatkan sebarang maklumat yang diperlukannya daripada mana-mana kakitangan dan semua kakitangan diarahkan bekerjasama dengan sebarang permintaan pihak Jawatankuasa. Jawatankuasa diberi kuasa oleh Lembaga untuk mendapatkan nasihat undang-undang atau nasihat profesional bebas lain dan mendapatkan kehadiran orang luar yang mempunyai pengalaman dan kepakaran yang berkaitan jika didapati wajar. TUGAS-TUGAS Tugas-tugas Jawatankuasa Audit hendaklah merangkumi yang berikut:- a) mempertimbangkan perlantikan juruaudit luaran, yuran audit dan sebarang hal yang berkaitan dengan perletakan jawatan atau pemberhentian kerja. b) membincangkan dengan juruaudit luaran skop tugasan audit sebelum audit dimulakan. c) meninjau penyata kewangan suku tahunan sebelum dikemukakan kepada Lembaga. d) membincangkan masalah dan reservasi yang timbul dari audit interim dan akhir, dan sebarang perkara yang mungkin dibincangkan oleh juruaudit (tanpa kehadiran pihak pengurusan di mana perlu). e) meninjau keberkesanan sistem kawalan dalaman dan khususnya meninjau surat pengurusan juruaudit luaran dan sambutbalas pengurusan. f) meninjau semula laporan audit. g) mengarah dan di mana wajar, menyelia sebarang projek khas atau penyiasatan yang dianggap penting. h) melaksanakan tugas sedemikian seperti yang dipersetujui oleh Jawatankuasa dan Lembaga. MESYUARAT Mesyuarat hendaklah dijalankan tidak kurang daripada empat (4) kali setahun. Mesyuarat hendaklah diadakan sebelum penyata kewangan tahunan dikemukakan kepada Lembaga untuk kelulusan. Mesyuarat tambahan boleh diadakan mengikut budi-bicara Jawatankuasa atau atas permintaan juruaudit luaran. MINIT MESYUARAT Minit setiap mesyuarat hendaklah disimpan dan diedarkan kepada setiap ahli Jawatankuasa Audit dan Lembaga Pengarah.Pengerusi Jawatankuasa hendaklah melaporkan butiran setiap mesyuarat kepada Lembaga, Setiausaha Jawatankuasa Audit hendaklah merupakan setiausaha syarikat. 5

7 Chairman s Statement Dear fellow shareholders, On behalf of the Board of Directors of Avangarde Resources Berhad and its Group of Companies, I have the pleasure of presenting to you the Annual Report and the Audited Accounts for the financial year ended 31 December FINANCIAL RESULT The Group achieved a turnover of RM148.9 million and profit before taxation of RM8.8 million.the major contribution to the profit for the Group comes from two major construction projects which currently on stream, namely hospital project in Johor Bahru and a mix commercial/ office/ residence project in UEPSubang Jaya. Tuan Haji Tamunif Bin Mokhtar Chairman cum Managing Director / Pengerusi merangkap Pengarah Urusan DEVELOPMENT In the second quarter of the year 2001 the Company s core subsidiary, Jayarena Construction Sdn Bhd, has remaining contract value of approximately RM190 million. Meanwhile we are still working towards getting more contracts especially from the Government. DIVERSIFICATION Investment through the Company s subsidiary, Royong Bersatu Sdn Bhd, in oil palm plantation in Madagascar is expected to yield profit to the Company in the long run. The medium-size investment is focused on the Madagascar local market where it is profitable by reason of a higher sale price and cheaper operation cost. PROSPECTS The construction sector is still the main source of income for the Company. Opportunities to get contract from the private sector is expected to decrease in the year 2001 due to careful spending. Therefore, contracts from the Government is expected to be the main souce of contribution to the Company to continue development in the next financial year. 8 Penyata Pengerusi Pemegang-pemegang saham yang dihormati, Bagi pihak Lembaga Pengarah Avangarde Resources Berhad dan Kumpulan Syarikatnya, saya dengan sukacitanya membentangkan Laporan Tahunan dan Akaun Beraudit bagi tahun kewangan berakhir 31 Disember PRESTASI KEWANGAN Kumpulan mencapai perolehan berjumlah RM148.9 juta dan keuntungan sebelum cukai sebanyak RM8.8 juta. Sumbangan besar kepada keuntungan bagi Kumpulan datangnya dari projek-projek binaan yang sedang diusahakan, iaitu projek hospital di Johor Bahru dan projek campuran perdagangan/ pejabat/ penempatan di UEP Subang Jaya. PEMBANGUNAN Pada suku kedua tahun 2001 anak syarikat teras iaitu Jayarena Construction Sdn Bhd mempunyai baki kontrak berjumlah lebih kurang RM190 juta. Di masa yang sama kami masih lagi berusaha untuk mendapat lebih banyak lagi kontrak khususnya kontrak dari pihak kerajaan. PEMPELBAGAIAN KEGIATAN Pelaburan melalui anak syarikat Royong Bersatu Sdn Bhd di dalam perladangan kelapa sawit di Madagascar dijangka dapat menghasilkan keuntungan kepada syarikat dalam jangkamasa panjang. Pelaburan pada saiz sederhana ini lebih menumpukan kepada pasaran tempatan di Madagascar di mana harga pasaran tempatan kelapa sawit ketika ini amat menguntungkan dengan harga jualan yang tinggi berbanding dengan kos operasi yang murah. PROSPEK Sektor pembinaan masih lagi menjadi sumber pendapatan utama syarikat. Peluang untuk mendapatkan kontrak daripada pihak swasta dijangka berkurangan pada tahun 2001 akibat dari sikap berhati-hati berbelanja oleh pihak swasta. Oleh itu kontrak dari sektor kerajaan dijangka menjadi sumber penyumbang utama kepada pihak syarikat bagi meneruskan peningkatan syarikat pada tahun ini. PENGHARGAAN Bagi pihak Lembaga Pengarah, saya ingin menghulurkan rasa penghargaan dan terhutang budi kami kepada pihak pengurusan dan kakitangan Syarikat dan Kumpulan atas kerja keras dan dedikasi sepanjang tahun yang mencabar ini. Saya juga suka menyampaikan rasa berterima kasih kami kepada semua pemegang saham, pelanggan, bank, pembekal, sekutu perniagaan dan pelbagai agensi Kerajaan di atas sokongan berterusan dan bantuan mereka sepanjang tahun. 11 Directors report for the year ended 31 December 2000 The Directors have pleasure in submitting their report and the audited financial statements of the Group and of the Company for the year ended 31 December Principal activities The principal activities of the Company consist of investment holding and provision of management services. The principal activities of the subsidiary companies are set out in Note 3 to the financial statements. There have been no significant changes in the nature of these activities during the financial year. Directors' benefits Since the end of the previous financial year, no Director of the Company has received or become entitled to receive any benefit (other than a benefit included in the aggregate amount of emoluments received or due and receivable by Directors as shown in the financial statements) by reason of a contract made by the Company or a related company with the Director or with a firm of which the Director is a member, or with a company in which the Director has a substantial financial interest, other than certain Directors who have interest in companies which traded with certain related companies in the ordinary course of business. There were no arrangements during and at the end of the year which had the object of enabling Directors of the Company to acquire benefits by means of the acquisition of shares in or debentures of the Company or any other body corporate. Issue of shares and debentures There were no changes in the issued and paid-up share capital of the Company during the year. Options granted over unissued shares and debentures No options were granted to any person to take up unissued shares and debentures of the Company during the year. 11

13 Directors report for the year ended 31 December 2000 (cont d) Other statutory information Before the financial statements of the Group and of the Company were made out, the directors took reasonable steps to ascertain that: i) All known bad debts have been written off and adequate provision made for doubtful debts, and ii) all current assets have been stated at the lower of cost and net realisable value. At the date of this report, the Directors of the Company are not aware of any circumstances: i) that would render the amount written off for bad debts, or the amount of the provision for doubtful debts in the Group and in the Company inadequate to any substantial extent, or ii) that would render the value attributed to the current assets in the Group and in the Company financial statements misleading, or iii) which have arisen which render adherence to the existing method of valuation of assets or liabilities of the Group and of the Company misleading or inappropriate, or iv) not otherwise dealt with in this report or the financial statements, that would render any amount stated in the financial statements of the Group and of the Company misleading. At the date of this report, there does not exist: i) any charge on the assets of the Group or of the Company that has arisen since the end of the financial year and which secures the liabilities of any other person, or ii) any contingent liability in respect of the Group or of the Company that has arisen since the end of the financial year. No contingent liability or other liability of any company in the Group has become enforceable, or is likely to become enforceable within the period of twelve months after the end of the financial year which, in the opinion of the Directors, will or may substantially affect the ability of the Group and of the Company to meet their obligations as and when they fall due. In the opinion of the Directors, except for the provision for diminution in value of quoted shares as disclosed in the financial statements, the results of the operations of the Group and of the Company for the financial year ended 31 December 2000 have not been substantially affected by any item, transaction or event of a material and unusual nature nor has any such item, transaction or event occurred in the interval between the end of that financial year and the date of this report. 15 Report of the auditors to the member of Avangarde Resources Berhad We have audited the financial statements set out on pages 15 to 32. The preparation of the financial statements is the responsibility of the Company s Directors. Our responsibility is to express an opinion on the financial statements based on our audit. We conducted our audit in accordance with approved Standards on Auditing in Malaysia. These standards require that we plan and perform the audit to obtain all the information and explanations which we consider necessary to provide us with evidence to give reasonable assurance that the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence relevant to the amounts and disclosures in the financial statements. An audit also includes an assessment of the accounting principles used and significant estimates made by the Directors as well as evaluating the overall adequacy of the presentation of information in the financial statements. We believe our audit provides a reasonable basis for our opinion. In our opinion: (a) and the financial statements are properly drawn up in accordance with the provisions of the Companies Act, 1965 and applicable approved accounting standards in Malaysia so as to give a true and fair view of: i) the state of affairs of the Group and of the Company at 31 December 2000 and the results of their operations and cash flows for the year ended on that date; and ii) the matters required by Section 169 of the Companies Act, 1965 to be dealt with in the financial statements of the Group and of the Company; (b) the accounting and other records and the registers required by the Companies Act, 1965 to be kept by the Company and the subsidiary companies of which we have acted as auditors have been properly kept in accordance with the provisions of the said Act. Bhd., a company incorporated in Malaysia. Summary of significant accounting policies The following accounting policies are adopted by the Group and the Company and are consistent with those adopted in previous years except as disclosed otherwise. (a) Basis of accounting The financial statements of the Group and of the Company are prepared under the historical cost convention and in compliance with applicable approved accounting standards in Malaysia. (b) Basis of consolidation Subsidiaries are those enterprises controlled by the Company. Control exists when the Company has the power, directly or indirectly to govern the financial and operating policies of an enterprise so as to obtain benefits from its activities. The financial statements of subsidiaries are included in the consolidated financial statements from the date that control effectively commences until the date that control effectively ceases. Subsidiaries are consolidated using the acquisition method of accounting. A subsidiary is excluded from consolidation when control is intended to be temporary if the subsidiary is acquired and held exclusively with a view of its subsequent disposal in the near future and it has not previously been consolidated or it operates under severe long term restrictions which significantly impair its ability to transfer funds to the Company. Subsidiaries excluded on these grounds are accounted for as investments. Under the acquisition method of accounting, the results of subsidiaries acquired or disposed of during the year are included from the date of acquisition or up to the date of disposal. At the date of acquisition, the fair values of the subsidiaries' net assets are determined and these values are reflected in the Group financial statements. The difference between the acquisition cost and the fair values of the subsidiaries' net assets is reflected as goodwill or reserve on consolidation as appropriate. Accordingly, goodwill or reserve arising on consolidation is charged/credited to the income statement over a period of ten years. Intragroup transactions and balances and the resulting unrealised profits are eliminated on consolidation. Unrealised losses resulting from intragroup transactions are also eliminated unless cost cannot be recovered. The consolidated financial statements reflect external transactions only. (c) Property, plant and equipment Property, plant and equipment except for freehold land are stated at cost less accumulated depreciation. The carrying amounts of property, plant and equipment are reviewed at each balance sheet date to determine whether there is any indication of impairment. If such an indication exists, the asset s recoverable amount is estimated. An impairment loss is recognised whenever the carrying amount of an item of property, plant and equipment exceeds its recoverable amount. In determining the recoverable amount of property, plant and equipment, expected future cash flows have not been discounted to their present values. The impairment loss is charged to the income statement unless it reverses a previous revaluation in which case it will be charged to equity. Any subsequent increase in recoverable amount is reduced by the amount that would have been recognised as depreciation had the write-down or write-off not occurred. Such subsequent increase in recoverable amount is recognised in the income statement unless it reverses an impairment loss on the revalued asset, in which case it is taken to equity. (d) Depreciation Freehold land and building-in-progress are stated at cost and not amortised. The straight-line method is used to write off the cost of the other assets over the term of their estimated useful lives at the following principal annual rates: Building/Shophouse 5% Plant, machinery and equipment 10% - 20% Furniture, fittings and office equipment 5% - 10% Motor vehicles 20% 19

Summary of significant accounting policies (Cont d) (e) (f) Investments Investment in subsidiary companies is stated at cost less provision for permanent diminution in their values. A provision is made when the Directors are of the view that there is a permanent diminution in the value of the investments. Amount due from contract customers Amount due from contract customers on construction contracts is stated, using the percentage completion method, at cost plus attributable profits less foreseeable losses and less progress billings. Cost includes all direct construction costs and other related costs. Where progress billings exceed the aggregate amount due from contract customers plus attributable profits less foreseeable losses, the net credit balance on all such contracts is shown in other payables as amount due to contract customers. (g) Inventories Inventories are stated at the lower of cost and net realisable value. Cost consists of material, direct labour and an appropriate proportion of fixed and variable production overheads and includes all incidentals in bringing these inventories to their present location and condition. (h) Assets under hire purchase Property, plant and equipment acquired under hire purchase are capitalised at the value equivalent to the principal sum of total hire purchase rentals payable. The interest element of the rental obligations is charged to the income statement over the period of the hire purchase and accounted for based on the sum-of-digits method. (i) (j) Taxation The tax expense in the income statement represents taxation at current tax rates based on profit earned during the year. Provision for deferred taxation is made on the liability method in respect of all material timing differences except where no liability is expected to arise in the foreseeable future and there are no indications the timing differences will reverse thereafter. Deferred tax benefits are only recognised where there is a reasonable expectation of realisation in the near future. Financing costs All interest and other costs incurred in connection with borrowings are expensed as incurred. Borrowing costs incurred on gross amounts due from contract customers are capitalised. Capitalisation of borrowings will cease when the projects are completed. (k) Revenue i) Construction contracts Revenue from fixed price construction contracts is recognised on the percentage of completion method, measured by reference to the proportion that contract costs incurred for contract work performed to date that reflect work performed bear to the total estimated contract costs. When the outcome of a construction contract cannot be estimated reliably, revenue is recognised only to the extent of contract costs incurred that is probable will be recoverable and contract costs are recognised as an expense in the period in which they are incurred. An expected loss on a contract is recognised immediately in the income statement. 20

Summary of significant accounting policies (Cont d) ii) Sales of precast concrete Revenue from sale of precast concrete is measured at the value of the consideration receivable and is recognised in the income statement when the significant risks and rewards of ownership have been transferred to the buyer. iii)rental of plant, machinery and equipment Revenue from rental of plant, machinery and equipment is recognised upon issuance of invoice to customers for services rendered. iv)dividend income Dividend income is recognised when the right to receive payment is established. (l) Cash and cash equivalents Cash and cash equivalents consist of cash on hand, balances and deposits with banks and highly liquid investments which have an insignificant risk of changes in value. For the purpose of the cash flow statement, cash and cash equivalents are presented net of bank overdrafts. (m) Foreign currency i) Foreign currency transactions Transactions in foreign currencies are translated to Ringgit Malaysia at rates of exchange ruling at the date of the transactions. Monetary assets and liabilities denominated in foreign currencies at the balance sheet date are translated to Ringgit Malaysia at the foreign exchange rates ruling at that date. Foreign exchange differences arising on translation are recognised in the income statement. Non-monetary assets and liabilities denominated in foreign currencies, which are stated at historical cost, are translated to Ringgit Malaysia at the foreign exchange rates ruling at the date of the transaction. ii) Financial statements of foreign operations The Group s foreign operations are not considered an integral part of the Company s operations. Accordingly, the assets and liabilities of foreign operations, including goodwill and fair value adjustments arising on consolidation, are translated to Ringgit Malaysia at exchange rates ruling at the balance sheet date. The revenues and expenses of foreign operations are translated to Ringgit Malaysia at average exchange rates applicable throughout the year. Foreign exchange differences arising on translation are recognised directly in equity. Trade and other receivables (Cont d) 6.1 In 1999, trade receivables and retention sum of the Group included amounts owing from a public listed company and its subsidiary companies of RM58,023,000 and RM9,647,000 respectively, which had obtained a Restraining Order from the High Court under section 176 of the Companies Act, 1965 for a Corporate Debt Restructuring Scheme. As of 31 December 2000, the retention sum of RM9,647,000 remains outstanding and is receivable upon the completion of works by a subsidiary company. In 2000, the Group has received the shares from the public listed company as full settlement of the trade receivables amount pursuant to the debt restructuring scheme and the aforesaid shares were utilised in the following manner. Material litigation 24.1 An arbitration proceeding between Avangarde s subsidiary, Jayarena Construction Sdn. Bhd. ("JCSB") as the Claimant and Sineo Enterprise Sdn. Bhd. as the Respondent is in progress. JCSB resubmitted Statement of Claims on 24 July 2000 and is claiming the sum of RM74 million being the Architect s Certificate of Payment, value of works done, financing charges, losses and damages, interests and costs. The Respondent is counter claiming liquidated and ascertained damages for alleged late completion of JCSB works for the amount of RM3.9 million. The dates of hearing which have been fixed on 2, 3, 4, 11, 12, 13, 23, 24, 25 April 2001 and 7, 8, 9, 16, 17, 18 May 2001 have to be postponed as the Respondent has filed an application to The High Court of Malaya at Kuala Lumpur to remove the Arbitrator. The hearing for the said application has been fixed on 27 August Based on legal advice, the Directors are of the opinion that the counter claim by the respondent can be defended and therefore is unlikely to succeed. No provision for damages need to be made in the financial statement as the probability of the counter claim is remote Relating to the said arbitration, Sineo Enterprise Sdn. Bhd. has made a demand for the corporate guarantee (performance bond) for due performance of JCSB, under corporate guarantee issued by Avangarde of RM3.47 million. Bhd. failed to prove its acceptance to the said corporate guarantee. Further, the corporate guarantee is also an issue in the arbitration (as mentioned in Note 24.1) A suit was lodged by Antah Schindler Sdn. Bhd. against Sineo Enterprise Sdn. Bhd. as the first Defendant and JCSB as the second Defendant. The claim against JCSB is for trespassing on their lifts and escalators works. Defence has been filed on 9 September 1999 and is pending trial. The works being carried out by JCSB were according to the terms and conditions of the contract between JCSB and Sineo Enterprise Sdn. Bhd. There is no contract between JCSB and the supplier. Based on legal advice, the Directors are of the opinion that the demand made by the supplier is unlikely to succeed. No provision for damages need to be made in the financial statement as the probability of adverse adjudication against JCSB is remote. 25 Significant events during the year 25.1 The shareholders of the Company in its Extraordinary General Meeting held on 15 May 2000 approved the disposal by a subsidiary company of 30,000,000 ordinary shares of RM1.00 each representing approximately 5.32% equity interest in the enlarged share capital of Pembinaan YCS Berhad to Permanent Capital Sdn. Bhd. for a cash consideration of RM30,000,000. Certain details of this disposal together with events that transpired thereafter are disclosed in Note 6.1 to the financial statements On 4 September 2000, the Group acquired 600,000 shares in Royong Bersatu Sdn. Bhd. for a consideration of RM600,000 in cash. The acquisition was accounted for using the acquisition method of accounting On 22 December 2000, CAP EAST Plantation SARL entered into an Agreement with the Government of the Republic of Madagascar, to acquire a palm oil plantation known as Antalaha Palm Oil Project through a privatisation project, for a consideration of two billion and five million Malagasy Franc (2,005 million FMG) which approximates RM1.172 million (based on exchange rate of FMG1000 = RM0.5846). 26. Significant event subsequent to year end Pursuant to Part V of the Pengurusan Danaharta Nasional Berhad Act 1998 (the Danaharta Act 1998), Danaharta Urus Sdn. Bhd. ( Danaharta ), a wholly owned subsidiary of Pengurusan Danaharta Nasional Berhad acquired the rights, title and interest relating to the credit facilities of a subsidiary company with a licensed bank during the financial year. On 30 January 2001, Danaharta approved the following: i) to allow continuance of an overdraft facility at a limit of RM883,000; ii) to convert Trade Bills amounting to approximately RM7.2 million into a four year term loan. The subsidiary company is required to provide additional security as follows:- i) a first legal charge on freehold land of another subsidiary company, and ii) a corporate guarantee by the Company. 27. Comparatives Following the adoption of Malaysian Accounting Standards Board ("MASB") Standards in the preparation of this set of financial statements, the presentation and classification of certain items in the financial statements have been amended. Terbitan Saham Dan Debentur Tiada sebarang perubahan ke atas saham terbitan dan berbayar Syarikat sepanjang tahun. Opsyen Yang Diberi BagiI Saham Dan Debentur Yang Tidak Diterbitkan Tiada opsyen diberi kepada mana-mana pihak untuk melanggan saham atau debentur Syarikat yang belum diterbitkan pada tahun kewangan. Lain-Lain Maklumat Berkanun Sebelum penyediaan penyata kewangan Kumpulan dan Syarikat, para pengarah telah mengambil langkah-langkah yang berpatutan untuk memastikan bahawa: i) semua hutang lapuk yang diketahui telah dihapuskira dan peruntukan yang mencukupi disediakan untuk hutang ragu, dan ii) semua aset semasa dinyatakan pada nilai kos atau nilai jualan bersih, yang mana lebih rendah. 35

Kesimpulan bagi dasar perakaunan penting Dasar perakaunan berikut telah diamalkan oleh Kumpulan dan Syarikat dan adalah konsisten dengan tahun-tahun yang lepas kecuali dikemukakan sebaliknya. (a) Asas Perakaunan Penyata kewangan bagi Kumpulan dan Syarikat disediakan di bawah konvesyen kos sejarah, dan mematuhi piawaian perakaunan berkenaan yang diluluskan di Malaysia. (b) Asas Penyatuan Anak-anak syarikat adalah syarikat yang dikawal oleh Syarikat. Kawalan wujud apabila Syarikat mempunyai kuasa, secara langsung atau tidak langsung untuk mentadbir dasar-dasar kewangan dan operasi bagi sesebuah syarikat supaya faedah diperolehi daripada aktiviti-aktiviti mereka. Penyata kewangan anak-anak syarikat disertakan dalam penyata kewangan disatukan bermula dari tarikh kawalan berkuatkuasa sehingga tarikh ianya berakhir. Anak-anak syarikat disatukan dengan menggunakan kaedah perakaunan pengambilalihan. Anak syarikat dikecualikan daripada penyatuan apabila kawalan dijangkakan hanya untuk sementara dan jika anak syarikat diperolehi dan dipegang semata-mata untuk dilupuskan berikutnya dalam jangkamasa singkat dan ia belum pernah disatukan atau ianya beroperasi di bawah batasan jangka panjang yang menghindarkan keupayaan untuk memindah dana kepada Syarikat. Anak-anak syarikat dikecualikan atas sebab-sebab ini akan diakaunkan sebagai pelaburan. Mengikut keadah perakaunan pemgambilalihan, kendalian anak-anak syarikat yang diambilalih atau dilupuskan sepanjang tahun diambilkira daripada tarikh pengambilalihan atau sehingga tarikh pelupusan. Pada tarikh pengambilalihan, nilai saksama bagi aset bersih anak-anak syarikat ditentukan dan nilai ini didedahkan dalam penyata kewangan Kumpulan. Perbezaan kos pengambilalihan dan nilai saksama bagi aset bersih anak-anak syarikat akan ditunjukkan sebagai muhibbah atau rizab daripada penyatuan yang berkenaan. Oleh kerana itu, muhibbah atau rizab daripada penyatuan akan di kenakan / dikreditkan ke atas penyata pendapatan selama tempoh sepuluh tahun. Transaksi dan baki serta keuntungan belum realis dalam kumpulan akan dihapuskan semasa penyatuan. Kerugian belum realis hasil daripada transaksi dalam kumpulan juga akan dihapuskan kecuali jika kos tidak dapat diperolehi semula. Penyata kewangan disatukan hanya mengambarkan transaksi luar sahaja. (c) Hartanah, loji dan peralatan Hartanah, loji dan peralatan kecuali tanah pegangan kekal adalah dinyatakan pada kos tolak susutnilai terkumpul. Nilai buku hartanah, loji dan peralatan dinilai pada setiap tarikh lembaran imbangan untuk menentukan samada ada terdapatnya tanda-tanda kerosakan. Jika terwujud tanda-tanda tersebut, anggaran dibuat untuk jumlah boleh pulih aset berkenaan. Kerugian daripada kerosakan diiktiraf apabila nilai buku hartanah, loji dan peralatan melebihi daripada harga boleh pulihnya. Untuk menilai jumlah boleh pulih hartanah, loji dan peralatan, jangkaan aliran tunai masa depan tidak didiskaunkan kepada nilai semasa. Kerugian daripada kerosakan, akan dicajkan kepada penyata pendapatan kecuali jika ia menerbalikkan sesuatu penilaian yang lalu di mana ianya akan dicajkan dalam ekuiti. Sebarang kenaikan berikut dalam jumlah boleh pulih, akan dikurangkan dengan jumlah yang sama yang akan diiktirafkan sebagai susut nilai sekiranya penyusutan atau penghapusan tidak berlaku. Kenaikan berikutan pada jumlah boleh pulih ini diiktirafkan dalam penyata pendapatan kecuali ianya menerbalikkan sesuatu kerugian daripada kerosakan atas penilaian semula aset, di mana ianya akan diiktiraf ke dalam ekuiti. 44 (d) Susutnilai Tanah pegangan kekal dan bangunan sedang dibina dinyatakan pada kos dan tidak dilunaskan. Kaedah garis lurus digunakan untuk melupuskan kos aset lain sepanjang anggaran jangka hayat mereka dengan menggunakan kadar utama tahunan seperti berikut: Bangunan / rumah kedai 5% Loji, jentera dan peralatan 10% - 20% Perabot, perhiasan dan peralatan pejabat 5% - 10% Kenderaan bermotor 20%

Kesimpulan bagi dasar perakaunan penting (samb) (e) Pelaburan Pelaburan dalam anak-anak syarikat dinyatakan pada kos tolak peruntukan bagi penyusutan kekal dalam nilai mereka. Peruntukan dibuat apabila para pengarah berpendapat bahawa terdapat penyusutan nilai yang kekal dalam pelaburan. (f) Jumlah berhutang daripada pelanggan kontrak Jumlah berhutang daripada pelanggan kontrak dalam kontrak pembinaan dinyatakan dengan menggunakan kaedah peratusan siap, pada kos tambah keuntungan berkenaan tolak kerugian yang boleh dijangkakan dan tolak bilbil progres. Kos termasuk semua kos kontrak secara langsung dan kos-kos lain yang berkaitan. Apabila bil-bil progres melebihi sesuatu jumlah berhutang daripada pelanggan kontrak tambah keuntungan boleh diagihkan tolak kerugian yang boleh dijangkakan, baki kredit bersih dalam setiap kontrak sebegini ditunjukkan dalam pemiutang lain sebagai jumlah berhutang kepada pelanggan kontrak. (g) Inventori Inventori dinyatakan pada kos dan nilai bersih yang boleh diperolehi, yang mana lebih rendah. Kos terdiri daripada bahan mentah, buruh langsung dan nisbah yang bersesuaian bagi overhead pengeluaran tetap dan berubah termasuk semua kos yang berkaitan untuk mewujudkan inventori tersebut di lokasi dan keadaan semasa. (h) Aset-aset di bawah kaedah sewa beli Hartanah, loji dan peralatan yang dibeli di bawah kaedah sewa beli dipermodalkan pada nilai bersamaan dengan jumlah keseluruhan sewaan sewa beli yang perlu dibayar. Elemen faedah bagi tanggungan sewaan dicajkan kepada penyata pendapatan sepanjang tempoh sewa beli dan dikira berdasarkan kaedah angka hasil tambah. (I) Cukai Perbelanjaan cukai dalam penyata pendapatan mewakili percukaian pada kadar cukai semasa berdasarkan keuntungan semasa yang diperolehi. Peruntukan bagi cukai tertunda dibuat atas kaedah liabiliti berkaitan dengan semua perbezaan pemasaan yang material kecuali di mana tidak ada liabiliti yang dijangka akan timbul pada masa depan yang boleh dijangkakan dan tiada petunjuk bahawa perbezaan masa boleh memberi kesan yang sebaliknya. Manfaat cukai tertunda hanya diiktiraf apabila terdapat jangkaan yang munasabah bahawa ia akan direalisasikan dalam jangkamasa terdekat. (j) Kos pembiayaan Semua faedah dan kos-kos lain yang terlibat berkaitan dengan pinjaman diperbelanjakan semasa ia berlaku. Kos pinjaman melibatkan jumlah kasar daripada pelanggan kontrak adalah dipermodalkan. Permodalan pinjaman akan berhenti apabila projek telah siap. (k) Pendapatan (i) Kontrak Pembinaan Pendapatan daripada kontrak pembinaan harga tetap diiktiraf berdasarkan kaedah peratusan siap, diukur dengan rujukan kepada nisbah kos kontrak terlibat untuk perlaksanaan kerja kontrak sehingga kini yang menggambarkan tanggungan perlaksanaan kerja kepada jumlah anggaran kos kontrak. Apabila hasil kos kontrak pembinaan tidak dapat dianggar secara pastinya, pendapatan hanya diiktiraf setakat kos kontrak yang terlibat iaitu kemungkinan ia dapat dituntut balik dan kos kontrak akan diiktiraf sebagai perbelanjaan dalam tempoh di mana ianya terlibat. Kerugian dijangka atas kontrak diiktiraf serta merta dalam penyata pendapatan. (ii) Jualan konkrit prategasan Pendapatan daripada jualan konkrit prategasan diukur pada nilai pertimbangan penghutang dan diiktiraf dalam penyata pendapatan apabila kepentingan risiko dan ganjaran pemilikan telah dipindahkan kepada pembeli. (iii) Sewaan harta, loji dan kelengkapan Hasil pendapatan daripada sewaan harta, loji dan kelengkapan diiktiraf sebaik saja pengeluaran invois atas perkhidmatan tersebut dikeluarkan kepada pelanggan. 45

Kesimpulan bagi dasar perakaunan penting (samb) (l) (m) (iv) Pendapatan dividen Pendapatan dividen diiktiraf apabila hak penerimaan pembayaran dibuktikan sepenuhnya. Tunai dan setaraan tunai Tunai dan setaraan tunai merangkumi tunai, baki dan deposit di bank serta pelaburan cair di mana tidak terdapat risiko perubahan yang ketara dalam nilai. Untuk tujuan penyata aliran tunai, tunai dan setaraan tunai ditunjukkan pada nilai bersih selepas ditolak overdraf bank. Matawang asing (i) (ii) Transaksi matawang asing Tranksaksi dalam matawang asing ditukarkan kepada Ringgit Malaysia pada kadar pertukaran berkuatkuasa pada tarikh transaksi. Aset dan liabiliti berbentuk kewangan dalam matawang asing pada tarikh lembaran imbangan akan ditukarkan kepada Ringgit Malaysia pada kadar tukaran matawang asing berkuatkuasa pada tarikh tersebut. Perbezaan dalam kadar tukaran asing akan diiktiraf dalam penyata pendapatan. Aset dan liabiliti berbentuk bukan kewangan dalam matawang asing yang dinyatakan pada kos sejarah, akan ditukarkan kepada Ringgit Malaysia pada kadar tukaran asing berkuatkuasa pada tarikh transaksi. Penyata pendapatan bagi operasi luar negara Operasi luar negara Kumpulan tidak dianggap sebagai sebahagian penting daripada operasi Syarikat. Dengan itu, aset dan liabiliti bagi operasi asing, termasuk muhibbah dan pelarasan nilai saksama yang wujud atas penyatuan, akan ditukarkan kepada Ringgit Malaysia pada kadaran tukaran berkuatkuasa pada tarikh lembaran imbangan. Pendapatan dan perbelanjaan daripada operasi luar negara akan ditukarkan kepada Ringgit Malaysia pada purata kadar tukaran sepanjang tahun. Perbezaan kadar tukaran asing akan diiktiraf secara terus dalam ekuiti. Litigasi penting 24.1 Satu penimbangtaraan tindakan undang-undang antara anak syarikat Avangarde iaitu Jayarena Construction Sdn. Bhd. ( JCSB ) sebagai pihak menuntut dan Sineo Enterprise Sdn Bhd sebagai responden masih dalam perjalanan. JCSB telah menghantar semula Penyata Dakwaan pada 24 Julai 2000 dan mendakwa sebanyak RM74 juta bagi Sijil Pembayaran Akitek, nilai kerja yang telah dilaksanakan, caj kewangan, kerugian dan kerosakan, faedah dan kos. Pihak responden pula menuntut balas terhadap kerosakan yang pasti dan langsai bagi kerja lambat siap oleh JCSB yang berjumlah RM3.9 juta. Tarikh perbicaraan yang telah ditetapkan pada 2, 3, 4, 11, 12, 13, 23, 24, 25 April 2001 dan 7, 8, 9, 16, 17, 18 Mei 2001 telah ditunda kerana pihak responden telah menfail satu permohonan kepada Mahkamah Tinggi Malaya di Kuala Lumpur untuk memecat penimbangtara. Tarikh perbicaraan untuk permohonan tersebut telah ditetapkan pada 27 Ogos Berdasarkan nasihat guaman, para pengarah berpendapat bahawa tuntutan balas oleh responden boleh dipertahankan dan kemungkinan besar ia tidak akan berjaya. Tiada peruntukan untuk kerosakan diperlukan dalam penyata kewangan kerana kemungkinan untuk tuntutan balas adalah tipis Berkaitan dengan penimbangtaraan di atas, Sineo Enterprise Sdn. Bhd. telah membuat tuntutan ke atas jaminan korporat (bon perlaksanaan) atas perlaksanaan wajar JCSB, di bawah jaminan korporat yang di keluarkan oleh Avangarde sebanyak RM3.47 juta. Avangarde juga mengambil tuntutan guaman pada 25 Mei 1999 terhadap Sineo Enterprise Sdn. Bhd. bagi menentukan kesahihan jaminan korporat tersebut (bon perlaksanaan) dan kesahihan tuntutan. Mahkamah telah menetapkan tarikh perbicaraan pada 12 Jun 2001 dan 13 Jun Berdasarkan nasihat guaman, para pengarah berpendapat bahawa Syarikat berpeluang cerah kerana Sineo Enterprise Sdn Bhd gagal membuktikan penerimaan jaminan korporat tersebut. Jaminan itu juga merupakan salah satu isu di dalam penimbangtaraan (seperti dinyatakan pada Nota 24.1) 24.3 Tuntutan guaman telah dibuat oleh Antah Schindler Sdn. Bhd. terhadap Sineo Enterprise Sdn. Bhd. sebagai Defendan pertama dan JCSB sebagai Defendan kedua. Tuntutan ke atas JCSB adalah kerana telah menceroboh kerja-kerja lif dan tangga bergerak mereka. Pembelaan telah difailkan pada 9 September 1999 dan masih lagi menunggu perbicaraan. Kerja-kerja yang telah dijalankan oleh JCSB adalah mengikut syarat-syarat di dalam kontrak antara JCSB dan Sineo Enterprise Sdn. Bhd. Tidak ada kontrak antara JCSB dengan pembekal. Berdasarkan nasihat guaman, para pengarah berpendapat bahawa tuntutan pembekal berkenaan mempunyai peluang yang tipis untuk berjaya. Tiada peruntukan untuk kerosakan diperlukan dalam penyata kewangan kerana kebarangkalian pengadilan yang merugikan JCSB adalah sangat tipis. 58

Peristiwa-peristiwa penting sepanjang tahun 25.1 Para pemegang saham syarikat telah meluluskan pelupusan oleh sebuah anak syarikat, saham biasa sebanyak 30,000,000 yang bernilai RM1.00 sesaham yang merupakan 5.32% kepentingan ekuiti modal saham syarikat Pembinaan YCS Berhad kepada Permanent Capital Sdn Bhd melalui pertimbangan secara tunai berjumlah RM30,000,000, pada Mesyuarat Agung Luar Biasa yang telah diadakan pada 15 Mei Butir-butir bersama peristiwa berikutan dengan pelupusan ini telah dinyatakan dalam Nota 6.1 dalam penyata kewangan Pada 4 September 2000, Kumpulan telah membeli 600,000 saham Royong Bersatu Sdn. Bhd. melalui pembayaran tunai RM600,000. Pengambilalihan tersebut telah diambilkira dengan menggunakan kaedah pengambilalihan Pada 22 Disember 2000, CAP EAST Plantation SARL telah memeterai perjanjian bersama Kerajaan Republic of Madagascar, untuk membeli ladang kelapa sawit yang dikenali sebagai Projek Ladang Kelapa Sawit Antalaha melalui projek pengswastaan bagi pertimbangan sebanyak dua billion dan lima juta Malagasy Franc (2,005 juta FMG) diaggarkan sebanyak RM1.172 juta (berdasarkan kadar tukaran FMG1000 = RM0.5846) 26. Peristiwa-peristiwa penting berikutan tahun berakhir Merujuk kepada Bahagian V Akta Pengurusan Danaharta Nasional Berhad 1998 (Akta Danaharta 1998), Danaharta Urus Sdn. Bhd. ( Danaharta ), sebuah anak syarikat milikan penuh Pengurusan Danaharta Nasional Berhad telah memperolehi hak, tajuk dan kepentingan berkaitan dengan kemudahan kredit daripada bank berlesen kepada sebuah anak syarikat pada tahun ini. Pada 30 Januari 2001, Danaharta telah meluluskan berikut: i) membenarkan penyambungan kemudahan overdraf dengan had RM883,000; ii) menukarkan bil-bil dagangan dianggarkan berjumlah RM7.2 juta kepada pinjaman berjangka selama 4 tahun. Anak syarikat tersebut perlu memberikan jaminan tambahan seperti berikut : i) Caj guaman pertama ke atas tanah pegangan kekal sebuah anak syarikat yang lain, dan ii) Jaminan korporat oleh Syarikat. 27. Angka perbandingan Berikutan daripada penggunaan Piawaian Lembaga Piawai Perakaunan Malaysia ( MASB ) dalam penyediaan penyata kewangan ini, penyampaian dan klasifikasi terhadap sesetengah perkara dalam penyata kewangan telah diubahsuai. Justeru itu, nilai perbandingan untuk perkara-perkara tersebut telah dikelaskan semula untuk membolehkan perbandingan dibuat dengan tahun kewangan semasa. 59

Resolution 8 - Proposed Authorisation Pursuant To Section 132E Of The Companies Act, 1965 Section 132E of the Companies Act, 1965 prohibits a company or its subsidiaries from entering into any arrangement or transaction with its directors or persons connected with such directors in respect of the acquisition from or disposal to such directors or connected persons any non-cash assets of the requisite value without prior approval of the Company in general meeting. According to the Act, a non-cash asset is considered to be the requisite value if, at the time of the arrangement or transaction, its value is greater than Ringgit Malaysia Two Hundred and Fifty Thousand (RM250,000.00) or ten per centum (10%) of the Company s net assets, subject to a minimum of Ringgit Malaysia Ten Thousand (RM10,000.00). The ordinary resolution proposed in Agenda 6 above, if passed, will authorise the Company and each of its subsidiaries to acquire from or dispose to its directors or connected persons, products, services or any other non-assets which may fall within the definition of requisite value, provided that such acquisitions or disposals are on normal commercial terms. This authority, unless revoked or varied by the Company at a general meeting, will expire at the next Annual General Meeting of the Company. Resolution 9 - Proposed Amendment To The Memorandum of Association Of The Company Section 67Aof the Companies Act, 1965 allows a public listed company to purchase its own shares. As the existing Memorandum of Association of the Company does not contain any provision for the purchase of the Company s own shares, the proposed amendment to incorporate the provision of Section 67Aof the Companies Act, 1965 is therefore necessary to give the Company the required powers/authority to purchase its own shares in the manner provided for under the Act. Resolusi 7- Kuasa Menerbitkan Saham-saham Menurut Seksyen 132D Akta Syarikat, 1965 Resolusi biasa yang dibentangkan dalam Agenda 6 diatas, jika diluluskan, akan memberi kuasa kepada Pengarah-pengarah Syarikat dari tarikh mesyuarat ini hingga Mesyuarat Agung Tahunan akan datang, melainkan dibatalkan atau dipinda oleh Syarikat dalam mesyuarat agung untuk menerbitkan saham-saham syarikat dengan syarat bilangan agregat saham yang akan diterbitkan hendaklah tidak melebihi 10% daripada modal saham terbitan Syarikat semasa bagi tujuan -tujuan sebagaimana Pengarah-pengarah berpendapat ia adalah demi kepentingan Syarikat. Resolusi 8 - Cadangan Pemberian Kuasa Menurut Seksyen 132E Akta Syarikat, 1965 Seksyen 132E Akta Syarikat, 1965 melarang syarikat atau anak-anak syarikatnya daripada menjalankan sebarang urusan atau transaksi dengan Pengarah-pengarahnya atau orang-orang yang berkaitan dengan Pengarah-pengarah tersebut atau orang-orang yang berkaitan dengan pembelian daripada atau pelupusan kepada Pengarah-pengarah tersebut atau orang-orang berkaitan dengan sebarang aset bukan-tunai nilai yang diperlukan sebelum kelulusan Syarikat dalam mesyuarat agung. Menurut Akta aset bukantunai sebagai nilai yang diperlukan jika,pada masa urusan atau transaksi, nilainya melebihi Ringgit Malaysia Dua Ratus Lima Puluh Ribu (RM250,000.00) atau sepuluh peratus (10%) daripada aset bersih Syarikat, tertakluk kepada minima berjumlah Ringgit Malaysia Sepuluh Ribu Sahaja (RM10,000.00) Resolusi biasa dicadangkan dalam Agenda 6 di atas, jika diluluskan, akan memberi kuasa kepada Syarikat dan setiap anak-anak syarikatnya untuk membeli daripada atau melupuskan kepada Pengarah-pengarahnya atau orang-orang yang berkaitan, produk-produk, perkhidmatan-perkhidmatan atau sebarang bukan aset di mana ditafsirkan sebagai nilai yang diperlukan, melainkan pembelian dan pelupusan adalah dalam urusan komersial biasa. Kuasa ini, kecuali jika dibatalkan atau diubah oleh Syarikat dalam Mesyuarat Agung, akan lupus pada Mesyuarat Agung Tahunan yang akan datang. Resolusi 9 - Cadangan Pindaan Kepada Memorandum Syarikat Seksyen 67AAkta Syarikat, 1965 membenarkan syarikat tersenarai membeli saham-sahamnya sendiri. Oleh kerana Memorandum Syarikat sedia ada tidak mempunyai peruntukan bagi pembelian saham-saham Syarikat sendiri, cadangan pindaan untuk mengadakan peruntukan Seksyen 67AAkta Syarikat, 1965 adalah perlu untuk memberi Syarikat pengaruh/kuasa untuk membeli saham-sahamnya sendiri mengikut peruntukan dalam Akta.
