2 Section 1: Definitions and Frequently Asked Questions WHAT IS AN EME? Under the Old BEE Codes An Exempt Micro Enterprise is any enterprise with an annual total revenue of less than R5 million. A recently incorporated entity that has been in operation for less than one year (Start-up enterprise) would qualify as an Exempted Micro Enterprise (EME). In terms of the BEE Code of Conduct, EME s automatically have a BBBEE procurement recognition of 100% and are deemed to have B-BBEE Status of Level 4 Contributor. If an EME is more than 50% black owned, its rating is increased to that of a Level 3 Contributor having a B-BBEE procurement recognition of 110%. Under the New BEE Codes An Exempt Micro Enterprise is any enterprise with an annual total revenue of less than R10 million OR a recently incorporated entity that has been in existence for less than one year ( Start-up enterprise ). EMEs do not need to be rated, but they do need to be able to provide reasonable evidence that they are EMEs. In terms of the Revised BEE Codes, EME s automatically have a BBBEE procurement recognition of 100% and are deemed to have a B-BBEE Status of a Level 4 Contributor. If an EME is at least 51% black owned, its rating is increased to that of a Level 2 Contributor having a B-BBEE procurement recognition of 125%. Enterprises that are 100% black owned will receive a Level 1 Contributor rating with a B-BBEE Procurement Recognition of 135%. Due to the uncertainty and lack of clarification surrounding the new codes, Harvest CA will not be issuing BEE certificates under the new codes until further notice. To gain clarification on this, you may contact us and ask to speak to a BEE Consultant What constitutes black ownership? To have at least 51% Black Ownership, an entity must meet the following requirements: (a) black people must hold 51% or more of the exercisable voting rights (b) black people must hold 51% or more of the economic interest (c) must have earned all points for Net Value The term black people as defined in the Act includes all Africans, Coloureds and Indians who are citizens of the Republic of South Africa by naturalization: (a) occurring before the commencement date of the constitution of the Republic of South Africa Act of 1993; or (b) occurring after the commencement date of the Constitution of the Republic of South Africa Act of 1993, but who, without the Apartheid policy would have qualified for naturalization before then What is a Value-Adding Enterprise? An entity registered as a vendor under the Value-Added Tax Act of 1991, whose Total Labour Cost PLUS its Net Profit Before Tax exceeds 25% of the value of its Total Revenue, is a Value-Adding Enterprise. If your entity is value adding according to this definition, there will be enhanced recognition of 125%. This means, if you are a value adding enterprise every rand spent will be multiplied by 1.25 first, before applying the relevant contribution status Who can issue a BEE Certificate? In terms of the Broad-Based Black Economic Empowerment Act, an Exempt Micro Enterprise can when requested submit a certificate issued by a registered auditor, accounting officer (as contemplated in section 60(4) of the Close Corporation Act, 1984 (Act No. 69 of 1984)) or a SANAS accredited verification agency. Our certificates for EME s are issued in our capacity as Registered Auditors. We are registered Auditors and approved to issue BEE certificates by the Independent Regulatory Board of Auditors (IRBA).

This affidavit replaces the requirement for an accountant s letter/financial statements. This affidavit will not be accepted unless it is stamped by a commissioner of oaths. 7 Annexure C Share Certificate Application form This form does not apply to Close Corporations, Non-Profit Organizations or Sole Proprietors. It only applies to Private Companies i.e (PTY) Ltd and Limited Liability (Inc) entities that do not have a shareholder s agreement or share certificates. As one of the pillars of BEE is ownership, proof of ownership is needed for Private Companies. A share certificate costs R100 per shareholder.
