2 Form of Agreement Date Parties The entities comprising the South West Queensland Joint Venture, being: Santos Limited ABN of 60 Flinders St, Adelaide, SA 5000 Vamgas Pty Ltd ABN of 60 Flinders St, Adelaide, SA 5000 Santos Petroleum Pty Ltd ABN of 60 Flinders St, Adelaide, SA 5000 Santos Australian Hydrocarbons Pty Ltd ABN of 60 Flinders St, Adelaide, SA 5000 Delhi Petroleum Pty Ltd ABN of 25 Conyngham St, Glenside, SA 5065 Lattice Energy Limited ABN of 25 Conyngham St, Glenside, SA 5065 (together, Service Provider) AND, [ ] ABN [ ] OF [ ] (Shipper) Recitals This Agreement sets out the terms upon which Service Provider has agreed to provide Services to Shipper. Operative part 1 Agreement documents This Agreement between Service Provider and Shipper is made up of: (a) (b) this Form of Agreement; the Standard Terms which comprise: (i) (ii) the operational and commercial terms set out in Part 3 of the Operational Transportation Service Code; and description of the standard operational transportation services set out in Part 4 of the Operational Transportation Service Code, as those terms and descriptions are amended from time to time (provided any amendments will only take effect for the purposes of this Agreement from the time determined in accordance with the National Gas Rules); and (c) the Facility Specific Terms published by Service Provider for the Transportation Facility identified in this Agreement (in the version identified in clause 3) as those terms are amended from time to time (provided any amendments will only take effect for the purposes of this Agreement from the time determined in accordance with the National Gas Rules). 3 2 Definitions and interpretation In this Agreement: (a) (b) National Gas Law means the Schedule to the National Gas (South Australia) Act 2008 (SA); National Gas Rules is defined in the National Gas Law; (c) Facility Specific Terms has the meaning given to facility specific terms in Part 24 of the National Gas Rules; (d) (e) Operational Transportation Service Code is defined in the National Gas Law; and Transportation Facility has the meaning given to transportation facility in the National Gas Law. 3 Agreement Details Service Provider Name Service Provider ABN Service Provider Address Service Provider Representative for Notices Service Provider Address for Notices See Service Provider details in the Parties section above. 4 Transportation Facility Name Pipeline Licences (if applicable) General Description of Facility Route/Location State/Territory Ballera Compression Facility N/A Compressors and related and incidental pipework, plant and equipment that enable Gas from the South West Queensland Pipeline to be compressed to a pressure required to allow it entry into the Carpentaria Gas Pipeline QLD 4 Several liability of Service Provider entities (a) (b) (c) (d) (e) A reference to Service Provider is a reference to each entity listed as a Service Provider in the Parties section and also to all of them collectively but not jointly. The entities comprising the Service Provider have, under the South West Queensland Unit Agreement dated 22 April 1992, as amended from time to time (JVA), associated themselves in an unincorporated joint venture (Joint Venture). The assets of the Joint Venture include the Ballera Compression Facility. Each entity comprising the Service Provider holds a proportionate interest in the Ballera Compression Facility equal to their respective joint venture participating interest as determined under the JVA from time to time. The obligations and liabilities of each Service Provider under this Agreement are: (i) (ii) several in the same proportion as their joint venture participating interests under the terms of the JVA; and neither joint, nor joint and several.
