1 SIXTH AMENDMENT TO CONCESSION AGREEMENT LAA-8212 BETWEEN THE CITY OF LOS ANGELES AND BLUE VAN JOINT VENTURE COVERING PASSENGER STAGE SHARED RIDE VAN SERVICES TO AND FROM LOS ANGELES INTERNATIONAL AIRPORT THIS SIXTH AMENDMENT ( ) to Concession Agreement LAA-8212, made and entered into this day of, 2016 at Los Angeles, California, by and between the CITY OF LOS ANGELES, a municipal corporation ( City ), acting by order of and through its Board of Airport Commissioners ( Board ) of the Department of Airports and (i) SUPER SHUTTLE LOS ANGELES, INC., a California corporation; (ii) ARCADIA TRANSIT, INC., a California corporation, which is also known as SUPER SHUTTLE BURBANK and (iii) MINI-BUS SYSTEMS, INC., a California corporation, which is also known as SUPER SHUTTLE ONTARIO (collectively, Blue Van Joint Venture or Concessionaire ). RECITALS WHEREAS, City and Concessionaire entered into Concession Agreement LAA dated December 20, 2004 for passenger stage shared ride van services ( Concession Agreement ) to and from Los Angeles International Airport ( Airport ); and WHEREAS, City and Concessionaire further amended the Concession Agreement on July 31,2009, July 27, 2010, July 18, 2011, July 31,2013 and July 9, 2015; and WHEREAS, City and Concessionaire desire to further amend the Concession Agreement. NOW, THEREFORE, in consideration of the terms, covenants, and conditions hereinafter contained to be kept by the respective parties hereto, IT IS MUTUALLY AGREED that the Concession Agreement be further amended as follows: Section 1. Notwithstanding the amounts stated in Section 5(a) of the Concession Agreement, for the period of February 1, 2016 through the expiration or earlier termination of the Concession Agreement, for each month, the monthly prorated payment of the Minimum Annual Guarantee shall be eighty-five percent (85%) of the compensation Concessionaire paid to City for the same month of the immediately preceding year. Section 2. Except as specifically provided herein, this shall not in any manner alter, change, modify, or affect any of the rights, privileges, duties, or obligations of either of the parties hereto under or by reason of said Concession Agreement, and except as expressly amended herein, all of the terms, covenants, and conditions of said Concession Agreement LAA-8212, as amended, shall remain in full force and effect. 1

4 SIXTH AMENDMENT TO CONCESSION AGREEMENT LAA-8213 BETWEEN THE CITY OF LOS ANGELES AND RIDESHARE PORT MANAGEMENT LLC DBA PRIME TIME SHUTTLE COVERING PASSENGER STAGE SHARED RIDE VAN SERVICES TO AND FROM LOS ANGELES INTERNATIONAL AIRPORT THIS SIXTH AMENDMENT ( ) to Concession Agreement LAA-8213, made and entered into this day of, 2016 at Los Angeles, California, by and between the CITY OF LOS ANGELES, a municipal corporation ( City ), acting by order of and through its Board of Airport Commissioners (hereinafter referred to as Board ) of the Department of Airports ( Los Angeles World Airports or LAWA ), and, a California limited liability company DBA PRIME TIME SHUTTLE ( Concessionaire ). RECITALS WHEREAS, City and Concessionaire entered into Concession Agreement LAA dated December 20, 2004 for passenger stage shared ride van services ( Concession Agreement ) to and from Los Angeles International Airport ( Airport ); and WHEREAS, City and Concessionaire further amended the Concession Agreement on July 31, 2009, July 27,2010, July 18,2011, July 31, 2013 and July 9, 2015; and WHEREAS, City and Concessionaire desire to further amend the Concession Agreement. DBA ROADRUNNER SHUTTLE COVERING PASSENGER STAGE SHARED RIDE VAN SERVICES TO AND FROM LOS ANGELES INTERNATIONAL AIRPORT THIS SEVENTH AMENDMENT ( Seventh Amendment ) to Concession Agreement LAA-8214, made and entered into this day of, 2016 at Los Angeles, California, by and between the CITY OF LOS ANGELES, a municipal corporation ( City ), acting by order of and through its Board of Airport Commissioners ( Board ) of the Department of Airports ( Los Angeles World Airports or LAWA ), and AIRPORT CONNECTION, INC., a California corporation DBA ROADRUNNER SHUTTLE (hereinafter referred to as Concessionaire ).
