New Bern, North Carolina Management is responsible for the accompanying financial statements of New Bern Golf & Country Club, Inc. (a nonprofit organization), which comprise the statement of financial position as of May 31, 2016 and the related statements of activities and cash flows for the year then ended, and the related notes to the financial statements in accordance with accounting principles generally accepted in the United States of America. We have performed a compilation engagement in accordance with Statements on Standards for Accounting and Review Services promulgated by the Accounting and Review Services Committee of the AICPA. We did not audit or review the financial statements nor were we required to perform any procedures to verify the accuracy or completeness of the information provided by management. 7 Notes to Financial Statements NOTE 1 ACCOUNTING POLICIES This summary of significant accounting policies of New Bern Golf and Country Club, Inc. is presented to assist in understanding the Organization s financial statements. The financial statements and notes are representations of the Organization s management, who are responsible for the integrity and objectivity of the financial statements. Organization The New Bern Golf and Country Club, Inc. is a nonprofit organization. Its activities and services consist of a golf course, swimming pool, fitness room, tennis courts and dining facilities. Basis of Accounting The Club records its transactions using the accrual basis method of accounting, whereby revenue and the related assets are recognized when earned and expenses are recognized when the obligation is incurred. Membership dues and capital fund assessments billed in advance are shown as unearned income. Accounts Receivable Member accounts receivable are stated at the amount management expects to collect from balances outstanding at year end. The Club establishes an allowance for doubtful accounts based on management's assessment of the credit history with members having outstanding balances and current relationships with them. Inventories Inventories are valued at cost. Cost is determined by the first in, first out method. Income Taxes The Club is exempt from federal and state income taxes under Section 501(c)(7) of the Internal Revenue Code, except on net income derived from unrelated business activities. The Club s unrelated business activity is any revenue or fees collected from nonmembers. At May 31, 2016 the Club had no tax liability on this unrelated business activity. The Club believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. The Club s federal Exempt Organization Business Income Tax Returns (Form 990 and Form 990T) for 2015, 2014, and 2013 are subject to examination by the IRS, generally for three years after they were filed. Cash Equivalents For purposes of the statement of cash flows, the Club considers all short term instruments with a maturity of three months or less when purchased to be cash equivalents. 5

8 Notes to Financial Statements Property and Equipment Property and equipment is stated at cost less accumulated depreciation. Depreciation is provided for in amounts sufficient to relate the cost of depreciable assets to operations over their service lives on the straight line method. Total depreciation expenses for the years ended May 31, 2016 and 2015 were $273,817 and $322,367, respectively. Furniture and fixtures Machinery and equipment Vehicles Leasehold improvements Buildings 10 years 10 years 10 years 40 years 40 years The cost of assets sold or otherwise disposed of and the accumulated depreciation thereon are eliminated from the accounts, and the resulting gain or loss is reflected in the income for the period. Expenditures for maintenance and repairs are charged to income as incurred; replacements and betterments that extend the useful lives are capitalized. Estimates The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect certain reported amounts and disclosures. Accordingly, actual results could differ from those estimates. Compensated Absences There is no carryover of vacation time year to year and employees are not compensated for unused sick leave at termination of employment. Therefore, there is no accrued liability for compensated absences. Basis of Presentation Financial statement presentation follows the recommendations of FASB Accounting Standards Codification (ASC) 958, Presentation of Financial Statements of Not for Profit Entities. Under ASC 958, the Club is required to report information regarding its financial position and activities according to three classes of net assets: unrestricted net assets, temporarily restricted net assets and permanently restricted net assets. The Club does not have any temporarily or permanently restricted net assets. Fair Value of Financial Instruments The Company s financial instruments consist of cash, accounts receivable, and accounts payable. The recorded values of cash, accounts receivable, and accounts payable approximate their fair values based on their short term nature. 6

9 Notes to Financial Statements NOTE 2 INVENTORY Inventories consisted of the following: Food and beverages $ 51,975 $ 52,052 NOTE 3 OPERATING LEASE COMMITMENTS The Club is obligated under three operating leases. The lease for golf carts is $3,020 per month which expires November The lease for utility vehicles is $179 per month which expires November The lease for the greens mower is $752 per month which expires November The minimum rental commitments with initial terms in excess of one year as of May 31,2016 are as follows: May 31, 2017 $ 47,412 May 31, ,412 May 31, ,218 May 31, ,512 $ 127,554 Rental expense for all operating leases except those with terms of a month or less that were not renewed for the year ended May 31 are as follows: $ 42,900 $ 38,390 NOTE 4 CONCENTRATION OF CREDIT RISKS The Company maintains cash balances in one financial institution. At May 31, 2016 and 2015, the Organization's cash and cash equivalents exceeded the federally insured limit of $250,000 by $272,173 and $296,350, respectively. The Club grants credit without collateral to its members. 7

10 NOTE 5 RETIREMENT PLAN New Bern Golf & Country Club, Inc. Notes to Financial Statements On May 16, 2001, the Club established a Simple IRA pension plan covering all employees who earn $5,000 or more per year during any prior year of employment. The Club will contribute a matching contribution to each eligible employee's Simple IRA equal to the employee's salary reduction contributions up to a limit of 3% of the employee's compensation for the year. The Club's contributions for the years ending May 31, 2016 and 2015 were $19,367 and $17,588, respectively. NOTE 6 LONG TERM DEBT Long term debt consists of two note payables to two financial institutions. The balances at May 31, 2016 and 2015 were $1,412,197and $1,598,839, respectively. The Club signed a new loan agreement on June 27, 2005 in the amount of $3,900,000, and a note modification agreement on October 15, 2015 in the amount of $1,517,986. The terms of the loan are interest at a fixed rate of 3.34%. The loan also calls for 71 equal consecutive monthly payments of $24,300 commencing on November 22, 2015 and one final payment of the balance due on October 22, Collateral consists of a first lien deed of trust on the Club s property. The Club also entered into a capital lease for a copier on September 12, 2012 in the amount of $15,591. The lease calls for 48 equal consecutive monthly payments, including taxes, of $ The Club also entered into a capital lease for a mower on May 5, 2016 in the amount of $37,467. The lease calls for 36 equal consecutive monthly payments, including taxes, of $1, Interest paid for the years ending May 31, 2016 and 2015 was $53,441 and $64,909, respectively. The future principal payments on the note payable are summarized as follows: 2017 $ 262, , , , ,988 Thereafter 43,204 $ 1,412,197 NOTE 7 CAPITAL RESERVE FEES A capital reserve fee was instituted in 2007 to be used for capital expenditures. The capital reserve fee is $250 per member, payable each June 15. The balances of the capital reserve at May 31, 2016 and 2015 were $108,554 and $122,346, respectively. 8

11 Notes to Financial Statements NOTE 8 ACCOUNTS RECEIVABLE Accounts receivable consist primarily of member dues. At May 31, 2016 and 2015, the allowances for doubtful account balances were $6,241 and $22,600 respectively. NOTE 9 FAIR VALUE OF FINANCIAL INSTRUMENTS The following methods and assumptions were used by the Organization in estimating the fair value of its financial instruments: Cash and cash equivalents The carrying amount reported in the statement of financial position approximates fair value because of the short maturity of those instruments. Loan payable The carrying amount reported in the statement of financial position approximates fair value because the Organization can obtain similar loans at the same terms. 12 Notes to Financial Statements NOTE 11 SUBSEQUENT EVENT The Company has evaluated subsequent events through August 4, 2016, which is the date the financial statements were available to be issued. No significant events were identified that would require adjustment of or disclosure in the financial statements. 10
