3 ARTICLES OF AGREEMENT This Agreement entered into as of the 1st day of January ARTICLE NO. 1 - PURPOSE 1.01 The purpose of this Agreement is to maintain a harmonious relationship between the Company and its employees, to define more clearly the hours of work, wages, and conditions of employment; to provide an amicable means of settling any differences which may arise to promote the mutual interests of the Company and its employees and to provide for the operations of the Plant under methods which will further to the fullest extent possible the safety and welfare of the employees, combined with the economy of operations, quality and quantity of output, cleanliness in the Plant and the protection of property. It is recognized by this Agreement to be the responsibility of the Company, the Union and the employees to co-operate fully, individually and collectively for the promotion of the aforementioned conditions. The Business Representatives of the Union will, after making an appointment with the Management, be conducted through the Plant during working hours by a member of Management; if he has ample cause to justify investigating working conditions that may violate this Agreement. During such visits he will not interfere with the normal flow of work. ARTICLE NO. 2 - RECOGNITION 2.01 The Company recognizes the Union as the exclusive Representative of all personnel, as per Certificate No , issued by the Alberta Board of Relations on June 25th, 1969, comprising, all employees, employed at 4415 Manilla Road SE, excluding office staff, salesman, driver route salesman, engineer maintenance, supervisory employees employed as such and agree to bargain only with the duly appointed Representatives of the Union respecting rates and methods of payment, hours of work, and working conditions relative to the sale or distribution of the Company s products, or any other product that the Company may desire to handle or distribute All work performed in respect to the above definition shall only be performed by personnel who are members of the Union, or who are eligible to become members of the Union, under Article No. 3 herein It is understood that personnel excluded from the Bargaining Unit may be used to perform work normally performed by a member of the Bargaining Unit, for emergencies or training. ARTICLE NO. 3 - UNION SHOP AND CHECK OFF 3.01 It shall be a condition of employment, after the final signatures have been affixed hereto, that all eligible employees shall become and remain members of the Union. All new employees shall become and remain members of the Union Upon request in writing of any employee, the Company agrees to deduct from the first (1st) pay in each month and pay no later than the last banking day of each month, out of wages due such employees, to the Secretary-Treasurer designated by the Union to receive same, the regular monthly Union dues and initiation fees of such employees. The Company agrees to accompany the monthly Page 1

4 payment to the Secretary-Treasurer with the list of names to those employees for whom the deductions have been made During the months of June, July, and August, students shall not be compelled to join the Union, but do so of their own free will. All other conditions of the Agreement shall be applicable to said students. ARTICLE NO. 4 - MANAGEMENT RIGHTS 4.01 The Union acknowledges that it is the right of the Employer to hire, promote, demote, transfer provided that a claim by an employee, who has acquired seniority, that he or she has been discharged or disciplined without reasonable cause, shall be the subject of a grievance and dealt with as hereinafter provided The Union further recognizes that right of the Employer to operate and manage its business in all aspects in accordance with its commitments and responsibilities. The location of the Plants, the products to be manufactured or processed, the schedules of production, the methods, processes and means of manufacturing or processing used, the right to decide on the number of employees needed by the Employer at any time, the right to use improved methods, machinery and equipment, and jurisdiction over all operations, building machinery, tools and employees at the Calgary Plant, are solely and exclusively the responsibility of the Employer. The Employer also has the right to make and alter from time to time rules and regulations to be observed by the employees, provided such rules and regulations are not inconsistent with the terms of the Agreement, but before altering any such rules, the Employer will discuss same with the Union Committee and give them an opportunity of making representation with regard to such proposed alterations Without limiting the generality of the foregoing, it is expressly understood and agreed that breach of any of the Plant rules or any of the provisions of this Agreement, shall be conclusively deemed to be sufficient cause for discipline or dismissal of the employee; provided that nothing herein shall prevent an employee going through the Grievance Procedure to determine whether or not such breach actually took place. ARTICLE NO. 5 - GRIEVANCE PROCEDURE 5.01 a) A Shop Stewards Committee, the number not to exceed three (3) who shall be regular employees of the Company with not less than six (6) months seniority, shall be elected by the Union, in a manner determined by them, and the Company shall be kept informed of the personnel of this committee. b) Shop Stewards with not less than six (6) months seniority, the number to be decided by each local Union, shall be elected by the Union and the Company shall be kept informed of the personnel of the Shop Stewards. c) Any grievance may be taken up on Company time during regular working hours, and any employee, the Company or the Union may present a grievance. Any such grievance shall be taken up within four (4) working days of occurrence. d) If a Steward has to leave his or her job or department in connection with a grievance, he or she shall first (1st) advice the Foreman before leaving the job or Department. 5 5.02 The following procedure shall be applicable progressively to the adjustment of disputes or grievances. a) Between the employee, if he so desires, Union Steward or Stewards (not exceeding two (2)), and the Department Manager of the Plant. A decision must be rendered within five (5) working days. b) In case of emergency, a meeting can be called by either party. An outside Representative of the Union may be called in if so desired. A decision to be rendered within three (3) working days, unless mutually agreed otherwise. Grievances in this Step and in the following Steps shall be submitted in writing. c) By the Representative of the Union and the employee, if he or she so desires, who shall take the matter up with the Branch Manager of the Company. A decision to be rendered within one (1) week after presented unless mutually agreed otherwise. d) In case settlement is not reached in the Third Step, the matter will be referred immediately to a Sole Arbitrator whose decision shall be final and binding. In the event of failure to agree to a Sole Arbitrator within one (1) week, he shall be appointed by the Minister of Labour for the Province of Alberta. Any expense incurred as a result of the appointment of the Sole Arbitrator shall be borne in equal shares by the Company and the Union When a grievance which effects the rate of pay of an employee is not settled satisfactorily within ninety-six (96) hours, but subsequently is settled satisfactorily, and as a result of such settlement the wages of such employee are increased, such increase shall be retroactive to the date on which the error was made If an employee is dismissed for any reason whatsoever and feels that he or she has been unjustly dealt with, he or she shall within four (4) working days from receipt of notice of dismissal, notify the Shop Stewards or the Union Business Agent in writing. The dismissal shall then constitute a grievance and shall be dealt with according to the Grievance Procedure, beginning with the Second Step. If subsequently it is decided that the employee was unjustly dismissed he or she shall be re-instated in his or her former position. Payment for time lost, in cases of re-instatement, shall be dealt with as part of the settlement When settlement is reached at any stage of these proceedings, such decision shall be final and binding. It is understood that no decision will be made unless Representatives of the Union be present The Union agrees that during the lifetime of this Agreement and during the period of renewal or Amendments, there will be no strike, picketing, slow down or stoppage of work, either complete or partial, and the Employer agrees that there will be no lock-out. ARTICLE NO. 6 - WAGES 6.01 Attached hereto and forming part of this Agreement is Appendix A covering the wage rates and classifications of the employees. Should the Company desire to make any changes to existing Page 3

6 classifications or earnings during the term of this Agreement, then same shall be negotiated between the Company and the Union. Failing settlement within thirty (30) days, then either party may invoke the provisions of Article No. 5 and the Arbitrator shall be empowered to make a binding award The Company shall show on the pay statement of each employee, the employee's rate and total monies earned at regular salary and overtime, for each pay period, along with a complete list of deductions made by the Company. The Company agrees to distribute the pay on Company time during regular working hours. ARTICLE NO. 7 - HOURS OF WORK AND OVERTIME 7.01 The following paragraphs and sections are intended to define the normal hours of work and shall not be construed as a guarantee of hours of work per day or per week, or the days of work per week a) All hours in excess of eight (8) per day and forty (40) per week shall be deemed as overtime and paid at one and one-half (1½ ) times the employees rate of pay. All time worked in excess of twelve (12) hours in any one (1) shift shall be paid at double (2 ) time, and an employee shall not suspend work during regular hours to absorb overtime. b) Employees required to work during their regular assigned day of rest shall be paid time and one-half (1½ ) the employee's regular rate of pay for said day providing they have worked their normal regular forty (40) hours in the preceding week. c) Any employee who, because of an emergency is called out for duty at any time after or before his or her regular work period shall be free when the emergency is over, but shall nevertheless be paid a minimum of four (4) hours at overtime rates. d) Any employee who is normally required to report for work and so reports, but, who, for reasons beyond his or her control, is sent home shall receive not less than four (4) hours pay at such employee's regular rate of pay. e) Any employee who reports late for work shall be docked for time missed to the next tenth ( 1 10 ) hour and must report to their immediate supervisor before commencing their shift. f) In the case of a reduced workday or week, senior qualified employees will have the first (1 st ) right of refusal. 7 7.03 The Company will notify each employee no later than six (6) hours after commencement of their shift if overtime is required. If all employees are not required to work the overtime, the most senior employees by department will be offered first (1 st ). The Union employees agree to work the necessary overtime. Management agrees to keep overtime to a minimum. Employees with a prior professional appointment shall be excluded from overtime as required. The above provision will not apply in situations where the overtime requirement was a result of unforeseen circumstances It is further agreed by the Employer and the Union that no employee shall be asked to make any written or verbal agreement conflicting with this Agreement. No employee shall make any written or verbal agreement with the Employer or the Union conflicting with this Agreement The Company agrees that an accurate record of hours of work for all employees covered by this Agreement shall be kept, and no employee shall record or be asked to record times other than their actual hours. Such records shall be available to the Union for inspection on request, the records to be kept for a period of ninety (90) days Statutory Holidays: All employees covered by this Agreement shall receive a day off with pay on the following statutory holidays, and all other public holidays proclaimed by Provincial and Dominion Governments, provided they have been employed with the Company for thirty (30) working days prior to the holiday: New Years Day Canada Day Remembrance Day February Family Day August Civic Holiday Christmas Day Good Friday Labour Day Boxing Day Victoria Day Thanksgiving Day All employees shall be paid a regular day s pay for the above holidays. Employees required to work shall be paid at the rate of time and one-half (1½ ) in addition to his or her regular rate. To qualify, the employee must have worked his or her regular shift before and after the holiday unless their failure to work one (1) or the other of the said days results from absence due to illness or accident, or his or her failure to work one (1) of the said days has been the object of prior authorization from the Company. When any of the statutory holidays listed above falls within an employee's annual vacation period such employee shall be granted one (1) additional day off at his or her regular rate of pay at a time mutually agreed upon or a day s pay in lieu of Any employee who is required to work on any shift where the majority of the working hours fall between 4:00 p.m. and 12:00 p.m. shall receive a shift premium of thirty-five (0.35 ) cents per hour on all wage classifications. 8 ARTICLE NO. 8 - VACATIONS 8.01 Vacations shall be granted to all employees covered by this Agreement on the following basis: a) Those employees with less than one (1) year, prior to January 1st of each year, one (1) day for each twenty-three (23) days actually worked. b) Those employees with one (1) year continuous employment and less than four (4) years, prior to January 1st of each year, two (2) weeks annual vacation. c) Those employees with four (4) years continuous employment and less than eleven (11) years, prior to January 1st of each year, three (3) weeks annual vacation. d) Those employees with eleven (11) years or more of continuous employment prior to January 1st of each year, four (4) weeks annual vacation Choice of time during the vacation period shall be granted in accordance with seniority It is understood and agreed that all employees shall be paid their regular weeks pay when taking annual vacation based on their prior years gross earnings and eligible percentage of gross earnings. At Companies year end (December 31 st ) the applicable percentage shall be calculated on each employees gross earnings and any amounts in excess of the regular rate of pay received previously by the employee s vacation pay, shall be paid to each employee by January 31 st of the applicable year. ARTICLE NO. 9 - WELFARE PLAN 9.01 The Company shall provide a Short Term Disability Plan with the cost share of fifty (50) percent to the employee Medical and surgical benefits within the limitations of the Alberta Health Care Plan after the employee has worked for five hundred and twenty (520) hours. 9.02a) Sick Leave: Each employee, after five hundred and twenty (520) hours of service, shall be entitled to onehalf (½) day per month sick leave credit to a maximum of six (6) days (forty-eight (48) hours) in a full calendar year. In order to be paid for 2 or more days of absence, a doctor s certificate MUST be presented when returning to work and the employee must have accumulated sufficient days of credit. The above shall not apply to any employee who demonstrates a negative trend in their attendance or if absenteeism exceeds the plant average for that year. The Company will bear the burden of proof in demonstrating a negative trend. Sick leave credit will start January 1 st of each year. All unused sick days will be reconciled by January 31 st and paid out second payroll in February. 9.03The cost of the above welfare benefits will be one hundred percent (100%) paid by the Company. Health and Welfare Page 6

9 Life insurance fifteen thousand ($15,000) dollars Year 2005 Prescription Drug Card Year 2004 Dental Plan will increase to $1,500 per year and is based on the 2013 Dental Guide Orthopedic coverage at three hundred ($300.00) dollars per year Year 2004 Eye Glass coverage at two hundred ($250.00) dollars every second year Supplementary Health Care Company to pay for cost of a Physicians receipt; up to a maximum of six (6) visits per year and twenty-five ($25.00) dollars per visit. Premiums cost-shared seventy-five (75%) percent by the Company and twenty-five (25%) percent by the employee. The Company agrees that the benefits program in force as outlined in the benefits booklet, at the date of signing of the present Agreement, is maintained for the duration of the latter. The Company may change the benefits carrier provided equal or improved benefits are maintained. In such case, the Union and employees are advised in writing of the change. The Company will provide benefits booklets to all eligible employees. 9.04Members of the Bargaining Unit may request, in writing, a leave of absence in accordance with this Article for compassionate purposes. In the event of a death in the immediate family, an employee shall be granted a leave of absence for a maximum of five (5) paid consecutive days, ending the day of the funeral, providing the employee attends the funeral. In cases where it is not realistic to attend the funeral due to travel restrictions, three (3) days compassionate pay shall be granted for the death of an employee s parent and one (1) day for the death of a brother or sister, providing a copy of the death certificate is provided. The term immediate family shall mean: spouse, parent, child, brother, sister, grandparents of the employee, mother-in-law, father-in-law and step-children. One (1) day compassionate leave shall be granted for the death of an employee's spouse s grandparents. 9.05Increase pension contribution by five (0.10 ) cents in year one (1), January 1, 2014 and year four (4) January 1, 2013 for all regular hours worked. The first one thousand and forty (1040) hours an employee works there is no payment, however if the new employee passes the one thousand and forty (1040) hours then retroactive pay is paid back to five hundred and twenty (520) hours. 9.06Allow one (1) day off with pay for the birth or adoption of their child. ARTICLE NO SENIORITY Seniority shall be defined as the length of an employee's service with the Company, calculated as the elapsed time from the day he or she was first (1 st ) employed, unless his or her seniority was broken, in which case such calculation shall be from the date he or she returned to work following the last break in his or her seniority Employees shall not acquire any seniority rights until they have five hundred and twenty (520) hours accumulated service, at which time they are entitled to Plant seniority from the original date of employment The Company shall maintain seniority lists, and these lists shall be available to the local Union at request. 10 10.04 a) Promotions and the filling of vacancies for any jobs within the classifications of this Agreement shall be made based on ability, merit and seniority; ability and merit being sufficient after one (1) month s trial to do the job, seniority shall prevail. Should the candidate fail to show aptitude for the work required in the position he or she shall be allowed to return to his or her former position. b) All positions above the classification of production employee shall be posted, excluding the Lead Hand position, which shall be designated at the Company s discretion. Within thirty (30) calendar days following their transfer, the employee may return to their former position without loss of rights and privileges. The Company shall also have the right to return such employee to their former job within the same period if the employee is found to be incapable of satisfactorily performing the duties of the job. The job will not be re-posted, but will be filled with the second (2 nd ) preferable candidate on the original listing. To give employees with seniority ample opportunity to apply for such vacancies, each posting shall remain up for a minimum of seventy-two (72) hours. Plant employees shall have the right to bid on CSR posted positions. The candidate must be able to meet the qualifications for the position in the Trucking Department and must be recommended by his or her immediate Department Head Seniority service records shall be considered broken, all rights forfeited and there shall be no obligation to rehire, when an employee; a) Voluntarily leaves the service of the Company or is discharged for just cause, or is absent without leave unless there is reasonable justifications. b) After being laid off by the Company, fails to report for work when recalled, or cannot be located after reasonable effort on the part of the Company. Notice mailed to the employee at the last known address shall constitute reasonable effort on the part of the Company, and within seven (7) days of mailing of such notice the employee fails to report for duty, or advises the Company of the date he or she will report, the Company shall be entitled to assume that the said employee left the Company s service voluntarily. c) Is absent from work for a period of two (2) working days or longer without reporting to the Company at that time the reason for such absence unless there is a good and valid reason the employee was unable to contact the Company Absence from work because of accident, sickness proven by a doctor s note stating that the employee can return to work, or leave of absence, shall not break continuity of seniority rights, and an employee shall return to the position held prior to the absence. In the event that he or she cannot perform his or her former work, the Company undertakes to provide other work for him or her, if satisfactory arrangements can be made a) In case of reduction in the working force, the order of lay-off shall be as follows: i) Probationary employees, i.e. those with less than five hundred and twenty (520) hours accumulated service, provided the remaining employees are qualified for the work. ii) Those with accumulated seniority. 11 b) In the latter case, seniority shall be the determining factor, provided the senior employee after orientation and familiarization is capable of doing the work performed by an employee with less seniority. i) The Company will endeavor to provide the senior employee by Department with a full days work during a temporary work shortage In cases of increases in the working force, re-hiring shall be in the reverse order to that of lay-offs provided the employee is qualified. The Company shall advise the Union when a lay-off is about to take place The Company agrees that leave of absence without pay but with maintenance of seniority rights shall be given to any one (1) designated employee for the conducting of Union business at large under the following circumstances: For a period of not in excess of two (2) weeks at any one (1) time. One (1) week s notice being required All vacation must be exhausted or be combined with a leave of absence other than that provided for in Article prior to a leave of absence being approved In the case of a temporary vacancy of one (1) month or less, the Company will give the first (1st) right of refusal to the senior qualified employee in the Plant, and those employees will receive the higher rate of pay while performing those duties, after the first (1st) day. If an employee is performing a job with a lesser rate of pay, that employee will retain the rate of the position they are classified in. In the case of a temporary vacancy of one (1) month or more, the Company shall post and award the job to the most senior candidate, according to Article b). ARTICLE NO GENERAL Employees must use safety and protective devices supplied. Employees must follow all safety rules posted by the Company The Company shall provide a bulletin board for the posting of Union business only, at a suitable place on the Plant premises No employee shall be discriminated against or jeopardized in seniority standing or suffer loss of employment because of Union activities. The Company will not ask the employees to do anything that would prejudice their standing in the Union The Company agrees to provide and maintain uniforms All employees shall be entitled to a fifteen (15) minute break without loss of pay, in the forenoon and afternoon, the first (1st) break not to be taken until they have worked at least two (2) hours. Each employee will be entitled to half (½) hour lunch period The Business Agent for the Union shall be permitted to visit the Plant, but will not conduct any Union business on Company time No employee covered by the term of this Collective Agreement shall be required to cross any legal picket line. 12 11.08 Effective January 1, 2010, Employees will be paid via Direct Deposit to the bank of their choice every second (2 nd ) Friday Labour Relations meetings will be held to discuss any questions of mutual interest other than those being the object of a grievance. Health and safety issues may be discussed or separate meetings can be established to deal with Plant concerns. These meetings shall occur once every three (3) months. Representatives from the Company, the Union Business Agent and Shop Stewards will be involved. The meetings will be scheduled during lunch breaks and may carry over into scheduled working hours. As a result, no employee will suffer a loss of wages Upon receipt of proof of payment, the Company agrees to contribute the sum of seventy-five dollars ($75.00) for one pair of safety approved footwear per calendar year. To qualify for the aforementioned allowance, an employee must have completed one (1) year of service. ARTICLE NO DURATION OF AGREEMENT This Agreement shall come into effect on the 1 st day of January 2014 and shall remain in full force and effect until the 31 st day of December 2017 and thereafter on a yearly basis until terminated by either party giving the other party notice in writing of not less than ninety (90) days prior to the 31 st day of December 2016, except as hereinafter provided If Amendments are desired by either party to become, effective January 1 st, 2014, the party proposing such Amendments shall give notice in writing thereof to the other party not less than ninety (90) days before the 31 st day of December in any year and negotiations of such Amendments shall be commenced within twenty (20) days of receipt of said notice. Forms are available from the Department Manager. d) Should more than one (1) employee request a Leave of Absence for the same period, preference will be given to the senior employee. e) All vacation must be exhausted or be combined with a leave of absence other than that provided for in Article prior to a leave of absence being approved. 19 WITHDRAWAL INFORMATION Upon termination, lay-off, lengthy illness, worker compensation or disability you are advised to call your Union office as soon as possible to obtain a withdrawal card or transfer card, which will entitle you to reenter the Union without further payment of Union dues or a re-initiation fee. You must obtain your withdrawal card as soon as you leave your place of employment as your dues must be paid up within the month in which you obtain your withdrawal card. If you are a member that works for an Employer that contributes, on your behalf, to the Teamsters Local 987 Pension Plan it is your responsibility to pay dues during short term disability, compensation or other leaves for medical reasons. You must contact the Union office immediately to make arrangements as you may qualify for Disability Pension Credits.
