3 PART 2 SUPPLEMENTAL CONTRACT This Part 2 Supplemental Contract (Contract) for design-build services is made and entered into this 7th day of May, 2015 by and between the Hillsborough County Aviation Authority, a public body corporate under the laws of the State of Florida, hereinafter referred to as the "Owner," and Austin Commercial, L.P., Delaware limited partnership, authorized to do business in the State of Florida, hereinafter referred to as the Design-Builder for the following Projects: Consolidated Rental Car Facility and Automated People Mover, Authority Nos , , and The Owner and Design-Builder agree as set forth below. TPA/ Consolidated Rental Car Facility and Automated People Mover Authority Nos , , and PART 2 SUPPLEMENTAL CONTRACT Page 2 of 9

4 As part of the Part 2 Contract Between Owner and Design-Builder, dated November 6, 2014, for design-build services for Consolidated Rental Car Facility and Automated People Mover, Authority Nos , , and , the Owner and Design-Builder established an Initial GMP amount of $106,123, and a Guaranteed Completion Date of October 1, ARTICLE 1 GENERAL PROVISIONS The existing Part 2 Contract and all attachments, dated November 6, 2014, between Owner and Design-Builder, as described above, are incorporated by reference herein to the extent not modified by this Part 2 Supplemental Contract. ARTICLE 2 BASIS OF COMPENSATION The Owner will compensate the Design-Builder for services rendered under this Part 2 Supplemental Contract, as described below. For the Design-Builder s successful performance of the Work, as described in Article 1 of the Part 2 Contract and Design-Builder s GMP Proposal and including any other services listed in said Part 2 Contract as part of the Work, the Owner will pay to the Design-Builder the Total GMP Contract Sum of Five Hundred Forty Three Million Five Hundred Thirty Eight Thousand Four Hundred Eleven and No One Hundredths Dollars ($543,538,411.00) subject to additions and deductions by changes in the Work as provided in the Contract Documents. Invoiced amounts will be based upon actual work completed and supported by monthly progress payment applications submitted to the Owner in accordance with Article 4 of the Part 2 Contract. The Total GMP amount is for the performance of the Work in accordance with the Part 2 Contract, as if fully contained herein, inclusive of the Initial GMP, and Design-Builder s Total GMP proposal, marked Attachment 1, as follows: Attachment 1 - Total GMP proposal dated April 24, 2015, entitled Part 2 Guaranteed Maximum Price Proposal ConRAC & APM FGMP. ARTICLE 3 OTHER CONDITIONS AND SERVICES The Work to be performed will commence on the date of the Notice to Proceed and, subject to authorized adjustments, will be substantially complete by October 1, 2017 in accordance with the Part 2 Contract. 5 ARTICLE 4 PAYMENTS Delete Paragraph 4.4 in its entirety from the existing Part 2 Contract and replace with the below: 4.4 The cost of General Conditions as detailed in Design-Builder s GMP Proposal will be paid monthly based on actual Cost of the Work or agreed upon labor rates incurred as part of the Design-Builder s application for payment. Retainage will not be withheld on General Condition costs. Additionally, retainage will not be withheld on the Design-Builders monthly fee invoiced in their application for payment. Delete Paragraph 4.22, in its entirety from the existing Part 2 Contract and replace with the below: 4.22 Until 50% of the total GMP Contract Sum, including authorized adjustments, has been expended, 10% retainage will be withheld from each application for payment on all line items with the exception of the design and construction administration fees and the noted items in 4.4 above. After 50% completion of the related Scope of Work (I.E. enabling), the retainage withheld may be reduced to 5% from each subsequent application for payment. After 50% completion of the related Scope of Work (I.E. enabling), the Design-Builder may request up to one-half of the retainage be released. Any amounts that are the subject of a good-faith dispute, the subject of a claim brought pursuant to F.S , or are otherwise the subject of a claim or demand, will not be released. Delete Paragraph 4.34, in its entirety from the existing Part 2 Contract and replace with the below: 4.34 The Owner and Design Builder agree that a Design-Builder's Contingency Fund has been included as a specified line item amount in the GMP for the ConRAC and APM Infrastructure projects respectively. It is understood and agreed that such contingency funds are to be used for costs to complete work considered to be within the original scope of work, including issued change orders, but which exceed the established estimated costs. By way of example only, not meant to be an all-encompassing list, the Owner and the Design Builder agree that the use of the Design-Builder s Contingency Fund will be used for costs arising from: (1) costs arising for unanticipated events, including, for purpose of illustration, unanticipated local market labor or materials conditions, (2) estimating errors, including quantities, scope gaps and subcontractor pricing errors, (3) costs incurred as a result of defaults by bidders who submit bids to Design- Builder for Subcontracts or Suppliers, (4) repairs to unassignable damaged Work, (5) interfacing omissions between and from the various work components of the Design-Builder and that of other Design Builder s, (6) costs associated with schedule impacts, acceleration or other costs not contemplated as a Cost of the Work item, (Liquidated damages shall not be allowable costs) (7) all costs incurred in indemnifying the Owner, its consultants, and any agents or employees of same to the extent required under this Contract, (8) costs incurred by Design- Builder to correct any work which is the subject of or which is affected by an Order of Condemnation or directives issued by the Owner, (9) any item of actual cost (including but not limited to Subcontracts) to extent same exceeds the estimated cost component of the GMP (including remediation of unsuitable soils not due to hazardous waste, i.e. clayey soils) as TPA/ Consolidated Rental Car Facility and Automated People Mover Authority Nos , , and PART 2 SUPPLEMENTAL CONTRACT Page 4 of 9

6 example, (10) Increased general condition and general requirements costs including but not limited to temporary facilities, temporary protection, and staffing costs, and (11) design fees & design evolution. All contingency fund charges will be tracked in a log by the Design-Builder. This log will be submitted and reviewed prior to the monthly application for payment. Upon completion, all funds remaining in the Design-Builder's contingency line item shall revert to the Owner. Design-Builder s contingency shall not be used to pay for cost associated with replacing a subcontractor. Whether the subcontractor quits, goes out of business, or is terminated, any additional cost will be funded by the Design Builder s SDI (Subcontractor Default Insurance). Design-Builder s contingency shall not be used to pay for insurance deductibles. It is understood and agreed that should the contingency for either the ConRAC or APM project be exhausted prior to the final completion of this Contract, use of remaining contingency in the other project will be allowed by the Owner for items in the other respective project.. ARTICLE 5 GUARANTEED COMPLETION DATE Delete Paragraphs 23.1, 23.3, and 23.3 in their entirety from the existing Part 2 Contract and replace with the below: 23.1 The Design-Builder will commence the Work within 10 days of the date set by the Owner in a written Notice to Proceed. The Design-Builder will achieve Substantial Completion of the Work no later than the Guaranteed Completion Date of October 1, 2017, provided the Design-Builder has received the Notice to Proceed for the Project GMP no later than May 14, The Guaranteed Completion Date is subject to authorized adjustments in accordance with the Contract Documents. The completion date for the early enabling Work included in this Contract will be December 31, It is mutually agreed between the parties hereto that time is of the essence of this Contract, and in the event the Work has not achieved Substantial Completion by the completion date(s) or within the days herein specified, it is agreed that from any money due or to become due the Design-Builder or its surety, the Owner may retain the sum of Twenty Five Thousand and No One Hundredths Dollars ($25,000.00) per day, for each day thereafter, Sundays and holidays included, that the Work remains incomplete, not as a penalty but as liquidation of a reasonable portion of damages that will be incurred by the Owner by failure of the Design- Builder to complete the Work within the time(s) stipulated. The Parties agree that assessment of actual damages at the time this Contract is made is uncertain, and therefore the parties agree that the sum of $25, per day is a reasonable estimation of the damages likely incurred in the event of delay. The parties agree that the liquidated damages described in this Paragraph 23.2 are soley for delay and loss of use and are the Owner s sole and exclusive remedy for delay and loss of use for failure to achieve Substantial Completion It is also mutually agreed between the parties hereto that certain Milestone Dates have been established within the Design-Builder s construction schedule. The Milestone Dates are set forth in Attachment 1 to this Contract. The Milestone Dates are required to allow the work of TPA/ Consolidated Rental Car Facility and Automated People Mover Authority Nos , , and PART 2 SUPPLEMENTAL CONTRACT Page 5 of 9

7 Owner s separate contractors to proceed in an orderly manner. The scope of work to be completed for each Milestone Date will be as defined in the Design-Builder s GMP Proposal. Should the Design-Builder fail to complete the scope of work for each Milestone Date due to unexcused delays, the Owner and Design-Builder will jointly track the actual delay and impact costs of Owner s separate contractors in accordance with Article The Owner will assess the Design-Builder, and maintain such funds in a separate Escrow Account, the sum of $25, per day for each day thereafter, Sundays and holidays included, that the scope of work for a Milestone Date remains incomplete, not as a penalty but as a reasonable estimate of the costs that may be incurred by the Owner s separate contractors by failure of the Design-Builder to complete the Work within the time(s) stipulated. The daily rate of $25, per day is the maximum amount for which the Design-Builder may be liable as a result of Design-Builder caused delays with respect to delays in achieving the scope of work required before each Milestone Date. Any funds in the Escrow Account may be used to offset the delay costs of the Owner s separate contractors. The Design-Builder shall have no further liability for such delay costs for failure to achieve the Milestone Date(s) should the Escrow Account be exhausted. The parties hereby expressly agree that the Design-Builder s liability shall be capped at the amount of any funds contained in the Escrow Account for failure to achieve the Milestone Date(s). Any unused funds remaining in the Escrow Account will be returned to the Design-Builder at the completion of the Work. Nothing herein limits Design-Builder s liability for failure to achieve Substantial Completion as outlined in Sections 23.1 and The conditions in this Section 23.3 are separate and apart from conditions in Sections 23.1 and ARTICLE 6 WOMAN AND MINORITY OWNED BUSINESS ENTERPRISE (W/MBE) ASSURANCES Delete Paragraph 28.3, in its entirety from the existing Part 2 Contract and replace with the below: 28.3 W/MBE Expectancy. In compliance with the Authority s W/MBE policy the Design- Builder s minimum W/MBE commitment is established as the sum total of the verified Letter(s) of Intent submitted with their proposal. The Design-Builder will subcontract to certified W/MBEs at least 19.0% of the cumulative dollar value for the Work earned under this Part 2 Contract for Project , Consolidated Rental Car Facility. The Design-Builder will subcontract to certified W/MBEs at least 19.0% of the dollar value of the Work earned under this Part 2 Contract for Project , Automated People Mover. ARTICLE 7 PROTECTION OF PERSONS AND PROPERTY Delete Paragraph 7.13, in its entirety from the existing Part 2 Contract and replace with the below: 7.13 Until substantial completion the Design-Builder will be in charge and care of the Work and will take every precaution against injury or damage due to the action of the elements or any other cause, whether arising from the execution or from the non-execution of the Work. The Design-Builder will rebuild, repair, restore and make good all damages to any portion of the Work resulting from any of the above causes and will bear all expenses after insurance proceeds TPA/ Consolidated Rental Car Facility and Automated People Mover Authority Nos , , and PART 2 SUPPLEMENTAL CONTRACT Page 6 of 9

8 are distributed. Should the damage be caused by an act of nature, the Owner agrees to look solely to the insurance proceeds for recovery of repair costs and damages as long as Design-Builder has exercised all reasonable precautions. All other terms and conditions contained in the Part 2 Contract remain in full force and effect and are hereby ratified and confirmed. DIVISION 01 - GENERAL REQUIREMENTS G1. General Terms of Agreement A. Notwithstanding anything in the Part 1 or Part 2 Agreement, the Design-Builder has the right to use all funds, with the exception of Allowances, designated as the Part 2 GMP Contract Sum or Part 1 Contract Amount to complete its obligations under both Agreements, regardless of contract, project designation, designation as design fees and/or cost of work, schedule of values, designation as enabling/gmp1, or design phasing. It is agreed and acknowledged that HCAA will facilitate the necessary administrative and contract actions at whatever level related to the Part 1 and Part 2 Agreements respectively in support of the above and that Austin will track the assignment and use of funds within the respective ConRAC and APM budgets for accounting purposes. Notwithstanding the above, no funds shall be shifted from the Part 1 Agreement to the Part 2 Contract until completion of the Part 1 Agreement as amended. B. Austin has included a negative cost reduction line item of $3,656,502 as part of the GMP. The parties acknowledge and agree to cooperate and work in good faith to achieve cost reductions in the design to achieve the $3,656,502 cost reduction. G2. Not Used G3. The acquisition of air rights for construction operations and permanent improvements respectively, will be facilitated by the Owner with the FAA and other approving bodies upon receipt of the request from Austin related to the construction operations and the location information from Austin related to the permeant improvements. Austin's construction operations request will be based on its analysis of subcontractor proposed means & methods and hoisting that is deemed most efficient, economical, compliant with any restrictive requirements, and coordinated with adjacent/concurrent work of others. G4. Austin has included an allowance for permits for the scope of work totaling $480,000. Any costs for permits, impact or inspection fees or any other similar permits/fees, which may be imposed on the project above the aforementioned amount is to be funded via Change Order to this GMP. All waste materials shall remain the property of the generator. The owner of the waste will be identified as the hazardous or non-hazardous waste generator and will sign all waste shipment documentation including manifests. Nothing contained within these Contract Documents shall be construed or interpreted as requiring any party to assume the status of owner or generator of hazardous or non-hazardous waste substances that were generated by another party. The Owner will retain title to all hazardous waste that is on the Project Site as of the execution of the Agreement and encountered during demolition, removal, and excavation. Design-Builder is responsible for disposal of hazardous materials generated by the Design-Builder, such as used motor oils, lubricants, cleaners, etc. according to the Contract Documents and within local, State, and Federal regulations. B.
