Roll call was taken. 2 Page 2 of 6 Chairman Bucci requested the Board to review the minutes of the November 4, Dr. Helmholdt made the motion to accept the minutes. Mr. Darmanin seconded the motion. There was a discussion and a few corrections were noted. Dr. Helmholdt amended his motion to approve the corrected minutes and Mr. Darmanin seconded the amended motion. The motion was passed unanimously. QUARTERLY PERFORMANCE REPORT Eugenia Dominguez & Heather Waddell, Templeton Ms. Dominguez began by explaining to the Board that Templeton still used the same team philosophy and same values. She explained the breadth of their client base and their equity group mandates as bottom-up managers with a consistent long-term strategy. She then introduced Heather Waddell who manages foreign equities in Turkey, Greece, Columbia and Peru. Ms. Waddell explained that performance year to date is up 5%, good but had been slightly under the EAFE benchmark. She explained they were invested more in Europe and less Japan, which recently had hurt possible earnings, but they have still had great performance. Ms. Waddell then reviewed investment breakdown by sectors. She then presented the Board with correlations between stocks near peak levels. She added that the trend of stock prices moving together had resulted in the erosion of a market premium for high quality companies allowing value-oriented stock pickers to buy high quality companies at bargain prices. She then reviewed the correlations. Mr. Desmond asked what the reasons were for being under-weight in Canada, Australia and New Zealand. Ms. Waddell stated it was due to the index weightings of the metals and mining companies, although recently they have become attractive, there is too much optimism priced in with the valuations. Further discussion ensued regarding emerging market growth. Ms. Cameron asked if there were any concerns in the South Korean market. Ms. Waddell stated they watch it like a hawk since South Korea is a very important market for the portfolio. Samsung is a market place leader for electronics and domiciled in South Korea. A short discussion regarding the European union concluded the presentation. QUARTERLY PERFORMANCE UPDATE Janna Hamilton, Garcia Hamilton Ms. Hamilton thanked the Board for being their oldest account. She then proclaimed that there was a nice rebound in the July - September quarter. She remarked that it was the strongest September that the S&P had seen since 1939 and was up over 11%. The portfolio equity return was 13.1% for the quarter, and the one-year number was 11.8%. The one-year number did trail the benchmark by 1%, due to the quality aspects of stocks in the U.S and abroad. Being a large cap high quality company did not allow for as much price growth, but she believed that would change. She stated growth did better than value in the quarter and that they expect stocks to perform better than bonds going forward. Ms. Hamilton then reviewed the earnings report relative to both the style benchmark and the broad market. She showed why high quality made more sense comparing average performance by quality when the profits cycle decelerate suggesting that high quality should begin to outperform low quality. She then announced an update that stocks were ahead 10.8% quarter to date, the benchmark of the Russell 1000 Growth was up 9.8%, the S&P was up 7.6%. Next, the top ten holding were reviewed. A short

3 Page 3 of 6 discussion ensued. REAL ESTATE SUB-COMMITTEE REPORT Chairman Bucci asked the Board to review the Real Estate Sub-Committee minutes. Mr. Darmanin deferred to Mr. Jones and Ms. Cameron, since he was unable to attend the meeting. He noted that, after reviewing the minutes, he felt everything looked good, that Pro-Built has completed the suite, and the tenant had moved in. Mr. Jones made the motion to approve the minutes. Ms. Cameron seconded the motion. Discussion ensued. The minutes were approved unanimously. Mr. Darmanin then referred to Mr. Vordermeier to update the Board regarding the construction in the 4800 Building. Mr. Vordermeier passed out handouts showing the suite construction. He described Suite 200, which was built as a model and Suite 203, which has been finished and rented. He stated that the second floor renovation was half done. He added several doctors are looking at the available suites. A group of Orthodontists are interested in Suite 200 but would like it expanded. He noted that would leave a small suite between 200 and 203, but that would not be a problem to rent. There was a discussion about types of renters. Mr. Vordermeier also added that Suite 1 and the warehouse space in the 316 building is still under negotiation with a client and that he should have a final decision by the January meeting. Mr. Vordermeier then discussed the letter of intent that was submitted for the 300 Third Ave. property. He said he spoke with Mr. Ladd and discovered there was a higher bid, however; the other bid was contingent on the bidder also acquiring our 316 building. Mr. Vordermeier stated that Mr. Ladd would be willing to purchase and trade another property for the 316 property. Discussion ensued, but the Board did not entertain the offer. Mr. Vordermeier then stated that two of the a/c units on the roof needed to be replaced. Mr. Jones suggested that the coils be replaced instead of total unit. Mr. Darmanin asked that Mr. Vordermeier get at least 5 estimates for replacement, as well as price on coil repair. He specified that if for some reason a company cannot give an estimate on both repair and replacement that he gets a different company that would do both. The Board was in agreement with the directive. Mr. Vordermeier closed his report by stating according to a Broward County Report that most companies are negotiating their rents or downsizing their units by 10%. He doesn t foresee rental improvement in the foreseeable future. ATTORNEY S REPORT Chairman Bucci announced Attorney Dunckel was unable to make the meeting and he would review the attorney s report. He stated the City Commission approved a $15 thousand payment with an attorney for studies regarding the IRS determination letter. Mr. Desmond stated it was passed at the Commission meeting to retain counsel to assure that GERS complies with IRS rules. Additionally, should the City decide to pass some kind of retirement incentive program, they would ensure that there would be no conflict with pension documents, amendments or age discrimination. Chairman Bucci asked Mr. Desmond if the Auditors contract had been completed. Mr. Desmond responded that the old contract had been extended but the new one is not yet in place. He stated

4 Page 4 of 6 he would follow up with Mr. Dunckel on that as well as the Actuary s new contract. ADMINISTRATOR S REPORT Mr. Desmond announced that Mr. Sean Jones had been reappointed to a second term by the Commission to continue his service on the GERS Board. He then referred everyone to his report. - The results of the election where almost 40% of the membership voted, which was a great return, showed the two newly elected Trustees were Mr. Mark Darmanin with 411 votes and Mr. Greg Slagle with 345 votes. - He discussed the option should a retirement incentive include 3 years of age. There would be 187 members by March 31 st who could be eligible for early retirement and an additional 116 members for normal retirement. - Mr. Dunckel has finalized the Consultant RFP and the advertisement will be set up in Pension & Investments. - He stated that Cohen Milstein recommends no action on the recent claims with Baxter Int l and Johnson & Johnson. He handed out the quarterly report from Abraham, Fruchter & Twersky for review. Also, there was a report for review from Rudman, Geller, Robbins and Dowd on a settlement due from class action claims for the end of the year. - He provided copies of the final bill for finishing Suite 203. In addition, a wire in the amount of $60, was sent on November 29, 2010 to VMC for payment in full of property taxes on the 4800 Building and the 316 Building. MONTHLY FUND ASSET MIX Mr. Desmond stated that the numbers for Schroder for September and October were shown as the same as the Bank of New York Mellon had not received the October information in order for the asset mix value to be updated. Chairman Bucci asked if he thought that was a problem. Mr. Desmond did not believe there was a problem, just a delay in data reporting. Chairman Bucci asked him to get them by the end of the day or notify him, Mr. Desmond acknowledged and noted he would send them on to him once corrected. He also noted all the asset amounts were within limits. Chairman Bucci then asked Mr. Desmond to remind Mr. Dunckel regarding the tax exemption information, and also ensure the RFP was completed for the Property Manager search.

EDUCATIONAL CALENDAR Mr. Darmanin made the motion to approve the Educational Calendar as presented and to allow Board members and staff, who wish to attend, do so in accordance with the Educational Travel Policy. Mr. Jones seconded the motion. The motion was passed unanimously. BILLS Dr. Helmholdt made a motion to approve the bills as presented. Mr. Darmanin seconded the motion. The motion passed unanimously. PLEASURE OF THE BOARD There was no discussion. BOARD COMMUNICATIONS TO THE CITY COMMISSION There was nothing to consider putting before the commission. Dr. Helmholdt made the motion to adjourn the meeting. Ms. Cameron seconded the motion. By unanimous vote, the meeting adjourned at 11:14 A.M.
