6 Finance Director Hayes informed the Board that back in March the Board approved a new investment policy (Ordinance 17-15) that was revamped. In that policy it includes that the Village should not maintain over 50% of the Village s money in any one institution. Currently, the Village s balances at Illinois Funds are slightly above the 50% maximum in one financial institution prescribed by the investment policy. In addition, during July and August, property tax receipts will flow into Republic Bank which will likely bring its percentage to over 40%. Thus, now is a good time to introduce an additional investment option for the Village s portfolio. Finance Director Hayes has reviewed information related to the firm of Multi-Bank Securities, Inc. (MBS), which brokers Certificates of Deposit and other investment instruments to a variety of local governmental agencies such as municipalities, park districts, and school districts in Illinois. Finance Director Hayes believes utilizing the services offered by MBS will enhance the safety, security, and earning potential of the Village s non-pension related portfolio. Finance Director Hayes recommends staff be directed to prepare the necessary paperwork, including ordinances and resolutions for the Board s approval, to authorize MBS as a broker/dealer for the Village and that the financial institutions it represents are considered authorized depositories for the Village s funds. By adding MBS, the Village s portfolio is further diversified among financial institutions, creating additional safety, and there is a potential for added income. Consensus to proceed was given by the Board. 9.3 Building, Zoning, and Property Maintenance (Chair Trustee Washington; Co-Chair Trustee Perez) Trustee Liaison Report Trustee Perez mentioned that there will be a discussion at the next Board meeting regarding the Rental Inspection Program. Administrator Espiritu confirmed this. Trustee Perez mentioned that an ordinance is being worked on for Commercial business dumpsters. 9.4 Public Safety and Health (Chair Trustee Salemi; Co-Chair Trustee Grenier) Trustee Liaison Report Trustee Salemi informed the Board that at this time, all is well with the Public Safety departments. She will be meeting with both, Police Chief Smith and Fire Chief Kuryla tomorrow, August 2, 2017 to discuss some topics. Trustee Perez mentioned a concern regarding the Police cars. It was reported the new Ford squad cars may have a problem with leakage of carbon monoxide (the cars are not recalls). Fire Chief Kuryla informed 6

7 the Board that they will be watching this, making sure everyone is safe and will give the Board an update through Public Works and Water (Chair Trustee Grenier; Co-Chair Trustee Stratton) Trustee Liaison Report No report Discussion of Training for Repair of Concrete Administrator Espiritu informed the Board that they are looking for approval to have a contract with Robert E. Lee & Sons (President Lee s business) to train Public Works staff on how to do minor concrete repairs. Attorney Binninger informed the Board that the Village cannot exceed $2,000 for the contract. This includes training, insurance, materials, and rental equipment. Consensus to proceed was given by the Board, under the Village Administrator s spending authority. 9.6 Community and Intergovernmental Relations (Chair Trustee Perez; Co- Chair Trustee Graf-Stone) Trustee Liaison Report Trustee Perez reminded the Board that tomorrow, August 2, 2017 is Music in Park from 6:30 8:00 p.m. and that the movie Moana will play at sunset. 8 Dan O Connell, mentioned to the Board that he informed others regarding the open house date August 9 th for Civiltech Engineering. Administrator Espiritu informed Mr. O Connell that the Village will be moving the Open House date to sometime in September (probably September 6 th ) due to conflicts with other events on August 9 th. 10 TO: Village of Berkeley 5819 Electric Avenue, Berkeley, Illinois Phone: Fax: Village President Village Board of Trustees MEMORANDUM FROM: Rudy Espiritu, Village Administrator DATE: August 15, 2017 RE: Accepting Membership to NIHII, a member of the IPBC Health Insurance Pool Background At the last regular meeting on August 1, 2017, there was a consensus of the Village Board to direct staff prepare an intergovernmental agreement to join the NIHII sub-pool, a member of the IPBC, for approval at the August 15, 2017 Village Board meeting. The contract and by-laws of the NIHII sub-pool has been prepared for approval. Administration has already had meetings with the union and employees regarding the move to the IPBC. As staff looks for ways to provide cost savings, we looked at other cost-effective ways to provide quality health insurance to our employees. Staff requested a quote from the Intergovernmental Personnel Benefit Cooperative (IPBC). The IPBC is a consortium of 124 local governments to provide health insurance, similar to IRMA for general liability insurance. The IPBC was formed in 1979 to provide economies of scale and risk pooling that would allow municipalities more financial stability than offered by the commercial insurance market. IPBC members operate as part of a larger Board of Directors to control the finances within the pool. The IPBC employs an Executive Director and Arthur J. Gallagher is the broker for insurance. The pool offers all the health insurance products (PPO, HMO, dental, life, and vision) that the Village currently provides our employees. The pool offers the BCBS HMO Blue Advantage plan, which is the same plan the Village offers currently, so there will be no change in that plan for our employees. What is especially unique about the IPBC is the pooling of risk for the PPO program. Under the PPO, claims between $35,000 and $125,000 are shared equally among the member municipalities. Claims over $125,000 are fully reinsured. Therefore, municipalities are responsible for claims under $35,000 and the redistributed claims cost for claims between $35,000 and $125,000. This allows the pool to have enhanced budgeting and stability from year to year. According to the IPBC bylaws, in order for Berkeley to join as an individual member, we would be required to have 150 or more covered employees. Because the Village only has about 34 covered employees, we would be allowed to join the IPBC by being a member of a sub-pool. The Village would become a member of the Northern Illinois Health Insurance Initiative (NIHII) 1 10

There are a number of communities that are part of the West Central Municipal Conference that are NIHII members. Recommendation It is the recommendation of Village Staff that the Village Board of Trustees adopt the resolution accepting membership in the Northern Illinois Health Insurance Initiative (NIHII) sub-pool, which is a member of the Intergovernmental Personnel Benefit Cooperative (IPBC). Previous Action The Village Board discussed membership to NIHII and the IPBC at the regular meeting on August 1, There was unanimous consensus to approve membership at the August 15, 2017 regular meeting. The Village already has a history of participating in intergovernmental pools, being a part of the IRMA pool for general liability and workers compensation insurance. This will be the first time the Village will join an intergovernmental pool for health insurance. Budgeted Amount Staff did an analysis to compare costs between our current broker, Mesirow, and the IPBC. Specifically, staff examined the HMO rate increases and costs over a 10-year period between the two entities. The analysis shows that if the Village joined the IPBC 10 years ago, the Village would have saved approximately $425,554, which equates to approximately $43,251 per year in savings. The IPBC is projecting that the Village will save approximately $673,240 over the next 5 years, compared to our current insurance plan. This will provide a savings to both the Village and our employees, while still providing the same or enhanced plan design. Action A motion to approve a resolution of the Village of Berkeley, Illinois, accepting membership as a member of the Northern Illinois Health Insurance Initiative ( NIHII ) sub-pool which is a member of the Intergovernmental Personnel Benefit Cooperative. 12 RESOLUTION NO. 17- A RESOLUTION OF THE VILLAGE OF BERKELEY, ILLINOIS ACCEPTING MEMBERSHIP AS A MEMBER OF THE NORTHERN ILLINOIS HEALTH INSURANCE INITIATIVE ( NIHII ) SUB-POOL WHICH IS A MEMBER OF THE INTERGOVERNMENTAL PERSONNEL BENEFIT COOPERATIVE WHEREAS, a number of Illinois municipalities have entered into an intergovernmental agreement to create an entity, which is to provide health and other related benefit coverages for the officers and employees of the Members of the NIHII Sub-Pool; and WHEREAS, the NIHII Sub-Pool has chosen to provide such coverage by becoming a Member of the Intergovernmental Personnel Benefit Cooperative; and WHEREAS, the Village of Berkeley, Illinois, by the action of its Corporate Authorities, desires to become a Member of the NIHII Sub-Pool. NOW, THEREFORE, BE IT RESOLVED by the President and Board of Trustees of The Village of Berkeley, Cook County, Illinois, as follows: SECTION 1: The Village of Berkeley, Illinois, as of the starting date at which admission to membership was or is granted by the NIHII Sub-Pool, shall become a Member of that intergovernmental cooperative. SECTION 2: The terms and conditions of that membership shall be such terms and conditions as were imposed by the Board of Directors of the NIHII Sub-Pool in the acceptance motion and, in the acceptance motion under which the NIHII Sub-Pool was admitted to the IPBC, and the contractual obligations under the terms of the Contract and By-Laws of the NIHII Sub-Pool as such document currently exists and as it may be amended in accordance with its terms. The Corporate Authorities of this municipality herein assumes such terms and conditions. SECTION 3: The Village Administrator is hereby directed to execute any documents necessary to indicate the membership of the Village of Berkeley, Illinois, in the NIHII Sub-Pool. SECTION 4: This Resolution shall be in full force and effect upon its passage in the manner provided by law. 14 CONTRACT AND BY-LAWS FOR THE NORTHERN ILLINOIS HEALTH INSURANCE INITIATIVE. THIS INTERGOVERNMENTAL AGREEMENT creating the Northern Illinois Health Insurance Initiative ( NIHII ) is made and entered into by and between the Village of North Riverside and such other MEMBERS as shall subsequently be approved and which shall adopt this Contract and By-Laws document in its present form or as it may subsequently be amended. W I T N E S S E T H : WHEREAS, Section 10 of Article VII of the Illinois Constitution of 1970 authorizes units of local government to contract or otherwise associate among themselves in any manner not prohibited by law or by ordinance; and WHEREAS, 5 ILCS 120, et seq., Illinois Compiled Statutes, 2006, as amended, entitled the Intergovernmental Cooperation Act, authorizes units of local government to exercise any power or powers, privileges or authority which may be exercised by the unit of local government individually to be exercised and enjoyed jointly with any other local government or body in the State; and WHEREAS, units of local government within Illinois have found it increasingly expensive to provide health and life insurance benefits to their officers and employees; and WHEREAS, a large number of local governmental entities previously undertook a series of studies to determine the feasibility of entering into an Intergovernmental Personnel Benefit Cooperative for the purpose of administering some or all of the personnel benefits programs offered by its member units of local government to their respective officers and employees, and 1 14

15 concluded that the creation of such a Cooperative was financially and administratively feasible; and WHEREAS, the corporate authorities of a number of units of local government have organized the Intergovernmental Personnel Benefit Cooperative, ( IPBC ), and have adopted a combined Contract and By-Laws for such Agency; and WHEREAS, the Contract and By-Laws of the IPBC ( IPBC By-Laws ), as amended, allows combinations of units of local government, other governmental bodies, quasi governmental bodies and non-profit public service entities to contract with each other to create an intergovernmental benefit subpool with the rights and powers equivalent to that of a single member of IPBC; and WHEREAS, the MEMBERS desire to create the Northern Illinois Health Insurance Initiative, hereinafter referred to as the NIHII; and WHEREAS, the MEMBERS, with this Agreement, are desirous of establishing their mutual rights and obligations with respect to their membership in NIHII and with regard to the IPBC; NOW, THEREFORE, in consideration of the foregoing recitals and of the covenants and conditions hereinafter contained, the adequacy and sufficiency of which the parties hereto hereby stipulate the parties agree, as follows: 1. Incorporation of Recitals The recitals contained hereinabove are incorporated herein by reference as substantive provisions of the Agreement. 2. Participation 2 15

16 The membership of NIHII shall consist of those Charter Members which are parties to this Agreement plus any other governmental entity admitted to membership as a MEMBER from time-to-time, less any MEMBER which withdraws or is expelled from NIHII in accordance with the provisions of this Agreement. MEMBERS of the NIHII may also add listed entities as defined in the IPBC By-Laws. The MEMBER who lists other entities to its membership shall be the sole MEMBER of the NIHII and shall be responsible for all costs and duties of membership provided herein. The MEMBER may make such arrangement as is desired with the listed entities regarding the manner of payment, sharing of risks and duration of such arrangement. Such arrangement is not a part of this Agreement. The admission of new MEMBERS and their listed entities and the listing of additional entities by any MEMBER shall take place only after a favorable two-thirds (2/3) vote of the entire membership of the Board of Directors of NIHII and subject to the payment of such sums and under such conditions as the Board shall in each case or from time-to-time establish. Such conditions may include participation in or benefit from any HMO or indemnity plan surpluses. In addition to the approval of the NIHII Board of Directors, the admission of such new MEMBER or listed entity must be approved by the Board of Directors or the Executive Committee of the IPBC prior to the admission of such prospective MEMBER or such listed entity. 3. Representation Each MEMBER shall, by majority vote of its corporate authorities, appoint one (1) person as delegate to represent that MEMBER on the Board of Directors of NIHII for a term of one (1) year or until a successor is selected. An alternate delegate may also be appointed to serve when the primary delegate is unable to carry out his duties. Neither the delegate nor the alternate need be an elected official. The failure of a MEMBER to appoint a delegate or the 3 16

17 failure of the delegate to participate shall not affect the responsibilities or duties of a MEMBER under this Agreement. At its first meeting of each plan year, of the IPBC, the Board shall elect one (1) delegate to serve as both Chairperson of the Board and representative to the IPBC. An IPBC alternate representative shall also be elected. The term of office for the Chairperson and other officials shall be for a period of one (1) year, or until a successor is selected. The Board may, from time-to-time, establish other offices and may select a delegate to serve in any of such offices. The Board may fill any vacancies which may occur in such offices until the end of the term. 4. Responsibility of the Board of Directors The Board of Directors shall determine the general policy of NIHII with respect to NIHII membership in IPBC, as well as the relationship between NIHII and its MEMBERS. Policies established by the Board of Directors shall be followed by the representative and/or alternate representative to IPBC. In the absence of the establishment of a specific policy regarding a matter, the representative and/or alternate representative shall vote in that manner believed to best represent the interests of the majority of the MEMBERS. No one serving on the Board of Directors shall receive any salary or other payment from NIHII and any salary, compensation, payment or expenses for such delegate shall be paid by each MEMBER separate from this Agreement. 5. Voting Each MEMBER shall be entitled to one (1) vote on the Board of Directors. Such vote may be cast only by the designated delegate or the alternate. Proxy or absentee voting shall not be permitted, although the Board of Directors may approve of electronic participation in accordance with law. Voting shall be conducted according to the following procedures: 4 17

18 a. A quorum shall consist of a majority of the delegates of the MEMBERS then in office. A simple majority of a quorum shall be sufficient to pass upon all matters except as otherwise provided herein. b. Voice voting shall be permitted unless one (1) or more MEMBERS requests a roll call vote or the vote requires greater than a majority vote for passage. c. A two-thirds (2/3) affirmative vote of the entire membership of NIHII shall be required to amend the plan of benefits available to the officers or employees of its MEMBERS, to withdraw as a MEMBER of IPBC in accordance with Section 11 of this Agreement, to admit a new MEMBER or listed agency or expel a MEMBER or listed agency, to amend this Agreement, and such other matters as the Board shall establish as requiring a two-thirds (2/3) affirmative vote, provided that such a rule can only be established by at least a two-thirds (2/3) affirmative vote, provided that such a rule can only be established by at least a two-thirds (2/3) affirmative vote of the entire membership. d. 19 6. Meetings Meetings of the Board of Directors shall be held at least two (2) times a year. The dates of meetings of the Board shall be established by the Chairperson in consultation with the membership. Special meetings may be held at the call of the Chairperson or by any delegate. Any item of business may be conducted at a regular meeting. Business conducted at special meetings shall be limited to those items specified in the agenda. Ten (10) days written notice of regular or special meetings shall be given to the delegates of each MEMBER by the Chairperson in consultation with the membership or the convening authority. The time, date and location of regular and special meetings of the Board of Directors shall be determined by the Chairperson of the Board of Directors or by the convening authority. To the extent not contrary to this Agreement, and except as modified by the Board of Directors, Robert s Rules of Order, Latest Edition, shall govern all meetings of the Board of Directors. Minutes of all regular and special meetings of the Board of Directors shall be sent to all delegates of the Board of Directors and to each MEMBER and to the Chairman of the IPBC. 7. Finances A. The NIHII shall be considered a single MEMBER of IPBC, (as defined in IPBC By-Laws), for purposes of determining its required contribution to the IPBC. Each separate MEMBER of NIHII shall be responsible for its share in the cost of membership in IPBC, which cost shall be in direct proportion to the number of employees and officers of the MEMBER whose benefit programs are to be administered by IPBC as compared to the total number of such persons in NIHII, along with uniform method to determine differences in benefit plans and claims history. Proposed changes in benefit plans must be approved by NIHII and subject to the review and approval process in Article IX of the IPBC By-Laws

20 B. The NIHII is responsible for all payments due from each of its MEMBERS. Payments may be made to a MEMBER acting as an agent or, with the approval of the IPBC, from individual MEMBERS to the IPBC. In the event that a MEMBER of the NIHII should default in any payments due to the IPBC, it shall be the responsibility of the non-defaulting MEMBERS, in proportion to their payments to the NIHII, to make up the deficit, including costs of collection, after which they may take any action required to recoup their advances. In case all MEMBERS are in default or the NIHII should dissolve, each shall be liable for its proportional share of the default or owed amounts, plus any costs in collection. Each separate MEMBER shall promptly pay to the agent for the NIHII or to the IPBC such monthly, supplementary or other payments as shall be due the IPBC. Payments shall be due within thirty (30) days after written notice from the IPBC of the amounts due. In the event that a MEMBER of the NIHII should default in its financial obligations, both the NIHII and the IPBC shall have the right to take action to recover such funds as are owed plus interest at the highest rate which may be paid by an Illinois non-home rule municipality and the costs of collection. 8. Initial Plan of Benefits Each MEMBER agrees to accept the initial Plan of Benefits described in Attachment A. 9. Obligations of MEMBERS The obligations of each MEMBER to NIHII and to IPBC shall be, as follows: a. To promptly pay all monthly and supplementary or other payments due to IPBC at such times and in such amounts as shall be established by IPBC within the scope of this Agreement and the IPBC By-Laws. The MEMBER shall also be responsible for all payments, costs and expenses established from time-to-time by 7 20

21 the Board of Directors of the NIHII, within the scope of this Agreement. Any delinquent payments shall accrue a penalty, which, for a period of non-payment, shall be equivalent to the highest interest rate allowed by statute to be paid by an Illinois non-home rule municipality plus collection costs. b. To appoint a delegate and an alternate on the Board of Directors of NIHII. c. To allow IPBC and NIHII reasonable access to all facilities of the MEMBERS and all records, including but not limited to financial records which relate to the purpose and powers of IPBC and NIHII. d. To furnish full cooperation to IPBC and NIHII attorneys, claims adjusters, the Benefit Administrator and any agent, employee, officer, or independent contractor, of IPBC and NIHII relating to the purpose and powers of IPBC and NIHII. e. To report to IPBC as promptly as possible all claims made to it within its benefit program as administered by IPBC. 10. Reserve Fund The NIHII shall establish accounts in the IPBC Terminal Reserve Fund, the Administration Fund, the HMO Fund and other established funds, (the Reserve Funds ), for the purpose of establishing a pool of funds to be used to pay for deficits in annual contributions and setting aside funds in the event that one or more MEMBERS decides to withdraw from membership in the NIHII. A separate accounting shall be established to determine each individual Member s balance within the IPBC Funds. The exact amount of the Reserve Funds balance for each MEMBER will be determined after the audit is approved by the IPBC Board. If, after the audit process has been completed, a Reserve Fund balance below the amount 8 21

22 specified above for one or more MEMBERS occurs, those MEMBERS with a Reserve Fund balance below the amount specified above must pay, within 150 days after the audit has been approved, an amount directly to the delinquent Reserve Fund or Funds to cover the shortfall. New MEMBERS to the NIHII shall, as a condition of membership, provide an amount equal to two (2) times the average monthly payment based on the current plan year rates for HMO coverage and three (3) times the average monthly payment for indemnity plan coverage. Payment shall be made to reach this reserve level by the end of the second full fiscal year of membership. If one or more MEMBERS chooses to withdraw from the NIHII, its fair share of their Reserve Funds shall be used to pay its run-out claims, with any surplus funds paid to it after all sums due IPBC and NIHII associated with its participation have been paid. If the amount on deposit in the Reserve Funds of the withdrawing MEMBER is not adequate to pay its run-out claims, then the Reserve Funds of the remaining MEMBERS may be drawn down in a proportional manner to cover any shortfall prior to the withdrawing MEMBER fulfilling its contractual obligation to cover the shortfall. 11. Withdrawal/Termination A. MEMBERS shall be obligated to continue as MEMBERS during the term as established by the Board of Directors of IPBC until individual withdrawal. The current term of the IPBC, itself is through June 30, The obligation of a MEMBER until the individual withdrawal, shall include continuing participation with regard to all classes of officers and employees of the MEMBER, not including its listed entities, established as being entitled to any health benefits when it became a MEMBER of NIHII. Provided, however, a MEMBER shall only be required to provide continued participation for those persons within said classes of 9 22

23 officers and employees as are actually employed or working for the MEMBER or as otherwise permitted to its MEMBERS by the IPBC. Any MEMBER may withdraw from membership by giving written notice of such intention to withdraw to all other MEMBERS of NIHII, and to the Chairman of the IPBC at least one hundred twenty (120) days prior to commencement of the then next fiscal year of the IPBC. Failure to give such notice shall obligate the MEMBER to continue as a MEMBER of NIHII for the next fiscal year except where NIHII withdraws from IPBC, IPBC terminates or the IPBC declines to permit the NIHII to remain within the COOPERATIVE, with a reduced membership or for any other reason permitted under the IPBC Contract and By-Laws. Withdrawal by NIHII shall only be made to take effect at the end of the then-current fiscal year in the same manner as other MEMBERS of the IPBC. B. If a MEMBER should withdraw from the NIHII, no indemnity benefit claims of the MEMBER shall be processed or paid by the IPBC after the close of the plan year in which withdrawal takes place, unless the MEMBER of NIHII shall to provide such services using funds furnished by that withdrawing entity. If no Reserve Funds of other MEMBERS are available, the IPBC may stop paying claims. C. A final accounting of the withdrawing MEMBER s fair share of its Reserve Funds shall occur during the audit process for the last plan year that the withdrawing MEMBER was a MEMBER of the NIHII. After all amounts to the IPBC, if any, are paid, all remaining funds shall be refunded to the withdrawing MEMBER or, if that MEMBER is still in default, then to the NIHII within thirty (30) days after the aforementioned audit is approved

24 D. In the event that a non-appealed or appealable order of a court in which IPBC is a party should decide that the NIHII may not be a MEMBER of the IPBC, then this Agreement shall terminate, provided, however, that to the extent permitted by law, the termination shall take place in accordance with Paragraph 11-B hereof. 12. Expulsion of MEMBERS By the vote of two-thirds (2/3) of the entire remaining membership of the Board of Directors of the NIHII, any MEMBER may be expelled. Such expulsion, which shall take effect in the manner set out below, may be carried out for one or more of the following reasons: a. Failure to make any payments due to the NIHII or the IPBC. b. Failure to furnish full cooperation with the IPBC s attorneys, claims adjusters, Benefit Administrator and any agent, employee, officer or independent contractor of the IPBC or NIHII relating to the purpose and powers of the IPBC or NIHII. c. Failure to carry out any obligation of a MEMBER which impairs the inability of the NIHII to carryout its purposes and powers. No MEMBER may be expelled except after notice from the NIHII of the alleged failure along with a reasonable opportunity of not less than fifteen (15) days to cure the alleged failure. The MEMBER, within that fifteen (15) day period, may request a hearing before the Board before any decision is made as to whether the expulsion shall take place. The Board shall set the date for a hearing which shall not be less than fifteen (15) days after the expiration of the time to cure has passed. The Board may appoint a hearing officer to conduct such hearing and make a recommendation to the Board based upon findings of fact. If the Board conducts the hearing itself, it may make a decision at the close of the hearing. A decision by the Board to expel a MEMBER after notice and hearing and a failure to cure the alleged defect shall be final unless 11 24

25 the Board shall be found by a court to have committed a gross abuse of discretion. After expulsion, the former MEMBER shall continue to be fully obligated for any payment to the IPBC or the NIHII, which was created during the term of the administration of its claims along with any other unfulfilled obligation as if it was still a MEMBER of the NIHII. The obligation of the IPBC to administer the claims filed under the benefit program of the expelled MEMBER shall cease thirty (30) days after the date of expulsion, provided that such obligations shall only exist where there is a credit balance held by the IPBC to the account of the NIHII or such a credit balance is created. The IPBC shall not be required to pay any benefits for the expelled MEMBER after the actual date of expulsion if a deficit in amounts owed to the IPBC should exist at any time during the thirty (30) day period. Within sixty (60) days after the last claim of the MEMBER is paid by the IPBC, a final accounting of funds owed or owing shall take place. Pending claims and other records of the expelled MEMBER shall be turned over to that MEMBER in a prompt manner. With regard to any claims payable under an HMO program, where the IPBC has entered into a contract with the HMO provider to pay continuing benefits after termination, the expelled MEMBER shall be required to pay all amounts in excess of those within its Reserve Funds and, pending such payments, the NIHII shall be responsible for making the payment or reimbursing the IPBC. In the event that the Board of the IPBC should vote to expel the NIHII from membership so long as a particular municipality or listed entity was a MEMBER of the NIHII, that MEMBER or listed entity shall be deemed to have been expelled from the NIHII in the same manner as if the NIHII Board had taken that action. 13. Acceptance of Contract and By-Laws of the Intergovernmental Personnel Benefit Cooperative 12 25

26 The Charter Members and other MEMBERS, by agreeing to be bound by this Intergovernmental Agreement, hereby agree to accept the terms and conditions contained within the Contract and By-Laws of the IPBC, as of the date of this Agreement and as amended from time-to-time, except that the IPBC By-Laws may not be amended to require from the NIHII duties or responsibilities different from the other MEMBERS of the IPBC and not initially contained within this Agreement or amendments thereto, agreed to by the NIHII, by action of the Board of Directors. 14. Commencement of Agreement This Agreement shall be in full force and effect and legally binding upon the signatory MEMBERS as of the date of its passage by the corporate authorities of the Charter Members and the approval by the Board of Directors of the IPBC. 15. Contractual Obligation This Agreement shall constitute the contract among those units of local government which become MEMBERS of the NIHII. The obligations and responsibilities of the MEMBERS set forth herein, including the obligation to take no action inconsistent with this Agreement as originally written or validly amended, shall remain a continuing obligation and responsibility of the MEMBERS. The terms of this Agreement may be enforced in a court of law or equity either by the NIHII itself, by any of its MEMBERS or by the IPBC. A consideration for the duties herewith imposed upon the MEMBERS to take certain actions and to refrain from certain other actions shall be based upon the mutual promises and agreements of the MEMBERS set forth herein and the advantage gained by the MEMBERS and anticipated reduction of administrative costs for the processing of personnel benefits. That except to the extent of the financial contributions to the NIHII and the IPBC agreed to herein, or such additional obligations as may 13 26

27 come about through amendments to this Agreement, no MEMBER agrees or contracts herein to be held responsible for any claims of any kind against any other MEMBER outside of the scope of the NIHII or the IPBC. 16. Entire Understanding This Agreement sets forth the entire understanding of the parties and may only be amended as provided for herein. be an original. 17. 56 TO: Village of Berkeley 5819 Electric Avenue, Berkeley, Illinois Phone: Fax: Village President Village Board of Trustees MEMORANDUM FROM: Rudy Espiritu, Village Administrator DATE: August 15, 2017 RE: Recertification of IMRF Participation for Elected Officials Background The IMRF Board of Trustees has adopted Board Resolution , requiring recertification of IMRF eligibility every two years for all eligible elected official positions. The new IMRF rule requires all governing bodies of units of government with elected positions participating in IMRF to pass new resolutions re-affirming that the positions meet the IMRF hourly standard of 1,000 hours per year. Regardless of the date of any existing IMRF resolution regarding eligibility of elected officials, a recertifying resolution must be passed by the governing body before September 1, 2017 and filled with IMRF. The IMRF Board adopted its new rule requiring recertification of IMRF eligibility for elected positions for several reasons. First, the recertification process allows governing bodies the opportunity to review the IMRF eligibility rules and enrollment compliance. Additionally, recertification will streamline the IMRF audit process as IMRF s auditors will be able to rely on the accuracy of the recertification without requiring additional documentation. Finally, recertification will take into account modernization and legislative enactments as it recognizes that required hours of duty of an elected position can, and do, change over time as technology and legal requirements evolve. Subsequently, the process of recertifying and filing the resolution should take place every two years. Failure to recertify will end IMRF eligibility for any elected position not recertified. Recommendation It is the recommendation of Village staff that the Village Board of Trustees approve a resolution relating to participation by elected officials in the Illinois Municipal Retirement Fund. Previous Action The Village President, Clerk and Trustees became qualified to membership in IMRF beginning May 1, These positions were last recertified for participation by the Village Board in December

Sikich, LLP was onsite for two weeks in July and is continuing fieldwork and completing the draft reports in their office at this time. Cash Management During the month of July 2017, the following rates were available for idle cash: Investment Type Annualized Interest Rate Republic Savings Accounts 0.15% Republic Money Market Account 0.50% Illinois Funds (also known as the Illinois 0.961% Public Treasurer s Investment Pool) Illinois Metropolitan Investment Pool (IMET) 1.16% Convenience Fund Luana Savings Bank Money Market (located 0.80% in Iowa) There are seven Certificates of Deposit with Republic Bank with maturities and interest rates that range from September 27, 2017 through August 28, 2018 and 0.80%-1.343% respectively. The newest Certificate of Deposit was purchased from surplus cash at the end of July; Republic Bank is the investing bank. Assuming the addition of Multi-Bank Securities, staff will be pursuing bids on future Certificates of Deposit. 1 61

62 Technology Staff has reviewed an updated proposal from Springbrook that provides for an upgraded and cloud based Enterprise Resource Planning (ERP) software package at an estimated cost of $52,000 plus travel. This quote includes roughly 320 of conversion, training, and overall project management time. In reviewing the estimated training time, there is some thought that an additional 30 hours may be needed, which would bump up the project cost approximately $4,500. Staff is awaiting actual contracts to review prior to bringing the matter before the Board. Pension Matters The Police Pension Board conducted their quarterly meeting in late July. The Board heard from its investment advisor, MB Financial Bank Asset Management & Trust Group, who reported that returns net of fees on both a short term (1 year) and a long term (7 years) basis were just shy of 7% annually. In addition, the Board s private actuary, Lauterbach and Amen, reported its draft actuarial study results (final results are dependent on whether or not there are changes in the Police Pension Fund financial statements as a result of the audit). These results indicate that the recommended Village (employer) contribution to be made will be $674,764, an increase of 1.48% over last year s recommended contribution of $657,913. Keep in mind that the Village is only levying $450,000 annually; thus, there will need to be discussion as to: 1) how to fund the roughly $225,000 additional amount needed to keep the Pension Fund on a financially viable track; and 2) where those additional funds should come from. In addition, expenses related to the IMRF levy were roughly $45,000 higher than related revenue this past year. Thus, there will need to be discussion at tax levy time as to how much to increase the IMRF levy and how the overall levy should be effected as a result of any IMRF and Police Pension levy increase. TIF District News Late last month, the Village received equalized assessed value (EAV) information related to the two TIF Districts. While both TIF Districts still show a negative increment, both Districts also show a respectable increase in EAV over the prior year, and TIF #2 is now at almost 96% of the frozen value. If the current rate of increase continues, then there should be increment in FY Further, if next year s triennial valuation results in larger increases, the Village could very well see a small increment amount in TIF #2 next fiscal year. Purchasing Jim Marino has prepared the attached report that discusses the activities that he has been involved with in the past month. 63 Purchasing Activities August 8/09/2017 ADMINISTRATION: Chief Smith requested me to research the purchase or lease of an ATM machine for use in the Village lobby. I will be meeting with representatives of Republic Bank to discuss various options such as purchase or lease the machine. I met with Sal Intile and Steve Moudry of Republic Bank to discuss the placement of an ATM machine in the lobby of the VH. Republic Bank will place a machine in the lobby of the VH at no cost to the Village, it will be a wireless machine and they will take care of all of the maintenance and the loading of the machine. This is being offered strictly as a convenience to us as being a valued customer. I m awaiting the lease proposal from Republic Bank. I sent out an RFP out for new updated Welcome to Berkeley folders, I have received back two proposals and I m waiting on a third proposal. I sent out an RFP on State of Illinois and Village of Berkeley flags, Warehouse Direct came in as the low cost provider. I ordered 10 of each flags, we already have received the State flags and should have the Village flags in 7 to 10 business days. FIRE DEPT: Chief Kuryla and I met with Tim Sullivan of Lundsford Construction to review the proposal we received to remodel the FD kitchen area. We requested a revision of the quote to include a lower cost cabinet. We then met with Tim Sullivan and his partner Mike Lundsford on Monday 6/19 for a final walk thru of the kitchen and dayroom. Chief Kuryla asked me to be the main contact through the completion of the project. The Kitchen Remodel will be going forward; an approximate start date of August 1 st has been set. The start of the kitchen project has been moved back until the middle of August due to the cabinets taking longer to be shipped. POLICE DEPT: I met with Commander Garcia and JoAnn Bueger to review the printing projects for which I solicited proposals. They will review all projects and update the forms where necessary prior to moving forward with the selected vendor. Also, the projects will require Commander Garcia and JoAnn Bueger s approval on the proofs. I will act as the main contact. They did approve ordering window envelopes from Warehouse Direct who was the low cost provider. Commander Garcia is working with a couple of the low bidders to update the various print projects for example the ordinance ticket books. Also, I sent out a RFP on Investigated File Folders. 63

64 Purchasing Activities August 8/09/2017 PUBLIC WORKS: After researching various sources for a new air compressor, I recommended that PW replace the motor on the current air compressor, the estimated cost of a new motor is around $ versus $ for a new air compressor. The new motor was ordered from Sears Parts and installed by PW. Joe Wagner held a pre-construction meeting for the upcoming Water Tower Painting Project. Present were representatives from Jetco, Baxter & Woodman (engineers), Dixon (project manager), Berkeley Park District, Hillside Berkeley Water Commission, Rudy Espiritu, Paul Smith, Jorge Bravo and myself. The project will begin Monday 8/14 with equipment placement and an end date of the middle of Sept. There will be a painting meeting sometime during the week of the 14 th to discuss the paint scheme and logo. Joe Wagner and I will be meeting to discuss the painting of the street light bases which are located west of St. Charles Road (starting in JK s parking lot). We will be reviewing the condition of the bases and if they can be repaired or if it makes more economic sense to replace the bases. 64

LEE, JR VILLAGE PRESIDENT Monthly Report for July 2017 This report summarizes the activities and services provided by the Berkeley Police Department for the month of July The statistical information is compiled from the number of received Calls for Service/Dispatches, Patrol Officer initiated activities, Investigative Reports, and other data gathered throughout the month Patrol Response Berkeley Police Responded and/or initiated 1015 Incidents. Of those 1015 Incidents, Berkeley Police had 133 Arrest Charges. Berkeley Police Issued 294 Citations and issued 10 warning tickets. 78 State Traffic Citations for moving violations 216 Local Ordinance/Parking Citations Berkeley Police handled eleven (11) motor vehicle crashes in the Village, Two (2) of the accidents involved minor personal injury. Investigative Activity The following is a summary of some of the major cases the police department are investigating that occurred during the month of July. Open Cases: The Police Department currently has six open cases that are being actively worked. Information about those cases will be disclosed upon case clearance. Suspended Cases: Criminal Sexual Assault/Abuse: This case is currently suspended pending the lab results from the assault kit that was collected at the hospital Fake/Counterfeit USC: This case is currently suspended pending any responses from the critical reach we sent out. The currency in this case is fake and used for motion pictures only. 77

78 Closed/Cleared Cases: Theft of Mislaid Property/ UUCC: This case was cleared by exception due to a lack of video and the inability to identify an offender. The victim in case also became uncooperative Unauthorized Use of Credit Card: This case was cleared by exception. The victim received a credit to his card for the fraudulent purchases. We obtained an address the items were shipped to, but the name given was fake, as was the address is an apartment building so we were not able to determine which apartment the package went to Theft over $500: The case was cleared by exception. While working with the victim to obtain video of the theft, he decided that he no longer wished to pursue the matter Battery: This case was cleared by exception due to the inability to identify an offender. If you would like any further information regarding the items described, please feel free to contact me for additional details. NICOR UPDATE High pressure main installation has been completed from Electric Avenue heading south. Residential connections continue. Parkway and street/sidewalk restoration began in mid-july. WATER TOWER UPDATE A pre-construction meeting was held on July 27 th with Baxter & Woodman Engineering and Jetco Ltd. The tower project will begin with the mobilization of materials and machinery on August 14. Staff has been working with the Mayor to realize minor changes to the Village logo to finalize the image for the tower. MURRAY DRIVE LIGHT RENOVATION MeM Electric completed electrical installation in late July for the Murray Dr. and 5900 block of Maple Ave. Public Works restored the parkway during the first week of August. This improvement is now considered complete. REGULATORY SIGN REPLACEMENT UPDATE All new stop signs and street names were delivered to Public Works late in July. The residential areas east of Taft Ave. have all received new stop signs and street names to abide by the newest regulations. Public Works staff began to address stop signs and street signs in the area of the Metra train station during the second week of August. 95

96 DAY-to-DAY Responded to emergency call for a sinkhole forming in the middle of the road near the intersection of Hawthorne and Birch. Exploration showed that the storm catch basin located at the northeast corner of Birch had a pipe that did not connect to the storm main. Staff excavated the area, removed the sections of old clay pipe and installed new PVC to re-establish connection to the storm main. Ground level tree trimming operations began within the train station section. Bucket work and tree removals remain to complete the section east of Wolf Rd. The fence around the Honey-Can-Do property that was donated to the Village was removed during the first week of August. Staff has erected snow fencing and caution tape and will use the area to practice tree removal operations and digging operations to train personnel. Worked with the Assistant Village Administrator to vacate Village grass alleyway between Hillside and Lind Avenues. Began process for vacating stone alley near Coolidge and Electric Avenues.
