Accordingly, the Warrant Holders intending to exercise their Warrants are advised to submit the documents referred to in Section 4 of this Notice, to the Registrar not later than 5.00 p.m. on the Expiry Date. WARRANT HOLDERS SHOULD NOTE THAT THE WARRANTS WHICH ARE NOT EXERCISED BY 5.00 P.M. ON THE EXPIRY DATE WILL LAPSE AND BECOME NULL AND VOID AND SHALL CEASE TO BE EXERCISABLE THEREAFTER. ACCORDINGLY, THE WARRANTS WILL BE REMOVED FROM THE OFFICIAL LIST OF BURSA SECURITIES WITH EFFECT FROM 9.00 A.M. ON TUESDAY, 2 JANUARY

6 The number of outstanding Warrants as at 20 October 2017, being the latest practicable date prior to the printing of this Notice is 24,554,578. Warrant Holders are therefore advised to note carefully the procedures as set out below:- 1. SUSPENSION OF TRADING AND LAST DAY FOR TRADING In order to facilitate the exercise of the Exercise Rights by the Warrant Holders, the trading of the Warrants on Bursa Securities will be suspended with effect from 9.00 a.m. on Wednesday, 13 December 2017 until the Expiry Date. Hence, the last date and time for trading of Warrants will be on Tuesday, 12 December 2017 at 5.00 p.m.. 2. EXERCISE PRICE The Exercise Price of the Warrants is RM1.55 for each new MKH Share. For example, if a Warrant Holder wishes to exercise 100 Warrants to subscribe for 100 new MKH Shares, the aggregate Exercise Price shall be RM PAYMENT OF EXERCISE PRICE Payment must be made in full for the Exercise Price, payable in Ringgit Malaysia via banker s draft or cashier s order drawn on a bank operating in Malaysia or money order or postal order issued by a post office in Malaysia, made out in favour of MKHB WARRANT PROCEEDS ACCOUNT crossed A/C Payee Only and endorsed on the reverse side with the name, address, identity card number or company registration number /passport number /armed forces number /police personnel number and CDS account number of the Warrant Holder. 4. EXERCISE OF EXERCISE RIGHTS If you are a Warrant Holder and wish to exercise the Exercise Rights, you should:- (a) complete and sign the enclosed Exercise Form. Additional copies of the Exercise Form can be obtained from the Company s Registrar at Unit 32-01, Level 32, Tower A, Vertical Business Suite, Avenue 3, Bangsar South, No. 8, Jalan Kerinchi, Kuala Lumpur; (b) deliver to the Company s Registrar the following documents no later than 5.00 p.m. on the Expiry Date:- (i) (ii) (iii) (iv) the duly completed, signed and stamped Exercise Form; remittance for the full Exercise Price as mentioned in Sections 2 and 3 above; remittance of a processing fee of RM21.20 (inclusive of 6% Goods and Services Tax) for each Exercise Form submitted via a banker s draft, a cashier s order or a money order or a postal order, made in favour of TRICOR INVESTOR & ISSUING HOUSE SERVICES SDN BHD crossed A/C Payee Only, or in cash if you deliver the documents to the Company s Registrar personally; and photocopy of identity card or certification of incorporation (whichever is applicable) of the Warrant Holder. 2

7 The Company shall within eight (8) Market Days of its receipt of a duly completed Exercise Form together with the requisite payments as set out in item 4(b) above:- (a) (b) (c) allot and issue the new MKH Shares arising from the exercise of the Warrant(s); despatch notices of allotment to the Warrant Holders stating the number of new MKH Shares that will be credited into the CDS account of the Warrant Holder; and make an application to Bursa Securities for the listing and quotation of such new MKH Shares issued. All new MKH Shares to be issued pursuant to the exercise of the Exercise Rights will be credited into the respective CDS account of the Warrant Holder and no physical share certificates would be issued to the Warrant Holder in respect of the exercise. The new MKH Shares shall, upon allotment and issuance, rank pari passu in all respects with the existing MKH Shares, save and except that they shall not be entitled to any dividends, rights, allotments, and/or other distributions, the entitlement date of which is prior to the date of allotment of the new MKH Shares. 5. BOOK CLOSURE DATE AND OTHER INFORMATION 5.1 Bursa Depository will not be accepting any request for ordinary transfer of Warrants for the period commencing 4.00 p.m. on Thursday, 21 December 2017 up to the Expiry Date; 5.2 Warrant Holders shall qualify for entitlement to subscribe for new MKH Shares in respect of the following:- (i) Warrants transferred into the depositors CDS accounts before 4.00 p.m. on Thursday, 21 December 2017 in respect of ordinary transfer; or (ii) Warrants bought on Bursa Securities on or before 5.00 p.m. on Tuesday, 12 December 2017, being the last day of trading of the Warrants. 6. EXPIRY OF EXERCISE RIGHTS Warrant Holders should note that if their Exercise Rights are not exercised by 5.00 p.m. on the Expiry Date, the rights will lapse and become null and void, and cease to be exercisable thereafter. All unexercised Warrants remaining in the Warrant Holders CDS accounts as at 5.00 p.m. on the Expiry Date will be debited from the respective Warrant Holders CDS accounts on Tuesday, 2 January DIRECTORS RESPONSIBILITY STATEMENT This Notice has been seen and approved by the Board and they collectively and individually accept full responsibility for the accuracy of the information contained in this Notice and confirm that, after making all reasonable enquiries to the best of their knowledge and belief, there are no other material facts, the omission of which would make any statement in this Notice false or misleading. 3

The Bursa Depository does not recognize joint account holders. For the avoidance of doubt, if no Security Account number is provided, any exercise or purported exercise of the Subscription Rights shall be deemed to be invalid. 5. All Warrants not exercised by the Expiry Date will lapse and become null and void. 6. Where the relevant payment made for the New Shares is less than the full amount of the Subscription Money required, the Warrant Holder authorizes the Company to, and the Company may, but is not obliged to, treat the exercise by the Warrant Holder of the Subscription Rights as an exercise by the Warrant Holder of the Subscription Rights of such a reduced number of Warrants (in such multiples of Board Lots of 100 Warrants or in such other whole number of Warrants as the Company may determine) such that the relevant payment made for the New Shares shall thereafter be sufficient to pay for the full amount of the Subscription Money required in respect of the reduced number of Warrants. In such an event, the Warrant Holder is deemed to have exercised his Subscription Rights in respect of such reduced number of Warrants. 7. A separate remittance of RM21.20 inclusive of 6% GST is made payable to Tricor Investor & Issuing House Services Sdn Bhd being the administrative fees for debiting of your Warrants and crediting your New Shares.
