In accordance with the current policy of the Central Bank of Ireland (the Central Bank ), this document has not been reviewed by the Central Bank. 30 October 2017 Dear Shareholder, RE: Change of Names, Changes to Memorandum and Articles of Association and Update of Website Address We are writing to advise you of some proposed changes to name of the Company and consequent changes to the Memorandum and Articles of Association for which Shareholder approval is to be sought at the upcoming extraordinary general meeting of the Company due to be held on 23 November 2017 at 12p.m. (Irish time). We also wish to advise you of some proposed changes to names of certain of the Company s sub-funds and an update of the website address. Following the merger of Janus Capital Group Inc. and Henderson Group plc in May 2017, Janus Capital rebranded its business as Janus Henderson Investors. Janus Henderson Investors brings together two complementary businesses, Janus and Henderson, which share client-centric and collaborative cultures, well-matched investment capabilities and a focus on active management. Janus Henderson Investors combines the talent pools of both organisations to build a strong global team that is better able to deliver innovative solutions for clients. The merger creates a company with increased scale, broader diversity of products and investment strategies, and greater depth in its investment professionals and distribution. This provides superior reach and range, allowing Janus Henderson Investors to offer actively managed investments and the high level of support and service that clients expect. As a consequence of the merger, subject to your approval at the extraordinary general meeting it is proposed to change the name of the Company from Janus Capital s plc to Janus Henderson Capital s plc. This change in name is also subject to the approval of the Registrar of Companies in Ireland and the Central Bank. It is also proposed to change the name of certain of the Company s sub-funds as detailed in Appendix I to this letter. The Memorandum and Articles of Association will also be updated to reflect the change in the Company s name. 2 The website where investors can obtain latest information about the Company and the s has been changed from to Investors accessing since 30 May 2017 have been automatically re-directed to Extraordinary General Meeting ( EGM ): An EGM of the Shareholders of the Company will take place at 12 p.m. (Irish time) on 23 November 2017 at 10 Earlsfort Terrace, Dublin 2, Ireland. At the EGM, Shareholders of the Company will be asked to consider items of special business, the purpose of which is to pass a resolution approving the proposed change in name of the Company and amendments to the Memorandum and Articles of Association to reflect this change. The quorum for the meeting is two Shareholders present (in person or by proxy). If within half an hour from the time appointed for the meeting a quorum is not present, the meeting shall be adjourned for one week at the same time and place or to such other day, time and place as the Board of Directors may determine. The amendments to the name and Memorandum and Articles of Association require the approval of Shareholders of the Company by way of a special resolution. This means that over 75% of the Shareholders of the Company present and voting in person or by proxy must vote in favour of the resolution. A copy of the resolution can be found in the attached notice of EGM. The results of the EGM vote will be available on or about 24 November 2017 on Janus Capital International s website at Casting your Vote/Proxy Form: To take part in this vote please return your completed original and signed Form of Proxy to the address specified on the proxy form (i.e. Janus Capital s plc, c/o Paragon Customer Communications, Evolution House, Choats Road, Dagenham, RM9 6BF, United Kingdom or by fax to ) so that it is received by 12 p.m. (Irish time) on 21 November Alternatively you may attend the meeting and vote in person. Completion and return of a form of proxy will not preclude a Shareholder from attending and voting in person at the EGM. Effective Date of the changes: Subject to Shareholder approval at the EGM, the change in name will take effect from the approval of the Companies Registration Office of the change in name.
