18 Additional Tax Asset Information Tronox should retain much of the deductions for tax purposes it presently has available to it including historical NOLs Tax attributes appear to be worth at least $300 million on a Net Present Value basis These tax attributes (which are subject to audit by IRS) consist of: Preexisting NOLs Tax deductions arising from Tronox's bankruptcy emergence Potential future deductions relating to environmental remediation agreed to as part of the bankruptcy emergence Transaction with Exxaro could result in an ownership change for purposes of 382, thereby imposing an annual limitation on Tronox's ability to utilize its NOLs The amount of such limitation will depend on the value of Tronox's stock at closing and on long-term tax-exempt interest rate at that time, and thus the annual limitation cannot be known at this time 18
