5 1. INTRODUCTION 1.1 ABAPrice The ABAPrice is the industry reference price endorsed by ABA and operated by ABD. See ABD Services The ABD Services include systems and products provided by ABD outlined in this document. 1.3 On-Track Services The On-Track Services relate to on-course bookmaker requirements. 1.4 Service Status All services are provided on a Beta basis until further notice. The services may be amended at any time without notice and to ensure sufficient system capacity, limitations may be imposed on the number of Clients or the activities of Clients during the Beta period. 1.5 Currency All prices shown are in Australian currency. The costs of currency exchange and financial transaction costs are payable by the client. 1.6 GST All prices shown are GST exclusive, Invoices will add GST to the amount shown. On-Track bookmakers mean those bookmakers using the On-Track Bookmaker Systems described below. 10 2.5 ABD Portal ABD Portal Fixed Price - ABAPrice Central matching and clearinghouse web/app system. Capable of accepting back bets from the public, pro-punters, corporates, On-Track bookmakers, other bookmakers and affiliate punters, to be matched only by On-Track bookmakers and integrated corporates. Subject to Jurisdictional requirements. Alternative arrangements may be determined with affiliates on a case by case basis. 2. The fixed price available is the ABAPrice, determined through the existing ABAPrice system. 3. On-Track and Integrated Bookmakers are required to lay a proportion of any bet made according to rules determined by ABD from time to time, commencing with: a. The ABAPrice is calculated as the weighted median price of the nominated bookmakers and integrated corporates, where the weight for each bookmaker is their deemed liability. b. Bets will be matched at the ABAPrice on a semi-pro-rata basis, according to the weights, with all bookmakers in the laypool having a price at or above the ABAPrice. The laypool is the relevant rails bookmakers, integrated corporates and any other On-Track bookmaker participating in the laypool. c. The prices on the On-Track bookmakers display boards at the track may be automatically adjusted based on the volume of betting within certain timeframes. 4. The laying bookmaker pays all relevant race fields, point of consumption and other taxes and charges. These costs are not deducted from the stated price the customer receives. 5. 11 2.6 ABA Racing Portal ABD Racing Market Fixed Price at the price set by the market. Central matching and clearinghouse web/app system. Capable of accepting back and lay bids for bets as approved by relevant jurisdiction. System bids may be enabled providing for all-back and/or all-lay matches requiring further refinement of the commission structure. 6. The prices, and volumes available at those prices, will be as bid by users of the system. 7. The commissions are not reflected in the prices, but rather paid from the relevant account. 8. Lay bids from the ABA Portal may be reflected in this market at the ABAPrice. 9. Alternative arrangements may be determined with affiliates on a case by case basis. 10. 12 2.7 On-Track Bookmaker System These systems are significantly integrated with the web/app and ABD systems, including the ABAPrice. Bookmakers may choose to remain on the Current Version at the current rate or take advantage of various new features including enhanced data capabilities and the ability to bet-back through the system or subscribe for the web/app. 2. The higher cost for the Data Enhanced version in part covers the additional costs of providing certain data services but not the web/app which will be charged separately. 3. The Current Version, defined by the current set of functionality, will continue to be supported as some bookmakers have no interest in enhanced data capabilities or a web/app. 4. Bookmakers currently using On-Track systems, or who make the commitment prior to February 28, 2018 to commence using the system prior to March 31, 2018, shall be deemed to be existing users and will pay less than those joining the system after those dates. 5. The price differential between existing and new users partially recognises the funding contribution made by the early adopters. 6. This Rate Card does not relate to the cost of any equipment required by the bookmaker to operate the systems, any logistics for setting up/down, internet connectivity, storage and transport and any other ancillary cost. ABD can suggest low cost equipment options. 7. In Metro locations a condition of use of On-Track Bookmakers systems is that the nominated logistics provider for the full logistics requirements must be used, and for non-metro use bookmakers must use the remote services offered by the nominated logistics provider. 8. All data in the database used by bookmakers using On-Track systems may be uploaded in realtime and used in data systems as per ABD policies as amended from time to time, including policies which will ensure, subject to jurisdictional requirements, adherence to relevant privacy laws and opt-out provisions, about display of individual bookmaker prices, in those policies. 9. Data required for the operation and audit of the ABAPrice, from all bookmakers nominated to be included in the ABAPrice calculation, will not be subject to the opt-out provisions. Management support fee assumes bookmakers have their website open for business for a during a particular month. For each day they are actually open for business more than 10 days in a month the fee is increased on a daily basis. 2. Bookmakers who make the commitment prior to February 28, 2018 to commence using the On- Track system prior to March 31, 2018, and who commit to taking the Web/App once it is available to operate shall pay more for the Activation Fee than existing users and less than those bookmakers taking up the Web/App after those dates. 3. Rate covers thoroughbred racing for Win, Win/Place, Place and ABA TF and ABA SP betting. Not all these might be available from the commencement of operations of the App, but there will be no additional charge when the features are added. 4. Use of the Web/App will allow, in a later edition, a bookmaker to display, on their own website/apps, the ABAPrice and fluctuations to their customers. 5. Additional features such as other bet types and market types are optional extras, when available. 6. The Activation Fee includes basic customisation for the identity of the bookmaker, logo, background picture, and a choice of colour themes. 7. Additional customisation and added functionality, including integration with or linkage to another bookmaker website or app, will be made available on a first-come-first-served basis on a fixed price quotation basis. 8. Costs for external requirements such as securing and implementing banking merchant accounts, payment gateway systems, jurisdictional licencing and compliance testing will be met by ABD and recovered through a fee to be determined by ABD once the costs are known on a jurisdiction by jurisdiction basis. This fee will vary state by state. 9. Incorporating a market trading option, pari-mutuel, or hybrid betting formats will be optional extras, when available. Beta version MFIT Investments Pty Ltd. GENERAL LICENCE TERMS AND CONDITIONS FOR ABD AND ON-TRACK STSTEMS Any person or incorporation (user) that uses any of the ABD or On-Track Systems (services) described in this document warrants that by starting or continuing to use such services that: 1. They are at least 18 years of age, and their customers are over 18, and they comply with all harm minimisation and other regulatory requirements in all jurisdictions in which they operate. 2. Any use the services for betting must be legal in their relevant jurisdiction, and the user must have all appropriate licences and approvals. 3. The user is fully responsible for ensuring the services, and the manner of the user s use of the services, fully comply with all the user s expectations for use, by trialling the system with test-clients and any other means the user finds appropriate. The user indemnifies ABD and MFIT against any loss or claim to any loss by the user or the user s clients from any use of the services. 4. ABD is entitled to introduce and amend further terms and conditions and/or policies and procedures for use of its services at any time and user agrees to comply with such terms and conditions and/or policies and procedures once given notice. 5. ABD is entitled to vary the content of any service and the price to be paid for any service at any time without notice. Various features may be provided on an optional extras basis. 6. Fees and charges will be paid monthly in advance, unless for usage fees or otherwise indicated, by credit card or other direct payment system, and failure to pay on time terminates any licence under which the user is using the ABD Services. Fees shown in the schedules are GST exclusive. GST of 10% will be added in the Invoice. All payments, including activation fees and ongoing fees, unless otherwise advised in writing, are non-refundable. 7. A user using services under a Personal licence means: a. The user is not permitted display any aspect of the service in a commercial environment such as a betting shop, bar, restaurant, or any other public space, whether or not persons in that environment may be observing the display. b. The user is not permitted to redistribute or display directly or indirectly the data (or any data derived from the data) by any means to any third party. c. Advertisements, promotions and notices may be displayed within the ABD service at any time and the data may be delayed at the discretion of ABD. 8. A user using services, other than under a Personal licence means: a. The user is not permitted display any aspect of the service in a commercial environment such as a betting shop, bar, restaurant, or any other public space, unless in accordance with the appropriate licence. b. The user is not permitted to redistribute or display directly or indirectly the data (or any data derived from the data) by any means to any third party, unless in accordance with the appropriate licence. c. Advertisements, promotions and notices may be displayed within the ABD service at any time and the data may be delayed at the discretion of ABD, in accordance with the appropriate licence MFIT Investments Pty Ltd 10 ABD Systems Rate Card v2.0d

15 9. All users may be required to adopt anti-scraping tools and other processes in the future, as directed by ABD. This may include finger printing and other security measures applied to the data and images. 10. In the case where any fee, tax, charge or other costs is imposed on the use of any aspect of the ABD Services by any legally responsible body ABD shall be entitled to pass on such cost to the user and the user shall either agree to pay those costs or ABD may terminate the licence further without notice or cause. 11. Where any aspect of the ABD Services include data or any information from third parties and such third parties are entitled to restrict or charge for information ABD is entitled to withdraw or replace that data or pay for the cost of that data and pass those costs on to the user and the user shall either agree to pay those costs or terminate the licence. 12. All licences require a minimum of three months termination notice by the user. 13. ABD and/ or MFIT can vary any of the commissions or other charges with no notice. 14.
