1 FEDERAL RESERVE BANK O F NEW YORK ["Circular N o L November 1,1950 J Nomination and Election of Directors (By member banks in Group 2 only, that is, m em ber banks with capital and surplus over $400,000 but less than $10,000,000) To Member Banks in the Second Federal Reserve District: In accordance with the provisions of section 4 o f the Federal Reserve Act, as amended, and Circular No. 3596, dated September 28, 1950, in regard to election o f directors of this Bank for terms o f office from January 1, 1951, to December 31, 1953, to succeed F r e d e r ic E. W o r d e n, class A director, and M a r io n B. F o l s o m, class B director, whose terms expire December 31, 1950, there are given on pages 2 and 3 the names o f the candidates nominated fo r such directors, indicating by whom nominated. To each bank in Group 2, except banks affiliated with holding company affiliates which have designated another bank to participate in this election,* the following are being sent with this circu la r: (a ) Preferential ballot fo r use in voting fo r candidates fo r class A director and class B director. (b ) Colored ballot envelope in which the ballot is to be sealed. (c) Certificate envelope bearing on its face the certificate in regard to the vote. (d ) Addressed envelope in which all o f the foregoing should be returned to me. The ballot and certificate on the certificate envelope must be executed by an officer who has been authorized to cast the vote. A list showing the officers designated for this purpose by the respective member banks in Group 2 was attached to the above mentioned circular dated September 28, 1950, and a similar list amended to October 30, 1950, is attached to this circular beginning at page 4. In order that the ballot may be secret, the name of the bank and the name and title o f the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1 ) A fter the preferential ballot has been marked, (2 ) It should be placed in the colored ballot envelope and that envelope sealed. (3) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4 ) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt o f the list of candidates transmitted herewith. The polls will open on November 2, 1950, and will close at 12 o clock noon, on Friday, November 17, 1950, and in order to be counted as valid the ballot must be received by me at or before the latter time. Upon the closing o f the polls the ballot box will be opened in the board room o f this Bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers, and the results o f the election announced. The candidates are invited to be present or represented on this occasion. The banks in Groups 1 and 3 will not vote in this election, and this circular is sent to them without form s fo r their information only. R o b e r t T. S t e v e n s, Chairman of the Board. * As indicated in Circular No. 3596, dated September 28, 1950, section 4 of the Federal Reserve Act, as amended, provides that whenever any two or more member banks within the same Federal Reserve district are affiliated with the same holding company affiliate, participation by such member banks in the election of directors of Federal Reserve Banks shall be confined to one o f such banks, and the holding company affiliate may designate the bank to participate in such election. Consequently, the ballot of any bank in Group 2 so affiliated cannot be counted as valid unless there is on file with me evidence that such bank has been so designated.

2 Candidate for Class A Director BURR P. CLEVELAND, CORTLAND, N. Y. President, First National Bank o f Cortland, Cortland, N. Y. B u r r P. C l e v e l a n d was born in Groton, New York, on October 11, He entered the employ of The Second National Bank and Trust Company o f Cortland, New York, in 1914, and, upon the consolidation o f that bank with The National Bank o f Cortland in 1936, he became president o f the institution under its new name, First National Bank o f Cortland. During W orld W ar I, Mr. Cleveland served in the Medical Corps o f the United States Army. Long active in the affairs o f the New York State Bankers Association, Mr. Cleveland served as vice president of the association in 1947, as its president in 1948, and as a member of the Council o f Administration in 1950; he was chairman o f the Farm Credit File Subcommittee o f the Committee on Agriculture, a member o f the Committee on Legislation, and is now serving on the Committee on the Development o f a Simplified Commercial Loan Credit File. He is also a member of the Executive Council and the Finance Committee of the American Bankers Association. Mr. Cleveland has served as president, vice chairman, and member o f the Board of Education o f the City of Cortland; vice president, member o f the Finance Committee, and trustee o f the Cortland County H ospital; and director o f the Cortland Community Chest, Inc., and o f the Brewer-Titchener Corporation, Cortland. 3 Candidate for Class B Director MARION B. FOLSOM, ROCHESTER, N. Y. Treasurer and Director, Eastman Kodak Company, Rochester, N. Y. M a r i o n B a y a r d F o l s o m was born in McRae, Georgia, in He was graduated from the University of Georgia in 1912, and from the Harvard Graduate School o f Business Administration in He entered the employ o f the Eastman Kodak Company in During W orld W ar I, Mr. Folsom served with the American Expeditionary Forces in France, and attained the rank o f Captain. Returning to the Eastman Kodak Company after his war service, he became assistant to the president in 1921, assistant treasurer in 1930, treasurer in 1935, and director in Mr. Folsom is chairman o f the Committee for Economic Development, and a member of the Mobilization Policy Committee o f the National Security Resources Board. He is a trustee o f the United States Council o f the International Chamber o f Commerce, and a member o f the National Industrial Conference Board, o f the New Y ork State Advisory Council on Unemployment Insurance, and o f the Advisory Council o f the School o f Industrial and Labor Relations, Cornell University. Mr. Folsom has been serving as a class B director o f the Federal Reserve Bank o f New York since July 15, He was a director o f the Buffalo Branch o f the Federal Reserve Bank o f New York from A pril 1938 through 1947, and chairman o f the Branch board in 1941, 1944 and He has also served as a director o f the Lincoln Rochester Trust Company and as trustee o f the Rochester Savings Bank, both in Rochester.
