3 INTRODUCTION The Private Capital Markets Association of Canada (PCMA) is a not-for-profit association founded in 2002 by a group of Canadian business professionals whose firms were active in the exempt securities market. Originally, the Limited Markets Dealers Association of Canada, and then from , the Exempt Market Dealers Association of Canada, the PCMA is charting a new course for the private capital markets in Canada. MEMBERSHIP The membership of the PCMA is comprised of over 300 member firms including: Firms registered as exempt market dealers with securities regulators in one or more jurisdictions across Canada and the dealing representatives of those firms; Exempt market issuers; Professional advisers/service providers to the exempt market including law firms, accountants, compliance advisers, shareholder advisers, corporate communications advisers, investment professionals and others. MISSION The purpose of the PCMA is to: Provide valuable services and cost saving opportunities to its members; Connect its members across Canada for personal and business opportunity networking; Assist its members with understanding and implementing their regulatory responsibilities; Provide compliance resources and regulatory updates; Ensure the highest standards of business conduct amongst its membership across Canada; Increase public and industry awareness of the exempt market and its role; Be the effective national voice of the exempt market participants across Canada to securities regulators, government agencies, other industry associations and the capital markets. 4 SPONSORSHIP OPPORTUNITY #1 FOUNDING SPONSORSHIP PCMA Founding Sponsors have played an important role in establishing and supporting the Association across Canada. Their support has made a difference for exempt market industry across Canada and we extend our sincere appreciation for their leadership and vision. The Association offers only ten (10) PCMA founding sponsorships for sponsorship fee of $10,000 plus applicable taxes per Founding Sponsorship for a two-year term. Fixed Benefits: $5,000 Automatically applied to the Founding Sponsor s benefit at the time of signing of the sponsorship contract. Branding Credit Branding profile at all PCMA events, on the PCMA website, in electronic, online and print publications for two years. Use a specially designed PCMA Founding Sponsor logo on Sponsor s website and in electronic and print publications. Discretionary Benefits: up to $8,000 To be used by the Founding Sponsor at their discretion at any time over the two-year term of the sponsorship contract. More than 60 percent of the sponsor dollar credits included in the plan can be applied by the Founding Sponsor at any time over that term of the sponsorship. This gives Founding Sponsor the ability to coordinate their PCMA benefits with their own internal marketing and promotion campaign. Membership Fees Credit $2,000 Discretionary Credit This credit can be applied to annual membership fees and renewals for either firm or individual members. Membership Kit Credit $1000 Discretionary Credit This credit can be applied to tip-in fees the Association charges for including sponsor s firms promotional materials in membership kits sent out to each new and renewing individual member. PCMA Special Events $2,000 Discretionary Credit This credit can be applied to registration fees for PCMA events. Advertising Credit $3,000 Discretionary Credit This credit can be applied for advertising or placed content in PCMA magazine. Privileged Participation Benefits: $1,000 Exclusive privileges extended to Founding Sponsors during the two-year term of the sponsorship. Speaking Opportunity The Founding Sponsor will be given one opportunity to give a short address during PCMA events. This benefit will be assigned to sponsor on request and on a first come, first serve basis as events allow. Host Education Seminar The Founding Sponsor will be given one exclusive opportunity to sponsor an educational seminar during the term of the sponsorship. The Sponsor will also be entitled to participate and present in the seminar. Topic and terms will be discussed prior to the event. 7 SPONSORSHIP OPPORTUNITY #4 PCMA CONTINUING EDUCATION PROGRAMS PCMA believes that building an educational infrastructure to help exempt market dealers and their CFOs, CCO s, UDP s and dealing representatives succeed is a key priority for private capital industry. PCMA CFO Education Series: Regulatory Financial Reporting Program The Regulatory Financial Reporting Certificate Program is a unique learning opportunity tailored to the exempt market industry. The regulators have found a number of firms that do not have an adequate compliance system in place and Chief Compliance Officers who are not adequately performing their responsibilities. The regulators have been taking regulatory action based on their findings including suspension of registration. The PCMA CCO Program will address the responsibilities of a Chief Compliance Officer and meeting the requirements of securities legislation and expectations of regulators. Instructors will include Chief Compliance Officers from registered firms, compliance, and legal professionals.
