1 NutriBiotic Third Party Online Retailer Policy Agreement Policy Statement Nutrition Resource, Inc DBA NutriBiotic (hereinafter NutriBiotic ), a California Corporation, located at 865 Parallel Drive, Lakeport, CA 95453, hereby declares NutriBiotic has entered into contract(s) for the rights to sell NutriBiotic products through third party online retailers (i.e. Amazon, Ebay, Jet, Walmart, etc.) and declares any third party online retailer as exclusive sales territory. No party shall be permitted to market, sell, or resell NutriBiotic products through any third party online retailer without first obtaining prior written consent from NutriBiotic. reseller (hereinafter Reseller ) as a reseller of NutriBiotic products, hereby indicates understand of the above Third Party Online Retailer Policy Agreement and agrees to abide by the terms of this agreement. 2 NutriBiotic - Minimum Advertised Price Policy Agreement Policy Statement Nutrition Resource, Inc DBA NutriBiotic (hereinafter NutriBiotic ), a California Corporation, located at 865 Parallel Drive, Lakeport, CA 95453, hereby declares and determines that its interests and the interests of its resellers are best served through the adoption of a Minimum Advertised Price Policy Agreement (hereinafter MAP Policy ). NutriBiotic believes in maintaining a well-regulated and fair marketplace for all its resellers. This MAP Policy is NOT intended to alter the independent contractor relationship between NutriBiotic and the reseller (hereinafter Reseller ) of NutriBiotic products. This MAP Policy does not confer, offer, or imply exclusive territory rights to Reseller. This MAP Policy s purpose is to protect and preserve the integrity and branding of NutriBiotic products, including the NutriBiotic brand and trademark, throughout all channels of distribution. MAP Policy prices (hereinafter MAP Prices ) shall be established by NutriBiotic. Any changes in MAP Prices shall be communicated to Reseller with thirty (30) days written notice of price change in writing by electronic transmission through or facsimile. The initial MAP Price list is attached hereto as Exhibit A. NutriBiotic reserves the right to sell retail products below MAP Pricing for product promotions and brand awareness. Reseller must follow the MAP Policy for advertising and marketing of all NutriBiotic products. All NutriBiotic resellers must agree to the terms and conditions of this MAP Policy. General Guidelines 1. All NutriBiotic products are covered by this MAP Policy. 2. NutriBiotic s MAP Policy and MAP Prices are not intended to be, nor shall they be construed to be, an agreement to fix the minimum prices at which Reseller or NutriBiotic s other resellers will sell NutriBiotic s products. Each reseller of NutriBiotic s products must determine at their discretion the price at which they sell NutriBiotic s products, as long as the prices are not below the MAP Prices. 3. This MAP Policy applies to all advertisements of NutriBiotic products in any and all media, including but not limited to: promotions, exchanges, coupons, discounts, product combination specials, deals and package deals, flyers, posters, mailers, inserts, newspapers, magazines, catalogs, television, radio, public signage, Internet sites, and social media sites. 4. Website features such as buy now, click for price, automated bounce-back pricing s, pre-formatted responses, forms, and automatic price display for any items prior to being placed in a customer s shopping cart, and other similar features are considered to be communications initiated by the Reseller (rather than by the customer) and thereby constitute advertising under this MAP Policy. 5. This MAP Policy also applies to any activity which NutriBiotic determines is designed or intended to circumvent the intent of this MAP Policy, such as solicitations for group purchases or bundling and the like. 6. Any wholesale distribution to Reseller by NutriBiotic or exchange of products by NutriBiotic at a discount off wholesale or for less than suggested pricing, shall occur at NutriBiotic s discretion. No such arrangement shall be considered consent by NutriBiotic for Reseller to advertise or sell NutriBiotic products below MAP Prices. 7. From time to time, NutriBiotic may permit resellers to advertise MAP products at prices lower than the MAP Prices. In such events, NutriBiotic reserves the right to modify or suspend the MAP Prices with respect to the affected products for a specified period of time. Examples of such events are closeouts (for products being discontinued) and blowouts (for short dated products). Policy Enforcement 1. Reseller will receive one written warning via mail, , or contact through online seller to comply with the MAP Policy within 48 hours. Page 1 of 3 Rev. 09/14/16

Consequences for continuing to sell below MAP Prices after 48 hours may include but are not limited to: Reseller having their NutriBiotic account suspended or closed immediately and indefinitely, cancellation of all pending orders placed by Reseller, refusal and rejection of new orders from Reseller, cancellation and termination of any agreement Reseller has with NutriBiotic. 3. Noncompliance with this MAP Policy will have the same effect whether it is deliberate or inadvertent. Consequently, NutriBiotic will not accept any explanation or excuse from Reseller who has failed to comply. Neither will NutriBiotic accept any promise of future compliance. 4. NutriBiotic reserves the right to discontinue business with any reseller that advertises NutriBiotic product(s) below MAP. 5. If a reseller with multiple store locations violates this MAP Policy at any one store location, or on any associated website, then NutriBiotic will consider this to be a violation by the Reseller. 6. Selling NutriBiotic products below MAP pricing under a different name than what has been provided in this agreement will be considered as a deliberate action to sell under MAP and WILL RESULT IN IMMEDIATE TERMINATION of Reseller s account. 7. NutriBiotic is solely responsible for determining whether a violation of the MAP Policy has occurred, as well as determining appropriate actions. 8. The MAP Policy will be enforced by NutriBiotic. Policy Modifications NutriBiotic reserves the right at any time to modify, suspend, or discontinue the MAP Policy in whole or in part or designate promotional periods during which the terms of the MAP Policy change or designate periods of time during which the MAP Policy is not applicable. MAP Policy modifications will be made available on the NutriBiotic website at wholesale.nutribiotic.com. This MAP Policy supersedes and replaces in their entirety all previous MAP Policies. This MAP Policy shall remain in effect unless NutriBiotic amends, replaces, or terminates it. Reseller Account Information All fields below must be completed.
