1 (--;-s -----ccig ANNEX A: SCHEDULE In connection with Employer's participation in the Payroll Card Program, Employer further undertakes, represents and warrants as follows: a. Employer has taken all steps required by law to verify the Identification of its employees at the time of their employment, and in particular, that each Participating Employee is registered with the Ministry of labour; b. Employer shall promptly notify People"' of the termination of the employment relationship between any Participating Employee and Employer; c. Employer shall distribute the Cards, PINS (including initial card pack) and any other communication forwarded by People" or the Issuer of the payroll card (theissuer") to the Participating Employees; d. The Employer acknowledges and agrees that neither People'" nor the Issuer shall be responsible for any delay In disbursing wages ancl'shall not be held liable for any claim In connection with the performance of the services If the payroll file Is not correctly formatted or if the WPS Is not available at the time; e. Employer shall timely furnish to People" any and all information and materials, including copies of passports, labour cards, labour contracts and/or other identifying Information supplied during the employment process (Including any amendments thereof), that People" may, from time to time, reasonably request. Employer shall take such action as People"' may, from time to time, reasonably request In order to further the purposes of this Agreement and to ensure that all matters contemplated herein will comply with all applicable statutory, regulatory, or other legal requirements; f. Employer shall be solely responsible for the quality,accuracy and adequacy of all information supplied to People'" hereunder, and Employer shall establish and maintain adequate audit controls to monitor the quality and delivery of such data. Employer acknowledges and agrees that People"' and the Issuer shall not be responsible for acting upon any payroll file that contains any discrepancy, error or omission ("Deficiencies").People"' shall immediately notify the Employer (or its authorized representative) upon discovery of Deficiencies In the payroll file and the Employer shall correct the same by submitting a new payroll file to the WPS system.any delay in processing wage disbursements as a result of Deficiencies shall be at the sole risk of the Employer without any liability whatsoever to People' or the Issuer; Employer shall secure Participating Employee's agreement to the Cardholder B Terms and Conditions ("Cardholder Agreement"), furnish all Participating Employees with a copy thereof and educate the Participating Employees on the use of the Payroll Card and their cardholder obligations under the Cardholder Agreement. Employer shall further Inform all Participating Employees of any amendment to the Cardholder Agreement and shall provide them with an amended copy thereof; h. Employer warrants that It shall not charge Participating Employees any initiation, participation, loading or other fees In connection with the disbursement of the wages and crediting thereof on the Cards. Employer further undertakes to comply with all UAE federal and local laws, and all Ministry of Labour and UAE Central Bank's rules, regulations, guidelines and communications in connection with payroll, compensation and employment matters (Including, without limitation, proper withholding and timely remittance of any and all taxes which may be imposed in the future) and shall provide such authorities with any additional documents as may be required by them. Employer further agrees to indemnify and hold People"' and the Issuer, and its respective officers,directors and agents harmless against any and all claims, causes of action, liabilities damages, expenses and losses (Including attorneys'fees, interest and penalties) which are or may be Imposed on any of them due to Corporate Client's failure tocomplywith any such laws, rules,regulations,guidelines and communications; I. Employer shall be solely responsible for all record keeping as may be required of It under any federal or local laws and regulations; j. Employer accepts full responsibility for the use of Cards, PIN or other security codes and procedures to access the Cards that are in Its possession or control. Employer shall Immediately notify the call center number mentioned on the back of the Card of any loss, theft, unauthorized use or fraudulent use of such Cards, PINs or other security codes or procedures and shall be fully responsible for the unauthorized or fraudulent use thereof until such time as People' has received such notification from the Employer; k. Employer acknowledges that wages may be subject to garnishment,attachment, levies,freeze orders,court orders or other administrative or legal processes and agrees that It shall abide by all such orders. Employer further agrees to indemnify and hold People"' and the Issuer harmless against any claims,causes of action, liabilities,damages, expenses and losses (Including attorneys' fees,interest and penalties) arising out of any failure by Employer to abide by such orders or in connection to the obligations specified In this paragraph; I. Employer agrees that People"' and the Issuer shall not be liable for any failure of the services provided under this Agreement due to acts of God, acts of government or the networks or regulatory bodies which significantly inhibit or prohibit the services; Including wars, acts of terrorism,t1res,floods, explosions, natural catastrophes, civil disturbances,strikes, riots, unusually severe weather (such astornadoes)or failures or fluctuations in electrical power, light,computer or telecommunication services or equipment or any other cause not within their reasonable control; m. Upon termination of the employment contract, the Employer shall provide the Participating Employee with 3o days' written notice to withdraw any available balance on the Card or make purchase transactions.this can be done even after the Participating Employee leaves the country, as the card can be used Internationally for both cash withdrawals and purchase on merchants. n. Employer acknowledges and agrees that the Issuer has an absolute right to decline any Card Application, including but not limited to, the right to decline any Card Application that is incomplete or that contains untrue, inaccurate or misleading information. o. Employer acknowledges and agrees that the Issuer has the right to deactivate anycard Issued pursuant to this Agreement in the event that Issuer reasonably suspects or has reasonable evidence to believe that such Card Is being used or Is likely to be used In connection with any fraudulent or other Illegal activity ("Deactivation"). Employer acknowledges and agrees that the Issuer shall not be liable to the Employer or any third party for any losses or damages which may result from such Deactivation. p. Employer shall Indemnify, defend and hold the Issuer harmless against actual or contingent claims, causes of action, liabilities, losses, and/or expenses (Including reasonable attorneys' fees), brought by Cardholders or any third party arising from any act or omission (Including fraud) by Employer, Its agents or independent contractors In connection with the performance of the duties and responsibilities undertaken pursuant to this Agreement (Including this Annex) and/or applicable to the Employer under UAE labour laws and WPS rules and regulations. All Indemnification obligations stated in this Annex shall survive the termination or expiration of the Agreement, regardless of whether any such liabilities arise before or after the effective date of any such termination or expiration.
