1 CANON PROFESSIONAL SERVICES PROGRAM ELIGIBILITY REQUIREMENTS AND BENEFITS, as provided by Canon U.S.A., Inc., (referred to as the Program) unless otherwise noted. Updated as of September 12, 2012 SILVER Level Membership (Complimentary, plus 10 Product Points) Applicant must be a full-time self-employed individual or an employee of a professional imaging business who plays a direct role in the creation of moving or still images. 10 Product Points are required to qualify for Silver membership. Please refer to list of eligible products and required point values as listed on CPS website for Silver membership. Products registered under the Program are referred to as ELIGIBLE Products. Silver membership benefits include: New Member Welcome Kit, CPS Member Card, and CPS Member Pin (contents subject to change) Access to 24/7 CPS Hotline with domestic and international phone support Please note: Silver level members are not eligible for loan equipment or repair coupons at any time under the Program SILVER LEVEL REPAIR SERVICE TERMS AND CONDITIONS (for ELIGIBLE Products only): 1. Warranty and Out of Warranty Repair Service a) Warranty repair service will be performed in accordance with the Limited Warranty packaged with the product. These Membership terms and conditions may confer greater benefits to you than the Limited Warranty for the product. However this may not be construed as a modification, extension or enhancement of that Limited Warranty under any circumstances. b) For out of warranty repair service, a repair estimate will be sent to you for your approval before any repairs are performed, unless you pre-approve a specified amount (see section 3, below). If you do not reply to this repair estimate within 60 days of Canon USA's receipt of the Product, the Product will be returned to you unrepaired. You will be responsible for all shipping costs and risk of loss for such returned product. c) Products which are submitted for warranty service without proof of warranty eligibility may not be eligible for repair within 7 business days and will be treated as an out of warranty repair under section b above. 2. Repair service can be obtained by calling the CPS Hotline or using the CPS Pro Rush Service Form; Hotline numbers and forms will be provided upon registration in the CPS Program. Instructions for repair service preapproval are listed on the form. Should the repair exceed - the pre-approved amount, an

2 estimate of repair will be sent for your approval before any work is done. In these cases, Turnaround time begins on the date you approve the repair estimate. 3. Repair Turnaround Time: a) For warranty repairs, Canon will repair, and ship back to you, the Eligible Product that is repairable, at Canon's reasonable discretion, by the seventh business day following receipt by Canon of the equipment marked with a SILVER RUSH SERVICE label ("Turnaround"). Please note that Turnaround does not mean that you will receive your repaired product within 7 business days. For out of warranty repairs, the 7 business day period will run from the date of Canon's acceptance of your payment for the approved repair. b) If more than three (3) pieces are sent for repair at one time, Turnaround for all pieces may be longer than 7 business days. c) Turnaround is subject to availability of parts. 4. Shipment: a) You may choose any carrier you wish to ship your product to Canon USA. However, we recommend you ship your product by rush carrier service such as Federal Express, UPS Blue/Red Label or similar carriers. All products should be packaged securely, insured, and shipped in a manner that can be tracked. You assume all responsibility for products shipped to Canon including, without limitation, shipping costs and liability for damage during shipping. b) A correct street address must be supplied for return shipment. No shipments can be made to Post Office (P.O.) boxes. c) Return shipping charges will be added to your repair invoice. Additional Restrictions and Exemptions: 1. The following products are not eligible for benefits under this Program: Products that have been modified, other than by Canon Factory Service Center Technicians Refurbished products, unless such products have been refurbished by Canon Products used as rental equipment Products sent in by a third-party or dealer 2. Any Eligible Product requiring repair service must be located within the fifty United States and the District of Columbia and have a drop ship point within one of those geographic territories. Canon will not ship units outside these geographic territories.

Gold Membership benefits include: New Member Welcome Kit: Welcome Letter, CPS Member Card, CPS Member Pin, CPS Pro Strap, EF Lens Work Book III, 1 rear lens cap, and 1 camera body cap (contents subject to change) Access to equipment evaluation loan Discounted admission to Canon Live Learning seminars and workshops Access to 24/7 CPS Hotline with domestic and international phone support 30% discount on repairs of your ELIGIBLE Products; restrictions may apply, see discount restrictions below Expedited 3-day service Turnaround on your ELIGIBLE Products. Loan units may be available upon request if Turnaround exceeds 3 business days (See Repair Turnaround Time under GOLD LEVEL REPAIR SERVICE TERMS AND CONDITIONS for more details) 2 complimentary Service Clean and Checks (check, clean, and adjustment to Canon factory specifications) by the Factory Service Centers of New Jersey, California or Virginia (on your ELIGIBLE Products only). Please note that Turnaround does not mean that you will receive your repaired product within 3 business days. For out of warranty repairs, the 3 business day period will run from the date of Canon's acceptance of your payment for the approved repair. b) If more than three (3) pieces are sent for repair at one time, Turnaround for all pieces may be longer than 3 business days. c) Turnaround is subject to availability of parts. d) If Canon does not repair and return the eligible camera or compatible lens or flash, or provide a loan unit within such 3 business day period, subject to the exclusions set forth above, your sole and exclusive remedy will be a $100 Repair Coupon redeemable as set forth below (see Repair Coupon conditions below.) 4. Shipment: a) You may choose any carrier you wish to ship your product to Canon USA. However, we recommend you ship your product by rush carrier service such as Federal Express, UPS Blue/Red Label or similar carriers. All products should be packaged securely, insured, and shipped in a manner that can be tracked. You assume all responsibility for products shipped to Canon including, without limitation, shipping costs and liability for damage during shipping. b) A correct street address must be supplied for return shipment. 5 Repair Coupon: (Only applicable to Gold and Platinum memberships) 1. The Repair Coupon may be used towards one (1) out of warranty repair of any ELIGIBLE Canon camera, lens, flash or accessory that is repairable, in Canon's reasonable discretion. 2. The Repair Coupon can be redeemed exclusively by the CPS member recipient of the Coupon for up to $ in Canon Factory Service Center repairs at the facilities indicated on the face of the Repair Coupon. If the repair charge is less than $100.00, the balance of the Repair Coupon is void and no refund will be issued. Repair Coupon has no cash value and will not be replaced or reissued. 3. The Repair Coupon can be combined with the discount on parts and labor set forth in the "Repair Discount" Section, however, it cannot be combined with any other offer. 4. Any attempted redemption not consistent with these terms and conditions will be void. Repair Discount: 1. Your applicable membership level discount will be applied to the retail price of parts and labor for any out of warranty repair on your Eligible Product that is repairable, within Canon's reasonable discretion, and only at Canon's Factory Service Centers in Jamesburg, NJ, Irvine, CA or Newport News, VA. 2. Other than the $ Repair Coupon, you cannot combine the discount benefit with any other offer or discount. Priority Telephone Support: Based on system availability, Priority Telephone Support is available 24/7 (domestic and international). CPS Hotline numbers will be provided upon registration. Additional Restrictions and Exemptions: 1. Platinum Membership benefits include: New Member Welcome Kit: Welcome Letter, CPS Member Gift, CPS Member Card, CPS Member Pin, 2 CPS Pro Straps, EF Lens Work Book III, 2 rear lens caps, and 2 camera body caps (contents subject to change) Priority access to equipment evaluation loan Discounted admission to Canon Live Learning seminars and workshops Access to 24/7 CPS Hotline with domestic and international phone support 60% discount on repairs of your ELIGIBLE Products; restrictions may apply, see discount restrictions below Expedited 2-day service turnaround on ELIGIBLE Products only Service Loan backup, based on availability and only if product cannot be returned within the specified expedited time. If more than three (3) pieces are sent for repair at one time, Turnaround for all pieces may be longer than 2 business days. Turnaround is subject to availability of parts. If Canon does not repair and return the Eligible Product, or provide loan equipment within such 2 business day period, subject to the exclusions set forth above, registrant's sole and exclusive remedy will be a $100 Repair Coupon redeemable as set forth below. (See Repair Coupon conditions below.) 4. Shipment: Shipments inbound to Canon will be standard overnight, with shipment labels provided by Canon at the time of repair service requested by the member. All Products must be packaged securely, insured, and shipped in a manner that can be tracked. A correct street address must be supplied for return shipment. No shipments can be made to Post Office (P.O.) boxes. Return shipments will be standard overnight at no cost.

Canon Professional Services Program Terms and Conditions - Revised October 20, 2011 I am applying for membership in the Canon Professional Services Program ( CPS or the Program ) and hereby agree to the following terms and conditions: 1. Membership is available only for those individuals, (a) that are self-employed or an employee of a professional imaging business, that, as a full-time profession, are directly involved in the creation of images; either moving or still, (b) legal residents of the 50 United States or Washington DC (c) who are at least 18 years of age at the time of enrollment. At this time membership benefits, loan availability, and repair service are available in the 50 United States and District of Columbia only. 2. All applications are subject to verification and Canon U.S.A., Inc s ( Canon ) approval, in its sole discretion. Canon may reject any applicant in its sole discretion, with or without reason. Applicants are not are not eligible for membership if they have been previously expelled from any other version of the Program; and if expelled from this Program for cause, not be eligible for future membership. 3. I hereby represent and warrant that all information submitted with my application is true and accurate and that I meet all eligibility requirements. 4. If accepted into the Program by Canon, I you will receive the benefits afforded to me under the appropriate membership level that I have applied for, Silver, Gold or Platinum. If I desire to upgrade my Program membership level, I understand that I will have to reapply for such upgraded level and pay the full amount of the upgraded membership and I will not be entitled to any credit or refund for my current membership level. 5. The term of enrollment is one (1) year (the Term ). 6. I will keep my profile information up to date, including my mailing address and so that I receive any and all notices, if any, that Canon may need to send me under the Program. 7. Canon may change or otherwise modify the Program at any time by posting updated Terms and Conditions on the CPS website or otherwise by notice to me. All members must have internet access and the ability to navigate the Canon CPS website throughout the Term. Should Canon terminate the Program prior to the expiration of the membership period, I may be entitled to a refund of the remaining portion of the membership fee, prorated as the remaining full months of unused membership, less benefits received. 8. Failure to adhere to the terms and conditions of membership may result in my expulsion from the Program by Canon and I will not be entitled to any refund or any other legal or equitable remedy. 9. All product loans made under the Program are subject to the following:

10 Loan equipment ( Equipment ) will be available only to Gold and Platinum members in good standing. No Equipment will be available to any member with outstanding invoice amounts due, or to any member who has not yet timely returned Canon equipment on loan under this Program or any other. I understand that all Equipment loan requests will be reviewed by Canon and Canon will determine, in its sole discretion, and in accordance with my membership level and the associated benefits, whether a loan will be made and, if so, the priority and scheduling of loans. Equipment quantities are limited and are available on a first come-first serve basis within membership level. The Equipment is loaned to me solely for my use in accordance with these terms and conditions. Any Equipment loaned to me may not be transferred or otherwise loaned by me to a third party. Canon will pay for transporting the Equipment to the address listed in my membership profile or as otherwise directed by me in my loan request. I will pay for transporting the Equipment back to Canon upon completion of the loan period, or at such other time as Canon should request its return. I acknowledge that Canon reserves the right to recall any item of Equipment, for any reason, on five (5) days prior written notice. In the event I fail to return the Equipment when due, Canon may invoice me for the current LIST PRICE of any unreturned Equipment and I will pay such invoice within thirty (30) days of receipt. Failure to return Equipment and/or pay such invoice may result in the suspension or termination of my membership privileges in the Program hereunder, in Canon's sole discretion. I will return the Equipment and all related accessories to the address as directed by Canon, in good condition, reasonable wear and tear expected. I agree to use my best effort to protect the Equipment against shock, impact, water damage, sand, dirt and other harmful substances which may damage the Equipment. I acknowledge and agree that I bear all risk of loss or damage to the Equipment while the Equipment is in my possession and until its receipt by Canon, including any damage caused by improper packaging of the Equipment for its return to Canon. I agree to reimburse Canon for the cost of any repairs to, or replacement of, the Equipment necessitated due to mishandling, carelessness or neglect while on loan, including any damage caused by improper packaging of the Equipment for its return to Canon. I will carry all risk insurance on all Equipment loaned to me in an amount equal to the full value of the Equipment as set forth in each Loan Shipping Order. Such insurance shall list Canon as a co-insured. I agree to reimburse Canon for any loss, theft, or disappearance of Equipment in the event such loss is not reimbursed to Canon under the all risk insurance policy. I will promptly notify Canon (and forward Canon a copy of any report submitted to the pertinent police department) in the event of loss, theft or disappearance of the Equipment. I agree to use the Equipment in accordance with published Canon instructions. Under no circumstances will I perform any maintenance or repair on the Equipment. If maintenance or repair on the Equipment is necessary, I will contact Canon's Professional Services Department for further instructions.

11 I acknowledge and agree that the Equipment is loaned to me AS IS. THERE ARE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, RELATING TO THE USE OR PERFORMANCE OF THE EQUIPMENT, AND ANY AND ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANT ABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CANON SHALL NOT BE LIABLE FOR ANY DAMAGES INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFIT OR OTHER DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THIS AGREEEMENT OR THE USE OR INABILITY TO USE THE EQUIPMENT. 10. I acknowledge that Canon makes no warranties or representations of any kind with respect to the prospects for any business relationship between us as a result of this Agreement. Nothing in this agreement shall be deemed to create a partnership, joint venture or relationship of employment between us. 11. In the event that my membership is determined to be a corporate business (or a non-individual membership), Canon reserves the right to suspend or terminate my membership privileges in the Program hereunder, in Canon's sole discretion. 12. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK. This Agreement shall not be amended or otherwise modified except in a writing authorized by Canon. In the event that any one or more of the provisions of the agreement is unenforceable, the enforceability of the remaining provisions shall be unimpaired. 13. This agreement and the membership benefits afforded hereunder may not be assigned or otherwise transferred by me and any attempted assignment or transfer shall be void.
