16 SECTION D TRADING TERMS 1. In these terms and conditions ("Terms"): (a) "Act" means the Competition and Consumer Act 2010; (b) "Company" means iimport Pty Ltd ABN ; (c) "Contract" means any order for the Company to supply Goods to a Customer; (d) "Customer" means a person to whom Goods are supplied by the Company; and (e) "Goods" mean any goods or services referred to in any quotation or otherwise supplied by the Company to the Customer. 2. To the extent of any inconsistency between these Terms and any term or condition of the Customer's order, these Terms prevail. 3. Subject to any written agreement to the contrary, any Goods supplied by the Company to a Customer are sold subject to these Terms. 4. The Company may alter these Terms from time to time by 14 days notice in writing to the Customer. 5. Any quotation by the Company is not an offer to sell and may be withdrawn or varied without notice. Quotations are given subject to these Terms. 6. Notwithstanding clause 5, the Company may alter the price of Goods if: (a) there is an increase in labour, material or freight costs; (b) Goods are to be delivered outside normal business hours; (c) Goods are to be delivered to a different address to the one previously specified by the Customer or the Quotation; (d) works do not proceed consistently and without interruption; or (e) additional costs are incurred by the Company as a result of any event or circumstance beyond the immediate control of the Company. 7. Any data about Goods provided by the Company is an estimate only unless otherwise specified must be construed accordingly. The Company will not be liable for any loss arising from any failure to treat such data as an estimate. 8. Information, designs, drawings, dimensions and any other particulars given by the Company, orally or otherwise, approximate the Goods offered and are subject to alteration without notice. 9. The Company will not be liable for errors or misdescriptions in drawings, dimensions or samples approved or submitted by the Customer. 10. An order may be cancelled, varied or suspended by the Customer only with the Company's written consent. 11. Cancellation of any order is subject to a charge by the Company equal to 15% of the cancelled order amount, which amount the parties agree is a reasonable charge. 12. Non-standard Goods made to special order will not be credited under any circumstances and must be paid for in full upon any cancellation. 13. The cost of any alteration or variation of an order requested by the Customer or the Customer's agent will be to the Customer's account and charged at the Company's then current rates for the relevant Goods. 14. Additional site visits by representatives of the Company after an order has been placed will be subject to separate charge by the Company at its then prevailing charge for such visits. 15. Delivery and installation times notified to the Customer by the Company are estimates only. The Company may, in its absolute discretion, delay, suspend or cancel delivery/installation and the Company will not be liable for any loss or damage suffered by the Customer referable to the delay or cancellation. 16. The Company reserves the right to make part deliveries of an order and each part delivery constitutes a separate sale of Goods on these Terms. A part delivery of an order will not invalidate the balance of an order. 17. Unless otherwise agreed, where the Customer has nominated an address for delivery, delivery to that address will satisfy the Company's delivery obligation under the Contract. The Company's delivery records will be prima facie proof of delivery to the Customer. An additional delivery charge will apply if the Goods are unable to be delivered as a result of the Customer not being present at the nominated address on the scheduled delivery date. 18. The Company may, in its absolute discretion, determine the manner of delivery. 19. Customers wishing to change delivery details must notify the Company at least one business day before the scheduled delivery date. 20. The Company may, in its absolute discretion, suspend or cancel delivery if the Customer is overdue in any payment to the Company or in breach of these Terms. 21. The Company will not be liable for any delay in delivery or any loss or damage to Goods in transit. 22. A signed certificate from the Company stating the amount owing by the Customer in respect of Goods supplied by the Company is prima facie proof of that amount being due and payable by the Customer as at the date stated. 23. Unless otherwise specified in writing, the Customer must pay for the Goods as follows: - (a) a deposit of 30% of the price upon placing the order; and (b) the balance no less than 5 days prior to delivery, unless credit terms have been approved. Trade accounts are due within approved days of the date of invoice. The Company reserves the right to require payment in advance of delivery. 24. If the Customer fails to make payment strictly in accordance with these Terms, all amounts owing by the Customer to the Company on any account become immediately due and payable. 25. Outstanding amounts will bear interest of the rate of 12 per cent per annum calculated on a daily basis. 26. The Customer must not withhold payment or make any deduction from the price of Goods in respect of any set-off or counter claim. The Customer and the Company expressly agree that the Customer will not seek any amount by way of retention against defects or incomplete work. 27. The Company reserves the right to withdraw credit facilities at any time without notice or cause. 28. The Customer must inspect all Goods upon delivery and within 24 hours of delivery notify the Company in writing of any matter by which the Customer alleges that the Goods are not in accordance with the Customer's order including but not limited to the quantity, type and description of Goods specified in any quotation. Failing such notice in writing and, to the extent permitted by law, the Goods will be deemed to have been accepted by the Customer. 29. Goods will be at the Customer's risk immediately upon delivery to the Customer or the Customer's agent. 30. Notwithstanding risk in the Goods passes to the Customer as provided in clause 29, title in the Goods will remain with the Company until such time as full payment is made to the Company of all amounts owing by the Customer to the Company on any account. 31. In the event that the Customer fails to make payment for Goods in accordance with these Terms, the Customer must on demand by the Company, return the Goods to the Company. The Company is irrevocably authorised to enter the Customer's premises (or the premises of any related entity or agent where the Goods are located) and take possession of any Goods belonging to the Company, and the Customer indemnifies the Company for any resulting liability for trespass or damage. 32. To the extent of any inconsistency between these Terms and any credit agreement between the Company and the Customer, these Terms prevail. 33. Where the Company's Goods are held by the Customer, the Customer agrees with the Company to keep the Goods: (a) as fiduciary for the Company; and (b) stored separately and in a manner which clearly identifies the Goods and shows the Company's ownership. 34. The Company and the Customer agree that any Goods supplied or installed by the Company will not become fixtures (notwithstanding they have been affixed) until payment of all amounts owing to the Company by the Customer. 35. Subject to the provisions of the Act: (a) no claim for defective Goods will be considered unless notified within 24 hours of supply and installation; (b) the Company will not be liable for loss or damage to Goods in transit. The only conditions and warranties which are binding on the Company in respect of the state, quality or condition of Goods are those mandated by law (including the Act) and which cannot be waived. Otherwise the liability, if any, of the Company arising from breach of any implied or express condition or warranty will, at the Company's option, be limited to and completely discharged by: (a) the replacement or repair of the Goods; or (b) the payment of the cost of replacement or repair of the Goods, and otherwise all other conditions and warranties whether express or implied are hereby expressly excluded and negatived. 37. To the extent permitted by law, the Company will not be liable to the Customer or any of its Customers for: (a) any injury, damage or loss, including consequential damage or loss, whether to persons or property, arising out of the supply of Goods to the Customer; (b) any defects in the Goods resulting from or arising out of the production of the Goods in accordance with any information, dimensions, designs or drawings provided by the Customer or submitted to the Customer by the Company and approved by the Customer; or (c) any defect in Goods after any attempted repair or rectification of those Goods not undertaken by the Company or otherwise approved in writing by the Company. 38. The Company and the Customer expressly agree that any damage or loss sustained in the course of the demolition and or removal of any shop front, window, door or building including damage to glass, framework, tiles, cement render, painted surfaces and surrounds will be the sole responsibility of the Customer and the Company will not be liable to the Customer or any other person for any such damage or loss. 39. The Customer must indemnify and keep indemnified the Company against all liabilities, losses (including loss of profit), damages, disbursements, costs or expenses incurred or suffered by the Company and from and against all actions, proceedings, claims or demands made against the Company arising as a result of: (a) the Customer's breach any of these Terms; (b) the Customer's failure to make payment in accordance with these Terms; (c) any cancellation, variation or suspension of an order by the Customer; (d) (e) the Customer's failure to follow the Company's Guidelines for installation and care; or the Customer's failure to comply with any laws, rules, standards or regulations applicable in relation to the Goods or the use of the Goods. 40. The Customer must indemnify and keep indemnified the Company against all actions, proceedings, claims or demands made against the Company by any third party in respect of any loss, injury or damage related to the Goods or their use. 41. All electrical services to any location to which Goods are to be installed including any shopfront are to be disconnected at the Customer's cost before any work by the Company is required to be undertaken and all quotations are made by the Company on this basis. 42. The Company will not undertake any electrical services and the Customer is responsible for ensuring connection/ disconnection of supply to permit works to be undertaken by the Company safely. 43. The Company will collect and deal with the Customer's personal information only in accordance with the Company's Privacy Policy and the Privacy Act 1988 (Cth). A copy of the Privacy Policy is available from the Company directly. 44. The Company will not be deemed to have waived any of its rights under any contract unless such waiver is in writing and signed by the Company. 45. The Company's failure to exercise any right or power does not operate as a waiver and a partial exercise of a right or power does not preclude any further exercise of the right or power. 46. The Company may cancel or suspend delivery or installation of any ordered Goods in the event of any delay or non-performance due directly or indirectly to war, terrorism, strike, lockout, delay or default of a manufacturer or supplier, act of God, or any other cause beyond the Company's reasonable control. 47. The Customer must pay, upon demand by the Company, all taxes, duties or fees payable in respect of the supply of Goods by the Company to the Customer including any sales tax, stamp duty and goods and services tax. 48. Any condition, warranty or representation (whether express or implied) not contained in these Terms, is expressly excluded to the extent permitted by law. 49. A Customer must not assign any benefit or obligation under any Contract without the Company's prior written consent. 50. These Terms are, and any contract including them is, governed by the law of New South Wales and the Company and the Customer submit to the non-exclusive jurisdiction of the Courts of that State. iimport Pty Ltd ABN INITIAL
