In this Customer Agreement, you'll find important information about your service. We want to ensure your complete understanding so please take the time to review the information below. Customer appoints Just Energy Ontario L.P. ( Just Energy ) as its supplier of natural gas and electricity commodity ( Energy ) to each Location enrolled under this Agreement, for a Term as indicated by you on the Just Energy enrolment website. You, the Customer, understand and agree: a) In addition to the Monthly Natural Gas Supply Price as specified on the Just Energy website enrolment page at the time of your enrolment, as always, you will remain responsible for natural gas regulated delivery, transportation, storage and other charges billed by your Utility or Just Energy. Your Transportation charge will be variable throughout the Term of the Agreement, and will always match the Utility transportation charge. If you do not sign this Agreement you will still pay your distributor for transportation over and above your current supply charges. Your current Utility transportation rate for your service area is as shown on the price comparison form attached to this agreement. For the latest Utility transportation rates please visit b) In addition to the Monthly Electricity Supply Price as specified on the Just Energy website enrolment page at the time of your enrolment, as always, you will remain responsible for electricity delivery, transmission, debt retirement, regulatory and other charges billed by your Utility or Just Energy. You will also have to settle your RPP variance with your Utility. You will pay the related charges, including an $0.80/month billing fee and a one time enrollment/de-enrollment fee of $1.50. This Agreement only covers the cost of electricity commodity. You will remain entitled to/bound by the Global Adjustment billed by your Utility. c) You received a text-based copy of this Agreement, including the Disclosure Statement(s) and Price Comparison Document(s), before electronically signing this Agreement. d) Just Energy will reimburse any exit fees that your previous retailer charges you (up to $1000), if you are in an existing contract. Please see Terms and Conditions for more details. JECB Natural Gas Program Monthly Natural Gas Supply Price as selected by you on the Just Energy enrolment website at the time of your enrolment. Your Natural Gas Supply Price will be your Monthly Natural Gas Supply Price specified on the Just Energy website enrolment page at the time of your enrolment. See Paragraphs 1 & 6 of the Natural Gas and Electricity Terms and Conditions for more details. You will also be responsible for the charges set out in paragraph a) above , 71825, 71829, 71836, JECB Electricity Program Monthly Electricity Supply Price as selected by you on the Just Energy enrolment website at the time of your enrolment. Your Electricity Supply Price will be your Monthly Electricity Supply Price specified on the Just Energy website enrolment page at the time of your enrolment. For more details please see paragraphs 1 & 6 of the Natural Gas and Electricity Terms and Conditions. You will also be responsible for the charges set out in paragraph b) above , , , , Carbon Offset, ecobee3 Thermostat and related equipment If you enroll in both the JECB Natural Gas and Electricity programs, we will waive the monthly Carbon Offset fee and the monthly rental fee for the ecobee3 Thermostat ("Thermostat") and related equipment where applicable. If you cancel one or both of the Electricity and Natural Gas JECB programs within the first three years of its Term you will be charged the cost of the Thermostat and related equipment plus taxes. See section 10 of your Thermostat and Related Equipment Terms and Conditions. Our Service Commitment We are commited to your satisfaction. 2 Natural Gas and Electricity Terms and Conditions (and Notice of Appointment of Agent) 1. Key Defined Terms. Agreement: Collectively, the Customer Agreement (both the front page of this Agreement and the Just Energy enrolment website), these Natural Gas and Electricity Terms and Conditions, the attached Thermostat and Related Equipment Terms and Conditions, and, if applicable, the attached schedule for Multiple Locations. Consumer: In the context of the Energy Consumer Protection Act, 2010 ( ECPA ), a Customer that annually uses less than 50,000m 3 of natural gas or 150,000 kwh of electricity. Customer: The account holder named on the Customer Agreement. Also referred to as you and your. Energy: The natural gas and/or electricity commodity that we will supply to your Location. Exit Fees: Collectively, the Exit Fees are described in Section 11 of these General Terms and Conditions. Future Use: Our reasonable calculation of your anticipated Energy consumption for the remainder of the Term. Global Adjustment (Provincial Benefit): It can be a credit or a charge, and reflects the difference between regulated and contract prices for electricity paid to certain generators (as well as Conservation & Demand Management initiatives) and the market prices they would have received had they not been subject to government regulation or contracts. IESO: Independent Electricity System Operator. Just Energy: Just Energy Ontario L.P., a limited partnership established under the laws of Ontario. Also referred to as we, our or us. Location: Each natural gas and electricity account on the Customer Agreement (and, if applicable, the attached schedule for Multiple Locations), relating to your premises for service, or replacement thereof, is a separate Location. Monthly Electricity Supply Price: The monthly charge for Electricity commodity supply, as stated on the Agreement. Monthly Natural Gas Supply Price: The monthly charge for natural gas commodity supply, as stated on the Agreement. Just Energy Conservation Bundle Program: Your enrollment in both the Electricity and Natural Gas Just Energy Conservation Bundle programs outlined in this Agreement. OEB: Ontario Energy Board. Price: As set out in the Customer Agreement, each of the Monthly Natural Gas Supply Price and the Monthly Electricity Supply Price, as applicable. The Price is not regulated by the OEB. RPP: The Regulated Price Plan, which is a variable price set by the OEB that may change every six months, and is inclusive of any Global Adjustment. Utility: Your local distribution company. 2. Appointment of Just Energy as your Agent. You give us the exclusive right to act as agent on your behalf in making all supply and delivery arrangements with your Utility and others in order to provide your full Energy requirements to your Location. You agree, now and throughout the Term (as defined below) that you: (a) are not, and will not be, bound by an agreement for your Location with an energy supplier other than us; and (b) will not cancel or modify our appointment as your exclusive agent. If you successfully enrol in the Just Energy Natural Gas or Electricity program from another energy retailer when you sign this Agreement, we will reimburse any exit fees that your previous retailer charges you, to a maximum of $1000 per each commodity. Simply send us a copy of the exit fee letter from your previous retailer at: Customer Service Rate Escape, 80 Courtneypark Drive West, Units 3&4, Mississauga, ON, L5W 0B3, or by FAX to and we will send you a cheque for the exit fees in the letter (the "Rate Escape Amount"). Invoices must be received by Just Energy within 60 days of receiving your first bill from Just Energy and be active on the Rate Escape program to qualify for the reimbursement. If this Agreement ends early due to your Default, you shall repay us the entire Rate Escape Amount. 3. Acceptance, Verification. This Agreement takes effect when you electronically sign it and is conditional upon your verification, if required, and our acceptance of it. If you successfully enroll online you will be entering into an agreement with Just Energy which will replace any previous agreement that has yet to be verified. This website enrolment Agreement may supersede any other Agreement that may have been signed, which shall be determined at our sole discretion. We may also choose, at our discretion, to enrol another signed Agreement if there are errors with this website enrolment Agreement provided that the signed Agreement meets our standards. Our acceptance is at our sole discretion and depends, in part, on whether: (a) your Utility accepts our request to enroll you; (b) you are creditworthy (we reserve the right to require security or collateral prior to acceptance); (c) your Location is not already enrolled with us; and (d) for natural gas, your annual volume is less than 3,300m 3 per year and for electricity, your annual volume is less than 10,000 Kwh per year,or some other amount acceptable to Just Energy to be determined at our sole discretion. You consent to the recording of phone calls relating to this Agreement, and consent to us contacting you by . You also consent to us contacting you using an automatic dialing device or similar device which delivers automated messages at the telephone number(s) provided on this agreement. 4. Term. The Term as indicated on the Customer Agreement begins on the Start Date and expires on the End Date (if a selection is required by the Customer and no selection is made, the Term is deemed to be the longer of the available options). Start Date: the day we begin supplying Energy to your Location. If you are a new Customer, it will be between 10 and 365 days from the date you agree to this Agreement. If, however, your Location is currently enrolled under an existing agreement with us, the Start Date is the day following the end of your existing agreement with us. You understand that the Start Date may be delayed (for reasons such as this Agreement being improperly completed, not submitted to Just Energy, not implemented by your Utility, etc.) at our sole discretion. End Date: our last day of Energy supply to your Location. It will be 1,2,3,4 or 5 years, depending on the Term you selected on the Just Energy enrolment website, from the Start Date, plus any time needed to obtain an actual or estimated final meter read. A new Term will begin if this Agreement is renewed, as applicable. Otherwise, at the end of the Term, it may take up to 30 days or more to complete your switch back to the Utility or other supplier, during which time you remain responsible for Just Energy charges. 5. Renewal. This Agreement may be renewed based on the minimum legal and regulatory rules required by Governing Law in effect at the time of renewal. As of the date of this Agreement, Governing Law requires that we send you notice of our renewal offer between days prior to the end of the Term. You will then be able to accept the renewal, to select renewal terms or to object to the renewal. If you do not respond to our notice, where permitted by Governing Law, this Agreement may automatically renew based on the Terms and Conditions (including Price and Term) set out in our notice. 6. Charges under this Agreement. We will supply you with Energy, as selected on the Just Energy enrolment website, for each Location, and you agree to pay the related charge(s) plus taxes, including, without limitation, charges relating to transportation, transmission, delivery, debt retirement, uplift, congestion, storage, regulatory, distribution, service charges, implementation of location based marginal pricing, etc., which will be paid to the Utility or Just Energy. 6.1 Monthly Electricity Supply Charge: The Monthly Electricity Supply Price as stated on your Agreement. Your Electricity Charge on your actual bill will therefore be calculated as follows: Your Monthly Electricity Supply Price, plus/minus the Global Adjustment, plus an 80 monthly billing fee, plus a variable monthly charge passed through to you in order to cover costs incurred under the Ontario Energy Board s Cost Assessment Model and a one time enrollment/de-enrollment fee of $ Monthly Natural Gas Supply Charge: The Monthly Natural Gas Supply Price as stated on your Agreement. For natural gas, on your bill, you will see the aggregate of the following charges (as applicable) as a single line (or other means available to us): Monthly Natural Gas Supply Charge. 6.3 Transportation Charge: For natural gas Customers, the cost to transport natural gas from areas of production into the local gas distribution system in Ontario. The rate we charge our Customers and that our Customers pay us for this service is based on a forecasted price for natural gas, pipeline transportation rates and compressor fuel. We reserve the right to periodically update the Transportation Charge to reflect any changes in market price. Any such costs charged by your Utility, or any third party, to us will be passed on by us to you and you agree to pay such charges. The Transportation Charge will always match the Utility transportation charge. 6.4 Passthrough Charges: Amounts charged to Just Energy that Just Energy passes through to its customers that may relate to transmission, transportation, delivery, distribution, debt retirement, regulatory, uplift, congestion, storage, service charges, billing fee if you enroll on the JECB Electricity Program. 6.6 Enrollment/Deenrollment fee: If you enroll on the JECB Electricity program you

3 will pay a $1.50 charge for each time you enroll and de-enroll. 6.7 Regulatory Charge: A variable monthly charge passed through to you in order to cover costs incurred under the Ontario Energy Board s Cost Assessment Model. 6.8 Billing Adjustments: Customer may accept a new, amended, renewed or an extended agreement with Just Energy. Just Energy may carry forward billing adjustments for customer s last bill on a previous agreement to a subsequent bill under the new, amended, renewed or extended agreement. 7. Carbon Offsets. Just Energy will purchase and retire an amount of Carbon Offsets in order to satisfy the Program selected by you on the Customer Agreement. One Carbon Offset represents the reduction of one metric ton of carbon emissions, or its equivalent in other greenhouse gases, and are verified by a third party to ensure reductions are real and additional. Carbon Offsets that we purchase and retire on your behalf will: (a) relate to Carbon Offsets produced in the year you pay for Just Energy Conservation Bundle (plus or minus 12 months); (b) on a best efforts basis, be from Ontario-based projects; however, we may buy them from other North American-based sources at our discretion; and (c) remain our legal property. On an annual basis, a third party will conduct a review for the purpose of verifying that all Carbon Offsets have been purchased and retired on behalf of our customers. Information concerning this annual third party review will be made available on our website: justenergy.com. 8. Regulatory Event. Notwithstanding any other clause contained in this Agreement, in the event that a government, utility, OEB, IESO or other regulatory action results in the RPP being calculated differently than how it is calculated as of the Start Date, or if any such action has a material adverse economic impact on the Agreement for us such that results in our being unable, after using commercially reasonable efforts, to avoid the inability to perform under this Agreement, we reserve the right to adjust our calculation of the Electricity Price accordingly or to pass through any incremental costs without notice, or to terminate this Agreement without penalty upon notice to the Customer. 9. Billing, Payment. Your Utility will normally bill you on our behalf in accordance with the Utility s usual requirements and schedules for billings, deposits, payments, late payments and other charges (but we reserve the right to bill you directly). You agree to pay all amounts on your bill by the stated due date. If you fail to do so, then you may be required to pay late payments, interest, penalties or other charges and make deposits as required by your Utility or Just Energy. Your Utility s usual requirements and schedules for billings (it is usually monthly), deposits, payments, late payments, interest, penalties and other charges continue to apply, unless you are otherwise notified. We have the right to correct any billing error and you will then receive a forward credit or debit on your bill (we do not provide refunds). A history of late payments may be reason for cancellation of this Agreement by us, together with Exit Fees, and possible referral to a collection agent. You shall pay our reasonable collection costs and legal fees associated with the collection of amounts owed by you to us. The Utility will measure (or otherwise determine) the amount of Energy supplied to you. We assume no liability for errors in measurement and shall be entitled to revise any bill, if necessary, to account for any errors or reassessment made by the Utility, or us. 10. Ending this Agreement Early, Default. If this Agreement ends early, for any reason, you must still pay all amounts charged to you for periods up to the early end date. Your Right to Cancel: You can end this Agreement, without having to pay Exit Fees, within 30 days from the date of your first bill under this Agreement. For Agreements to supply both natural gas and electricity (each a commodity), the cancellation of one commodity will not result in the cancellation of the other commodity. If only one commodity is cancelled, Exit Fees will be applied only to the cancelled commodity according to Section 11 of this Agreement. In order for your cancellation request to be processed you must provide us 10 days notice and use the contact information listed on the Customer Agreement (mail, , fax, or phone). Notwithstanding any other clause contained herein, you have the right to cancel this Agreement without cost or penalty up to 10 days after you acknowledge receipt or are deemed to acknowledge receipt of a text-based copy of the Agreement, and if you cancel the Agreement within that 10-day period, you are entitled to a full refund of all amounts paid under the Agreement. Notwithstanding any other clause contained herein, you may cancel this Agreement without cost or penalty upon 10 days notice if: (i) we are required under the ECPA to make a voice recording of a telephone discussion with you and we fail to provide a copy of that recording within 10 days after you request a copy; (ii) this Agreement is amended, renewed or extended and, at the time of the amendment, renewal or extension, we are not in compliance with the conditions of our licence set out in sections 3 and 4 of Ontario Regulation 90/99 (Licence Requirements Electricity Retailers and Gas Marketers) made under the Ontario Energy Board Act, 1998; (iii) the Agreement was entered into for a term that begins before the expiry of the term of a pre-existing contract, but only if notice of the cancellation is provided before the end of the term of the pre-existing contract; or (iv) the cancellation follows an automatic renewal of this Agreement. Nothing in this Agreement negates or varies your rights to cancel this Agreement under and in accordance with the ECPA. Our Right to Cancel: We can end this Agreement, at no cost to us, if: (i) required/allowed by law; (ii) the Utility is unable to service your Location; (iii) a legislative or regulatory change materially alters our ability to profitably perform this Agreement; (iv) you move; or (v) you Default during the Term. You will be given 15 calendar days prior notice. This Agreement will be deemed terminated at no cost and without liability to either party if Just Energy does not commence supply of Energy within 12 months of the anticipated Start Date, for whatever reason, and you have not contacted us in writing to implement this Agreement; or, if this Agreement is unable to be implemented for reasons beyond our control. Default: You will be in Default if you: (a) breach a term of this Agreement or your Utility s rules; or (b) switch to another energy supplier, including the Utility. 11. Exit Fees. Customer understands that in order for Just Energy to be able to supply Energy to its customers, Just Energy enters into long term supply arrangements with suppliers of Energy to meet the forecasted consumption of its customers. If you have contracted for natural gas and this Agreement ends early due to your Default, you must pay us liquidated damages in the amount of $100 for each year and partial year left in the term, per Location. ( Natural Gas Exit Fee ). If you have contracted for electricity and this Agreement ends early due to your Default, you must pay us liquidated damages in the amount of $50 for each full and partial year left in the Term, per Location ( Electricity Exit Fee ). Just Energy can terminate this agreement, without exit fees to either party, if there is a material difference in your energy consumption (as compared to the average JECB customer energy consumption). In the context of this Contract a material difference in consumption is anything that exceeds 4,000m 3 per year for natural gas commodity consumption and 15,000 kwh per year for electricity consumption during the Term. If Just Energy terminates the Agreement early as per the above, the Customer will either allow Just Energy to remove the Smart Thermostat from their home or pay the applicable buyout fee set out in Section 10 of the Thermostat and Related Equipment Terms and Conditions as well as a fee of $$19.95 per month, plus taxes, for ongoing use of the Smart Thermostat. 12. Consumption Reduction Rebate. If your electricity consumption is reduced by more than 5% as compared to your electricity consumption for the 12 month period that existed prior to you entering into the Just Energy Conservation Bundle Program (the "Comparison Period") and your natural gas consumption is reduced by more than 10% as compared to your natural gas consumption for the Comparison Period, and for each year during the initial Term of this Agreement, Just Energy will issue you a $200 rebate (in total). This rebate will be issued within 90 days of the end of the Term. Just Energy will rely on your consumption history for the Comparison Period that is provided to us by your Utility. If less than 12 months of consumption data is available, Just Energy will use its best efforts to estimate your natural gas and electricity consumption for the Comparison Period and such estimated amount will be the full and final calculation for the purposes of calculating the rebate in Just Energy s sole discretion. In order to qualify for the rebate, both your natural gas consumption must be reduced by more than 10% and your electricity consumption must be reduced by more than 5% as compared to your consumption during the Comparison Period, calculated separately, and for each and every year during the initial Term of this Agreement. 13. Suspension of Utility Service. If you fail to pay all amounts

4 when due, your Utility may disconnect your Utility distribution service in accordance with Governing Law. If this happens and your Utility later reconnects you, we have the option to continue your enrollment under this Agreement effective as of the date that the Energy supply and/or delivery service is reconnected by the Utility and/or us, at our option. You must notify us of the date of re-connection within 30 days. 14. Customer Information, Credit Review. Customer: (a) consents to Just Energy collecting, retaining, using and disclosing Customer s information; (b) requests, authorizes and directs the Utility and/or IESO to release to Just Energy, Customer s contact information, current and historical energy billing and usage data, and other account information so as to enable Just Energy to perform its obligations under this Agreement (including to establish, and collect money for Customer s account, supply Customer with Energy, meet Just Energy s contractual obligations with others, for law enforcement purposes and for processing past due accounts of Customer which have passed to a debt collection agency); and (c) Customer consents to Just Energy collecting, monitoring, recording and using information relating to customer s Energy consumption during the course of this Agreement. Customer further authorizes Just Energy to review Customer s credit history and information, whether in the possession of the Utility or third party credit reporting agencies (and Just Energy may disclose such Customer information to its creditors, suppliers and service providers). Just Energy s supply of Energy may depend on Customer s credit worthiness and Just Energy is not obligated to accept, or continue performing, this Agreement if Customer does not meet Just Energy s credit requirements. Any action by Customer that deprives Just Energy of information considered by Just Energy to be material to its performance of its obligations under this Agreement shall constitute a Default by Customer, in which case Exit Fees will apply. Customer will promptly notify Just Energy in advance of any changes to Customer s information relevant to this Agreement. Just Energy and its affiliates and partners may use Customer s information to communicate with Customer about other products and services offered by Just Energy and its affiliates and partners. Just Energy will disclose any of your information where required by law. If you have any questions about our collection or use of your information, please refer to our privacy policy at justenergy.com or contact us. 15. Limitation of Liability. Liability under this Agreement is limited to direct actual damages. We are not liable for incidental, consequential, punitive, or indirect damages, lost profits or lost business. We are not liable for any act or omission of your Utility. 16. Disputes, Binding Arbitration. If you have a question or concern regarding this Agreement, you agree to first contact us using our contact information on the Customer Agreement. Both parties will, in good faith, use reasonable efforts to resolve disputes. If a dispute remains unresolved after 45 days, you can refer it to the OEB s Consumer Relations Centre at and ask for details about its dispute resolution process. To avoid falling into Default, you must still pay all undisputed sums by their due date. 17. Amendment, Assignment. We may amend this Agreement by providing you notice and, the amendment will take effect 60 days after you consent to the amendment. If this Agreement is amended, you may without reason retract your consent to the amendment not more than 20 days after the text-based copy of the amendment is sent to you by calling or writing us at the coordinates at the top of your Customer Agreement. We may assign, sell or otherwise transfer any part of our interest in this Agreement, including to another energy marketer / retailer, without your consent and without notice to you. You cannot assign this Agreement without our written consent. Should you not accept or your home is incompatible with any additional products or services offered by Just Energy the Terms and Conditions relating to the supply of natural gas and electricity will continue to apply unamended. 18. Moves. You will give us 10 days prior notice if you plan to move or change your Location (each, a move ). When you permanently move out of the Location you may cancel this Agreement (or that portion of Schedule A where this Agreement is for multiple Locations) without cost or penalty. 19. Inability to Perform. You accept that certain events beyond our control, including force majeure events declared by our direct or indirect suppliers, may affect our ability to supply Energy at your Price. If this happens, we may, without liability: (a) temporarily supply them to you at the then current market price available to us; or (b) suspend this Agreement until as soon as we are reasonably able to resume performance. This Agreement will otherwise remain in full effect. 20. Notice. Just Energy will send notices relating to this Agreement to your billing address (as may be amended from time to time upon receiving updated information from you or your Utility). At our discretion (if, for example, there is a fault with your billing address), we may instead send notices to your service address (as may be amended). All notices to us should be sent in a manner by which you will be able to give proof of delivery upon request, though you can provide notice by phone. Either party can change its address for receiving notices by notifying the other pursuant to this paragraph. If a change in Governing Law necessitates that a group of customers be given a general notice, we may give it by posting it on our website at justenergy.com. 21. Governing Law. The laws of Ontario govern this Agreement. 22. Miscellaneous. This Agreement contains the entire agreement between Just Energy and the Customer concerning the supply of Energy to the Location, as applicable. No handwritten alterations to its preprinted terms apply. This Agreement may not be contradicted by any prior or contemporaneous oral or written document and can only be amended if agreed to by Just Energy s head office in a written notice to, or recorded telephone call with, Customer. The total cost of this Agreement is the monthly charge for Electricity commodity supply, monthly charge for Natural Gas commodity supply for the Term, plus all other amounts mentioned in this Agreement, as applicable. During the Term, changes in Governing Law may result in certain costs or credits being shifted from your Utility or other similar or regulatory bodies (such as the OEB, the IESO, the Ontario Power Authority) to Just Energy, or vice versa. If this happens, these costs or credits will be passed through to you at no markup. If you wish to make a complaint, request information or renew, extend the Term of or cancel this Agreement you can contact us using our contact information on the Customer Agreement. Electronic, and fax signatures are for legal purposes equivalent to original signatures. If any part of this Agreement is deemed unenforceable we can make the minimal changes for it to be legal and enforceable. No delay by us to exercise our rights under this Agreement will constitute a waiver of such rights. You agree to review the system-wide electricity supply mix information on our website at least annually in order to obtain required disclosure of such information: see justenergy.com. 23. Emergency. In an emergency, contact the appropriate emergency personnel or your Utility if appropriate, and not Just Energy. Just Energy Ontario L.P. by its general partner Just Energy Corp. Executive Vice President Just Energy operates under OEB license # GM (natural gas) and # ER (electricity).

5 Thermostat and Related Equipment Terms & Conditions 1. Installation: I understand that under the terms of my Just Energy Conservation Bundle Program ( Agreement ), Just Energy Ontario L.P. ( Just Energy ) will install an Ecobee Thermostat and related equipment, with the specifications identified on the Agreement (the Equipment ) in a good and workmanlike manner in accordance with the professional practices applicable to the industry. The Equipment will be installed by Just Energy in my residence ( Residence ) as close to the scheduled installation date specified on the Agreement as possible and no later than thirty (30) days from that date unless I otherwise agree. The date on which the Equipment is installed shall be the Installation Date. 2. Ownership and Interest: Subject to Section 10, I understand that Just Energy is and shall remain the owner of the Equipment at all times and that Just Energy is not transferring title to me. I agree that the Equipment will remain Just Energy s personal property even though it may become affixed to my Residence. I will own the Equipment after 3 years from Installation date. 3. Thermostat: (A) I agree to use the Equipment only pursuant to this Agreement. I may not sell, lease, abandon or give away the Equipment during the Term. I may not permit any other provider of energy management or demand reduction services to use the Equipment during the Term. I agree that I will not allow anyone other than Just Energy s employees or agents to service the Equipment during the Term. I understand and agree that if service is required to the Equipment, service is provided free of charge as long as I am enrolled in the Just Energy Conservation Bundle Program, but that if no one is at my Residence when Just Energy s agent arrives for a scheduled service, a fifty dollar ($50) fee may be charged to me. (B) Just Energy has no responsibility for the operation or support, maintenance or repair of any equipment, software or services that I elect to use in connection with the Equipment. I agree to keep the Equipment connected, and my Internet connection active, at all times. Whether a thermostat, gateway/router, or other device is owned by me or Just Energy, Just Energy has the unrestricted right, but not the obligation, to upgrade or change the firmware in these devices remotely or at the Residence at any time that Just Energy determines it necessary or desirable in order to provide services to me in accordance with Just Energy s specifications and requirements. (C) When regional grid operators or utilities anticipate blackouts or brownouts due to high electricity demand, they notify participating customers of the scheduled time and duration of the Demand Response Event. At the appointed time, participating customers agree to curtail their consumption by, for example, dimming lights, adjusting HVAC set points, or shutting down non-critical equipment. I agree that Just Energy can change my comfort settings and limit my thermostat consumption and/or adjust my HVAC system (heating, ventilating, and air conditioning) and that I will have the option to override this adjustment. 4. My Commitments and Assurances: I will use the Equipment in accordance with the terms of this Agreement and the terms of any manual or other documentation provided to me with the Equipment. I will provide Just Energy with access to the Equipment whenever reasonably required for purposes of inspection, repair or removal. I understand that it is my responsibility to ensure that the Equipment is used with care and in accordance with this Agreement and I will not hold Just Energy responsible for damage caused as a result of the Equipment for any reason. I will be responsible for any damage to the Equipment if caused by me or unauthorized third parties or by fire, flood, accident or other insurable risks. 5. Assignment: Just Energy may, at any time during the Term of this Agreement, assign all of its rights, title, obligations and entitlements under this Agreement and upon such assignment, Just Energy shall be relieved of any further obligations to me under this Agreement subsequent to the date of such assignment. 6. Sale of the Residence: I understand that if I sell my Residence during the Term, I will personally, or through my real estate agent, inform the purchaser that the Equipment is installed and billed pursuant to this Agreement. Just Energy has agreed to release me from my obligations under this Agreement, effective from the date of sale, so long as: (i) the purchaser is notified in the agreement of purchase and sale that the Equipment will continue to be billed through the Just Energy Conservation Bundle; and (ii) the purchaser agrees in writing or by conduct to rent the Equipment on these terms and conditions. I hereby authorize Just Energy to respond to information requests relating to my account with Just Energy made by or on behalf of the purchaser of my Residence for the purposes of affecting the transfer of the Equipment. 7.Termination: I understand that I may contact Just Energy by telephone at any time and, upon thirty (30) days notice, terminate this Agreement and either: (i) arrange for the removal of the Equipment from my possession by Just Energy s technician; or (ii) buyout this Agreement by paying the applicable buyout fee, plus applicable taxes, which fee will be charged to my utility account and is based on the period of time between my Installation Date and the date the Agreement is terminated ( Period of Use ): a) $295 for a 1 year or less Period of Use; b) $245 for a 2-year Period of Use; c) $195 for a 3-year Period of Use; or d) $0 for a Period of Use greater than 3-years. In addition, I may be subject to a monitoring charge of $19.95 per month plus tax for as long as I continue to use the online monitoring portal. I understand that Just Energy may terminate this Agreement at any time if I am in breach of any of my obligations contained herein. Just Energy s right to terminate is in addition to any other remedy available at law or equity. I understand and agree that if this Agreement is terminated prior to the end of the Term that only Just Energy may retrieve the Equipment from my possession in accordance with this Section. 8. Liability: I understand that Just Energy is not the manufacturer of the Equipment and therefore makes no representations or warranties as to the performance of the Equipment including the protection of my data which may be stored on the Equipment, except those which are given by statute and which cannot be waived. If Just Energy is unable to perform any of its obligations under this Agreement because of circumstances or events beyond its control, it shall be excused from the performance of such obligations for the duration of such circumstances or events and it shall not be liable to me for such failure to perform. I agree that liability under this Agreement is limited to direct actual damages and that Just Energy is not liable for incidental, consequential, punitive, or indirect damages, lost profits or lost business. 9. Miscellaneous: This Agreement is the entire agreement between me and Just Energy. It is governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Should any of the terms and conditions in this Agreement be held invalid for any reason by a Court or regulatory body of competent jurisdiction, then such terms or conditions shall be deemed severed from this Agreement and the remaining terms and conditions shall continue in full force and effect. Neither the failure nor delay of Just Energy to exercise any right or to enforce any term of this

6 Agreement shall be construed as a waiver of such right or term, or of any other right or term hereunder. The contents of Just Energy s marketing materials do not form part of this Agreement and I did not rely on them. 10. Notice. Just Energy will send notices relating to this Agreement to my billing address (as may be amended from time to time upon receiving updated information from me). I agree that all notices to Just Energy should be sent in a manner by which I will be able to give proof of delivery upon request, though I can provide notice by phone. Just Energy s fax number is , and its mailing address is 80 Courtneypark Drive West, Units 3&4, Mississauga, ON, L5W 0B3. Either party can change its address for receiving notices by notifying the other pursuant to this paragraph. If a change in law necessitates that a group of customers be given a general notice, Just Energy may give it by posting it on their website at justenergy.com. 11. Disputes, Binding Arbitration. If I have a question or concern regarding this Agreement, I agree to first contact Just Energy using their contact information set out in this Agreement. Both parties will, in good faith, use reasonable efforts to resolve disputes. I agree that I must still pay all undisputed sums by their due date. 12. Emergency. In an emergency, I agree that I shall contact the appropriate emergency personnel or my utility if appropriate, and not Just Energy. 13. Your Rights Under the Consumer Protection Act, 2002: You may cancel this Agreement at any time during the period that ends ten (10) days after the day you receive a written copy of the Agreement. You do not need to give the supplier a reason for cancelling during this 10-day period. If the supplier does not make delivery within 30 days after the delivery date specified in this Agreement or if the supplier does not begin performance of his, her or its obligations within 30 days after the commencement date specified in this Agreement, you may cancel this Agreement at any time before delivery or commencement of performance. You lose the right to cancel if, after the 30-day period has expired, you agree to accept delivery or authorize commencement of performance. If the delivery date or commencement date is not specified in this Agreement and the supplier does not deliver or commence performance within 30 days after the date this Agreement is entered into, you may cancel this Agreement at any time before delivery or commencement of performance. You lose the right to cancel if, after the 30-day period has expired, you agree to accept delivery or authorize commencement of performance. In addition, there are other grounds that allow you to cancel this Agreement. You may also have other rights, duties and remedies at law. For more information, you may contact the Ministry of Consumer and Business Services. To cancel this Agreement, you must give notice of cancellation to the supplier, at the address set out in the Agreement, by any means that allows you to prove the date on which you gave notice. If no address is set out in the Agreement, use any address of the supplier that is on record with the Government of Ontario or the Government of Canada or is known by you. If you cancel this Agreement, the supplier has fifteen (15) days to refund any payment you have made and return to you all goods delivered under a trade-in arrangement (or refund an amount equal to the trade-in allowance). However, if you cancel this Agreement after having solicited the goods or services from the supplier and having requested that delivery be made or performance be commenced within ten (10) days after the date this Agreement is entered into, the supplier is entitled to reasonable compensation for the goods and services that you received before the earlier of the 11th day after the date this Agreement was entered into and the date on which you gave notice of cancellation to the supplier, except goods that can be repossessed by or returned to the supplier. If the supplier requests in writing repossession of any goods that came into your possession under the Agreement, you must return the goods to the supplier s address, or allow one of the following persons to repossess the goods at your address: (i) the supplier; or (ii) a person designated in writing by the supplier. If you cancel this agreement, you must take reasonable care of any goods that came into your possession under the agreement until one of the following happens: (i) the supplier repossesses the goods; (ii) the supplier has been given a reasonable opportunity to repossess the goods and twenty-one (21) days have passed since the Agreement was cancelled; (iii) you return the goods; or (iv) The supplier directs you in writing to destroy the goods and you do so in accordance with the supplier s instructions.
