Provide a general overview and discussion of the development of the Issuer s business and operations over the previous month. Where the Issuer was inactive disclose this fact. Everything surrounding the establishment of the Issuer s financial services subsidiary, Asia Synergy Financial Capital ( ASFC ), continued to be the focus of the Issuer s operations during the period. In anticipation of receiving the official authorization from the Wuxi Municipal Financial Affairs Office ( WMFAO ) to create ASFC, the Issuer made a change to the composition of its board of directors. Mr. Jiang Wang and the Issuer mutually agreed that given the imminent arrival of ASFC that it would be in the best interest of the Issuer to appoint someone to its board of directors able to bring a specific expertise related to Chinese commercial lending to the Issuer s board. Mr. Wang therefore voluntarily resigned his position on the Issuer s board of directors so that such a person may be added to the Issuer s board following the arrival of ASFC. As mandated by the WMFAO to provide evidence that they meet the minimum financial requirements to establish and operate a financial services company, the Issuer and its partners collectively transferred a total of 100M RMB to a trust account set up by the WMFAO for that very purpose. This was the final step in the WMFAO s review process of the Issuer s bid to become the majority shareholder of a fully licensed Chinese financial services company. So, after a lengthy review process, the Issuer and its partners closed the period by satisfying the last remaining criteria set out by the WMFAO to allow the Issuer and its partners to create ASFC. This sets up the period to follow to bring about the event expected to be the catalyst that unlocks the Issuer s revenue-generating potential, which would be the launch of ASFC s operations as a Chinese financial services company. 2 2. Provide a general overview and discussion of the activities of management. In light of the fact that ASFC had not started its operations during the period as they had hoped, the Issuer s management and their Chinese partners decided during the period to postpone the investor event that they were planning to have take place in Montreal at the end of May The event is meant to introduce the Issuer s Chinese partners to the Canadian investment community and to have the partners provide an update on, as well as their vision for ASFC s operations within the Issuer s group of companies. Wanting to have a few months of ASFC operations prior to the event, the Issuer s management and their partners will now plan to hold the event in September Management also spent part of the period planning for the Issuer s upcoming Annual General Meeting of its shareholders expected to take place in June An event is also in the planning stages in China to mark the official launch of ASFC s operations. The Issuer s management is expected to join their Chinese partners, members of the WMFAO and representatives of the Issuer s subsidiaries strategic partners to mark this historic event for the Issuer and the city of Wuxi. The event is being planned to coincide with the one-month operating anniversary of ASFC and is expected to take place shortly following the Issuer s AGM. The Issuer s management wrapped up the period by filing its year-end 2017 financial statements and by beginning to work on the filing of its first quarter 2018 financial statements. 3. Describe the expiry or termination of any contracts or agreements between the Issuer, the Issuer s affiliates or third parties or cancellation of any financing arrangements that have been previously announced. 7. Describe any acquisitions by the Issuer or dispositions of the Issuer s assets that occurred during the preceding month. Provide details of the nature of the assets acquired or disposed of and provide details of the consideration paid or payable together with a schedule of payments if applicable, and of any valuation. State how the consideration was determined and whether the acquisition was from or the disposition was to a Related Person of the Issuer and provide details of the relationship. 8. Describe the acquisition of new customers or loss of customers. 9. Describe any new developments or effects on intangible products such as brand names, circulation lists, copyrights, franchises, licenses, patents, software, subscription lists and trade-marks. 10. Report on any employee hirings, terminations or lay-offs with details of anticipated length of lay-offs. The Issuer made a significant hire during the period by hiring Mr. Bin Xu as the new Financial Controller of its Chinese-based subsidiaries. Mr. Xu is a CPA, CGA and MBA and is expected to play a key role in the evolution of the operations of the Issuer s group of companies 11. Describe and provide details of legal proceedings to which the Issuer became a party, including the name of the court or agency, the date instituted, the principal parties to the proceedings, the nature of the claim, the amount claimed, if any, if the proceedings are being contested, and the present status of the proceedings.
