2 The following is the Delavan Inc, a UTC Aerospace Systems Company (UTAS) Subcontracting Plan as it is prescribed at paragraph (b) of the Federal Acquisition Regulation (FAR). This plan responds directly to requirements set forth in FAR clause , Defense FAR Supplement (DFARS) clause (b), and DFARS clause This plan is applicable to all commercial products subcontracted by the facility at West Des Moines, IA. I. Scope & Commitment This plan is being employed by UTAS for the plan year for all its commercial products, rather than solely for a specific government contract. In this case, UTAS submits one annual plan for the West Des Moines facility. UTAS will make every effort to meet or exceed its individual subcontracting plan goals for small business, as defined by the Federal Government, for subcontracted dollars based on products and services that can be subcontracted. 2. Method Used to Develop the Subcontracting Goals UTAS's Subcontract Plan has been developed using data derived from past direct material commitments and a projection of tasks, based on responses to quote requests from UTAS's Supply Chain Department to be pursued under applicable contracts. UTAS has assigned a classification code to each supplier that indicates whether they are a small (SB), HUBZone small (HUBZSB), women-owned small (WOSB), small veteran-owned (VOSB), small service disabled veteran-owned (SDVOSB) or small-disadvantaged business (SDB) concern. UTAS's database is used to determine the opportunities for small business concerns. 3. Method Used to Identify Potential Sources for Solicitation Purposes For Subcontract solicitation purposes, UTAS plans to utilize company source lists, information provided by the Small Business Administration's (SBA), the National Minority Business Directory, Iowa PTAC, Iowa (IDEA), other national/regional directories and various networking opportunities. These sources are used to identify, pursue, qualify and potentially utilize small business concerns. 4. Name of Individual A. Mike Panos, Supply Chain Manager, is responsible for overall coordination and implementation of the UTAS Small Business Policy. B. The UTAS Small Business Liaison Officer, Jeff Sawhill, Supply Chain Specialist, (ieff.sawhill@utas.utc.com, ), is responsible for and will administer the Subcontracting Program. The duties are: I. Encourage and assist small business concerns in participating in UTAS's subcontract work. Page I of 6
3 s. Description of Efforts 2. Work with personnel of concerned Federal agencies, such as U.S. Small Business Administration (SBA), Department of Commerce, Department of Defense, and small business concerns. 3. Monitor directives of interested Federal agencies and implement procedures to insure compliance with the "Utilization of Small Business Concerns" and "Small Business Subcontracting Plan" clauses of Federal Acquisition Regulation and applicable supplements. 4. As required, prepare and conduct training programs for purchasing personnel concerning the Federal Acquisition Regulation and supplements. 5. Will represent UTAS at seminars, conferences and other similar meetings dealing with small business concerns. 6. Will disseminate information on changes in requirements of the Federal Small Business programs to buying personnel. 7. Will obtain from SBA and other sources, lists of small business concerns for use by UTAS Purchasing Department. 8. Will submit Summary Subcontract Report (SSR) annually ( 9. Will insure that the interests of small business concerns are represented in "Make-Or-Buy" decisions. 10. Will periodically submit lists that contain subcontracted items having forecasted requirements to responsible buyers. This list will be used to solicit quotations from small business concerns in order to allow them additional time to participate in the bidding process. UTAS's efforts to ensure that small business concerns including small business, SDB, WOSB, HUBZSB, VOSB, and SDVOSB will have an equitable opportunity to compete for subcontracts, include (but are not limited to) the following: 1. A Policy Statement issued by the President of UTAS. 2. A Small Business Liaison Officer (SBLO) has been established to direct the company's small business program. 3. The SBLO will actively seek out such small business concerns by attendance and participation in small business exhibitions, trade shows, conferences, seminars, conventions, and referrals to the supply chain department. 4 4. The purchasing department will receive source lists indicating such small business concerns available for subcontract work. These lists will be updated as new small business suppliers are identified and qualified. 5. UTAS will provide technical assistance in the areas of quality assurance, manufacturing engineering and design engineering to ensure that capable businesses have the opportunity to become qualified suppliers. 6. UTAS will attempt to restrict quoting opportunities to small business concerns in areas where multiple qualified small business concerns have been identified and are capable of submitting competitive bids. If applicable, these items will be identified on an individual basis. 7. This plan and its requirements are expressly defined in UTAS's Supply Chain Department's work instructions. 8. *UTAS will provide Assurances that a good faith effort is made to acquire articles, equipment, supplies, services, or materials, or obtain the performance of construction work from the small business concerns that it used in preparing the bid or proposal, in the same or greater scope, amount, and quality used in preparing and submitting the bid or proposal. Responding to a request for a quote does not constitute use in preparing a bid or proposal. UTAS used a small business concern in preparing the bid or proposal if - (i) UTAS identifies the small business concern as a subcontractor in the bid or proposal or associated small business subcontracting plan, to furnish certain supplies or perform a portion of the subcontract; or (ii) UTAS used the small business concern's pricing or cost information or technical expertise in preparing the bid or proposal, where there is written evidence of an intent or understanding that the small business concern will be awarded a subcontract for the related work if UTAS is awarded the contract. 9. *Assurances that UTAS will provide the Contracting Officer with a written explanation if the Contractor fails to acquire articles, equipment, supplies, services or materials or obtain the performance of construction work as described in (d)(l2) of this clause. This written explanation must be submitted to the Contracting Officer within 30 days of contract completion. 10. *Assurances that UTAS will not prohibit a subcontractor from discussing with the Contracting Officer any material matter pertaining to payment to or utilization of a subcontractor. 11. *Assurances that UTAS will pay its small business subcontractors on time and in accordance with the terms and conditions of the underlying subcontract, and notify the contracting officer when the Page 3 of6
5 prime contractor makes either a reduced or an untimely payment to a small business subcontractor (see ). 6. Clause Flow-Down UTAS will include the clauses entitled "Utilization of Small Business Concerns" and "Small Business Subcontracting Plan, 11 as prescribed in FAR and , in all subcontracts which offer further subcontracting opportunities. UTAS will require all subcontractors (except Small Business concerns) who receive subcontracts in excess of $700,000 ($1,500,000 for construction of any public facility) to adopt a plan that complies with regulations. Ensure subcontractors with subcontracting plans agree to submit the ISR and/or the SSR using esrs; provide prime contract number, DUNS number, and the address of the official responsible for acknowledging receipt of or rejecting the ISRs, to all first-tier subcontractors with subcontracting plans so they can enter this information into the esrs when submitting their ISRs; and require that each subcontractor with a subcontracting plan provide the prime contract number, its own DUNS number, and the address of the subcontractor's official responsible for acknowledging receipt of or rejecting the ISRs, to its subcontractors with subcontracting plans. 7. Reports UTAS agrees to submit such periodic reports (SSR) and cooperate in studies or surveys as may be required by the contracting agency or the SBA in order to determine the extent of compliance with the subcontracting plan. UTAS will ensure that its subcontractors agree to submit an SSR. Per (L)(l) the ISR report is not required for commercial plans. 8. Records A. UTAS will maintain records of SB, SOB, WOSB, VOSB, SDVOSB, and HUBZSB concerns showing: 1. Source lists, guides, and other data that identify small business concerns. 2. Organizations contacted in an attempt to locate SB, SOB, WOSB, VOSB, SDVOSB, and HUBZSB concerns. 3. For all subcontracts over $150,000, whether SB, SOB, WOSB, VOSB, SDVOSB, and HUBZSB concerns were solicited, and if not, why not. If applicable, the reason why the award was not made to one of these concerns. 4. Records of any outreach efforts with business development organizations and trade associations. Records of conferences and trade fairs attended in an effort to locate these sources. Page 4 of6

Records of internal guidance and encouragement that is provided to buyers/planners by monitoring their performance (as a group and individually), and records of any training given. 6. Records to support individual contract award data submitted by the offeror to the Government, including name, address and business size of each subcontractor. 7. Records of the quantity of purchase orders with small business concerns. A. UTAS's supply chain personnel will make all possible efforts to assist small business concerns by arranging solicitations, time for preparation of bids, quantities, specifications and delivery schedules so as to facilitate the participation by these concerns. Where UTAS's lists of potential small business concerns are excessively long, reasonable efforts shall be made to give all such small business concerns an opportunity to compete over a period of time. B. UTAS will provide adequate and timely consideration of the potentialities of small business concerns in all "make-or-buy" decisions. C. UTAS's supply chain representatives will counsel and discuss subcontracting opportunities with representatives of small business concerns. D. UTAS will submit annually a "Certification and Representation" questionnaire to its suppliers. This document provides notice of penalties and remedies for misrepresentation of business status as small, small disadvantaged, veteranowned small, service-disabled veteran-owned small, HUBZone small, or womenowned small business for the purpose of obtaining a subcontract that is to be included as part or all of a goal contained in UTAS's subcontracting plan. Conclusion The UTAS facility in West Des Moines, IA, is committed to seeking out and developing a supplier base of SB, SOB, WOSB, VOSB, SDVOSB, and HUBZSB concerns. We will remain consistent in our efforts to consider viable candidates for sourcing new programs and/or consolidation of future requirements. At this time we have not been able to identify a SDVOSB capable of meeting our quality requirements, as new opportunities arise we will continue to search for a match in this category. UTAS West Des Moines had located and developed relationships with two suppliers in this category (SDVOSB), where after a couple years with one and over a year with the other including numerous meetings, neither supplier was able to meet our quality standards and the relationships were both terminated. Identifies updates to FAR At this time there are not procedures in place to accurately track these assurances. UTAS will be working on a new procedure to track these updates. Page 6 of6
