1 Article 1 Definitions The terms hereunder shall have the following meanings for all purposes of these Conditions: Customer KES Order Form Proposal Services shall mean the individual person or legal entity requesting KES to perform Services. shall mean KLM Equipment Services BV, a Dutch corporation, having its registered office at Pakhuisstraat 1, Building 565, Schiphol Airport, The Netherlands. shall mean a KES standard document signed by the Customer authorizing KES to perform Services. shall mean an offer or study, whether or not preliminary, prepared by KES with regard to any Services. shall mean any and all activities performed by KES in the field of maintenance, repair, inspection and modification of ground support equipment; supply of fuel; airside cleaning services; ground power unit services; providing technical know-how and fleet management; all such activities in the widest sense of the word. Article 2 Scope 1. These Conditions apply to any Proposal or Services irrespective of where the request is made or where the Services are performed, unless covered by a separate agreement between the parties which deviates from these Conditions. 2. Any deviation from these Conditions will require KES's prior consent in writing. 3. KES shall be entitled to subcontract any of the Services. Article 3 Proposals 1. Proposals are made by KES without commitment. 2. Costs related to the preparation of a Proposal made on request of Customer may be charged to the Customer if no order results from such Proposal. 3. Proposals are valid during forty five (45) days after date of issue, unless stated otherwise in such Proposal. Article 4 Standard of Performance 1. Services shall be performed in accordance with KES's normal standards and practices. 2. KES will take into account the Customer's special requests as much as practicable.

2 3. KES will use its best efforts to perform the Services within the agreed period of time. However, irrespective of any indication on the Order Form to that effect, KES will not assume any liability whatsoever in this respect. 4. Delivery and redelivery of the goods, to which the Services relate, will take place at KES technical facilities at Schiphol Airport, unless agreed upon otherwise. Article 5 Order Form Before carrying out Services, or at any time thereafter, KES may require that an Order Form will be signed by Customer, a copy of which will be returned to Customer signed for acceptance by KES. The absence of such an Order Form, however, shall not relieve a Customer from its obligations under these Conditions. Article 6 Security Before carrying out Services, or at any time thereafter, KES may require a bank guarantee, a deposit, or some other security acceptable to KES, for all payments due by Customer to KES for the performance of the Services. Article 7 Exclusivity Customer shall not allow any third party to supply services similar to those ordered from KES, at the same location(s) and during the same period. Article 8 Inspection by Customer Customer and its authorized representative will be entitled to inspect the performance of Services, under the condition that such inspection shall not interfere in any way with KES's normal operational activities. Article 9 Completion of Services 1. KES will notify Customer as early as possible about the moment of completion of Services. 2. Within forty-eight (48) hours after completion of Services, Customer shall check and take delivery of the serviced item(s). Customer shall sign for acceptance on the Order Form, if applicable. 3. If Customer fails to take delivery within the period mentioned in paragraph 2 above, KES may charge to Customer additional costs arising from or connected with such delay. Article 10 Non-disclosure All information and related documentation given to Customer are for Customer's use only and Customer undertakes not to disclose any information to third parties without KES's prior written consent, unless and in as much as required by competent authorities.

3 Article 11 Charges 1. Customer shall pay KES for Services performed either on the basis of KES's applicable rates effective on the commencement date of performance of such Services or on the basis of special rates agreed upon between KES and Customer. 2. KES may require Customer to refund to KES all expense made for Customer or its personnel to the extent such expenses are not included in the rates referred to in paragraph 1 above. 3. The rates referred to in paragraph 1 above are subject to change after thirty (30) calendar days prior written notice to Customer. 4. All taxes, duties or fees imposed by any government (with the exception of those imposed on net income by the Dutch Government) are for Customer's account. Article 12 Payment 1. Customer shall pay within fifteen (15) days after the date of KES's invoice. KES may require prepayments before redelivery or completion of Services; unless a security as referred to in Article 6 above has been given. 2. All invoices issued by KES for Services and expenses as set forth in Article 11.2, provided to Customer shall be considered accepted and approved by Customer, unless written notice to the contrary is given to KES within fifteen (15) days after the date of such invoice. 3. Without prejudice to Customer's right to object as mentioned in paragraph 2 above, KES may charge interest at the rate of twelve (12) percent per annum or at the currently applicable legal interest rate -whichever is higher- as of the due date of any payment. 4. Payments will be made by wire transfer at the expense of Customer to bank accounts indicated by KES. Article 13 Rented Items 1. Any item rented out, such as but not limited to Ground Power Units ( GPU s) to Customer shall be redelivered to KES at Schiphol Airport or at such other location as agreed, in good order and condition, ordinary wear and tear excepted, on or before the agreed redelivery date. 2. If, for whatever reason including also force majeure, Customer fails to redeliver a rented item to KES in accordance with paragraph 1 above, KES may require that its replacement value (including acquisition costs) at the agreed date of redelivery will be paid in advance. 3. If, for whatever reason including also force majeure, an item is redelivered in a damaged condition, Customer shall, at the discretion of KES, pay either (i) the difference between the value mentioned in paragraph 2 above and the value of such item in its damaged condition or (ii) the cost of repair of such item or (iii) the value mentioned in paragraph 2 above against delivery to Customer of such item.

4 4. Rented items shall be returned at the expense of Customer to the address indicated on the Order Form. The rental period will commence on the date of the relevant Order Form and will terminate on the date on which such rented items will have been redelivered in the KES stores as stipulated on the Order Form. Expenses to be incurred by packing, transportation, customs clearance, inspection and overhaul, if applicable, of the rented item, will be charged to Customer. Article 14 KES s Lien For all amounts due by Customer, KES will have a lien on all items which are object of Services and on all prepayments made by Customer by virtue of paragraph 1 of Article 12, as well as on any security made available to KES by virtue of Article 6. Article 15 Cancellation of Services If, for whatever reason, an item to be serviced is not made timely available to KES on the delivery date agreed between KES and Customer, Customer will have to pay KES for labour costs as from such agreed delivery date and as if such Services had been performed as from then, unless (i) KES can use the manpower assigned to the Services for other assignments or (ii) Customer has notified KES at least forty-eight (48) hours before the scheduled availability or the scheduled date of performance that such availability will either be delayed or cancelled or that such Order Form will be cancelled. Article 16 Liability 1. Neither KES nor its employees or subcontractors, shall be liable towards Customer for any damage, loss, death or bodily injury whatsoever incurred by, or claims lodged against Customer in connection with or arising from Services and Customer shall waive any right of recourse against them and shall hold them free and harmless against any claim whatsoever lodged by third parties and against any liability imposed by law in connection with or arising from Services, and shall assume all costs incident thereto except in case of wilful misconduct or gross negligence of KES. 2. Items not owned by KES which are the object of Services and which pursuant thereto are in KES's custody will not be insured by KES and shall remain entirely at the risk of Customer. 3. Customer shall hold KES free and harmless from all liabilities and expenses arising from any patent infringement in connection with the sale and/or delivery of goods ordered by Customer. 4. KES shall not be liable to Customer for any and all special, consequential, incidental, or exemplary damages of any kind.

5 Article 17 Warranty 1. If any deficiency appears in any Service performed by KES or any part supplied by KES of its own manufacture proves defective, KES warrants to adjust such work or to replace the part concerned by a fully serviceable part at no cost to the Customer provided: the warranted item has been used under normal conditions and has not been subject to misuse, neglect or accident and has not been repaired or altered by anyone other than KES; the defect in the Services performed or in the part supplied has reasonably been proven to have occurred within one (1) month after the Services have been performed. the Customer files its claim promptly and at least within twenty-four (24) hours of establishing the applicable defect, and; the defective item, without any risk or expense to KES, is delivered to KES s technical facilities at Schiphol Airport, The Netherlands, unless both parties agree in each individual case to another location for the performance of the work. 2. The warranty provided in the first paragraph of this article is in lieu of, and the Customer waives all other warranties, expressed or implied, arising by law or otherwise in connection with the Services. It is specifically understood, that KES applies the vendor warranty terms and conditions for any defective materials or spare parts not manufactured by KES. Article 18 Insurance The Customer will maintain at all times legal liability insurance ( Wettelijke Aansprakelijkheid ) and, during the period Services are being procured from KES, property insurance covering its assets and/ or any item rented pursuant to Article 13, Article 19 Applicable Law 1. These Conditions and any activity performed there under shall be governed by the laws of The Netherlands. 2. Any dispute which may arise shall be submitted to the competent court at Amsterdam, unless KES prefers or agrees to either submission to another court or to arbitration. Article 20 Export Control Services as provided by KES to Customer under the Order Form may be subject to export controls of the European Community, United States of America and/or export controls in other countries. Customer is responsible to ensure that usage and/or transfer of Services and / or information as purchased by Customer from KES under the Order Form complies with all relevant export control regulations, including the United States International Traffic in Arms Regulations (ITAR) and/or the Export Administration Regulations (EAR), if applicable. If requested by KES, Customer will immediately provide KES with a so-called end-user statement in regard to the ultimate use and / or destination of Services ordered by Customer. KES reserves the right to reject delivery of Services to Customer if such delivery would be

6 conflicting with export controls as described herein and/or KES s (export) compliance policies. Article 21 Headings Headings are only inserted for the purpose of easy reference and shall in no way affect the interpretation of these Conditions.
